Recommended Action
Receive an update on an initial site constraints analysis for the Maerkle Reservoir Solar Project
and provide input to staff on next steps, including whether to proceed with a feasibility study.
Executive Summary
The City Council’s 5-Year Strategic Plan includes exploring a potential solar energy generation
and storage project at the site of the Maerkle reservoir in northeast Carlsbad. The site is owned
by the Carlsbad Municipal Water District, a subsidiary district of the City of Carlsbad. In April of
this year, staff presented a preliminary analysis on the site to the CMWD Board of Directors.
The next step is to conduct a comprehensive feasibility study.
Since the initial analysis was presented to the board, staff have explored new concerns about
site access and fire safety, which were not addressed in the April board presentation. This
report provides information about site access and fire safety, and options for next steps,
including whether to stop work on this project, proceed with a formal study focused only on
safety issues or proceed with a feasibility study as originally planned.
Explanation & Analysis
The Maerkle Reservoir sits on about 100 acres in northeast Carlsbad. In fiscal year 2015-16, the
CMWD Board approved a project to explore the feasibility of solar energy generation at the
site. If feasible, the project could offset ongoing energy costs for CMWD and the city and
contribute to the city's use of renewable energy sources. However, other, higher priority
projects already underway, as well as disruptions associated with the COVID-19 pandemic,
delayed the feasibility study.
The City Council identified the project as a priority in its 5-Year Strategic Plan in fiscal year 2023,
and staff began the feasibility study process.

The Markle Reservoir Solar Project concept is similar to what is commonly referred to as a solar
farm, so named because these kinds of projects are often built on unused farmland. Similar to
putting solar panels on a building to capture the sun’s energy, solar farms operate at a much
larger scale, with panels arranged on the ground instead of on a building.
Battery energy storage systems are now a necessary component of solar energy generating
systems. These storage systems take solar power generated during the day and discharge the
electricity later, especially from 4 to 9 p.m., when the energy grid is under the most stress.
Another benefit identified by the solar industry is storage during those critical hours when
customers collectively increase electrical use, such as air conditioner use during extreme heat
weather conditions. Energy storage helps reduce the risk of rotating power outages.
The first step was to identify large-scale potential land use issues and other site constraints that
should be considered in a feasibility study. Because the CMWD does not have expertise in
developing large solar projects and there are several city departmental considerations (legal,
environmental, financial), staff hired a consultant to assist in this early work to meet with city
staff and discuss these issues in this early phase. Staff provided an update on this analysis to the
Board of Directors on April 16, 2024.
Staff drafted a formal request for qualifications, which was scheduled to be brought back
before the board for approval at the end of summer 2024. On Sept. 19, 2024, staff informed the
board via memorandum that further analysis was needed before finalizing a request for
proposals. The technical and regulatory environment is evolving quickly, and other issues need
more analysis, including site access, security and fire risk. Staff have now gathered some of this
additional information.

Regulatory environment
Land use regulations related to battery storage facilities have become a topic of increased
interest regionwide since a May 2024 battery facility fire in Chula Vista and a September 2024,
battery facility fire in Escondido. On Sept. 11, 2024, the County Board of Supervisors directed its
staff to begin development of specific development standards for battery storage facilities and
considered an urgency ordinance to put a moratorium in place for new facilities on
unincorporated county land.
The County Board ultimately did not vote to create a moratorium but is moving forward on
development standards for siting battery energy storage system projects in the unincorporated
areas informed by community, industry, and all other relevant stakeholder input as deemed
appropriate.
The County Board specifically requested the standards include the following:
a) Avoid locating battery energy storage system projects in residential areas.
b) Avoid locating battery energy storage system projects near sensitive receptors, such
as schools, day care centers, senior care centers and hospitals.
c) Incentivize locating battery energy storage system projects in commercial and/or
industrial zones.
d) Incentivize battery energy storage system projects that can co-locate with existing
utility facilities, electrical substations, etc., unless located in a residential area.
e) Specific safety requirements for thermal runaway, fire and explosion risks, emergency
response, hazardous materials, toxic gases, and noise.
f) Specific development regulations for setbacks, building height, etc.
g) Specific design standards for aesthetics, community character, lighting, and
landscaping.
h) Consider exemption criteria based on project location, size, and/or other metrics as
deemed appropriate and as consistent with recommendations a – g (above).
This is expected to be considered at the County’s December 11, 2024, meeting.
Additionally, residential community groups are organizing to oppose siting battery storage
facilities near residential communities due to fears associated with lithium battery fires. CMWD
staff have received some concerned inquiries from the neighboring residential communities in
the cities of Oceanside and Vista that border the Maerkle reservoir site.
Site access and fire risk
While site access, security and fire risk were already slated to be evaluated during the feasibility
study, the project team asked Fire Department leaders to conduct a preliminary review before
the district proceeded with a formal study.
According to CalFire, the project site is in a “very high fire hazard severity zone.” This
designation takes into account the topography, likelihood of burning, vegetation density, slope
severity and other factors that contribute to fire severity.

Site access
The Fire Department also identified concerns about gaining access to the site. The site can
currently be reached only by the main access road through the City of Vista via Applewood
Lane. Additional limited access is located along the southwest perimeter of the Maerkle
Reservoir site via Sunny Creek Road. Sunny Creek Road is an unpaved dirt road that traverses
Sunny Creek. In storm events, flooding conditions occur in Sunny Creek, thus making the route
not a viable option and residents periodically are required to exit through the Maerkle reservoir
site. Access in emergency situations is therefore a significant concern.
Options
Due to this new information, staff are providing three options for the board’s consideration:
1. Proceed as planned with a comprehensive feasibility study, including:
• System financing, development and operating models
• System sizing, including energy production and storage capacity
• Energy off-taker/load serving entity the electric service provider to partner with
• Site’s land use constraints (including access and fire safety, surrounding
neighborhood proximity and habitat protection)
• City and regional environmental considerations
• Site’s design considerations
• Electrical grid interconnection
• Potential business models, such as a CMWD-owned and operated project, a power
purchase agreement or a CMWD land lease
Pros
• Fire safety and site access issues would be included in a comprehensive feasibility
study.
• A comprehensive study would identify current or upcoming changes in technology
that could mitigate fire and access concerns.
• If fire and access concerns can be addressed, CMWD would have the information
needed to proceed with the project, if deemed feasible overall.
• The project could provide environmental benefits as well as reduce energy costs for
the city.
• Provides an early community engagement opportunity with surrounding residents
and proponents of clean energy
Cons
• A comprehensive feasibility study is estimated to cost $350,000 and take about 12
months to complete. Staff time is estimated to be 200 hours. If safety issues cannot
be overcome, the project would not be advisable, and the cost of the feasibility
would be lost.
• Regulations and technology will likely continue to change, so a feasibility study could
become dated and need additional analysis in the future.
2. Proceed with further analysis on fire and access issues only.
Pros
• Cost would be much less than a comprehensive feasibility study and require less
time and staff resources to manage.

• Bringing in an outside expert could help identify ways to mitigate concerns.
• If concerns could be overcome, staff could still proceed with a full feasibility study.
Cons
• A narrowed study would only be able to evaluate currently available technology. The
Fire Department staff has already reviewed that option, and they have concerns
about safety.
• An outside review is not likely to reveal new information.
• Even if fire safety and site access could be addressed from a technical standpoint,
community concerns about battery storage facilities have increased following the
Escondido battery storage fire. Significant outreach to the surrounding communities
would be required.
3. Put project on hold until more information is available about land use regulations,
technology and fire risk.
Pros
• Staff could reallocate time to other priorities.
• CMWD owns the land and could revisit the project in the future.
• Would save the cost of a feasibility study.
Cons
• Could potentially mean missing an opportunity due to lack of in-depth knowledge
and experience about solar energy generation and storage.
Fiscal Analysis
To date, the CMWD Board of Directors has allocated $481,000, of which $460,000 remains
available. These funds may be used for consulting services to determine project feasibility and
recommendations. If the project is determined to be feasible, remaining funds may be used to
prepare the request for proposals to develop the project, conduct proposal evaluation and
developer selection and project management.
At this early stage, staff do not have information on potential construction costs or the
potential financial benefits of the project. This information would be available if the board
directs staff to proceed with a comprehensive feasibility study.
Environmental Evaluation
This action does not constitute a project within the meaning of the CEQA under California
Public Resources Code Section 210656 in that it has no potential to cause either direct physical
change in the environment or reasonably foreseeable indirect physical change in the
environment.
The work to develop plans and present conceptual design for consideration by the CMWD
Board does not have a legally binding effect on future discretionary actions to approve the
Project. Public input received and technical information prepared will be used during the
project planning and environmental evaluation process.
Next Steps
City staff will proceed based on the board’s direction:

1. If option one is selected and the board approves a resolution authorizing staff to issue
the request for qualifications, staff will work with city contracting staff to release the
request to solicit interest from solar energy consulting firms to conduct a feasibility
study. This includes an option to advance the professional services to assist staff into the
project development and construction phase. Statements of qualifications would be due
Dec. 20, 2024, as shown in Exhibit 1. Upon review and evaluation, staff expect to return
to the CMWD Board with a list of recommended consultants and a proposed scope of
services to submit formal proposals. At that time, staff will request the CMWD Board’s
authorization for issuance of a request for proposals, which would be expected to be in
early 2025.
2. If option two is selected, staff will return to the board will a request for proposals to
conduct a safety and access assessment and an estimated budget. .
3. If option three is selected, staff will continue to monitor issues related to renewable
energy generation and storage and report back to the board if another potential
opportunity is identified.

REQUEST FOR QUALIFICATIONS
1.GENERAL INFORMATION. The Carlsbad Municipal Water District (CMWD) requests Statements of
Qualifications (SOQ) from experienced solar energy industry consultants to provide professional services
to conduct a feasibility study and to assist the CMWD during the project development, procurement, and
construction phases of the proposed Maerkle Reservoir Solar Project (Project), a solar photovoltaic (PV)
energy generation and battery energy storage system (BESS) at the Maerkle Reservoir site in Carlsbad,
California. The selected Consultant will have experience in the preparation of feasibility studies for solar
PV and BESS and will work directly and collaboratively with CMWD staff to implement this project
expeditiously.
1.1. This Request for Qualifications (RFQ) is the first step in the CMWD procurement process for the
selection of a qualified Consultant for the Project. This step is intended to develop a short-list of
Consultants that are deemed qualified and capable of completing the Project and which will be
invited to participate in a future Request for Proposal for professional services for the Project.
Selection as a short-listed Consultant does not imply CMWD acceptance or approval of specific
personnel or a scope of services, whether or not these items are described in the Consultant's
SOQ. The CMWD will not reimburse Consultants for costs incurred in the preparation, submittal
and participation in the RFQ process. This RFQ does not commit the CMWD to award a contract,
or to procure or contract for work.
1.2. Interested parties shall submit a Statement of Qualifications (SOQ) including their experience and
capabilities in providing the services outlined in this Request for Qualifications (RFQ). The CMWD
will select three firms to subsequently receive a Request for Proposals (RFP) to conduct a
feasibility study for the Project and provide other professional services to be described or
negotiated in the subsequent RFP.
1.3. The selected Consultant will act as an independent consultant and advise the CMWD on the
feasibility of the Project, but will not itself design, construct, or operate the Project. If the CMWD
elects to proceed with a solar development project, the selected consultant will assist the CMWD
to prepare a separate RFP for the procurement of a solar project developer for final engineering
design, construction and operation. The selected Consultant will provide project management
services during project development and construction management services during the
construction and commissioning phases of the Project. The selected Consultant(s) will be
precluded from bidding on or participating in the design, construction and operation of the
Project.
1.4. The Consultant will be selected by a City of Carlsbad/CMWD selection committee and will enter
into a Professional Services Agreement (sample in Attachment C) after negotiating and finalizing
a detailed scope of services and fee.
2.PROJECT DESCRIPTION. The Carlsbad Municipal Water District’s Maerkle Reservoir site is depicted on the
location map (Attachment D) and is identified as a potential site for a solar photovoltaic (PV) energy
generating and battery energy storage system (BESS) facility as Capital Improvement Program Project No.
4722. This Project is envisioned to produce renewable energy, promote energy sustainability and offset
the CMWD’s and the City’s energy costs. The City of Carlsbad’s Climate Action Plan identifies the project’s
potential to achieve renewable energy production goals, and the City’s Five-Year Strategic Plan (2023-
2027) identifies this Project as a city priority. To determine the Project’s feasibility, define its scope, and

evaluate potential development and operational models, the CMWD is seeking a team of solar industry
experts to provide a phased scope of professional services.
As the technology for solar power generation and storage systems continues to evolve rapidly, the viability
of the project and the benefits to the CMWD require further analysis by solar industry experts.
The Maerkle Reservoir site occupies 56 acres of undeveloped land in northeast Carlsbad, bordering the
cities of Vista and Oceanside. CMWD has identified approximately 35 acres of usable land for Project
development. The Consultant will prepare a feasibility study which will evaluate all relevant factors
associated with solar project development and will include, but not be limited to, the following:
1.The Maerkle Reservoir site topography is varied with rolling hills and two predominant drainages that
combine at the western property boundary. Site access is achieved via Applewood Lane in Vista,
California. Setbacks from property boundaries and CMWD pipelines and water storage facilities will
be required. The Project’s site design should consider alternatives to maximize renewable energy
generation and storage which may include significant site grading; or to preserve, in whole or in part,
the existing landforms and reduce the scale of solar PV and BESS facilities. The feasibility study will
evaluate grading concepts and recommend improvements for lighting and security, paving or road
surfacing, drainage, and landscaping. The recommended site design will maintain access to CMWD
facilities and to provide access to the PV and BESS facilities.
2.The feasibility study will identify all potential environmental impacts that could result from the
proposed construction at the site and on the surrounding neighborhoods and recommend an
environmental compliance approach. Potential environmental impacts will be evaluated in
accordance with California Environmental Quality Act guidelines and the City of Carlsbad’s Habitat
Management Plan and 2017 Tribal, Cultural, and Paleontological Resources Guidelines and will require
close coordination with the City’s Community Development Department and adjacent cities during
the environmental review and permitting process.
3.SDGE owns and operates the energy transmission and distribution facilities in Carlsbad.
Interconnection of a PV and BESS project to the SDGE power grid will be evaluated by the selected
Consultant in coordination with SDGE and compliance with all applicable standards and regulations.
The feasibility study will identify the recommended solar PV, BSS, and interconnection facilities and
their costs; and the required permitting and approvals from SDG&E and other relevant regulatory
agencies.
4.The solar project development and operational models shall consider a power purchase agreement
(PPA) and a CMWD land lease. Other potential project development and operational models shall be
considered and/or recommended if deemed viable and in the best interests of CMWD, its customers,
and the City of Carlsbad. The selected Consultant shall have experience in PPA negotiations and will
advise CMWD on opportunities to offset its energy demands and maximize revenue and/or renewable
energy credits via a fiscal analysis of CMWD energy demands and the proposed generation capacity
over the life of the Project. CMWD cannot legally sell the energy it produces to ratepayers, but it can
sell to a qualified load-serving entity (e.g., the Clean Energy Alliance (CEA) or SDG&E). The selected
Consultant will evaluate all relevant factors and identify potential load-serving entities and energy
tariffs for the off-taking of excess energy produced by the Project.

5.Existing easements will need to be quitclaimed or vacated. The selected Consultant shall have
experience in the preparation and filing of quitclaim documents.

INSTRUCTION TO PROPOSERS AND GENERAL CONDITIONS
1.ELECTRONIC FORMAT RECEIPT AND OPENING OF SOQS. SOQs will be received in electronic format
(eBids) EXCLUSIVELY at the City of Carlsbad’s electronic bidding (eBidding) site at:
http://www.carlsbadca.gov/services/depts/finance/contracting/bids.asp and are due by the date and
time shown on the cover of this solicitation.
1.1. PROPOSERS MUST BE PRE-REGISTERED with the City’s bidding system and possess a system-
assigned Digital ID in order to submit and electronic proposal.
The City’s proposal/electronic bidding (eBidding) system will automatically track information
submitted to the site including IP addresses, browsers being used and the URLs from which
information was submitted. In addition, the City’s bidding system will keep a history of every login
instance including the time of login, and other information about the user's computer
configuration such as the operating system, browser type, version, and more. Because of these
security features, Proposers who disable their browsers’ cookies will not be able to log in and use
the City’s bidding system.
Upon entry of their proposal, the system will ensure that all required fields are entered. The
system will not accept a SOQ for which any required information is missing. This includes all
essential documentation and supporting materials and forms requested or contained in these
solicitation documents.
1.2. SOQS REMAIN SEALED UNTIL DUE DATE AND TIME. eBids and eProposal’s are transmitted into
the City’s bidding system via hypertext transfer protocol secure (https) mechanism using SSL 128-
256-bit security certificates issued from Verisign/Thawte which encrypts data being transferred
from client to server. SOQs submitted prior to the Due Date and Time are not available for review
by anyone other than the submitter, who will have until the Due Date and Time to change, rescind
or retrieve its SOQ should they desire to do so.
1.3. SOQS MUST BE SUBMITTED BY DUE DATE AND TIME. Once the deadline is reached, no further
submissions are accepted into the system. Once the Due Date and Time has passed, bidders,
proposers, the general public, and City staff are able to immediately see the results online. City
staff may then begin reviewing the submissions for responsiveness, compliance and other issues.
1.4. SOQS MAY BE WITHDRAWN by the Proposer prior to, but not after, the time set as Due Date and
Time.
1.4.1. Important Note: Submission of the electronic SOQ into the system may not be
instantaneous. Due to the speed and capabilities of the user’s internet service provider
(ISP), bandwidth, computer hardware and other variables, it may take time for the
proposer’s submission to upload and be received by the City’s eBidding system. It is the
proposer’s sole responsibility to ensure their SOQs are received on time by the City’s
eBidding system. The City of Carlsbad is not responsible for SOQs that do not arrive by
the Due Date and Time.
2.ELECTRONIC SUBMISSIONS CARRY FULL FORCE AND EFFECT. The Proposer, by submitting their electronic
proposal, agrees to and certifies under penalty of perjury under the laws of the State of California, that

the certification, forms and affidavits submitted as part of this proposal are true and correct.
3.SOQS ARE PUBLIC RECORDS. Upon receipt by the City, SOQs shall become public records subject to public
disclosure. It is the responsibility of the Proposer to clearly identify any confidential, proprietary, trade
secret or otherwise legally privileged information contained within the proposal’s General references to
sections of the California Public Records Act (PRA) will not suffice. If the Proposer does not provide
applicable case law that clearly establishes that the requested information is exempt from the disclosure
requirements of the PRA, the City shall be free to release the information when required in accordance
with the PRA, pursuant to any other applicable law, or by order of any court or government agency, and
the Proposer agrees to hold the City harmless for any such release of this information.
4.PRE-PROPOSAL ACTIVITIES
4.1. Review Standard Consultant Agreement
4.1.1. A sample copy of the standard consultant agreement is attached for your review. Please
do not respond to this RFQ if you cannot agree to all terms of the agreement. CMWD will
not change or modify the hold harmless and liability clauses included in the agreement.
4.1.2. Consultant shall be required to comply with all requirements as stipulated in Attachment
C, Professional Services Agreement, including the following:
•Compliance with prevailing wage law (as necessary) – Section 6
•Compliance with insurance requirements – Section 12.
•Current City Business License – Section 13.
5.REQUIRED EXPERIENCE. The Consultant will have a proven track record of experience in evaluating and
managing solar PV and BESS projects. In the first phase, the Consultant will evaluate the economic
feasibility of a solar PV and BESS project at the Maerkle Reservoir site and recommend a project delivery
method for the subsequent design, permitting, construction and operation of the Project.
The Consultant’s SOQ should demonstrate the experience and capabilities to provide these services.
5.1 Feasibility Study
•Develop site and project development alternatives and evaluate physical and economic
feasibility of each alternative, including best available solar generation and storage
technology.
•Evaluate potential interconnection options and facilities, life-cycle costs for the solar PV and
BESS, and assessment of interconnection approval by SDG&E and expected timeline.
•Identify and evaluate regulatory and environmental permitting requirements and costs to
obtain necessary permits and licenses.
•Develop a financial model to include the estimated operational and maintenance costs and
any debt service.
•Estimate monthly production of energy delivered to the electric grid that accounts for any
site-specific attributes that would affect onsite generation.
•Provide a detailed report including a summary of all findings and recommendations supported
by research and analysis efforts.
•Provide presentations and workshops with CMWD staff and CMWD Board meetings.

5.2 Project Development
If the project is deemed feasible at the direction of the CMWD Board, the Consultant will provide
the following services:
•Prepare a Request for Proposals for procurement of a solar project developer to perform
engineering design, permitting, construction, operation and maintenance of the Project.
•Assist CMWD staff in the selection of a solar project developer and contract negotiations.
•Conduct project meetings with solar project developer and prepare meeting minutes.
•Assist CMWD and city staff with community engagement and public outreach.
•Review project schedules, engineering plans, specifications, and cost estimates prepared by
solar project developer.
•Provide engineering services during the project development, bidding and construction
phases of the project. Review construction schedules, RFIs, and project submittals.
The Consultant’s scope of services during this phase will be negotiated following the award of a
contract to the solar project developer. The requested services are expected to be inclusive through
commissioning of the Project.
5.3 Operation and Maintenance
•Review and approve operations and maintenance plans and warranties.
•Oversee testing, startup and commissioning of the system
6.QUALIFICATION CONTENT REQUIREMENTS. SOQs are to be no more than 30 pages excluding the cover,
cover letter, and team member’s resumes. Agreement to CMWD’s standard contract terms and conditions
should be included as part of the submittal. Carefully review the sample Professional Service Agreement
and Insurance Requirements (Attachment C). The terms of the agreement, including insurance
requirements, have been mandated by the City. Please do not respond to this request if you cannot agree
to all terms of the CMWD contract example provided for reference. The Statement of Qualification (SOQ)
package shall include the following items for review and scoring by the project selection committee:
6.1 Cover Letter - Provide a letter of transmittal signed by an individual authorized to bind the lead entity
stating the firm has read and will comply with all terms and conditions of the RFQ. The following
contents shall also be included:
6.1.1 A brief description of the firm leading the project including the size of the organization,
location of office, years in business, principal parties and project manager who will lead
project.
6.1.2 Brief description of team’s experience in the design of solar PV energy generation and
battery storage projects.
6.1.3 A statement regarding the experience and qualifications of the Consultant’s project
manager and other key staff and the ability and commitment to dedicate expertise and
resources to this project.
6.2 Project Understanding and Approach – Provide a summary of your understanding of the project
and desired tasks. Include a detailed summary of your team’s structure, including internal and

sub-consultant teams, assembled for the project and distribution of assignments. Include
qualifications, prior experience and ability to perform the services as they relate to the required
experience.
6.3 Project Team – Provide a detailed introduction of the project manager that is proposed to lead
the project. The project manager shall be responsible for coordinating all services to be provided
by the firm for the project. Include a summary of education, experience, certifications and area
of expertise. Names and qualifications of other key individuals on the team, such as the project
managers of subconsultants or task leads, and their respective roles are to be provided in this
section. Resumes for team members are to be included in an appendix and will not be counted
against the page limit.
6.4 Reference Projects – Provide three (3) reference projects that were led by the firm’s proposed
project manager. These reference projects should be similar in scope and size as described in this
RFQ. Provide a brief project description and dates, and clearly define the project manager’s role
in the project. Provide contact information for each reference project that includes the agency
name, address, and client contact information. The selection committee will validate stated
experience by contacting these client references.
6.6 Additional Information - The city has outlined the requirements of this RFQ in as much detail as
is currently known. Consultants are encouraged to add any relevant information not requested or
identified in this RFQ to demonstrate their experience and capabilities, but the information should
be in addition to, not instead of, the requested information and format.
6.7 Appendix (include the following documents at the end of SOQ)
6.7.1. A complete resume for each project team member.

(SF 330) - Complete a GSA SF 330, which must be included with each SOQ. Please follow the
instructions and follow these additional guidelines:
•If the SF 330 is duplicated and the duplication is incomplete or does not conform to the
standard forms, the consultant firm’s submittal may be deemed non-responsive.
•Firms not providing all required attachments may be deemed nonresponsive.
•Due to the volume of RFQ's expected brochures, additional exhibits, charts or displays,
etc. are prohibited and may cause the SOQ to be deemed nonresponsive.
•Project photos will be acceptable, however no more than one page of project photos per
example project may be included in the SF 330.
•Include Section D, “Project Organization Chart” in the SF 330. Place Section D directly after
Section C in the SF 330.
•Each resume in Section E may not exceed one (1) page.
•List no more than five (5) projects per resume in Section E.
•If the consultant has multiple branch offices, list personnel’s office locations in Section E.

County, the staffing of the San Diego office must clearly be indicated separately from the
firm’s total staffing. The office location of all personnel profiled in Section E of the SF 330
must be clearly indicated within Section E.
•Include Professional Registration Numbers, (see Section E – Resumes, No. 17), when
necessary.
•A Project description (see Section F).
•Provide no more than ten (10) example projects (see Section F); including any
subconsultant projects per discipline. One or more of these ten (10) projects, or other
projects, may be included in the required three (3) example project summaries.
•Credit for a project belongs to the firm. For example, if Firms A and B each contributed
expertise to the same Project Z, each may list the project in Section F of their SF 330. If
Firm A was the prime consultant and Firm B was a subconsultant, each lists their specific
role. In the case of a Joint Venture, both firms may be listed as prime consultants. However,
suppose there is a firm, Firm C, which was never involved in Project Z, but employs an
Engineer Q who was the senior engineer for Firm A during the design of Project Z. Firm C
may list Project Z on Engineer Q’s resumé (Section E) as project experience. Firm C may
not list Project Z as an example project in Firm C’s Section F of the SF 330.
•Section H – Additional Information; shall not exceed five (5) pages. The inclusion of
greater than five pages may cause the SOQ to be deemed nonresponsive.
•In Part II, CMWD requires Branch office information. Branch office information is mandatory.
•The Consultant must include a separate Part II for each Branch office that is part of the SF
330.
•Do not include Part II information from Subconsultants.
•Do not include separate SF 330s from Subconsultants.
•Joint Venture Agreement. If applying as a joint venture, a copy of the Joint Venture
Agreement must be included.
7.SELECTION PROCEDURE
SOQ packages will be reviewed and ranked by a City/CMWD selection committee. The ranking will be
based on the contents listed in the previous sections, as well as additional relevant information, clarity
and neatness.
After discussion and ranking by the selection committee, three firms will be selected to prepare a
complete proposal including a detailed scope of services and fee. In the event that the scope of services
and fee cannot be agreed upon with the firm, CMWD will terminate negotiations and enter into
negotiations with the next highest-ranking firm.
Please note that CMWD reserves the right to take any or no action based on responses to this RFQ,
including the acceptance or rejection of any or all SOQs and may or may not elect to proceed with the
issuance of an RFP.
The City of Carlsbad/Carlsbad Municipal Water District reserves the right to retain all SOQs and to use any
ideas in the SOQ. There is no expressed or implied obligation for the city to reimburse responding firms
for any expenses incurred in preparing the SOQ. Submittals (including accompanying materials) will
become the property of the city. Submittals will be held in confidence to the extent permitted by law.

A Proposer is eligible for award of service contracts by the city so long as the contract in question does
not create an actual, potential, or apparent financial or organizational conflict of interest. A prohibited
organizational conflict of interest exists when a Proposer is or may be unable to render impartial, objective
assistance or advice to the city of Carlsbad or where a proposer would receive an unfair competitive
advantage. Proposers that have a conflict of interest due to performing work for the city are ineligible to
submit their SOQ. A process for determining whether a Proposer has a conflict is set forth in the Carlsbad
Municipal Code Section 1.14. Ineligible firms may include the prime Proposer, its subcontractors, and
affiliates of either. An affiliate is a firm that is subject to the control of the same persons through joint
ownership or otherwise.

THIS AGREEMENT is made and entered into as of the ______________ day of
___________________, 20___, by and between the Carlsbad Municipal Water District, a Public Agency
organized under the Municipal Water Act of 1911, and a Subsidiary District of the City of Carlsbad,
California, ("CMWD"), and ______________________, a ______________, ("Contractor").
RECITALS
A. CMWD requires the professional services of a consultant that is experienced in
__________________________.
B. Contractor has the necessary experience in providing professional services and advice
related to _________________________.
C. Contractor has submitted a proposal to CMWD and has affirmed its willingness and ability
to perform such work.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein,
CMWD and Contractor agree as follows:
1. SCOPE OF WORK
CMWD retains Contractor to perform, and Contractor agrees to render, those services (the "Services")
that are defined in attached Exhibit "A", which is incorporated by this reference in accordance with this
Agreement’s terms and conditions.
2. STANDARD OF PERFORMANCE
While performing the Services, Contractor will exercise the reasonable professional care and skill
customarily exercised by reputable members of Contractor's profession practicing in the Metropolitan
Southern California area and will use reasonable diligence and best judgment while exercising its
professional skill and expertise.
3. TERM
The term of this Agreement will be effective for a period of ________ (_____)(s) year from the date first
above written. The Executive Manager may amend the Agreement to extend it for __________
(___________) additional __________ (________) year(s) periods or parts thereof. Extensions will be
based upon a satisfactory review of Contractor's performance, CMWD needs, and appropriation of funds

Time is of the essence for each and every provision of this Agreement.
5. COMPENSATION

6. PUBLIC WORKS
6.1 Prevailing Wage Rates
Any construction, alteration, demolition, repair, and maintenance work, including work performed during
design and preconstruction such as inspection and land surveying work, cumulatively exceeding $1,000
and performed under this Agreement constitute “public works” under California Labor Code section 1720
et seq. and are subject to state prevailing wage laws. The general prevailing rate of wages, for each craft
or type of worker needed to execute the contract, shall be those as determined by the Director of
Industrial Relations pursuant to the Section 1770, 1773 and 1773.1 of the California Labor Code. Pursuant
to Section 1773.2 of the California Labor code, a current copy of applicable wage rates is on file in the
office of the City Engineer. Contractor shall not pay less than the said specified prevailing rates of wages
to all such workers employed by him or her in the execution of the Agreement. Contractor and any
subcontractors shall comply with Section 1776 of the California Labor Code, which generally requires
keeping accurate payroll records, verifying and certifying payroll records, and making them available for
inspection. Contractor shall require any subcontractors to comply with Section 1776.
6.2 DIR Registration. California Labor Code section 1725.5 requires the Contractor and any
subcontractor or subconsultant performing any public work under this Agreement to be currently
registered with the California Department of Industrial Relations (DIR), as specified in Labor Code section
1725.5. Labor Code section 1771.1 provides that a contractor or subcontractor/subconsultant shall not be
qualified to engage in the performance of any contract for public work, unless currently registered and
qualified to perform public work pursuant to Labor Code section 1725.5. Prior to the performance of
public work by any subcontractor or subconsultant under this Agreement, Contractor must furnish CMWD
with the subcontractor or subconsultant's current DIR registration number.
7. CONSTRUCTION MANAGEMENT SOFTWARE
Procore Project Management and Collaboration System. This project may utilize the Owner’s Procore
(www.procore.com) online project management and document control platform. The intent of utilizing
Procore is to reduce cost and schedule risk, improve quality and safety, and maintain a healthy team
dynamic by improving information flow, reducing non-productive activities, reducing rework and
decreasing turnaround times. The Contractor is required to create a free web-based Procore user
account(s) and utilize web-based training / tutorials (as needed) to become familiar with the system.
Unless the Engineer approves otherwise, the Contractor shall process all project documents through
Procore because this platform will be used to submit, track, distribute and collaborate on project. If
unfamiliar or not otherwise trained with Procore, Contractor and applicable team members shall
complete a free training certification course located at http://learn.procore.com/procore-certification-
subcontractor. The Contractor is responsible for attaining their own Procore support, as needed, either
through the online training or reaching out to the Procore support team. It will be the responsibility of the
Contractor to regularly check Procore and review updated documents as they are added. There will be no
cost to the Contractor for use of Procore.

installed to at least one on-site individual to provide real-time access to current posted drawings,
specifications, RFIs, submittals, schedules, change orders, project documents, as well as any deficient
observations or punch list items. Providing mobile access will improve communication, efficiency, and
productivity for all parties. The use of Procore for project management does not relieve the contractor of
any other requirements as may be specified in the contract documents.
8. STATUS OF CONTRACTOR
Contractor will perform the Services in Contractor's own way as an independent contractor and in pursuit
of Contractor's independent calling, and not as an employee of CMWD. Contractor will be under control
of CMWD only as to the result to be accomplished but will consult with CMWD as necessary. The persons
used by Contractor to provide services under this Agreement will not be considered employees of CMWD
for any purposes.
The payment made to Contractor pursuant to the Agreement will be the full and complete compensation
to which Contractor is entitled. CMWD will not make any federal or state tax withholdings on behalf of
Contractor or its agents, employees or subcontractors. CMWD will not be required to pay any workers'
compensation insurance or unemployment contributions on behalf of Contractor or its employees or
subcontractors. Contractor agrees to indemnify CMWD and the City of Carlsbad within thirty (30) days for
any tax, retirement contribution, social security, overtime payment, unemployment payment or workers'
compensation payment which CMWD may be required to make on behalf of Contractor or any agent,
employee, or subcontractor of Contractor for work done under this Agreement. At CMWD’s election,
CMWD may deduct the indemnification amount from any balance owing to Contractor.
9. SUBCONTRACTING
Contractor will not subcontract any portion of the Services without prior written approval of CMWD. If
Contractor subcontracts any of the Services, Contractor will be fully responsible to CMWD for the acts and
omissions of Contractor's subcontractor and of the persons either directly or indirectly employed by the
subcontractor, as Contractor is for the acts and omissions of persons directly employed by Contractor.
Nothing contained in this Agreement will create any contractual relationship between any subcontractor
of Contractor and CMWD. Contractor will be responsible for payment of subcontractors. Contractor will
bind every subcontractor and every subcontractor of a subcontractor by the terms of this Agreement
applicable to Contractor's work unless specifically noted to the contrary in the subcontract and approved
in writing by CMWD.
10. OTHER CONTRACTORS
CMWD reserves the right to employ other Contractors in connection with the Services.
11. INDEMNIFICATION
Contractor agrees to defend (with counsel approved by CMWD), indemnify and hold harmless CMWD and
the City of Carlsbad and its officers, elected and appointed officials, employees and volunteers from and
against all claims, damages, losses and expenses including attorneys fees arising out of the performance
of the work described herein caused by any willful misconduct or negligent act or omission of the
Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose
acts any of them may be liable.
If Contractor’s obligation to defend, indemnify, and/or hold harmless arises out of Contractor’s
performance as a “design professional” (as that term is defined under Civil Code section 2782.8), then,

and only to the extent required by Civil Code Section 2782.8, which is fully incorporated herein,
Contractor’s indemnification obligation shall be limited to claims that arise out of, pertain to, or relate to
the negligence, recklessness, or willful misconduct of the Contractor, and, upon Contractor obtaining a
final adjudication by a court of competent jurisdiction. Contractor’s liability for such claim, including the
cost to defend, shall not exceed the Contractor’s proportionate percentage of fault.
The parties expressly agree that any payment, attorney’s fee, costs or expense CMWD or the City of
Carlsbad incurs or makes to or on behalf of an injured employee under CMWD’s self-administered
workers’ compensation is included as a loss, expense or cost for the purposes of this section, and that this
section will survive the expiration or early termination of this Agreement.
12. INSURANCE
Contractor will obtain and maintain for the duration of the Agreement and any and all amendments,
insurance against claims for injuries to persons or damage to property which may arise out of or in
connection with performance of the services by Contractor or Contractor’s agents, representatives,
employees or subcontractors. The insurance will be obtained from an insurance carrier admitted and
authorized to do business in the State of California. The insurance carrier is required to have a current
Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California’s List of
Approved Surplus Line Insurers (LASLI) with a rating in the latest Best’s Key Rating Guide of at least “A:X”;
OR an alien non-admitted insurer listed by the National Association of Insurance Commissioners (NAIC)
latest quarterly listings report.
12.1 Coverages and Limits. Contractor will maintain the types of coverages and minimum limits
indicated below, unless the Risk Manager or Executive Manager approves a lower amount. These
minimum amounts of coverage will not constitute any limitations or cap on Contractor's indemnification
obligations under this Agreement. CMWD, its officers, agents and employees make no representation that
the limits of the insurance specified to be carried by Contractor pursuant to this Agreement are adequate
to protect Contractor. If Contractor believes that any required insurance coverage is inadequate,
Contractor will obtain such additional insurance coverage, as Contractor deems adequate, at Contractor's
sole expense. The full limits available to the named insured shall also be available and applicable to CMWD
as an additional insured.
12.1.1 Commercial General Liability (CGL) Insurance. Insurance written on an “occurrence”
basis, including personal & advertising injury, with limits no less than $2,000,000 per occurrence. If a
general aggregate limit applies, either the general aggregate limit shall apply separately to this
project/location or the general aggregate limit shall be twice the required occurrence limit.
12.1.2 Automobile Liability. (if the use of an automobile is involved for Contractor's work
for CMWD). $2,000,000 combined single-limit per accident for bodily injury and property damage.
12.1.3 Workers' Compensation and Employer's Liability. Workers' Compensation limits as
required by the California Labor Code. Workers' Compensation will not be required if Contractor has no
employees and provides, to CMWD's satisfaction, a declaration stating this.
12.1.4 Professional Liability. Errors and omissions liability appropriate to Contractor’s
profession with limits of not less than $1,000,000 per claim. Coverage must be maintained for a period of
five years following the date of completion of the work.

12.2. Additional Provisions. Contractor will ensure that the policies of insurance required under this
Agreement contain, or are endorsed to contain, the following provisions:
12.2.1 CMWD will be named as an additional insured on Commercial General Liability
which shall provide primary coverage to CMWD.
12.2.2 Contractor will obtain occurrence coverage, excluding Professional Liability, which
will be written as claims-made coverage.
12.2.3 If Contractor maintains higher limits than the minimums shown above, the City
requires and will be entitled to coverage for the higher limits maintained by Contractor. Any available
insurance proceeds in excess of the specified minimum limits of insurance and coverage will be available
to the City.”
12.2.4 This insurance will be in force during the life of the Agreement and any extensions
of it and will not be canceled without thirty (30) days prior written notice to CMWD sent by certified mail
pursuant to the Notice provisions of this Agreement.
12.3 Providing Certificates of Insurance and Endorsements. Prior to CMWD's execution of this
Agreement, Contractor will furnish certificates of insurance and endorsements to CMWD.
12.4 Failure to Maintain Coverage. If Contractor fails to maintain any of these insurance coverages,
then CMWD will have the option to declare Contractor in breach or may purchase replacement insurance
or pay the premiums that are due on existing policies in order to maintain the required coverages.
Contractor is responsible for any payments made by CMWD to obtain or maintain insurance and CMWD
may collect these payments from Contractor or deduct the amount paid from any sums due Contractor
under this Agreement.
12.5 Submission of Insurance Policies. CMWD reserves the right to require, at anytime, complete and
certified copies of any or all required insurance policies and endorsements.
13. BUSINESS LICENSE
Contractor will obtain and maintain a City of Carlsbad Business License for the term of the Agreement, as
may be amended from time-to-time.
14. ACCOUNTING RECORDS
Contractor will maintain complete and accurate records with respect to costs incurred under this
Agreement. All records will be clearly identifiable. Contractor will allow a representative of CMWD during
normal business hours to examine, audit, and make transcripts or copies of records and any other
documents created pursuant to this Agreement. Contractor will allow inspection of all work, data,
documents, proceedings, and activities related to the Agreement for a period of four (4) years from the
date of final payment under this Agreement.
15. OWNERSHIP OF DOCUMENTS
All work product produced by Contractor or its agents, employees, and subcontractors pursuant to this
Agreement is the property of CMWD. In the event this Agreement is terminated, all work product
produced by Contractor or its agents, employees and subcontractors pursuant to this Agreement will be

delivered at once to CMWD. Contractor will have the right to make one (1) copy of the work product for
Contractor’s records.
16. COPYRIGHTS
Contractor agrees that all copyrights that arise from the services will be vested in CMWD and Contractor
relinquishes all claims to the copyrights in favor of CMWD.
17. NOTICES
The name of the persons who are authorized to give written notices or to receive written notice on behalf
of CMWD and on behalf of Contractor under this Agreement.

20. CALIFORNIA AIR RESOURCES BOARD (CARB) ADVANCED CLEAN FLEETS REGULATIONS
Contractor’s vehicles with a gross vehicle weight rating greater than 8,500 lbs. and light-duty package
delivery vehicles operated in California may be subject to the California Air Resources Board (CARB)
Advanced Clean Fleets regulations. Such vehicles may therefore be subject to requirements to reduce

21. DISCRIMINATION AND HARASSMENT PROHIBITED
Contractor will comply with all applicable local, state and federal laws and regulations prohibiting
discrimination and harassment.
22. DISPUTE RESOLUTION
If a dispute should arise regarding the performance of the Services the following procedure will be used
to resolve any questions of fact or interpretation not otherwise settled by agreement between the parties.
Representatives of Contractor or CMWD will reduce such questions, and their respective views, to writing.
A copy of such documented dispute will be forwarded to both parties involved along with recommended
methods of resolution, which would be of benefit to both parties. The representative receiving the letter
will reply to the letter along with a recommended method of resolution within ten (10) business days. If
the resolution thus obtained is unsatisfactory to the aggrieved party, a letter outlining the disputes will
be forwarded to the Executive Manager. The Executive Manager will consider the facts and solutions
recommended by each party and may then opt to direct a solution to the problem. In such cases, the
action of the Executive Manager will be binding upon the parties involved, although nothing in this
procedure will prohibit the parties from seeking remedies available to them at law.
23. TERMINATION
In the event of the Contractor's failure to prosecute, deliver, or perform the Services, CMWD may
terminate this Agreement for nonperformance by notifying Contractor by certified mail of the
termination. If CMWD decides to abandon or indefinitely postpone the work or services contemplated by
this Agreement, CMWD may terminate this Agreement upon written notice to Contractor. Upon
notification of termination, Contractor has five (5) business days to deliver any documents owned by
CMWD and all work in progress to CMWD address contained in this Agreement. CMWD will make a
determination of fact based upon the work product delivered to CMWD and of the percentage of work
that Contractor has performed which is usable and of worth to CMWD in having the Agreement
completed. Based upon that finding CMWD will determine the final payment of the Agreement.
CMWD may terminate this Agreement by tendering thirty (30) days written notice to Contractor.
Contractor may terminate this Agreement by tendering ____________ (______) days written notice to
CMWD. In the event of termination of this Agreement by either party and upon request of CMWD,
Contractor will assemble the work product and put it in order for proper filing and closing and deliver it
to CMWD. Contractor will be paid for work performed to the termination date; however, the total will not

24. COVENANTS AGAINST CONTINGENT FEES
Contractor warrants that Contractor has not employed or retained any company or person, other than a
bona fide employee working for Contractor, to solicit or secure this Agreement, and that Contractor has
not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission,
percentage, brokerage fee, gift, or any other consideration contingent upon, or resulting from, the award
or making of this Agreement. For breach or violation of this warranty, CMWD will have the right to annul
this Agreement without liability, or, in its discretion, to deduct from the Agreement price or consideration,
or otherwise recover, the full amount of the fee, commission, percentage, brokerage fees, gift, or
contingent fee.
25. CLAIMS AND LAWSUITS
By signing this Agreement, Contractor agrees that any agreement claim submitted to CMWD must be
asserted as part of the agreement process as set forth in this Agreement and not in anticipation of
litigation or in conjunction with litigation. Contractor acknowledges that if a false claim is submitted to
CMWD, it may be considered fraud and Contractor may be subject to criminal prosecution. Contractor
acknowledges that California Government Code sections 12650 et seq., the False Claims Act applies to this
Agreement and, provides for civil penalties where a person knowingly submits a false claim to a public
entity. These provisions include false claims made with deliberate ignorance of the false information or in
reckless disregard of the truth or falsity of information. If CMWD seeks to recover penalties pursuant to
the False Claims Act, it is entitled to recover its litigation costs, including attorney's fees. Contractor
acknowledges that the filing of a false claim may subject Contractor to an administrative debarment
proceeding as the result of which Contractor may be prevented to act as a Contractor on any public work
or improvement for a period of up to five (5) years. Contractor acknowledges debarment by another
jurisdiction is grounds for CMWD to terminate this Agreement.
26. JURISDICTION AND VENUE
This Agreement shall be interpreted in accordance with the laws of the State of California. Any action at
law or in equity brought by either of the parties for the purpose of enforcing a right or rights provided for
by this Agreement will be tried in a court of competent jurisdiction in the County of San Diego, State of
California, and the parties waive all provisions of law providing for a change of venue in these proceedings
to any other county.
27. SUCCESSORS AND ASSIGNS
It is mutually understood and agreed that this Agreement will be binding upon CMWD and Contractor and
their respective successors. Neither this Agreement nor any part of it nor any monies due or to become
due under it may be assigned by Contractor without the prior consent of CMWD, which shall not be
unreasonably withheld.
28. THIRD PARTY RIGHTS
Nothing in this Agreement should be construed to give any rights or benefits to any party other than the
City and Contractor.
29. ENTIRE AGREEMENT
This Agreement, together with any other written document referred to or contemplated by it, along with
the purchase order for this Agreement and its provisions, embody the entire Agreement and
understanding between the parties relating to the subject matter of it. In case of conflict, the terms of the
Agreement supersede the purchase order. Neither this Agreement nor any of its provisions may be

PURPOSE Federal agencies use this form to obtain information from architect-engineer (A-E) firms about their professional qualifications. Federal agencies select firms for A-E contracts on the basis of professional qualifications as required by 40 U.S.C. chapter 11, Selection of Architects Engineers, and Part 36 of the Federal Acquisition Regulation (FAR). The Selection of Architects and Engineers statute requires the public announcement of requirements for A-E services (with some exceptions provided by other statutes), and the selection of at least three of the most highly qualified firms based on demonstrated competence and professional qualifications according to specific criteria published in the announcement. The Act then requires the negotiation of a contract at a fair and reasonable price starting first with the most highly qualified firm. The information used to evaluate firms is from this form and other sources, including performance evaluations, any additional data requested by the agency, and interviews with the most highly qualified firms and their references.
GENERAL INSTRUCTIONS
Part I presents the qualifications for a specific contract.
Part II presents the general qualifications of a firm or a specific branch office of a firm. Part II has two uses:
1. An A-E firm may submit Part II to the appropriate central, regional or local office of each Federal agency to be kept on file. A public announcement is not required for certain contracts, and agencies may use Part II as a basis for selecting at least three of the most highly qualified firms for discussions prior to requesting submission of Part I. Firms are encouraged to update Part II on file with agency offices, as appropriate, according to FAR Part 36. If a firm has branch offices, submit a separate Part II for each branch office seeking work.
2. Prepare a separate Part II for each firm that will be part of the team proposed for a specific contract and submitted with Part I. If a firm has branch offices, submit a separate Part II for each branch office that has a key role on the team.
INDIVIDUAL AGENCY INSTRUCTIONS
Individual agencies may supplement these instructions. For
example, they may limit the number of projects or number of
pages submitted in Part I in response to a public announcement
for a particular project. Carefully comply with any agency

Architect-Engineer Services: Defined in FAR 2.101.

Dear Carlsbad City Council,
I wrote you last week requesting that you build solar canopies over
city owned parking lots to help reduce the perceived need to build
remote, utility-scale solar farms in the fragile and biodiverse deserts
of East County, as well as the need to build a $2.3 billion dollar, 130
mile long, 500 KV transmission line that will scar the countryside
between our two cities. Thank you for moving forward with solar
canopies.
I understand a proposed solar project at Carlsbad's Maerkle Reservoir
is on November 19th's agenda. On behalf of the Tubb Canyon Desert
Conservancy, based in Borrego Springs, I again ask for your
leadership to proceed as planned with a comprehensive feasibility
study for the Maerkle Reservoir project.
I understand battery storage fire is a major concern for this project,
and that this concern would be addressed during the feasibility study.
Fire is also a major concern for us in East County, particularly if the
proposed 130 mile long "Imperial Valley to North of
SONGS" transmission line is built to transmit electricity generated in
the East County to residents along the coast.

We are all better served if electricity generation is done as close as
possible to where it's actually used.
