CS-490 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, AMENDING CARLSBAD MUNICIPAL CODE CHAPTER 2.15, SECTION 2.15.050(B), AND ADDING CHAPTER 2.43, TO ESTABLISH THE INVESTMENT REVIEW BOARD WHEREAS, the City Council established the Investment Review Committee in 2007 through amendments to the city’s Investment Policy; and WHEREAS, the Investment Review Committee currently has five voting members: City Treasurer, Intergovernmental Affairs Director as the City Manager’s designee, Assistant City Attorney as the City Attorney’s designee, Deputy City Manager of Administrative Services and Finance Director; and WHEREAS, the City Council desires to reform the Investment Review Committee as the Investment Review Board, with resident members who are not employed by the city and are appointed by the City Treasurer with City Council approval. NOW, THEREFORE, the City Council of the City of Carlsbad, California, ordains as follows: 1. The above recitations are true and correct. 2. That amending Carlsbad Municipal Code Chapter 2.15, Section 2.15.050(B), and adding Chapter 2.43 to establish the Investment Review Board is exempt from environmental review under CEQA Guidelines Sections 15061(b)(3) and 15378(b)(5) as it can be seen with certainty that there is no possibility the amendment may have a significant effect on the environment. 3. That Carlsbad Municipal Code Chapter 2.15, Section 2.15.050(B), is amended to read as follows: CHAPTER 2.15 BOARDS AND COMMISSIONS 2.15.050 Appointments. B. Appointments to the Investment Review Board shall be made by the City Treasurer with the approval of the City Council. Appointments to all other city boards and commissions shall be made by the Mayor with the approval of the City Council. 4. That Carlsbad Municipal Code Chapter 2.43 is added to read as follows: May 13, 2025 Item #6 Page 3 of 6 Docusign Envelope ID: B7B79095-205A-4BC0-A95C-D962CAB33872 CHAPTER 2.43 INVESTMENT REVIEW BOARD 2.43.010 Created. 2.43.020 Duties. 2.43.030 Membership and eligibility. 2.43.040 Powers delegated to Board to be advisory. 2.43.010 Created. An Investment Review Board for the city is established. 2.43.020 Duties. A.The Board shall meet at least quarterly to review investment operations. The Board acts in an advisory role and does not make investment decisions. B.Consistent with the investment policies and practices of the City of Carlsbad, the Board’s goals are prioritized and include: 1.Providing oversight of the protection and management of the principal monies entrusted to the Office of the City Treasurer, in compliance with all federal, state and local laws governing the investment of monies under the control of the City Treasurer; 2.Providing oversight of the investment portfolio’s liquidity and ability to meet all operating requirements which might be reasonably anticipated; and 3.Providing oversight of investment portfolio’s return on investment within the parameters of prudent risk management, federal, state and local laws, and the city’s Investment Policy. C.The Board will work with the City Treasurer, the Deputy City Treasurer and investment staff to discuss current market conditions and future trends and how each of these affects the investment portfolio and the city. 2.43.030 Membership and eligibility. A.The Investment Review Board shall consist of five members, including the City Treasurer. Investment Review Board members shall be appointed as provided in Section 2.15.050(B). B.All members of the Investment Review Board shall have: 1.A bachelor’s, master’s or doctoral degree majoring in business administration, public administration, accounting, finance or economics, or 2.The person must have four years of financial work experience, or 3.The person must have one of the following: a.A valid certificate from the California State Board of Accountancy to practice as a Certified Public Accountant; b.A valid Chartered Financial Analyst credential or a Certificate in Investment Performance Management from the CFA Institute; May 13, 2025 Item #6 Page 4 of 6 Docusign Envelope ID: B7B79095-205A-4BC0-A95C-D962CAB33872 c. A valid Certified Investment Management Analyst certification from the Investments & Wealth Institute; or d. A valid Certified Municipal Treasurer designation from the California Municipal Treasurers Association 2.43.050 Powers delegated to Board to be advisory. Nothing in this chapter shall be construed as restricting any of the powers of the City Council, or as a delegation to the Investment Review Board of any of the authority or discretionary powers vested and imposed by law in the City Council. The City Council declares that the public interest, convenience and welfare require the appointment of an Investment Review Board to act in a purely advisory capacity to the City Council for the purposes enumerated. Any power herein delegated to the Board to adopt rules and regulations shall not be construed as a delegation of legislative authority but purely a delegation of administrative authority. SEVERABILITY: The sections, paragraphs, sentences, clauses and phrases of this ordinance are severable, and if any phrase, clause, sentence, paragraph or section of this code is declared unconstitutional or without effect by any final judgment or decree of a court of competent jurisdiction, such judgment or decree shall not affect any of the remaining phrases, clauses, sentences, paragraphs and sections of this ordinance. EFFECTIVE DATE: This ordinance shall be effective thirty days after its adoption; and the City Clerk shall certify the adoption of this ordinance and cause the full text of the ordinance or a summary of the ordinance prepared by the City Attorney to be published at least once in a newspaper of general circulation in the City of Carlsbad within fifteen days after its adoption.
