2)Adopt a City Council resolution authorizing the use of the Sewer Replacement Fund for the
city’s portion of Amendment No. 3 to the professional services agreement with Partners in
Control Inc., dba Enterprise Automation, for system integrator services for Phase 1 of the
project to replace the water and wastewater supervisory control and data acquisition
systems.
Executive Summary
The Carlsbad Municipal Water District and the City of Carlsbad use supervisory control and data
acquisition, or SCADA, systems to provide 24-hour remote monitoring and control of the city’s
water, recycled water and wastewater infrastructure. These systems are critical to maintaining
reliable service and protecting public health, safety and the environment.
The existing SCADA systems have exceeded their useful life. In response, the Utilities
Department is implementing a citywide SCADA replacement project to consolidate multiple
legacy systems into a single, standardized platform, consistent with the 2019 SCADA Master
Plan.
The CMWD Board awarded a professional services agreement to Partners in Control Inc., doing
business as Enterprise Automation, in an amount not to exceed $2,221,288 for SCADA system
integration services on Jan. 9, 2024. The system integration services include the design and
development of the software portion of the system and were originally planned for 54 sites.

Since approval of the original SCADA project, additional water and wastewater facilities have
been constructed or upgraded, and other existing facilities have been modified. This
amendment adds the SCADA programming and commissioning work for six newly constructed
or upgraded facilities.
It also includes updates to SCADA programming at existing facilities that were modified after
the original scope was approved. Integrating both the six new facilities and the modified
existing facilities into the centralized SCADA system is necessary to maintain monitoring and
control and system uniformity across the city’s water and wastewater operations.
Staff recommend that the CMWD Board approve Amendment No. 3 to the professional services
agreement with Enterprise Automation in an amount not to exceed $432,846 and that the City
Council authorize the use of the Sewer Replacement Fund in an amount not to exceed $86,901
for the wastewater portion of the contract.
Funding for this amendment is available within existing Capital Improvement Program budgets,
so no additional appropriation is required.
Explanation & Analysis
The SCADA system is a critical component of the city’s water and wastewater infrastructure,
providing continuous monitoring and control of equipment such as pumps, valves, generators
and motors. Field hardware collects real-time operational data and transmits it to centralized
software, which presents the information in a graphical format for operators. Operators rely on
the system to monitor conditions, respond to alarms and issue control commands to support
safe and reliable system operation.
The SCADA replacement project is being implemented to standardize monitoring and control
across all water, recycled water and wastewater facilities, replacing multiple legacy systems
with a single, unified platform. The project includes development of SCADA software,
communications network, cybersecurity architecture and integration of individual facilities into
the centralized system.
• On Jan. 9, 2024, the CMWD Board awarded a professional services agreement to
Partners in Control, Inc., dba Enterprise Automation, in an amount not to exceed
$2,221,288 for SCADA system integration services for 54 water and wastewater sites.
• On July 16, 2024, the CMWD Board approved Amendment No. 1 for $745,439 for
Enterprise Automation to perform panel design that was originally intended to be part
of the construction contractor’s responsibilities. It was determined that adding this to
Enterprise Automation’s scope of work would save time and reduce project delays.
• On Dec. 11, 2024, the CMWD Executive Manager approved Amendment No. 2 for
$17,955 for Enterprise Automation to prepare an engineer’s estimate for the
construction portion of the project.
While the original and amended scope of work for the SCADA replacement project has been
underway, other Capital Improvement Program projects at water and wastewater facilities have
progressed independently. Through those projects, approximately six facilities were
constructed or upgraded with new electrical and control infrastructure. Although these facilities
were not included in the original SCADA integration contract, they were intentionally designed
and constructed to align with the standardized SCADA architecture established by the SCADA

Master Plan and prepared as SCADA-ready sites, with the expectation that they would be
incorporated into the citywide SCADA system.
Separately, other Capital Improvement Program projects modified existing facilities in ways that
changed how those facilities operate within the SCADA system, resulting in additional SCADA
programming and integration effort beyond the original project scope.
Including these facilities in the centralized SCADA system is necessary to fully realize the
benefits of the SCADA replacement project Completing this work under the existing SCADA
integration contract ensures consistent system configuration, alarm management,
cybersecurity controls and operator interface standards while avoiding fragmented solutions
and the need for separate integration services.
Fiscal Analysis
This replacement project is a part of the SCADA Improvements, CIP Project No. 5542.
Amendment No. 3 for $432,846 will bring the total agreement cost to $3,417,528.
This amendment is budgeted from three Capital Improvement Program, or CIP, projects, as
detailed below:
• CIP Project No. 5542-1, which is funded by the Sewer Replacement Fund
• CIP Project No. 5542-2, funded by the Water Replacement Fund
• CIP Project No. 5542-3, funded by the Recycled Water Replacement Fund

Next Steps
Upon approval by the CMWD Board, the President will execute Amendment No. 3 to the
professional services agreement with Enterprise Automation. Staff will then authorize
Enterprise Automation to proceed with adding the six new and upgraded SCADA-ready facilities
to the 54 existing sites in the original scope of the SCADA system and updating SCADA
programming at existing facilities that were modified after the original contract was approved.
SCADA programming, integration and commissioning activities for this work are expected to
begin in the next few weeks.

Environmental Evaluation
The proposed action is not a “project” as defined by California Environmental Quality Act, or
CEQA, Section 21065 and CEQA Guidelines Section 15378(a) and does not require
environmental review under CEQA Guidelines Section 15060(c)(2) because the action is limited
to the amendment of a professional services agreement to provide system integration services
for the water and wastewater SCADA systems. The action has no potential to cause either a

WHEREAS, on Jan. 9, 2024, the Carlsbad Municipal Water District Board adopted Resolution No.
1726, authorizing a professional services agreement with Partners in Control, Inc., dba Enterprise
Automation, or Enterprise Automation, for system integrator services for Phase 1 of the project to
replace the water and wastewater supervisory control and data acquisition, or SCADA, systems at 54
water and wastewater facilities, in an amount not to exceed $2,221,288; and
WHEREAS, in March 2024, staff began working with Enterprise Automation on the project and
work has been proceeding according to schedule; and
WHEREAS, on July 16, 2024, the CMWD Board approved Amendment No. 1 in an amount not
to exceed $745,439, authorizing Enterprise Automation to perform electrical panel design services that
were originally planned as part of the construction scope, to improve coordination and reduce
potential project delays; and
WHEREAS, on Dec. 11, 2024, the CMWD Executive Manager approved Amendment No. 2 in an
amount not to exceed $17,955, authorizing Enterprise Automation to prepare an engineer’s estimate
for the construction phase of the project; and
WHEREAS, other Capital Improvement Program, or CIP, projects have been completed at
various water and wastewater facilities throughout the city that need to be integrated into the SCADA
systems; and
WHEREAS, six newly constructed or upgraded facilities were designed and built to align with
the city’s standardized SCADA architecture and were intended for future inclusion in the citywide
SCADA system; and
WHEREAS, separate modifications to existing facilities changed operational requirements,
resulting in the need for additional SCADA programming and integration beyond the original project
scope; and

WHEREAS, staff recommend amending the professional services agreement with Partners in
Control, Inc., dba Enterprise Automation, to include the six new facilities and modified existing facilities

WHEREAS, sufficient funding is available in the CIP Project Nos. 5542-1, 5542-2 and 5542-3.
NOW, THEREFORE, BE IT RESOLVED by the Carlsbad Municipal Water District Board of the City
of Carlsbad, California, as follows:
1.That the above recitations are true and correct.
2.That the CMWD Board has determined that the proposed action is not a “project” as
defined by California Environmental Quality Act, or CEQA, Section 21065 and CEQA

AMENDMENT NO. 3 TO THE AGREEMENT FOR SYSTEM INTEGRATOR SERVICES FOR THE WATER AND
WASTEWATER SCADA SYSTEM REPLACEMENT
PA RTNERS IN CONTROL INC. D.B.A. ENTERPRISE AUTOMATION
This Amendment No. 3 is entered into and effective as of the ___ day of
-----------� 2026, amending the agreement dated January 10, 2024 ("Agreement")
by and between the Carlsbad Municipal Water District, a Public Agency organized under the Municipal
Water Act of 1911, and a Subsidiary District of the City of Carlsbad, California {11CMWD11), and Partners in
Control Inc. d.b.a. Enterprise Automation, a California corporation {"Contractor11) (collectively, the
"Parties") for SCADA Integration services.
RECITALS
A.On July 17, 2024, the Parties executed Amendment No. 1 to the Agreement for system
integrator services for the development, programming, documenting and training for the new SCADA
replacement project; and
B.On December 11, 2024, the Parties executed Amendment No. 2 to alter the Agreement's
scope of work, schedule, and fee.; and
C.The Parties desire to amend the Agreement's scope of work, schedule, and fee.
D.The Parties have negotiated and agreed to a supplemental scope of work and fee
schedule, which is attached to and incorporated by this reference as Exhibit 11A11, Scope of Services and
Fee.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein,
CMWD and Contractor agree as follows:
1.In addition to those Services contained in the Agreement, as may have been amended
from time to time, Contractor will provide those services described in Exhibit 11A11•
2.CMWD will pay Contractor for all work associated with those services described in Exhibit
''/!\' on a time and materials basis not-to-exceed four hundred and thirty thousand eight hundred and forty
six dollars {$432,846) Contractor will provide CMWD, on a monthly basis, copies of invoices sufficiently
detailed to include hours performed, hourly rates, and related activities and costs for approval by CMWD.
3.With this Amendment, the total Agreement amount shall not exceed three million four
hundred and seventeen thousand five hundred twenty-eight dollars {$3,417,528).
4.Contractor will complete all work described in Exhibit''/!\' by January 8, 2027.
5.All other provisions of the Agreement, as may have been amended from time to time, will
remain in full force and effect.
6.All requisite insurance policies to be maintained by Contractor pursuant to the
Agreement, as may have been amended from time to time, will include coverage for this Amendment.

This letter represents Enterprise Automation's (EA) formal request to amend or alter the scope,
schedule, fee, or other pertinent project documents. A description of the project modifications is
contained hereafter.
Justification for Contract Amendment
This amendment captures multiple unique new scope items, described in the sections below.
New Sites
Carlsbad Municipal Water District (the District) has recently finalized the construction of 6 new
remote sites, listed below:
1.Villas Lift Station
2.Chinquapin Lift Station
3.El Fuerte and Rancho Pancho Motorized Valve Vault (Pressure Reducing Station)4.Melrose Pressure Reducing Station
5.El Fuerte/Corintia Pressure Reducing Station
6.Lower El Fuerte Pressure Reducing Station
With the completion of construction of these sites, the District has asked that EA implement PLC
& SCADA programming at these facilities using the templates developed as part of the District's
SCADA Replacement project.
However, these sites are not in complete alignment with the template PLC & HMI programs
developed as part of the SCADA Replacement project, and as a result, the templates need to be
slightly modified to be flexible for the 1/0 and control present at the facilities. El Fuerte and the Rancho Pancho Motorized Valve Vault do not conform to any of the existing template PLC & HMI
programs, so these sites require a new custom PLC program & HMI screen, similar to the custom
screens of CWRF Pump Station and D Site.
The full scope of services captured in this amendment include updating the specifications
developed as part of the SCADA Replacement project, modifying the existing Lift Stations & Pressure Reducing Stations template, developing a new El Fuerte and Rancho Pancho program,
instancing the PLC program for each site from the template programs, including the new sites in
the Ignition SCADA system, testing of the PLC & SCADA programs, and the execution of on-site
commissioning tasks to start up the new sites.

Calavera Potable Pump Station (PS) Modifications

The District has recently proposed significant mechanical & electrical modifications to the
existing Calavera Potable Pump Station facility. EA needs to design both SCADA and PLC
programs for this facility to ensure all future modifications are considered and included.
The Calavera Potable Pump Station is currently included with the Pump Station "template" PLC
program and SCADA screen, which represents a total of 4 Pump Stations that are similar in 1/0
and functionality across the District. However, as a result of the proposed mechanical & electrical
modifications, this template is no longer useful and should be broken down into 4 unique site
programs & screens to improve future maintainability.
The full scope of services captured in this contract amendment includes updating the
specifications developed as part of the SCADA Replacement project, developing a new functional specification for the Calavera Potable Pump Station, breaking out the existing Pump Station
functional specification into unique specifications for each site included in the Pump Stations
Template, developing the PLC, adding the updated configuration to the SCADA system, and
testing of the PLC & SCADA programs.
Commissioning of this facility is already included in EA's current scope and as such was not included in this amendment.
Additional programming and Changes
During the recent Factory Acceptance Test (FAT) with the District, EA was asked to add multiple
features and functionalities to the programs that were not initially scoped. Implementing some of the changes and programming updates require significant rework or hardwired 1/0 changes,
additional programming time, and coordination with the future Citywide Electrical Control Panel
Replacement contractor, testing and factory acceptance test.
Description of Contract Amendment
Initiation/Meetings
EA will require additional time for project setup, execution planning, kickoff meetings, and team
check-in meetings. These tasks are crucial to the organized execution of this additional scope.
Specifications
EA has allocated budget for updating existing documentation related to the six new sites and the
Calavera Pump Station Modifications project. Documentation that needs to be updated may
include the master site list, PLC and SCADA tagging standards, 1/0 lists, network diagrams, and alarm specifications.
PLC/HMI Development
Additional time is required to develop and verify program instances for the six new sites in
addition to updating the functional specifications to reflect process modifications at the Calavera Pump Station. The template pump station specifications will be divided into four separate
documents to accommodate the differences between the Calavera Potable and Reclaim Pump
Stations and the Bressie Potable and Reclaim Pump Stations.

EA has budgeted to have additional workshop time to discuss and review control strategy with
the District.
Due to the updates to the control strategies and design documents for Calavera Pump Station,
additional budget is required to conduct programming/configuration tasks. Specifically, EA will
need additional time for PLC programming and Ignition global setup configuration and screen
development.
Testing
After completing the new PLC programs and screens for the new sites, as well as the updated
PLC program and screens for the Calavera Pump Stations, EA will conduct internal integrated
testing and Witnessed Factory Acceptance Testing (FAT). Any identified non-conformances will
be addressed to ensure the system is fully prepared for implementation.
New Sites Commissioning
Once panels are ready to be commissioned, EA will execute panel-specific deployments and start
up tasks alongside the current site commissioning plans for the main project. EA has included
budget to complete on-site panel hardware checkouts, verify completed loop checks, and execute
panel SAT procedures.
In addition to deployment tasks, EA has budgeted coordination time to join the construction
meeting and provide support for the District or District's chosen Construction Manager, for this
new scope. Here, EA will answer RFls and provide general support throughout the commissioning
process as needed.
Closeout
Following the completion of commissioning of the new sites, EA will update automation design
and construction standards to as built, reflecting any documentation changes made during
commissioning. Panel drawing as-builts will be done by others.

1.EA has listed specific line items and sites that are being included in the scope of this
amendment. The scope of this amendment will not be expanded any further than the sites
and line items explicitly described herein.
2.EA will not be responsible for the testing of any control panels. This will be the
responsibility of the contracted fabricator or electrician.
3.EA will not be responsible for the resolution of any issues found on-site including
electrical, mechanical, instrumentation, networking, and similar issues unless the source
of the issue stems from the PLC or SCADA programming.
4.EA expects to execute all tasks within the original schedule bounds for this project if
authorized on or before March 30th 2026; however, procurement and fabrication delays by
others may impact the overall project schedule.
5.EA expects all panel installation, site construction, electrical wiring and related tasks to be
completed (by others) prior to arriving at each site for deployment.
6.Written approval (email or letter) from Carlsbad MWD is required for all submittals within
10 business days of release by EA.
7.Delays due to mechanical, electrical, or IT related issues, production scheduling
constraints, or lack of system availability out of EA's control, which result in additional site
time, will be charged at EA's standard hourly rates.
8.Terms and conditions are per the original Purchase Order.

Exhibit 2 RESOLUTION NO. 2026-060 .
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD,
CALIFORNIA, AUTHORIZING THE USE OF THE SEWER REPLACEMENT FUND
FOR THE CITY’S PORTION OF AMENDMENT NO. 3 TO THE PROFESSIONAL
SERVICES AGREEMENT WITH PARTNERS IN CONTROL INC., DBA ENTERPRISE
AUTOMATION, FOR SYSTEM INTEGRATOR SERVICES FOR PHASE 1 OF THE
PROJECT TO REPLACE THE WATER AND WASTEWATER SUPERVISORY
CONTROL AND DATA ACQUISITION SYSTEMS
WHEREAS, on Jan. 9, 2024, the Carlsbad Municipal Water District Board adopted Resolution No.
1726, authorizing a professional services agreement with Partners in Control, Inc., dba Enterprise
Automation, or Enterprise Automation, for system integrator services for Phase 1 of the project to
replace the water and wastewater supervisory control and data acquisition, or SCADA, systems at 54
water and wastewater facilities, in an amount not to exceed $2,221,288; and
WHEREAS, on Jan. 9, 2024, the City Council adopted Resolution No. 2024-005, authorizing the
use of the Sewer Replacement Fund for the city’s portion of the professional services agreement with
Enterprise Automation; and
WHEREAS, on July 16, 2024, the CMWD Board approved Amendment No. 1 in an amount not
to exceed $745,439, authorizing Enterprise Automation to perform electrical panel design services that
were originally planned as part of the construction scope, to improve coordination and reduce
potential project delays; and
WHEREAS, on Dec. 11, 2024, the CMWD Executive Manager approved Amendment No. 2 in an
amount not to exceed $17,955, authorizing Enterprise Automation to prepare an engineer’s estimate
for the construction phase of the project; and
WHEREAS, other Capital Improvement Program, or CIP, projects have been completed at
various water and wastewater facilities throughout the city that need to be integrated into the SCADA
systems; and
WHEREAS, six newly constructed or upgraded facilities were designed and built to align with
the city’s standardized SCADA architecture and intended for future inclusion in the citywide SCADA
system; and
WHEREAS, separate modifications to existing facilities changed operational requirements,
resulting in the need for additional SCADA programming and integration beyond the original project
scope; and

WHEREAS, the CMWD Board authorized and directed the President to execute Amendment No.
3 to the agreement with Partners in Control, Inc., dba Enterprise Automation, to provide additional
system integrator services for the water and wastewater SCADA replacement project in an amount not
to exceed $432,846; and
WHEREAS, the city’s pro-rata share of costs for the wastewater portion of Amendment No. 3
for the system integrator services for the water and wastewater SCADA replacement project is $86,901;
and
WHEREAS, sufficient funding is available in CIP Project No. 5542-1, Sewer Replacement Fund.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California, as
follows:
1.That the above recitations are true and correct.
2.That the City Council has determined that the proposed action is not a “project” as
defined by California Environmental Quality Act, or CEQA, Section 21065 and CEQA
Guidelines Section 15378(a) and does not require environmental review under CEQA
Guidelines Section 15060(c)(2) because the action is limited to the amendment of a
professional services agreement to provide system integration services for the
water/wastewater SCADA systems. The action has no potential to cause either a direct
physical change in the environment or a reasonably foreseeable indirect physical change
in the environment.
3.That the city’s Sewer Replacement Fund will pay $86,901 of the total amendment in an
amount not to exceed $432,846 with Partners in Control, Inc., dba Enterprise
Automation, for additional system integrator services for the portion of the project
related to the wastewater SCADA system replacement.

PASSED, APPROVED AND ADOPTED at a Joint Special Meeting of the City Council of the City
of Carlsbad and the Board of Directors of the Carlsbad Municipal Water District on the 24th day of
March, 2026, by the following vote, to wit:

NAYS: None.
