Adopt a resolution authorizing an amendment to the professional services agreement with
Carrier Johnson for design of the Fleet Maintenance Building Refurbishment Project.
Executive Summary
The city’s Fleet Maintenance Building, at 2480 Impala Drive, as shown in Exhibit 2, was
constructed in 1986 and has not been significantly renovated since then. The Fleet
Maintenance Building Refurbishment Project, Capital Improvement Program Project No. 4714,
will renovate and expand the fleet vehicle maintenance capacity of the facility.
The City Council authorized a professional services agreement with Carrier Johnson to design
the project on Sept. 12, 2023. The design portion of the project is now complete.
Staff are now requesting the City Council authorize an amendment to the agreement with
Carrier Johnson to incorporate the design and permitting of temporary facilities next to the
Fleet Maintenance Building. This will allow the city’s fleet operations to continue to provide
essential maintenance services during construction of the project.
City Council authorization of the agreement amendment is required under Carlsbad Municipal
Code Section 3.28.040, Procurement and disposition responsibilities, because the value of the
agreement is more than $250,000.
The project’s budget can cover this expense and no additional funding is being requested.
Explanation & Analysis
The Fleet Maintenance Building was built in 1986, and several elements of the facility have
reached the end of their useful life. To meet the maintenance needs of the city’s current fleet
of over 500 pieces of equipment and vehicles, the facility needs significant renovation.

The scope of the project is to:
•Rearrange interior office spaces
•Install interior walls, windows and doors
•Upgrade interior finishes
•Install fall protection at rooftop skylights and at the roof hatch
•Construct an approximately 500-square-foot building addition for office space
•Raise a portion of the roof to accommodate two additional vehicle bays
•Replace the roof membrane and rooftop heating, ventilation and air conditioning
equipment
•Add a solar photovoltaic system to the roof of the facility
After a competitive solicitation process, the City Council approved a professional services
agreement with Carrier Johnson for architectural design services for the project on Sept. 12,
2023. The construction project plans, specifications and contract documents are now complete,
and a building permit is pending. The next phase of the project is to design and construct
temporary structures adjacent to the existing facility to maintain vehicle maintenance
operations during construction of the project. The temporary structures are a tent-like
structure for servicing vehicles and two temporary modular trailers with an office, restroom
and shower. These will be placed in the existing parking lot for the duration of the project.
Carrier Johnson has submitted a proposal to amend their professional services agreement in an
amount not to exceed $220,348 and to extend the term of the agreement by two years until
Sept. 8, 2028. Staff are requesting that the City Council authorize the amendment.
Fiscal Analysis
Infrastructure replacement and general capital construction funds have been appropriated for
this project as shown in the table below and no additional funding is being requested at this
time.

Staff anticipate returning to the City Council to request an appropriation for the construction
phase of the project after soliciting bids and identifying the lowest responsive and responsible
bidder, which is expected to be in early 2027.

Next Steps
With the City Council’s approval, staff will amend the agreement with Carrier Johnson to
provide architectural services for the design and permitting of temporary facilities for the
project.
Upon completion of the work included in Amendment No. 5, staff will solicit bids for
construction of the project and return to the City Council with a request to adopt the plans,
specifications and contract documents, authorize appropriation for the construction phase and
award a construction contract in early 2027.
Environmental Evaluation
The proposed action is not a “project” as defined by California Environmental Quality Act, or
CEQA, Section 21065 and CEQA Guidelines Section 15378(a) and does not require
environmental review under CEQA Guidelines Section 15060(c)(2) because the action is limited
to the execution of an amendment to a professional services agreement to provide additional
services in support of temporary facilities for the Fleet Maintenance Building Refurbishment
Project. The action has no potential to cause either a direct physical change in the environment
or a reasonably foreseeable indirect physical change in the environment.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD,
CALIFORNIA, AUTHORIZING AN AMENDMENT TO THE PROFESSIONAL
SERVICES AGREEMENT WITH CARRIER JOHNSON FOR DESIGN OF THE FLEET
MAINTENANCE BUILDING REFURBISHMENT PROJECT
WHEREAS, the City Council of the City of Carlsbad, California has determined it necessary,
desirable and in the public interest to design and construct the Fleet Maintenance Building
Refurbishment Project, Capital Improvement Program Project No. 4714; and
WHEREAS, this project will reconfigure existing spaces, create new office and vehicle service
bay spaces, and replace the roof, roll-up doors and the ventilation and air conditioning system at the
Fleet Maintenance Building; and
WHEREAS, the plans, specifications and contract documents for the Fleet Maintenance Building
Refurbishment project are complete, and issuance of a building permit is pending; and
WHEREAS, the City Council authorized a professional services agreement with Carrier Johnson
to design the project on Sept. 12, 2023, and the design portion of the project as originally envisioned
is complete; and
WHEREAS, in order to maintain vehicle maintenance services during construction of the project,
staff requested Carrier Johnson submit a proposal to design and permit temporary facilities adjacent
to the existing Fleet Maintenance Building and provide contract administration services during the
bidding and construction of the temporary facilities; and
WHEREAS, Carrier Johnson submitted a proposal in an amount not to exceed $220,348 and to
extend the term of the agreement by two years until Sept. 8, 2028, to design and permit temporary
facilities for the Fleet Maintenance Building Refurbishment Project and provide contract administration
services during the bidding and construction of the temporary facilities; and
WHEREAS, staff are requesting that the City Council authorize Amendment No. 5 to amend the
professional services agreement with Carrier Johnson for the Fleet Maintenance Building
Refurbishment Project; and
WHEREAS, sufficient funding is available in the Capital Improvement Program Project No. 4714
budget.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California, as

AMENDMENT NO. 5 TO EXTEND AND AMEND AGREEMENT FOR
FLEET MAINTENANCE BUILDING DESIGN
CARRIER JOHNSON
This Amendment No. 5 is entered into and effective as of the _______ day of
___________________________, 2026, extending and amending the agreement dated
September 12, 2023 (the “Agreement”), by and between the City of Carlsbad, California, a
municipal corporation (“City”), and Carrier Johnson, a California corporation (“Contractor”)
(collectively, the “Parties”) for design consulting services for temporary operations setup.
RECITALS
A.On February 5, 2024, the Parties executed Amendment No. 1 to amend the
Services to include utility layout and field surveys, and to increase the compensation amount by
$15,700, for an amended and increased compensation amount of $479,932; and
B.On March 18, 2024, the Parties executed Amendment No. 2 to add prevailing
wage provisions to the Agreement, in accordance with the Director of Industrial Relations (DIR)
requirements; and
C.On August 25, 2025, the Parties executed Amendment No. 3 to extend the
Agreement for a period of one (1) year on a time-only extension; and to amend the
indemnification obligation in the Agreement; and
D.On February 5, 2026, the Parties executed Amendment No. 4 to alter the
Agreement’s scope of work to incorporate photovoltaic design work and IT/security
infrastructure needed; and
E.The Parties desire to amend the Agreement’s scope of work to include design and
permitting of temporary facilities in support of the renovation project; and
F.The Parties now desire to extend the Agreement for a period of two (2) years; and
G.The Parties have negotiated and agreed to a supplemental scope of work and fee
schedule, which is attached to and incorporated in by this reference as Exhibit “A,” Scope of
Services and Fee.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained
herein, City and Contractor agree as follows:
1.That the Agreement, as may have been amended from time to time, is hereby
extended for a period of two (2) years ending on September 8, 2028.

2.In addition to those Services contained in the Agreement, as may have been
amended from time to time, Contractor will provide those services described in Exhibit “A.” City
will pay Contractor for all work associated with those services described in Exhibit “A” on a time
and materials basis not-to-exceed two hundred twenty thousand three hundred forty-seven
dollars and fifty cents ($220,347.50). Contractor will provide City, on a monthly basis, copies of
invoices sufficiently detailed to include hours performed, hourly rates, and related activities and
costs for approval by City.
3.With this Amendment, the total Agreement amount shall not exceed seven
hundred twenty-eight thousand two hundred seventy-nine dollars and fifty cents ($728,279.50).
4.Contractor will complete all work described in Exhibit “A” by September 8, 2028.
5.All other provisions of the Agreement, as may have been amended from time to
time, will remain in full force and effect.
6.All requisite insurance policies to be maintained by the Contractor pursuant to the
Agreement, as may have been amended from time to time, will include coverage for this
Amendment.
7.The individuals executing this Amendment and the instruments referenced in it
on behalf of Contractor each represent and warrant that they have the legal power, right and
actual authority to bind Contractor to the terms and conditions of this Amendment.

Meeting with Facilities Staff to confirm need; Develop 2 Conceptual Site Plan options based
on this meeting; Prepare Basis of Design document ation that can be bid and permitted;
Construction Administration for approximately 2.5 -month duration.

the s(hereinafter referred to as the "Agreement"). Any subsequent agreements between the parties shall
incorporate the terms and conditions set forth in this Agreement. This Agreement may be amended,
modified or superseded only by a written instrument signed by both Client and Carrier Johnson.

PROJECT SCHEDULE
Carrier Johnson anticipates an approximate 5 -week concept design period , a 9 -week
documentation period and a 2.5 -month construction administration for the scope of work
described in this proposal. The parties understand and agree that the initial schedule is only
an estimate and that it may be subject to change.
COMPENSATION
Carrier Johnson proposes to provide the Scope of Services outlined above on an estimated
lump sum basis using the previously approved Rate Schedule.
