Deed of Trus~ has been filed or received, prior to the
maturitR of the note, if and when Buyer requests the
Trustee of the Deed of Trust (hereinafter referred to.as
"Trustee") to issue partial reconveyances, Trustee shall
issue, upon receipt by Trustee of payment from Buyer to
~eller in the amounts specified herein, a partial recon-

The legal description of the 'property to be reconveyed is
to he ·furnished by Buyer and, if the size thereof be only'
the minimum release' of ~venty-five (25) acres, said recon-
veyance shall be in substantial conformity with.the release
parcels depicted on Exhibit "C". It is understood and agreed
that by reason of the nature of the Buyer's development of
the property the acreage which Buyer requests to be recon-·
veyed need not' be rectangular in shape or any other specific
shape.
Ca) No release shall be granted which would have the
e££ect of leaving the parcels still subject to the
Deed of Trust separated from each other.
Cb) No release shall be granted which would leave any
part.of the property still subject.to the Deed of Trust
without access from a public dedicated street.
2. Trustee sh'all have the right at any time to dedicate or offer
£or dedication all or any part of ~~e land described herein, up to a
maximum of seven (7) acres, and to grant easements therein for street,
road, highlvay, drainage, slope, public' utili ty purposes, and for public
use, without the joinder of the beneficiary, and the lien hereof, shall
he subject and subordinate to any such dedicatipn, offer or grant; hm.;-
ever, Buyer shall pay for any such acreage dedicated for the uses out-
lined in this paragraph at the rate of Seven Thousand and No/IOO Dollars
($7,,000.00) per acre at the time of. such dedication, except that such
. ·payment shall not be made prior to January·l, 1973 •
. 3. Authority to Sign Map: Notwithstanding any provision on
.. the printed form in this de'ed of trust to the contrary, the Trustee
shall, upon request of the Trustor, execute any subdivision map or
maps; or any parcel map or maps, and such other documents or papers as
'maY'be needed to make said property, or parcels thereof a recorded sub-
-division, or obtain a land division without further consent of the
Beneficiary and without presentation of either the note or this Deed .
of Trust for endorsement; provided, however, without limiting Trustee's'
authority, -at the request of Tzustee, Beneficiary shall promptly sur-
render the note and deed of trust to Trustee for such ·endorsement.
4. Trustor shall have the right to grade all or a portion of the
property s ubj ect to the lien of the Deed of 'l'rus t in conformi ty wi th the
site development and grading plans approved by the City of Carlsbad and/
or other government agency having authority over same.

may use any lot owned by it for a model home site, and display and
sales office for any of the Declarant 's property located in San
Diego County during the construction and sales period of
lots within the properties.
Section 3. No sign or,billboard of anY,kind shall be dis-
played to the public view on, any portion ~of the properties, or any
lot, except One (1) sign for each lot, of customary and reasonable
dimensions, advertising such lot for sale or rent, and except signs,
billboards and other advertising devices or structures used by
Declarant in connection tvith the development, subdivision, adver-
ti~lement and sale of the properties and 1;:he lots; provided however,
no such use by Declarant shall unreasonably restrict the members in

Section 4. No noxious or offensive activity shall be
carried on upon any lot or any part' of the properties, nor shall
anything be done thereon which may be, or may become a nuisance
to, the neighborhood, or which shall in any way interfere \vith the
quiet enjoyment of each of the owners of his respective di:velling
unit, or which shall in any way increase the rate of insurance.
Section 5. No animals, birds, or insects of' any kind shall
be raised, bred or kept on .the properties, except dogs, cats or other

lot nearer to the front, side or rear lot lines than shall be per-
mitted by the ordinances and regulations of the local body governing
same. For purposes of this Secti.on 10, caves, steps and open,patios

Section 11. No parking stalls, carports or garages situated
on any lot shall. be converted to any ot:;her use.
Section 12. No lumber; metals, bulk reaterials, refuse or

open entries, porches, patio or basement. The minimum required floor
area shall be deemed to inc lude the to,tal enclosed floor area of the
residence, building measurements to be taken for this purpose from
the innerfacing of exteriot walls.
Section 15. Easements for installation and maintenance of ~he
utilities, sewer pipelines and fa'cilities and drainage facilities over
and in the ~roperties~ and all pipelines and other facilities located
and to be located in .said casements (together with the right of e&ress
and ingress in connection there\vith) arc reserved. as shown on the re-
corded map of the properties. Within these casements no structure,

Section 16. Breach of any of the covenants in this Article II
shall not defeat or render invalid the lien of any mortgage or deed of
trust made in good faith and for value as to said lots or property,
or any part thereof, but such provisions, restrictions or covenants

whose title thereto is acquired by foreclosure, trustee's sale or

Section 17. Notwithstanding any provision contained herein to

MEMBERSHIP AND VOTING RIGHTS
Section 1. Membershie. Every owner of a lot which is
subject to assessment shall be a member of the Association. Hember-

of any lot which is subj ect to assessment.
Section ~. Voting. The Association shall have Two (2)
classes of voting membership:

Section 10. Effect of Nonpa'vment of Assessments: Remedies
of the Association. Any assessment not paid 'l;vithin Thirty (30)
days after th~ due date shall bear interest from the due date at
the rate oE Six Percent (6~~) per annum. The Association may bring
an action at law against the owner personally obligated to pay the
same, or foreclose the lien against the property. No ov]ner may
waive or otherwise escape liability for the assessments provided
for herein by non-use of the common area or abandor~ent of his lot.
Section 11. Notice of Defa,ult. '. No action shall be brought
to foreclose said assessment lien less than Thirty (30) days after
the date a notice of default is deposited in the United. States mail,
Certified or Registered, postage prepaid, to the owner of said lot,
and a copy thereof is reco:::ded by the Association in the office of·,
the County Recorder of the county in which the properties are located;
such notice of default must recite a good and sufficient legal descrip-
tion of any such lot, the record owner or reputed owner thereof) the
amount claimed and the name and address of ,claimant.
Section 12. Curing of Defa'..1' t. Upon the timely curing of
any defaultfor \·~hi.ch a notice of' default \Vas filed by the
Association, the officers' of the Association are hereby authorized
to file or record, as· the case may.be, an appropriate release of "
such notice.
Section 13. Cumulative Remedies. The foreclosure of the
assessment lien shall be in addition to and not in substitution
for all other rights and remedies \'I7hich the Asso'::iatioi1 :1lay have
hereunder and by law, in'~luding a suit to recover a money judgment
for unpaid assessments, a8 above provided.
Section 14. Subordination of the. Lien to Deeds of Trust. The
lien of the assessments provided for herein shall be subordinate to
(a) the lien of any first deed of trust, and (b) the lien of any.
purchase money second deed of trust \vhich (i) is given to Lar'\vi.n-
San Diego, Inc~, or its successors in interest as beneficiary
and (ii) is not subordinate to a first deed of trust securing a loan
to be guaranteed by VA or to be insured by FHA. Sa18 or transfer

ARTICLE VII
DUTIES AND POHER OF THE ASSOCL\TION
Section 1. Duti~. In addi tion to the duties and pm-ler-
enumerated in .its Articles of Incorporation and .Byla'tvs or else-
where provided for herein, and without li~iting the ge~erality
thereof, the Association shall:
(a) Own, maintain, improve, construct, reconstruct
(in the event of deterioration or destruction) and manaoe b all of the conrrnon area-(includi!lg those CO:-ilLnon areas con-
veyed to the Association under the annexation procedures
set forth in Article IX, Section 4) and all facilities,
improvements and landscaping _thereof, and all propeI:ty
a.:quired by the Association, and to _ pay all the costs
thereof. In the event of damage or destruction of the
common area, all available insurance proceeds shall be
used for the repair or reconstruction of the conrrnon are~)
and, if such insurance proceeds are insufficient, special

(e). Maintain hazard and liability insurance and

shall be commenced, erected or maintained upon the properties, nor
shall any exterior addition to or change or alteration therein be
made until the plans and specifications sho~ving th~ nature, kind,
shape, height, materials and location of the same shall have been
submitted to and approved in Hriting as to harmony of external
design and location in :;:-elation to surrounding structures and
topography by the Architectural Control Committee. In"the event
the Architectural Control Committee f~ils to approve or disapprove

Article VIII.

Section 3. Tena nnd Amendment. The Covenants and Restric-
tions of this Declaration shall run with and bind the properties
and shall inure to the benefi.t of and,be enforceable by the Assoc-
iation, its legal representatives, successors 2nd assigns, until

'(a) Annexation Pursuant to Approval. Additional property

of the Class A membership, excluding Declarant.

(b) Annexation of Other Real Property bv Declarant. Not-

of other members of the Association, annex all or portio:ls
of the real property described in Exhibit A attached hereto
and incorporated herein by referenc·e. This annexation pro-

years from the date of the issuance of the most recent
Public Report for the properties, but in n.o event
later than Dec~nber 31, 1978.
(2) The development of the additional tracts shall
be in accordance with a general plan of development ,

the Veterans Administration with the processing papers

(6) Prior to the conveyance of any improved. lots
located within the ~nncxcd properties, fee simple
title to the common area, if any, annexed \vith said
~ots within the annexed property, shall be conveyed
to the Association, free and clear of-all encumbrances
and liens, except current re~l property taxes,. \vhich
taxes shall be prorated to the date of trrinsfer, and
easements, conditions and reservations then of record,
including those set forth in this Declaration. -
(c) Declaration of Annexation. Any Declarations of Annexa-
tion contemplated above may contain such. complementary addi-
tions and modifications of the covenants and-restrictions
contained in-this Declaration as may be necessary to reflect
the different character, if any, of the annexed properties
and as are not inconsistent with the scheme of this Declara-
tion. In no event, however, shall any such Declaration of
Annexation, merger or consolidation, revoke, modify or add
to the covenanti established ~y this Declaration with respect
to the property already subject to this Declaration, except
as herein othenvise proyided.
Section 5. Mergers or Consolidations. Upon a merger or con-
solidation of the ~ssociation with another association, as provided
in its Articles of Incorporation, its properties, rights and obliga-
tions may, by operation o~ law, be transferred to another surviving
or consolidated association or, alternatively, the properties,
rights and obligations of another association may, by operation of
law, be added to the properties, 'rights and obligations of the
Association as a surviving corporation pursuant to a merger. The-
surviving or consolidated association may administer the covenant~
and restrictions established by this Declaration together tvith the
covenants and restrictions established upon any other properties
as one scheme.
Section 6. Encroachment Easement. The owner of each lot
within the properties is hereby granted an easement over all adjoin-
ing lots and the corrunon area, for the purpose of (a) accommodating
any minor encroachment due to eng~neering errors, errors in original
construction, or settlement or shifting of t~c building; and (b)
drainage of water from roofs. The owner of each such lot is also
granted an easement for the maintenancc of said encroachments so_
long as they shall exis t, and the rights and obligatioris of O\-.'ncrs
or the Association shall not be altered in any way by said-encroach-
ment, settlement or shifting; provided, hmvevcT, that in no event
shall an easemcnt for encroachment exist in favor of an O'\vn.er or

Certain of the lots shall be conveyed subject to easements.
("walkway easements'l herein) and the right to create and reserve
such easements is hereby reserved. The Halk';vay easements, the uses
and purposes of which are set out below, shall be reserved by ref-
erence' to this Article XI. The f6l1m.;ing rules prescribe the terms,
conditions and uses of the waik~ay easements. The walkway ease-
ments shall be conv~yed to the Association for the use and benefit
of all members of the Association as herein provided.
(a) The walkway easement areq (the area encompassed
within the walkway easements) shall be useq, as a ';valkway
by lot ovmers, their immediate family, tenants and guests
and for no other. purpose. No other uses are permitted.
(b) Nothing shall be erected, maintaL~ed or placed in
. the walkway easement area. other than (i) installations
and facilities in connection with or incidental to sewer,
water, gas, electric~ telephone, cable television and
public utilities service and (ii) flowers, plants, lawn,
sprinklers, hose bibs, lights and other improvements
incidental to the use of the walkway easement area as
a walkway area and \vhich do not impair the use of the
~.]alkway easement area as a \<Qalk,·lay.
(c) The walkway easement area and all improvements
thereon shall be maintained by the Association, and the
Association (and its agents) shall have the right at all
reasonable times t.O enter upon the \valkway easement area
and any lot in order to maintain and repair the walkway

(d) The owner(s) of the fee under the walla.vay easement
area shall have no right to plant, erect, place, install

TRASH COLLECTION EASEMENTS

ments·is hereby reserved. The trash collection easements, the
uses and purposes of which are set out below, shall be reserved

ARTICLE I. 'NAME AND LOCATION
The name of'the corporation is TIBURON CARLSBAD HOMEOHNERS
ASSOCIA TION ., hereinafte:r, referred ';:0 as the "As soc ia tion" .
The principal office of the ~6iporation shall be located at 6150
Mission Gorge Road, San Diego, California , but meetings
,of members and directors may b~ held at such places within the
State of California, County of San Diego as may be '
designated by the Board of Directors'.
ARTICLE II. DEFINITIONS

the members shall be held not later than six (6) months from the
date of sale of the first lot or unit. Subsequent regular annual
meetings of the members shall be held on the same day of the same
month of each year thereafter at the hour of Eight o'clock P.M.
If the day for the annual meeting of the members is a legal holi-
day, the meeting will be held at the same hour on the first day
following which is not a legal holiday •.
Section 2. Special Meetings. Special meetings'of the
memhers may be .called at any time by the president or by the Board
of Directors, or upon written request of the'members who are
entitled to vote one-fourth (1/4) of all of the votes of the 'Class'
A membership.
Section 3. Notice of Meetings. Written notice of each
meet.ing of the members shall be given by, or at the direction of,
the secretary or person authorized to call the meeting, by mailingl
a copy of such notice, postage prepaid, at least fifteen (15) but
not more than thirty (30) days before such meeting to each member
entitled to vote ,thereat, addressed to the member's address last
appearing on the books of the Association, or ,supplied by such mem-
ber to the Association for the purpose of notice., Such notice,
shall specify the place, day and hour of the meeting, and, in the,
case of a special meeting, the purpose of the meeting. Annual and
special meetings shall be held within the common area or as close
thereto as prac'ticable.
Section 4., Quorum. The presence at the meeting of members
entitled to cast, or of proxies entitled to cast, twenty-five per-
cent (25%) of the votes of each class of membership shall constitute

plus the authorized number of directors. In the event of death,

Section 4. Compensation. No director shall receive compensa.,..
tion for any service he may render to the Associat'ion. However, any
director may be reimbursed for his actval expenses incurred in the
performance of his duties.
Section 5. Action Taken Without a Meeting. The director~
shall have the right to take any action in.t~e absence.of a meet~ng
which they could take at a meeting by obta~n~ng the wr~tten approval
of all the directors. Any action so approved shall have the same~
effect as though taken at a meeting of the directors.

ARTICLE VII. POWERS AND DUTIES OF TIlE BOARD OF DIRECTORS
. Section 1'-Pmvers. The Boarrl of Directors shall have
power to:

(a) adopt and.publish rules and regulations
governing the use of the common Drea and. facilities
and the personal conduct of the members and their.

infraction thereof;
(b) suspend_the voting' rights and right to use
of. the recreational facilities of a member during any
period in which such member shall be in default in the
payment of any assessment levied by the Association.

hearing, for a period not to exceed thirty (30) days
for infraction of published rules and regulations;
(c) exercise for the Association all powers,
duties and authority vested in or delegated to this
Association and not reserved to the membership by
other provisions of these By-Lmvs, the Articles of
Incorporation or the Declaration;.
(d) declare the office of a member of the Board
of Directors to be vacant in the event such member
shall be absent from three (3) consecutive regular
meetings of the Board of Dir~ctors;
(e) employ a manager, an independent contractor
or such other employees as they deem necessary, and
to prescribe their duties; and
(f) establish, levy and assess and collect the
assessments referred to in Article VI in the
Declaration.
Secti.on 2. Duties. It shall be the duty of the Board
of Direc tors. to:
(a) cause to be kept a complete record of all
its acts and corporate affairs and to present a
statement thereof to the members at the annual
meeting of the members or at any special meeting

when such statement is requested in writing by One-fourth
(1/4) of the Class A members who .are entitled to vote;
(b) supervise all officers,. agent:' and employees of this

(1) fix the amount of the annual as'sessrrent against each
lot ~t least Thirty (30) days in advance of each annual
assessment period;
. (2) send written notice of each assessment to every owner

personally obligated to pay the same.

demand by any person, a certificate setting forth whether or not
. any assessment has been paid. A reasonable charge may be made by
the Board for the issuance of these certificates. If a 'certificate
states an assessment has been paid, such certificate shal~ be
conclusive evidence of such payment;
(e) procure and maintain adequate liability and hazard insur-
ance on property owned bY", the AssociatiC?n;
(f) cause all officers or employees having fiscal respons-
ibilities to be bonded, as it may deem appropriate;

(g) review annually all insurance policies and bo'nds main-
tained by the Association;
(h) cause the common area to be maintained;
(i) cause the exterior of the d1:velling units to be maintained
in the manner and to the extent provided for in the Declaration;
and

Ninety (90) days after the end of each fiscal year of the Assoc-
iation, an annual operating statement reflecting income and

appropriate or refer them to such other committee, director or
officer of the Association as is further concerned with the

ARTICLl~ X. BOOKS AND H.ECORDS

ARTICLE XI. ASSESSMENTS
As more fully provided in the De(:laration, each member
is obligated to pay to the Associati9~ annual and special assess-
ments which are secured by a continuinG lien upon the property
against ~vhich the assessment is mnde. Any as :5essments which
are not paid when due shnll be delinquent. If the ass~ssment
is not paid within thirty (30) days after the due date, the
assessment shall bear interest from the date of delin~uency at
the rate of six percent ( 6%) per annum, and the Association,
may bring an action at 1m.; against' the O\oJner personally obli--
gated to pay the same or foreclose the lien against the-prop-
erty, and interest, costs, and reasortable attorney's fees of
any s~ch action shall be added to the amount of such assessment.
No owrier may waive or otherwise escape liability for the assess-
ments provided for herein 'by nonuse of the con-:rnon area or aban-
donment 'of his lot. .
ARTICLE XII. CORPORATE SEAL
The Association shall have a seal in .circular form having
within its circumference the words: TIBURON CARLSBAD HOME-
OWNERS ASSOCIATION
ARTICLE XIII. AHENDNF.NTS
These By-Lmvs may be amended at a regular or special
meeting of the members, by a vote of ~ majority of a quorum
of members present in person or by proxy, except that the
Federal Housing Administration or the Veterans Administration
shall have the right to veto amenc1rnents \vhile there is Class
B membership. ,
ARTICLE XIV. MISCELLANEOUS
Section 1. Fiscal Y6ar. The fiscal year of th~ Associ~
ation shall begin on the first day of January and end on the
31st day of·December of every year, except that the first'fis-
cal year shall begin on the date of incorporation.
