PROJECT DESCRIPTION/EXPLANATION
PROJECT NAME: Palomar Forum
APPLICANT: Palomar Melrose, LLC
This project is for a Tentative Map and Hillside Development Permit for the 62 acre site located
in Zone 18 known as the Byron White property. The property is currently owned by the
applicant, Palomar Melrose, LLC. The site is designated with a PI (Planned Industrial) Land Use
and a Zoning of P-M (Planned Industrial). The applicant is proposing to subdivide the parcel
into thirteen lots; twelve industrial lots and one open space lot.
ACTION BY UNANIMOUS WRITTEN CONSENT OF ALL OF THE
PARTNERS OF PALOMAR FORUM ASSOCIATES L.P.

The undersigned, being all of the partners of Palomar Forum Associates LP., a
California Limited Partnership ("Palomar Forum"), do hereby adopt this resolution by
unanimous written consent (the "Consent").
Whereas, Palomar Forum is governed by that certain Agreement of Limited
Partnership of Palomar Forum Associates LP., dated as of April 12, 2001; and
Whereas, the City of Carlsbad requires that Palomar Forum provide confirmation
of the authority of Larry E. Nelson to execute agreements and documents required for
or in conjunction with the development of the project commonly known as Palomar
F arum (The "Project")."
IT IS HEREBY RESOLVED AS FOLLOWS:
1. Larry E. Nelson, individually and without any other signatures or authority,
is authorized to execute any and all agreements and documents with the City of
Carlsbad on behalf of Palomar Forum required or necessary for, or in conjunction with,
the development of the Project. ·•
2. This Consent, and any copy thereof, maybe relied upon by the City of
Carlsbad on all matters in connection with the Project.
3. This irrevocable action by unanimous written consent of all of the partners
of Palomar Forum may be executed in counterparts with the signatures transmitted by
facsimile.
ADOPTED, effective as of this 1ih day of April, 2001, notwithstanding that any
signature hereto may be affixed subsequent to that date.

STATEMENT OF AGREEMENT
TENTATIVE SUBDIVISION MAP
CITY OF CARLSBAD
The Subdivision Map Act and the Carlsbad Municipal Code sets a fifty (50) day time restriction
on Planning Commission processing of Tentative Maps and a thirty (30) day time limit for City
Council action. These time limits can only be extended by the mutual concurrence of the
applicant and the City. By accepting applications for Tentative Maps concurrently with
applications for other approvals which are prerequisites to the map; i.e., Environmental
Assessment, Environmental Impact Report, Condominium Plan, Planned Unit Development, etc.,
the fifty (50) day time limits and the thirty (30) day tune limits are often exceeded. If you wish
to have your application processed concurrently, this agreement must be signed by the applicant
or his agent. If you choose not to sign the statement, the City will not accept your application
for the Tentative Map until all prior necessary entitlements have been processed and approved.
The undersigned understands that the processing time required by the City may exceed the time
limits, therefore the undersigned agrees to extend the time limits for Planning Commission and
City Council action and fully concurs with any extensions of time up to one year from the date
the application was accepted as complete to properly review all of the applications.
