Irish Buie Carlsbad Lot 10, LLC 11260 El Camino Real, Suite 200 San Diego, CA 92130 LETTER OF PERMISSION FOR GRADING AND CONSTRUCTION OF IMPROVEMENTS Dear Mr. Irish: San Diego Gas & Electric Company (SDG&E) is the owner of a 200' Electric Transmission Easement RECORDED APRIL 15, 1954, IN BOOK 5205, PAGE 416, OF DEEDS, (SDG&E RIGHT OF WAY NO. 31564), located in and around the following legal description; LOT 10 OF CARLSBAD TRACT NO. 81-46, UNIT NO. 1 IN THE CITY OF CARLSBAD, COUNTY OF SAN DIEGO, STATE OF CALIFORNIA, ACCORDING TO MAP THEREOF NO. 11287, FILED JULY 15, 1985, (A.P.N. 212-092-33). We have reviewed and approved the grading plans for Carlsbad Airport Center Lot 10, sheets 1 through 3 of Tentative Map No. CT 99-20/Grading Plan, originally dated August 24, 1999 and received March 23, 2000, revised and dated June 12, 2000, received June 14, 2000, which shows the proposed grading and improvements on the property subject to our easement, attached hereto as Exhibit'A'. Permission is hereby granted to Buie Carlsbad Lot 10, LLC to grade and construct improvements as shown on said plan, subject to the following conditions: 1. This permit to grade shall be effective for six (6) months from the date of this letter. 2. This letter is subject to Buie Carlsbad Lot 10, LLC obtaining the necessary grading and improvement permits from the City of Carlsbad. 3. Final signed, approved plans must be submitted to SDG&E a minimum of 15 working days before commencement of grading and construction of improvements within the easement area. At least twenty-four (24) hours notice, whether by telephone, telefax or otherwise, must be given to SDG&E before start of work or making field changes to plans within said easement. Notice is to be given to the undersigned. 5. A representative of SDG&E must be invited with at least forty-eight (48) hours prior notice, whether by telephone, telefax or otherwise, to any pre-construction meetings held before the start of construction. 6. Buie Carlsbad Lot 10, LLC, shall indemnify and hold SDG&E harmless from any and all injuries or damage to persons or property in any way arising from the proposed grading or construction of improvements. 7. No grading shall be allowed within thirty (30) feet of an existing steel pole, measured from any face of the foundation. 8. Buie Carlsbad Lot 10, LLC, agrees to sign a Right of Way Use Agreement with SDG&E, which will permit the encroachments as shown on the grading plans. 9. SDG&E shall not be responsible in any manner for any maintenance or repair of the proposed grading or improvements. 10. All applicable laws and regulations of local, state and federal governments and their agencies shall be complied with. 11. Landscape and irrigation plans are to be submitted to the SDG&E Land Management Department for review and approval prior to construction. 12. All disturbed and created slopes, within the SDG&E electric transmission easement, shall be hydroseeded or planted with an SDG&E approved mix. 13. Erosion control measures shall be designed and implemented and maintained through the normal rainy season for San Diego County. 14. This permission letter shall be posted on the job site at all times. 15. All clearances (thirty feet) between the SDG&E electric transmission wires and the natural ground shall be maintained. All CALOSHA requirements for clearances between high voltage wires and heavy equipment must be maintained. 16. SDG&E reserves the right to inspect and perform quality control work during construction. Contractor shall provide full access to SDG&E Contract Administrators for inspection during normal business hours. June 22,2000 Page 3 17. This letter shall not be construed as approval of any field changes. All changes to the grading plans affecting the Carlsbad Airport Lot 10 and the SDG&E easements shall be in writing and reviewed by SDG&E. 18. Vehicular access to all SDG&E facilities are to remain open 24 hours a day. Any gates, which may be placed as security fencing, shall have an SDG&E lock in place on them. Maintenance of access shall be at the cost of Carlsbad Airport Lot 10, LLC. 19. Buie Carlsbad Lot 10, LLC, agrees to supply SDG&E Transmission Engineering with 'as built' profiles maps of the grade changes within its easements. Profiles shall be at the specifications of SDG&E's Transmission Engineering Department. 20. Buie Carlsbad Lot 10, LLC, agrees to sign and have signed all consent agreements between SDG&E and any public agencies who encroach upon the 200' easement if such an agency requests.
