By proper execution and remittance af,this letter, you are authorized as of March 29, 1991, to enter upon County land and begin installation of your modular building (directly west of the County Terminal
Building) at McClellan-Palomar Airport.
Please be reminded that the Board of Supervisors is scheduled to
consider your proposed Permit on April 2, 1991. Board should decline to approve your proposed Permit, you must be
prepared to remove any improvements installed.

As consideration for this authorization, prior to Board approval
and/or Permit commencement date, American Eagle shall indemnify and
save harmless the County of San Diega, its officers, agents and
employees from and against any and all claims, demands, liabilities or
loss of any kind or nature which County, its officers, agents or
employees, may sustain or incur or which may be imposed upon them or
any of them for any losses, monetary or otherwise, arising out of, or in any manner connected with said entry by American Eagle. American
Eagle further: agrees to pay any and all casts and expenses, including
but not limited to cwurt costs and reasonable attorneys' fees, incurred by County on account of any such claims, demands or liabilities.
