Attached you will find the signed and notarized copy of the Green Valley EIR contract as you requested.
Two items on the contract seem to need clarification before work begins.
One is the inconsistency between the "Agreement " language and the provisions of the Scope of Work.
The Agreement seems to indicate that this is a deposit that the EIR consultant will bill against. The language
of the Scope of Work indicates that the fee is on a "fixed" and "not-to-exceed" basis.
It is my understanding that the preparation of the EIR is a fixed fee contract but with the meetings to
be on an hourly basis as is indicated on Page 4 of the Scope of Work. If this is not the case, please call me
/1 regarding the contract provisions.
Secondly, the Paleo/Archaeology Test Program is very costly, far beyond estimates we have previously
received. In conversations with P&D Technologies, we presume this is to cover the possibility that significant
material may be found that requires investigation. The previous report indicates this is an event that is not likely
to OCCUT.
We wish to delete this from the work plan and submit this study as an applicant provided item similar
to how we have provided the Biology Study. Coleman would review the work in a similar manner to the biology.
The work could also be done within the contract on an hourly basis with more extensive investigations being done
only if warranted and approved. This would not be our preference on how to proceed unless it could be assured
that 820 hours would be expended only if there were site finds that would warrant such an effort.

Ogden Environmental and Energy Services Company is unable to provide consulting services to the City of Carlsbad for the above referenced RFP. Because of our current workload and scheduling commitments to our current clients, Ogden would not be able to provide the quality and timely environmental consulting services which the City of Carlsbad would require and which is typically offered by our fm.

Dear Christer:
Attached is a check in the amount of $126,866.00 representing payment in full
for the contract between the City of Carlsbad and the Coleman Planning Group for
preparation of the Green Valley EIR. Carlsbad Partners, LTD. is a Third Party Beneficiary
under the City's contract with the EIR Consultant.
Two elements of the contract are extremely important to Carlsbad Partners. One is
the fee. This is a fixed fee contract in an amount that should be very adequate to prepare
the EIR document. The comprehensive scope of work contained in the FWP and standards
that have been well established by Carlsbad should very nearly eliminate any need for extras
to this contract. We would expect that only extraordinary circumstances would warrant an
extra and if such an event occurred, such extra work and the associated cost would be
approved in consultation with Carlsbad Partners. A fixed fee contract should be understood
by all as being fixed fee.

Second is the schedule of performance. We understand this will be included in the
contract as it was in the RFP. This schedule is part of the contractual obligation and
meeting the schedule dates should be a requirement for performance under the contract.
The award of the contract to Coleman should include as assurance that they have sufficient
staff to do the work in the time allowed and that this is required under the terms of the
agreement.
I thank you for your efforts to date in processing our application to the point of
engaging the EIR consultant. We look forward to continued progress in the months ahead.

RE: TRAFFIC ANALYSIS FORTHE PROPOSED GREEN VALLEY ENVIRONMENTAL
IMPACT REPORT
Dear
Several of you have called with questions regarding the third party review of the traffic
analysis called out in the request for proposal. The City has reviewed the task
requirement under the circulation section and has determined that the tasks should be
revised as follows:
0 The consultant shall Mze the Weston Pringle and Associates Green Valley Traffic 0- Report to prepare the circulation section of the Environmental Impact Report.
0 An analysis shall be prepared for the alternate project site.
0 The Weston Pringle and Associates Green Valley Traffic Report shall be
incorporated into the text of the Environmental Impact Report.
In addition, please be advised that the submittal time and date for the proposal has be
moved to 12:OO PM Tuesday, February 16, 1993.

for Proposal for preparation of a Program Environmental Impact Report.
Dear Mr. Westman:
Upon review of the RFP referenced above and information provided at the
pre-proposal conference of 1 February 1993 I regretfully inform you that my firm
will not be submitting a proposal.
As you know, Englehorn and Associates is currently preparing an EIR for the Encinitas Ranch Specific Plan for the City of Encinitas. It is apparent that the schedule of completion for the Green Valley EIR essentially runs concurrent with that established for Encinitas Ranch. Due to the magnitude of these two EIR's my firm would be unable to guarantee that the Green Valley EIR could be completed
in accordance with its standards of quality within the same time frame.
Englehorn and Associates commits its principal to a major share of time spent on
every EIR produced.
r Your initial consideration of the firm to submit a proposal is most
appreciated. Englehorn and Associates continues to be interested in, and hopes to be considered for other projects in Carlsbad in the future.
