times referred to as the Third Supplement), made and entered into

A. Vista and Carlsbad entered into an agreement dated-
July 13, 1961, entitled "Basic Agreement Between Vista Sanitation
District and the City of Carlsbad for the Acquisition and Con-

struction of a Joint Sewer System" (sometimes hereinafter referred
to as the Basic Agreement).

B. Vista and Carlsbad entered into the First Supplement to
the Basic Agreement,. said supplement, being dated March 25, 1963* •
for the purpose of authorizing Vista to apply for federal grants
or funds pursuant to the Federal Water Pollution Control Act' •
(Public Law 660, 84th Congress) and agreeing that the total
of the monies received by Vista and Carlsbad from said grants
, .would be credited -to Carlsbad and Vista in fche -aiame proportion

treatment plant shall become a part of said treatment plant and
shall be operated and maintained as part thereof in accordance

• Section 9. SAN MARCOS SEWER « Notwithstanding the provisions
of Section 4 of the Basic Agreement, San Marcos may construct, re-
construct, maintain, repair and operate a transmission line
(herein referred to as the San Marcos outfall) from the San Marcos
County Water District (as the boundaries thereof may now exist or
as such boundaries hereafter be expanded) to the treatment plant
(Unit I) approximately- along the route shown on Exhibit "A" hereto
attached. Provided, however, that until such time as San Marcos
shall have constructed the San Marcos outfall from the highway
commonly known as El Camino Real to the treatment plant, San

SUGGESTED PROVISIONS OF LEASE
1. The lease would be for the period ending December 31, 1975
and would continue thereafter unless terminated by City. The City
would be required to give six (6) months notice of termination.
For example, if the City desired the occupancy to cease on March 31,
1977, it would be required to give notice by September 30, 1976.
2. No rent would be payable; or if some rental were deemed to
be required, it would be $1.00 per year or other nominal amount.
3. Mrs. Delpy would act as caretaker for the property. In
such capacity, she would act as an* independent contractor and in no
way be classified as an employee of the City.

4. Mrs. Delpy would maintain the property in its present con-
dition, reasonable wear and tear excepted.
5. There is presently fire and extended coverage insurance
coverage on the property in the amounts as set forth on Exhibit A
attached hereto. Mrs. Delpy would maintain insurance on the property
with the same coverage as presently carried on the property as set
forth on said Exhibit A.
6. Anything to the contrary notwithstanding, Mrs. Delpy could
terminate her occupancy and all requirements that she may have under
the lease upon giving thirty (30) days written notice to the City.

as Trustees under the Will of Edith Carrillo, deceased, and
MARIE ANTOINETTE CARRILLO DELPY as an individual, the undersigned,
hereinafter designated Grantor," owner of the hereinafter described
lands, for and in consideration of Five Thousand Seven Hundred
Thirty Six Dollars and No Cents ($5,736.00) in hand paid by the
hereinafter designated Grantee, or on its behalf and other valuable
consideration, the receipt of which monetary and other consideration
is hereby acknowledged, do hereby grant and convey to the SAN MARCOS
COUNTY WATER DISTRICT, herein designated Grantee, a perpetual
easement and right of way upon, through, undercover and across
the hereinafter described real property for the installation,
construction, operation, maintenance, repair, replacement, and
reconstruction of sewer pipelines and/or mains, manholes, sewer
• lateral pipelines, and all structures incidental thereto, together
with the perpetual right to remove buildings, structures, trees,
.bushes, undergrowth, flowers, and any other obstructionsinterfering
with the use of said easement and right of way by Grantee, its
successors or assigns.
To have and to hold said easement and right of way unto itself
and unto its successors and assigns forever. •._• - •
The real property referred to hereinabove and made' subject to
said easement and right of way by this grant is situated in the
County of San Diego, State of California, and is particularly. •
described in Exhibit A consisting of three pages hereto and made y
a part herein.
The Grantor may at his own risk use the surface of the above
described real property in a manner that will not interfere with
or bo detrimental to the use of said easement and right of way by
Grantee, its successors and assigns, provided no trees shall be

planted or grown thereon. Said use by the Grantor may include

the construction and maintenance of any road or roadway of the
usual and customary width, character and design, that is not in-
compatible with the use of said easement and right of way by, and with
prior approval of, Grantor, its successors and assigns.
The Grantor hereby covenants and agrees that there shall not
be constructed or maintained upon the above described real property
or within said easement and right of way any building or structure
of any nature or kind that will interfere with the use of said

easement and right of way by Grantee, its successors, or assigns,
or that will interfere with the ingress or egress along said
easement by said Grantee; however, the construction of any building
. or structure that is not incompatible with the use of said easement
and right of way, and with prior approval of, Grantor, shall be
•permissible. Prior to construction, the Grantor shall submit the
.plans for the proposed construction to, and obtain the written
approval of, the Grantee. Each proposal must include provision
for access to, maintenance and repair of existing lines. The Grantee
shall not unreasonably withhold written approval of such plans.
The Grantee hereby covenants and agrees, for itself, its sue-
.cessors and assigns, not to fence the above described real property
or to prevent the Grantor, his successors or assigns, from crossing
over said real property and agrees that the Grantor, his heirs, suc-
cessors and assigns may enjoy the continued use of the surface of
said real property herein described, subject to the conditions
above stated; and the Grantee hereby covenants and agrees that
after the installation of any pipeline by it in any excavation made

by it in the above described easement and right of way it will
backfill any such excavation made by it so as to fill said exca-
vation as nearly as practicable to the level of the surrounding
ground, take appropriate steps to prevent erosion.
The parties hereto understand and agree that the SAN MARCOS

COUNTY WATER DISTRICT is a party to the Joint Powers Agreement
between the City of Carlsbad, Vista Sanitation District and Buena
Sanitation District, that the sewage Disposal and treatment
facility known as the Encina Treatment Plant is owned and operated
pursuant to said agreement. That property of Grantor herein is
within the Carlsbad service area as set forth in said agreement.
That pursuant to said agreement .Grantee herein will negotiate wit!
the appropriate Governmental agency to allow for and provide for
sewer service to Grantor*s lands, as described herein. Said sewer
service shall be granted upon equitable terms and conditions.
As used above, the term "grantor" shall include the plural
as well as the singular number, and the term "grantor" or "Grantee"
shall include, as appropriate, the parties and their heirs, execu-
tors, administrators, successors and assigns, and the words
"himself" and "his" shall include the feminine and neuter gender as
the case may be.

BOHBH
I. LOCATION AND CHARACTERISTICS
The 853 acre Rancho Carrillo is located approximately four miles
east of Interstate 5 via Palomar Airport Road. The property is
undeveloped except for the existing ranch complex built in 1935
by Leo Carrillo. The ranch proper is surrounded by orchards and
is situated in the center of a picturesque valley which is the
focal point of the property. The balance of the ranch property is
barren for the most part and is characterized by gentle rolling
agricultural land, flat mesas, and steeper slopes with scattered
brush.
A natural drainage swale running through the valley (east to west)
serves as a collector for surface runoff and is dry for the most
part; however, there is evidence of an underground spring west of
the ranch complex near the westerly property line. There is a
small pond near the property line and a much larger pond contiguous
to the westerly property line on the adjacent property.
II. PRESENT AND FUTURE ACCESS TO PROPERTY
At present, access to the ranch property is from Palomar Airport
Road, which runs in an east-west direction through the extreme
northern portion of the property. Palomar Airport Road is a future
major artery with a 126 foot right of way, but at present it is a two
lane road.
The County plan for major roads indicates another future major
artery, Melrose Avenue (S.A. 460), running in a north-south direction
from Alga Road, south of the property, northward through the property,
intersecting Palomar Airport Road, and north to State Highway 78.
At present, Melrose Avenue terminates at the extreme southeastern
corner of the ranch property.
Poinsettia Drive (or Carrillo Way), also a proposed major collector,
will originate at Interstate 5 to the west and terminate at Melrose
Avenue near the center of the ranch property.
Extension of El Fuerte Street, which now terminates at the property
line, is also planned, and it may continue northward to Palomar
Airport Road.
III. PROPOSED DEVELOPMENT
A. Residential
The proposed development contemplates a community
comprised of a mixture of estate homes, garden
homes, townhouses, and condominium apartments
with related school, commercial, and recreational
facilities. Most residential areas indicated on the
development plan will be a mixture of the dwelling types
mentioned above, and the developed areas will be
separated by green belts as indicated.
B. Schools
The property is presently located within the Carlsbad
and Richmar School Districts. Discussions with school
officials from both Districts indicated that one elementary
school site for each District (10 acres each) would be
sufficient for the type of community proposed.
Junior and senior high schools were discussed, and it
was determined that the Ranch property would not be
suitable for either, since the property is located on the
periphery of the school districts involved. School
officials indicated that a centralized location was more
desirable.
C. Commercial
Since the ranch property is located on the periphery of
the City of Carlsbad, it has been assumed that it would
not be suitable for a large regional or community shopping
center. The development plan does, however, indicate
three commercial areas of 5, 10, and 15 acres. These
areas are intended to be developed as neighborhood
shopping centers and have been located for accessibility.
D. Community Park with Historical Site
In an effort to maintain a measure of historical significance

in the area, it is proposed to preserve the existing
Carrillo Ranch house for possible use as a community
center. Jhe eight adjacent acres can be used as a
community park with picnic and recreational areas.
Recreational with Related Commercial
A recreational center with various facilities is contemplated
to provide an additional amenity to the proposed community.
This center will compliment the adjacent community park
and could consist of tennis courts, clubhouse, swimming
pool, restaurant, and related shops.
F. Open Parks
The green belt indicated on the development plan separates
most of the major residential areas, and the total area of
this undeveloped property will be in excess of 200 acres.
This acreage figure does not include the open space areas
provided by the Community Park and Recreational Center.
IV. DEVELOPMENT FACILITIES
A. Sewage Disposal
At present, there are no trunk lines in the area to serve
'the proposed development; however, there are tentative
plans to construct a pumping station near Alga Road,
east of El Camino Real. A trunk line (gravity flow) could
' be constructed westerly from the proposed development,
paralleling the existing San Marcos Force Main to a
point east of El Camino Real then south to the proposed
pumping station.
Tentative plans also indicate the possibility of building
a sewer pump station and wet well over the existing force
main to accommodate this proposed development.
B. Storm Drainage
All required storm drains will be designed to collect
. surface runoff and discharge into the natural drainage
channel at the westerly portion of the valley.

C. Water Supply
The property lies within the boundary of the Carlsbad
Municipal Water District, and there is an existing 27"
main located in Palomar Airport Road.
D. Power, Gas, and Telephone
Power, gas, and telephone facilities are available in
the immediate area.

PROPOSALS FOR PARK REQUIREMENTS OF CARRILLO RANCH
1. Determination of the number of acres required for park
sites? 853 acres gross acreage. Density, 5.3 units to the acre.
DU 8,000 to 8,999 sq. ft. equals 3.10% of the gross area/3.10% times
853 acres equals t26.443tacres. This appears to be correct. Is it?
2. Determination of what credit in terms of acreage will be
given for the improvements.
(a) Our proposal is that the improvements should be
valued in proportion to the value as shown on the latest
tajc__as_sessmeiits. This gives a value of approximately 9
acres of land as being equivalent to the improvements.
3. Since the 10 acre parcel with its improvements does not
meet the total park requirement for the entire parcel, 26.443 acres,
then where will the additional land for a park be located? Our
suggestion is that an additional park be established at the west side
of Parcel J. This parcel has a stream bed running through it, has
many trees, and a small lake on it and a dam. Further, this parcel
overlooks a larger lake and dam on the adjacent Bressie lands.
Seemingly, when the Bressie lands are later developed, the Bressie
lake and dam could be added to the park to make a beautiful completed
site for the park.
4. How could the park lands be dedicated to the City?
(a) We would propose an immediate Irrevocable Offer
to Dedicate the park lands, which would be filed con-
currently with the final map on the current 100 acre
parcel G./ f.

Since the park sites would have a first trust deed against them
to the Carrillo Estate, in order to ensure that the City would get the
park sites, we would secure the City with the 21 remaining acres in
Parcel G, free and clear, as security that the Irrevocable Dedications
would be free and clear of all liens at the time that a final map is
filed which is adjacent to the park site or sites. We feel that this
would be a good solution which would give the City good security.
