PREAMBLE
This Agreement made this 4th day of May , 1983,
by and between PUESTA DEL SOL, a limited partnership, herein-
after referred to as Grantor, and PUESTA DEL SOL HOMEOWNERS
ASSOCIATION and the PEOPLE OF THE STATE OF CALIFORNIA, collect-
ively referred to hereinafter as Grantee.
R E CIT A L S
WHEREAS, Grantor is the owner of certain real property
located in the City of Carlsbad, County of San Diego, State of
Cal i fornia, here inafter refer red to as the "serv ien t tenement"
and described as in Exhibit "A", attached hereto;
NOW, THEREFORE, it is agreed as follows:
GRANT OF EASEMENT
1. Grantor hereby grants to Grantee an easement as
hereinafter described.
CHARACTER OF EASEMENT
2. The easement granted herein is an easement in
gross.
DESCRIPTION AND LOCATION OF EASEMENT
3. The easement granted herein is a five-foot wide
vertical accessway from Ocean Street to the mean high-tide line
along the Southern property line of the above-described pro-
perty for public pedestrian use, to be open year-around during
daylight hours, and to be maintained according to the Safety and
Health Standards used in managing other accessways in the City
of Carlsbad, located as specifically set out in the diagram
attached hereto and incorporated herein as Exhibit "B".
USE
4. The easement granted herein includes the following
use of the servient tenement only:
Said accessway is to be used for public pedestrian
use year-around during daylight hours only.
The easement granted herein includes and is expressly
made subject to that certain Irrevocable Offer to Dedicate by
PUESTA DEL SOL, a limited partnership, recorded concurrently
herewith and incorporated herein by this reference as though
set forth in full.
SECONDARY EASEMENTS
5. The easement granted herein includes incidental
rights of maintenance, repair and replacement as necessary to
maintain said easement in accordance wi th the Safety and Heal th
Standards used in managing other accessways in the City of
Carlsbad. Nothing herein contained shall be construed to
require any entity other than the PUESTA DEL SOL HOMEOWNERS
ASSOCIATION to maintain said easement or accept 1 iabili ty
therefor.
MAINTENANCE
6. The general and continuing underlying responsi-
bility for maintenance and liability for said vertical access-
way shall be the responsibili ty of the PUESTA DEL SOL HOMEOWNERS
ASSOCIATION except for those periods of time that the City of
Carlsbad, Coastal Conservancy, or other agency suitable to the
executive director agrees to accept responsibility for main-
tenance and liability.
ENTIRE AGREEMENT
7. This instrument and that certain irrevocable offer
to dedicate the easement defined herein, constitute the entire
agreement between the parties relating to the rights herein
granted and the obligations herein assumed. Any oral repre-
sentations or modifications concerning this Agreement shall be
of no force and effect, excepting a subsequent modification in
writing, signed by the party to be charged therewith.
BINDING EFFECT
8. This instrument shall bind and inure to the benefi t
of the respective heirs, personal representatives, successors,
and assigns of the parties hereto, and shall run with the land
in favor of the People of the State of California.

A California Corporation
We, the undersigned, being all of the incorporators, first
directors and/or the directors named in the Articles of
Incorporation of the above-named California corporation
duly formed by the filing of said Articles of Incorporation
in the office of the California Secretary of State on the
6th day of April, 1983, and desiring to hold the first meet-
ing of the Incorporators and Directors of said corporation for
the purpose of completing the organization of its affairs, DO
HEREBY WAIVE NOTICE of said meeting, and CONSENT to the holding
thereof at 190 Del Mar Shores Terrace, Unit 3, in the City of
Solana Beach, California, on the 14th day of May , 1983, at
10:00 o'clock in the A.M. of said day, for the purpose of
appointing directors, adopting By-Laws, electing officers,

A quorum of the directors named by the Incorporator
of the corporation named above, constituting the board of
directors of this corporation, held their first meeting at the

The chairman stated that the original Articles of Incor-
poration of the corporation had been filed in the office of the

The chairman presented to the meeting a certified copy of
the Articles of Incorporation, showing filings as stated, and
the Secretary was directed to insert the copy in the book of
minutes of the corporation.
PURPOSES, OBJECTIVES & BYLAWS
The matter of the adoption of bylaws for the regulation of
the corporation was next considered. The secretary presented to
the meeting a form of bylaws which was duly considered and dis-
cussed. On motion duly made, seconded, and unanimously carried,
the following resultions were adopted:
WHEREAS, the directors of this corporation have not as
yet adopted any bylaws for the corporation; and
WHEREAS, the best interests of this corporation will be
served by the adoption of bylaws;
THEREFORE, BE IT RESOLVED, that the bylaws presented to
this meeting and discussed are hereby adopted as the bylaws of
this corporation.
RESOLVED FURTHER, that the secretary of this corporation
is authorized and directed to execute a certificate of the
adoption of these bylaws and to insert these bylaws as so cer-
tified in the book of minutes of this corporation and to see
that a copy of the bylaws, similarly certified, is kept at the
principal office for the transaction of business of this cor-

the business of this corporation shall be located,

bank account must be signed by the president or chief
financial officer.
INCORPORATION EXPENSES
In order to provide for the payment of the expenses of
incorporation and organization of the corporation, on motion
duly made, seconded, and unanimously carried, the following
resolution was adopted.:
RESOLVED, that the president and the chief
financial officer of this corporation be, and
they hereby are, authorized and directed to pay
the expense of the incorporation and organization
of this corporation.

AUTHORIZATION TO FILE
WITH GOVERNMENTAL AGENCIES
1. Exemptions from Federal and State Taxes. The chairman
explained that federal and state tax exemptions are available to
certain nonprofit corporations. On motion duly made, seconded,
and unanimously carried, the following resolution was adopted:
RESOLVED, that the president consult with legal
counsel to ascertain the availability of exemptions
from taxation under the federal and state tax codes
and, if such are available, the president is author-
ized and directed to execute and file all necessary
applications for exemptions from such tax with the
appropriate state and federal tax authorities, and
to pay necessary filing fees.
2. Statement by Domestic Corporation. The following
resolution was moved, seconded, and unanimously carried:
RESOLVED, that the president is authorized and
directed to execute and file with the office of the
Secretary of State the Statement by Domestic
Corporation, setting forth the names and addresses
of the corporation, its officers, directors, and
agent for service of process.
ACCEPTANCE AND MAINTENANCE
OF EASEMENT
The chairman next stated that Puesta Del Sol, a limited
partnership has executed a Grant of Easement for a five foot
(5') wide vertical access way located along the southern boundary
line of real property owned by Puesta Del Sol, a limited
partnership to be developed into condominiums. to be known as
Puesta Del Sol Condominiums. The easement grants the five foot
wide (5') vertical access way to Puesta Del Sol Homeowners
Association and to the people of the State of California, and
requires the Puesta Del Sol Homeowners Association to undertake
the general and continuing underlying responsibility for
maintenance and liability for said vertical access way, except
for those periods of time that the City of Carlsbad, Coastal
Conservancy, or other agency suitable to the executive director
of the California Coastal Commission agrees to accept responsibility
for maintenance and liability. The chairman further advised the
meeting that agreement by the Puesta Del Sol Homeowners Association
to undertake said responsibility for maintenance and liability is
a condition precedent to the development of Puesta Del Sol Condo-
miniums by puesta Del Sol, a limited partnership. On motion duly
made, seconded, and unanimously carried, the following resolution
was adopted:

RESOLVED, that Puesta Del Sol Homeowners
Association hereby agrees and undertakes the
general and continuing underlying responsibility
for maintenance and liability for said vertical
access way, except for those periods of time that
the City of Carlsbad, Coastal Conservancy, or other
agency suitable to the executive director agrees to
accept responsibility for maintenance and liability,
and to maintain said vertical access way open for
public pedestrian use year-round during daylight
hours only, and to maintain said vertical access
way according to the safety and health standards
used in managing other access ways in the City of
Carlsbad.

TENTATIVE PARCEL MAP
CITY OF CARLSBAD

The Subdivision Map Act and the Carlsbad Municipal Code sets a
fifty (50) day time restriction on Engineering Department pro-
cessing. ' This time limit can only be extended by the mutual
concurrenpe of the applicant and the City. By accepting appli-
cations fQr Ten~~tive Parcel Maps concurrently with applications
for other approvals which are prerequisites to the map; i.e.,
Environmental Assessment, 'Environmental Impact Report,' Condominium
Plan, Planned Unit Development, etc., the fifty (50) day time
limits are often exceeded. If you wish to have your application
processed concurrently, this agreement must be signed by the
applicant or his agent. If you choose not to sign the statement,
, the City will not accept your application for the Tentative Parcel
Map until all prior necessary entitlements have been processed and
,approved . . '
.The undersigned understands that the processing time required by
~he City may exceed ~he time limits; therefore, the undersigned
agrees to extend the time limits for City Engineer action and
fully concurs with any extensions of time up to one year from
the date the application was accepted as complete to properly
review all of the applications.
