BACKGROUND Bressi Dam, located in Carlsbad Califomia, was constructed approximately 40 years ago to provide storage for agricultural water. The dam is a compacted earthen fill structure with a cross sectional base width of 150 feet and a crest width of 10 feet. From base to crest the dam reaches an approximate height of 29 feet. Continuous drainage is provided by a 24 inch diameter cement mortar coated (CMC) steel pipe. The outlet pipe is approximately 150 feet long, with a 0.67 percent slope from irUet to outlet. The pipe inlet is protected by rock rip rap. PURPOSE Although the dam is currently not used for impounding water, it is desired that the structural integrity of the pipeline be preserved. Corrao«Brady Group has been retained to investigate and recommend altematives to ensure that the outlet pipe will continue to be operable. Mr. David Lother March 10, 1997 Page 2 REHABILITATION AND RESTORATION ALTERNATIVES At the present time, the outlet pipe is operating satisfactorily. Although the pipe appears to be in good shape (as visually observed from the outlet end of the pipe), it is not possible to positively state the condition of the pipe over the entire length. To provide confidence that the outlet pipe will remain operational, it may be necessary to perform some measure of rehabilitation. The following is a list of possible altematives for rehabilitation and/or restoration of the Bressi Dam outlet pipe: • Cured in Place Pipe (CIPP, i.e. "Insituform") • Pipe Jacking with Steel Insert • Pipe Jacking with Polymer Based Pipe Insert • Microtunneling • Directional Drilling Cured In Place Pipe Cured In Place Pipe (CIPP) is a polyethylene resin material that is expanded into the pipe with water pressure. The resin is hardened by circulating heated water inside the liner. Because the hardening of the resin is thermally activated, the liner is refrigerated prior to insertion. The CIPP will conform to the interior diameter of the pipe, and fill any internal voids. As with all liiung processes, the pipe diameter is somewhat decreased, but the flow characteristics will not be dramatically altered. The CIPP liner has a lower coefficient of friction than the existing steel pipe which provides a greater flow capacity. "Insituform" is a brand name of the above CIPP process. Pipe jacking with Steel Insert Steel pipe jacking is a process by which pipe of a smaller nominal diameter is physically forced through the existing pipe. The process requires the use of heavy equipment, casing spacers, and slip jacks. A loader is positioned at one end of the outlet pipe and used for inserting or pushing the steel pipe into the existing pipe. As new pipe sections are welded to the inserted pipe the loader pushes them along until the existing pipe is completely re- lined. Redwood slip jacks or casing spacers with teflon-coated ribs can be used to make installation easier. Slip jacks provide less frictional resistance as the new pipe is inserted into the existing pipe. After completion of the pipe jacking procedure the annular space between the old and new pie will need to be grouted. Grouting material is pimiped through the hole and forced throughout the annular space under pressure. Pipe jacking with Rigid Polymer Pipe Polymer based pipe inserts include Polyvinyl Chloride (PVC), High Density Polyethylene (HDPE), and Vylon PVC pipe. The process used to install polymer pipe is similar to the process that is used for steel pipe jacking. An advantage of using a polymer material is the reduced weight of the pipe and the resulting decrease in force required to jack the new pipe into the existing pipe. Rehabilitation can be performed with SDR 18 or C900 PVC pipe sectioiTS if casing spacers are used. Spacers are needed so that the gaskets of the new pipe are not over-compressed while being pushed through the existing pipe. Pipe jacking with HDPE has the additional advantage, when compared to PVC, of installing the pipe by pulling instead of jacking. In addition, HDPE is supplied in 50 foot sections and the joints are fused together. Casing spacers are not required as a result of the fused joints. Finally, an altemate pipe jacking product is Vylon PVC. Vylon conforms to ASTM D-1784 and has an intemal locking joint feature that is specifically designed for pipe jacking. Microtunneling Microtuimeling is the process of boring a new outlet tuimel, parallel to the original pipe, straight through the base of the dam. As the turmel boring machine progresses through the dam, new vitrified clay, ductile iron, or steel pipe is jacked through the boring. The pipe being jacked into the tunnel also serves to push the boring head along. A new inlet and outlet structure would be constructed and the existing pipe would be abandoned. Directional Drilling Directional drilling is essentially the same as a microtunneling process, although the drilling head has the ability to move horizontally or vertically, to alter the course of the new tunnel. A one-piece, fusion-welded polyethylene pipe is pulled through the boring hole after the drilling is complete. A new inlet and outlet structure would be needed for this alternative. Therefore, there will be no further discussion of these altematives. Environmental Impacts Since the installation of CIPP lining could be accomplished from the crest of the dam, it will cause the least enviroimiental impact. Steel or polymer pipe jacking would require approximately 1500 square feet of staging space. This space is needed as access for the machinery required to jack the pipe through the existing pipe. The area can be grubbed at the down stream side of the dam to avoid disturbances to the upstream wetland area. With respect to envirorunental impacts, the CIPP liner process can also be completed a minimal amount of disturbance. Constructibility CIPP will require a greater construction effort than will be necessary with steel or polymer pipe jacking processes. The "Insituform" truck can be stationed on the dam crest to minimize envirorunental impacts. However, the CIPP process requires a large amount of water to install and heat-cure the liner. As water is not available at the site, it will be necessary to bring water by truck. After the lining process is complete, the process water is contaminated with styrene, and requires sewer disposal. Sewer service, is also not available at the site. Consequently, the water will have to be removed by truck and discharged into the closest sewer available. Pipe rehabilitation with a steel liner requires the use of skids to aid the pushing process. Another disadvantage of steel pipe lining is that it requires more force to push the new pipe through the existing pipe; thus heavier equipment is necessary to complete the job. Steel pipe also requires welding which adds to the mobilization effort and time to complete the project. Installation of a polymer pipe liner is advantageous due to the relative ease of construction, with a comparable service life to CIPP. The difficulty with the CIPP altemate is that the process requires greater mobilization due to the specialized equipment necessary to perform the work. In addition to the advantages over CIPP lining, the polymer pipe liner would be easier to ii\stall than the steel liner. Since polymer pipe is much lighter than steel pipe, much of the pipe handling could be accomplished without machinery. In addition, the force required to push polymer pipe into the existing pipe is much less than required to push steel pipe. If an HDPE liner is used, grouting will not be necessary and the pipe can be pulled through the steel casing due to the increased strength of the fused joints. Further more, the impoundment side of the dam will not need to be accessed by equipment. A winch can be lowered by a crane positioned on the crest of the dam and used to pull the liner through the existing pipe. On the outlet side of the dam, a small stationing area will need to be cleared, so that the 50 foot HDPE pipe sections can be inserted. Service Life The HDPE slip liner and CIPP liner will both provide better corrosion resistance than a steel pipe slip liner. Plastic-based materials will meet structural loading requirements, and will provide superior resistance to corrosion. In addition, polymer pipe will support the dead loads that would be imposed on the pipe, if the existing outer steel pipe were to fail at some future date. Structural Integrity Since all three methods are installed within the existing pipe, there will be no effect on the structural integrity of the dam. COST The table on the following page presents preliminary comparative cost estimates for each of the more feasible rehabilitation alternatives. The CIPP estimate was provided by "Insituform" and was based on a general description of the project. Material costs for the polymer pipe jacking process were given by Familian Supply, while material costs for the steel pipe jacking process were provided by International Fabricators. Installation estimates were provided by T.C. Construction, who has experience with both polymer pipe and steel pipe jacking processes. If the "Insituform" crews were to perform the rehabilitation work at the irilet of the pipe, the cost can be reduced to approximately $50,000. However, this is not recommended due to the environmental sensitivity of this area. Steel pipe jacking does not appear to be the best choice due to the level of difficulty associated with this process. Heavier equipment and additional labor will impose greater disturbances on the area. Polymer pipe has the strength required to support the 29-foot high earth dead load, in the event the existing steel line should fail. In addition, polymer pipe is easier to install and is resistant to corrosion. If standard bell end PVC pipe is used, the nominal diameter of the outlet pipe will be reduced to 16 inches, to accommodate the casing spacers. Spacers are needed to hold the PVC pipe section at the correct depth during insertion into the existing pipe. The hydraulic impact from the resulting diameter decrease needs to be checked before choosing this option. Vylon PVC has an intemal jointing feature resulting in an uniform outside diameter. Unlike steel and PVC sections, the Vylon joint system allows for jacking of the pipe without the use of casing spacers. However, vylon is more costly and is limited to a diameter of 18 inches. RECOMMENDATION It is recommended that 20 inch diameter HDPE pipe be used to rehabilitate the steel cement mortar coated outlet pipe of the Bressi Dam, at an approximate cost of $15,000. The resulting 1/2 inch aimular space between the existing steel pipe and HDPE liner does not need to be grouted. Constmction options include jacking the pipe from the down stream end or winching the pipe from the upstream end. To perform both options the following procedure can be used: 1) Clear and grub the down stream end, to provide a working area to insert 50 foot pipe sections. Work can be done with a rubber tire backhoe. Some minor tree trimming will be necessary. 2) If the winch system is used, the contractor must also clear the upstream end of debris that has accumulated around the headwall. Work can be done by hand. The City shall maintain those facilities located beneath the publicly dedicated easements or within City owned property including the protective fences around the glory hole and along the top edge ofthe culvert headwall. 2. Maintenance for the access road, open space area, east facing Melrose slope (inclusive of the area beneath City drainage and access easements) and protective fencing around the retention basin shall be transferred to the future Rancho Carrillo Homeowners (RCHOA) upon formation of the RCHOA and release of the grading and erosion bond by the City. The RCHOA shall also be responsible for all inspection fees required by the Division of Safety of Dams (DSOD). The RCHOA shall be required to maintain the slopes and open space area including the approach to the headwall and outlet structure in a manner consistent with the requirements of the DSOD. The RCHOA shall also be responsible for any future costs related to subsequent improvements to the dam outiet and glory hole as may be required by the DSOD regardless of whether or not such improvements are to be located within the City easements. RECITALS: WHEREAS, in 1977, the City entered into an agreement (the "1977 Agreement") with the Carrillo Rancho Partnership for the dedication for park purposes of (1) a 10-acre parcel of land and (2) structures situated thereon valued at $97,500.00. The City accepted ownership of this parcel on ^j^/'HA'^if /f'y? . This Agreement established that the amount of land dedicated, and the value o^ the improvements on this land, will be maintained on account by the City to be drawn upon as a credit against park-in-lieu fees required by subsequent subdivisions in the Rancho Carrillo Master Plan; and WHEREAS, on July 1, 1986, the City ofCarlsbad adopted Ordinance 9810 which established its Growth Management Program which requires public facilities concurrent with need; and WHEREAS, on September 23, 1986, the City of Carlsbad approved Resolution No. 87-97 adopting the Citywide Facilities and Improvement Plan and Resolution No. 87-96 which established performance standards for parks and other facilities; and WHEREAS, on March 3, 1991, the City approved Resolution No. 91-76 adopting the Zone 18 Local Facilities Management Plan which provided a detailed description of the buildout potential of Zone 18 including the area of the Rancho Carrillo Master Plan and established the public facilities requirements for the development of this area including the requirement for the dedication of 8.5 acres of park land based on a maximum buildout of 2091 units with a population generation rate of 2.471 residents per unit; and WHEREAS, the City's 1992, Growth Management Monitoring Report reduces the population generation rate from 2.471 residents per unit to 2.318 residents per unit, based on the maximum number of units (2091) permitted by the Zone 18 LFMP. There could be up to 4,846 residents within the Rancho Carrillo Master Plan, with a requirement of three (3) acres of park land per 1 ,(X)0 residents. This would generate a need for 14.5 acres of park land dedication based on these numbers; and WHEREAS, there is an existing park credit of 8.8 acres from the 1977 park land dedication; this results in the requirement for a maximum dedication of an additional 5.7 acres of park land based h: \crg\rc-parks. agl " ^ ~ 04/02/97 on the maximum buildout of 2,091 units allowed by the Zone 18 LFMP. The Rancho Carrillo Master Plan only permits a maximum of 1,982 dwelling units, while the actual number of units being constructed may be substantially less thereby significantly reducing the dedication requirement; and WHEREAS, Section 21.38.060(5) of the City's Municipal Code establishes a procedure and guidelines for the dedication of park land in Master Plans; and WHEREAS, on February 15, 1993, the City's Parks and Recreation Commission recommended approval of the acreage proposed for dedication as shown on Exhibit A attached; and WHEREAS, on (f^^jjfuA'^i W the City duly adopted, as Ordinance No. M^- Z-^y, the Rancho Carrillo Master Plan which designates the area to be dedicated to the City for park land and requires the Developers of the Rancho Carrillo Master Plan to enter into an agreement with the City regarding said dedication; and WHEREAS, it is the intent of the Developers of the Rancho Carrillo Master Plan to comply with the requirements of all of the previous recitals. NOW, THEREFORE, in order to implement the Rancho Carrillo Master Plan, Ordinance No. Ai^^'^i? , and in consideration of the mutual promises and obligations of the parties set out herein, it is agreed as follows: Owners' Responsibilities 1. Concurrent with the approval of the Master Plan Amendment, the Developers of the Rancho Carrillo Master Plan will offer for dedication approximately 16.4 acres free and clear of any liens as generally shown by Exhibit A (attached) and identified as "Site Plan" by Parks and Recreation Commission Agenda Bill #293-4. This dedication shall be accepted by the City and appropriately recorded on or before the approval of the first final map within the Master Plan. 2. The Master Plan applicants shall ensure to the satisfaction of the City Engineer that utilities remain available to the park site at all times during the Master Plan development unless prior approval is secured from the City. Joint trench and wet utilities shall be accessible to the park from Melrose Avenue or the collector street serving Village O adjacent to the ftiture entry road into the park site. A reasonable effort shall be made to locate the stubs to the satisfaction of the City. The costs to construct the utilities in the park will be the responsibility of the City. 3. Vehicular access to the park will be provided by the Master Plan applicants during all phases of development of the Master Plan to the reasonable satisfaction of the Community Services Director. After the completion of grading in the vicinity of -2- h:\crg\rc-parks.ag( 04/02/97 the park, permanent vehicular access to the site shall be provided by the Master Plan applicants from Melrose Avenue via an access easement through a cul-de-sac on property owned by Continental Homes as generally shown on Exhibit A. This access shall be graded to City standards with sufficient width to accommodate a 36' curb-to- curb road and improved with decomposed granite, to allow for an all weather access to the park site until the City develops a permanent entrance at this location. 4. If Village S is not utilized by the San Marcos Unified School District for a school, the City shall have first right of refiisal to purchase Village S for park purposes. If the City decides not to purchase Village S, then a portion of Village S, approved by the Community Services Director, which approval shall not be unreasonably withheld, and suitable to provide non-exclusive park access from Poinsettia Lane, emergency vehicular access to the park, and parking for 50 cars near the traditional entrance to the park site shall be acquired as additional park land. 5. The Master Plan applicants shall provide an all weather emergency vehicular/ pedestrian access, as shown on Exhibit A, between Village S and the park site at the base of the slope created by the construction of Melrose Drive, subject only to minor field adjustments reasonably approved by the Community Services Director. 6. For purposes of maintaining public utilities the Master Plan applicants shall provide access roads acceptable to the City, as shown on Exhibit A. 7. Temporary security arrangements for the ranch compound and historic structures shall be provided during grading to the satisfaction of the Community Services Director. 8. The Master Plan applicants shall construct a sewer line (shown on Exhibit A) to provide sewer service to the park site. If this sewer line must cross the creek to enter the park site adjacent to the gate house, it shall be concealed by a pedestrian bridge or other manner acceptance to the City. B. City's Responsibilities 1. Upon accepting the 16.4 acres, which includes dedication of unconstrained land in excess of the Master Plan maximum requirement of 5.7 acres as shown on Exhibit A, the City shall accept all maintenance and liability of all land, slopes, trails and drainages within the dedicated area upon recordation of the transfer of ownership, except for areas required to be maintained or monitored by owners such as riparian mitigation. The City shall accept maintenance and liability responsibility upon conclusion of such maintenance and monitoring obligafions. -3- h:\crg\rc-parlcs.agt 04/02/97 2. Upon or prior to commencement of physical development activities within the Rancho Carrillo Master Plan, the City shall quitclahn or vacate as appropriate any interest in the existing access easement from Palomar Airport Road. 3. The City shall accept all access easements described in Section A (Owners' Responsibilities) and shown on Exhibit A as being adequate to serve the City's needs. 4. As part of the park development process, if deemed appropriate, it shall be the City's responsibility to provide permanent perimeter fencing. 5. Reasonable requests for access, temporary easements and other items related to the construction of Master Plan infrastructure, such as sewer, roadway culverts and storm drains, shall be granted by the City. 6. By this Agreement, the City acknowledges that the Master Plan applicants have met their park land requirement through the 1977 park land dedication, the value of the improvements on that land and the additional dedication of 16.4 acres. No park-in-lieu fees will be required for the development of up to 1,982 units. This figure is based on the assumption that the school site and community facility site are developed for residential purposes. Credits for the school site (147 units) and the community facility site (19 units) shall not be used unless and unfil those sites are developed for residential purposes. C. Credit Transfers and Termination. The credits may be transferred to successors. A transferring party shall not accept payment for such credits in excess of the park-in-lieu fee in effect at the time of such transfer. Evidence must be presented to the City by any party wishing to record a Final Map that it has or has acquired park-in-lieu fee credits in an amount equal to the number of dwelling units on such Final Map. It is the intention of the Master Plan applicants and the City that the credits will be used in connection only with the 1,982 dwelling units allowed by the Master Plan. Therefore, any "unused" credits shall tenninate after all units allowed by the Master Plan have been developed. D. Entire Agreement and Remedies. This text and exhibits constitute the entire agreement. This Agreement may be enforced by an action for specific performance and/or other action(s) permitted at law or in equity. Continental is the developer of real property located in the City of Carlsbad, Califomia, as shown on Exhibit "A" attached hereto and made a part hereof (Rancho Carrillo). Rancho Carrillo consists of several Villages, as designated on Exhibit "A." As used herein, the term "Villages" shall refer, as indicated, to one or more of such Villages so designated on Exhibit "A." The various Villages as shown on Exhibit "A" either are, or will become, separate legal parcels in accordance with the applicable legal requirements of the State of Califomia and the City of Carlsbad. B. As separate legal parcels, Continental intends to convey or cause conveyance of record title to the Villages to other persons pursuant to contractual commitments not related to this Agreement. Any fiirther development activity with respect to any of the Villages will be the responsibility of the respective transferee. All of the Villages of Rancho Carrillo are herein referred to collectively as the "Rancho Carrillo Project." Continental is the developer of the Rancho Carrillo Project. C. The City Council of City adopted Resolution No. 97-645 on October 21, 1997, approving Rancho Carrillo Master Plan Amendment, General Plan Amendment, Addendum to Master Environmental Impact Report 93-01, and the fmdings and conditions of the Planning Commission Resolutions No. 4165, 4166 and 4167 (GPA 96-05 and MP 13 9 [F]) relating to development of a mixed-use, master-planned community within the City of Carlsbad. Finding No. 2 of Resolution No. 4167 provides as follows: All necessary public facilities can be provided concurrent with need and adequate provisions have been provided to implement those portions ofthe capital improvement program applicable to the subject property. The Master Plan has language in the text stating that all fiiture development shall comply with the public facility performance standards and phasing requirements of the Local Facilities Management Plan (LFMP) for Zone 18. Public facilities are required to be constmcted as development in the Master Plan creates demand for additional facilities. A financing plan approved by L:\CONTHOME\CARRILLO\reim6.agr February 16, 2000 the City Council for the Zone 18 LFMP will provide mechanisms for the financing of the required public facilities. D. Continental has advanced on behalf of City the cost of constmcting off-site sewer facilities consisting of a new sewage lift station, a force main and a tmnk sewer pipeline as identified by the Zones 10, 17 and 18 Local Facilities Management Plan, hereinafter collectively referred to as the "Sewer Work." E. Pursuant to Resolution No. 91 -21, adopted by Carlsbad City Council on January 22, 1991, City has implemented a plan for levying and collecting sewer benefit area fees in order to fund improvements in various sewer benefit areas within the City of Carlsbad. Said plan is set forth in the January 1992 Update to the December 1987 Master Plan of Sewerage, prepared by Wilson Engineering (hereinafter the "Wilson Report"), and is subject to further review and modification by City. The sewer benefit area fees, in addition to sewer connection fees, will be collected by City from builders upon City's issuance of building permits. The Sewer Work is contained in Sewer Benefit Area "H." F. City will utilize funds collected from Sewer Benefit Area "H" fees to reimburse the costs advanced hereunder by Continental for the Sewer Work. The sewer benefit area "H" fee is currently $626 per equivalent dwelling unit. G. City and Continental recognize that the Sewer Work exceeds the infrastmcture otherwise required of the Rancho Carrillo Project as required by the Growth Management provisions of the LFMPs for Zones 10, 17 and 18. Continental's share of the estimated costs ofthe Sewer Work is currently estimated to be $1,387,977. City agrees to reimburse Continental the balance of the project cost (which, based on the percentages and amounts given elsewhere in this Agreement, is currently estimated notto exceed $ 1,590,514) (the "Reimbursable Work"), with the understanding that any reimbursement paid to Continental is dependent on City's receipt of funds within Sewer Benefit Area "H." The amounts are derived from Rancho Carrillo's currently anticipated share (46.6%) of equivalent dwelling units ("EDUs") within fiiture Area "H." (The Wilson Report anticipated that Zone 18B, Rancho Carrillo, would have 2,254 of the 4,836 total future EDUs in Area "H.") However, the terms of this Agreement shall govem City's actual reimbursement obligations. H. City and Continental desire to enter into a Reimbursement Agreement which covers the Reimbursable Work contemplated by the constmction of the Sewer Work. I. A fuller description of the "Sewer Work" is the various items of constmction described in subsections (1) through (3) below: (1) Poinsettia Sewage Lift Station. Continental agrees to constmct a sewage lift station, referred to as Poinsettia Sewage Lift Station. The Poinsettia Sewage Lift Station is located along ftiture Poinsettia L:\CONTHOME\CARRILLO\reim6.agr February 16,2000 -2 Lane northeast of the La Costa Golf Course in the area as shown in the attached Exhibit "B." The work necessary for said constmction is shown on Drawing No. 331 -1E, Carlsbad Municipal Water District Project No. 95-402. (2) Rancho Carrillo Force Main. Continental will advance the costs necessary to constmct the Rancho Carrillo Force Main, a 12-inch diameter pipeline, extending from the Poinsettia Sewage Lift Station west to El Camino Real as shown on Drawing No. 331-lF, Carlsbad Municipal Water District Project No. 86-502. (3 ) Rancho Carrillo Tmnk Sewer. Continental will advance the costs necessary to constmct Rancho Carrillo Tmnk Sewer, a 15-inch diameter pipeline, as shown on Drawing No. 331-lC, Carlsbad Municipal Water District Project No. 86-502 (referenced as "Reaches VBTl A, VBTIC, VBTID and VBTIF" in the Wilson Report), extending from the subdivision's west boundary to the Poinsettia Sewage Lift Station. J. Estimated Cost of Sewer Work. The Total Cost of the Sewer Work (subject to verification and audit) is currently estimated to be $2,978,491. The estimated Total Cost includes the total of the Hard and Soft Costs shown below plus, (i) an overhead allocation of four percent (4%) of the Total Hard Cost in lieu of other reimbursement for Continental's cost incurred for salary and benefits for staff of Continental's home offices, supervision above the level of on-site superintendent, general corporate, legal, and accounting fees, the cost of borrowed funds, insurance and bond premiums, expenses for meetings with and presentations to governmental agencies which issue permits or otherwise regulate project approval (collectively, the "Overhead Costs"), and (ii) an additional two and one-half percent (2.5%) of the "Total Hard Cost" for constmction administration. Additional Work. In addition to and separate from the Sewer Work, as defined above. Continental installed a third pump and motor (the "Additional Work") at City's request. The Total Cost of the Additional Work was 342,494. The Additional Work was requested by City to provide increased reliability for pumping flows from Rancho Carrillo, but is also required to pump the sewage flows fributary to the Poinsettia Sewage Lift Station from other areas. The cost of the Additional Work (the "Immediate Reimbursement Amount") will be paid to Continental by City. However, City shall be reimbursed for the Immediate Reimbursement Amount through payment of Sewer Benefit Area "H" fees collected from areas outside Rancho Carrillo before reimbursement payments other than those described in Sections 4(d) and 4(f), below, are made to Continental; in addition, the Sewer Benefit Area "H" fee estimate will include the Immediate Reimbursement Amount. L. Vallecitos Reimbursement. By separate agreement between the City and Vallecitos Water District ("Vallecitos"), eighty (80) residential lots in Vallecitos will be allowed to connect to the Sewer Work. Further, there is an understanding among the City, Continental, Vallecitos, and Presley Homes, Inc. (the developer in Vallecitos) that the sewer connection fee to be paid by Vallecitos to the City will be $963 per EDU for a total of $77,040. This sum (the "Vallecitos Reimbursemenf) will be deposited into the Sewer Benefit Area "H" fund to be used for project cost reimbursement. L:\CONTHOME\CARRILLO\reim6.agr Februaiy 16, 2000 -4- NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. RECITALS. The above Recitals are tme and correct. 2. SATISFACTION OF OBLIGATION. Continental's agreement to perform the Sewer Work, as set forth herein, and the actual constmction thereof, shall fully satisfy and constitute fiill compliance with all requirements regarding the Rancho Carrillo Project with respect to the Sewer Work. 3. CONTINENTAL OBLIGATIONS. (a) In consideration of City' s reimbursement and other undertakings as set forth herein, Continental agrees to constmct and install the Sewer Work and the Additional Work. (b) Continental will obtain all property interest necessary for the constmction, operation and maintenance of the improvements herein described. (c) Continental shall complete all work no later than three (3) years from the effective date of the Agreement. Sewer Work and Additional Work completed before the effective date of this Agreement shall, subject to the other provisions of this Agreement, also satisfy this Agreement. (d) Continental shall use the complete set of Cify approved plans, specifications and other design documentation for the Sewer Work and Additional Work. (e) By entering into this Agreement, Continental waives any and all potential constitutional (Nollan/Dolan) objections relating to the Sewer Work and Additional Work. 4. CITY OBLIGATIONS. (a) Subject to the availabilify of fiinds in Cify's Sewer Benefit Area "H" fund, Cify shall pay Continental the "Reimbursable Amount," which is the Total Cost of the Sewer Work (as defined in Recital " J") multiplied by the percentage of the Sewer Work serving portions of Sewer Benefit Area "H" outside the Rancho Carrillo Project. (i) The percentage of the Sewer Work serving portions of Sewer Benefit Area "H" outside the Rancho Carrillo Project shall be measured by dividing the number of EDUs within Sewer Benefit Area "H" outside the Rancho Carrillo Project by the total number of EDUs within Sewer Benefit Area "H" (including the Rancho Carrillo Project). (ii) The parties anticipate that the Cify will revise the Sewer Benefit Area "H" fees before building permits are issued for other properties within Area "H." However, the Cify Council retains the right to determine whether and when to make that determination. Any change may require a consultant L:\C0NTH0ME\CARRILL0\reim6.agr February 16,2000 study and a Council ordinance and/or resolution. Continental shall have the same right as any other properfy owner within Sewer Benefit Area "H" to request that the Council order preparation of a fee revision. (iii) Any revision to the Area "H" fees would reflect (i) the actual cost ofthe Sewer Work including the cost of the Additional Work, rather than the amount estimated in the Wilson Report, (ii) changes in (or best estimates of anticipated changes to) EDU counts within Area "H," and (iii) the cost of preparing the revision. Continental does not hereby waive the right to comment on the proposed revision before Council adoption thereof. (iv) Nothing in this Section 4(a) (including subsections (i) through (iii)) shall be deemed to affect Sections 4(c) or 4(d). (b) Cify shall pay Continental forthe Reimbursable Work in compliance with the process described in Sections 5 and 6 below. (c) The Cify shall collect the sewer benefit area fee for all EDUs within the boundary of Sewer Benefit Area "H," except those within the Rancho Carrillo Project, whether or not the Sewer Work is utilized. (d) Any sewer benefit area fees paid for any properfy within the Rancho Carrillo Proj ect shall be refunded to Continental or the appropriate guest builder (whichever paid the fee), within thirty (30) days of the execution of this Agreement or within thirty (30) days of payment, whichever comes first. (e) Cify shall pay Continental the Vallecitos Reimbursement. Upon payment by Cify, the Vallecitos Reimbursement shall count as a payment toward the Reimbursable Amount. (f) Cify shall pay Continental the Immediate Reimbursement Amount within thirfy (30) days of signing this Agreement. In addition, Cify shall pay Continental the Vallecitos Reimbursement within twenfy (20) days of Cify's receipt of those funds. Section 5 of this Agreement shall not apply to Cify's payment of the Vallecitos Reimbursement. 5. ACCOUNTING OF COSTS. (a) When an item of the Sewer Work has been completed, as described in Section 5(e) below. Continental shall present Cify with a complete and detailed accounting of the costs and expenses advanced by Continental in connection with such Sewer Work. Upon its receipt of a written request therefor from Cify, Continental will allow an audit of such costs and expenses to be prepared at Continental's expense by certified public accountants specified by Cify. (b) With respect to all "Hard Costs" of constmction comprising the Sewer Work, Continental shall solicit bids from three reputable contractors. Reimbursable Work shall be bid together with non-Reimbursable Work for that portion of the Sewer Work which is being bid by such contractor. Continental L:\C0NTH0ME\CARRILL0\reim6.agr February 16,2000 may reject a low bid if, in its reasonable discretion, it does not believe the low bidder will be able to complete its portion of the Sewer Work competently or timely. (c) During the performance of any Sewer Work, Continental shall retain detailed payment records for all items of Sewer Work, for use by Cify in auditing any subsequent requests by Continental. Continental's requests for reimbursement (each a "Reimbursement Request") shall include copies of plans, specifications, engineer's cost estimates, bids received, confracts, change orders, invoices, payment slips, canceled checks (front and back), lien releases and other documentation reasonably required by Cify to evidence the completion and payment for each item of Sewer Work. Reimbursement Requests may be submitted in stages upon completion of any item of the Sewer Work in conformance with Section 5(e). (d) Continental shall send one copy of each contractor invoice to the Cify's Depufy Cify Engineer together with an invoice for all other components of the Sewer Work. The Depufy Cify Engineer shall consider and approve the request pursuant to this Agreement. If the Depufy Cify Engineer objects to any items comprising the Sewer Work, the Depufy Cify Engineer shall notify Continental within ten (10) days of receipt of all invoices forwarded by Continental. Failure to notify Continental shall be deemed the Depufy Cify Engineer's approval of such invoices. In the event the Depufy Cify Engineer does object, Continental and the Depufy Cify Engineer shall meet to discuss the disputed amount (at which time Continental shall make available all of the Sewer Work documentation) and attempt to resolve the matter through good-faith negotiation. (e) Prior to the submission to the Depufy Cify Engineer of the final invoices. Continental shall obtain necessary or appropriate releases from the contractor, and shall obtain from Cify, and from any and all appropriate govemmental agencies, all approvals, certificates and other documents necessary to indicate the completion of the Sewer Work and the abilify to put the Sewer Work into use. The date Continental receives all such lien releases, approvals, and certificates shall be deemed the date of completion of the Sewer Work (the "Completion Date"). Continental may submit its accounting and Reimbursement Requests at any time. Any delay by Continental in such submittals shall not prejudice Continental' s rights, but shall delay day-for-day the time in which Cify must take any responsive action. (f) Notwithstanding the foregoing, if Continental disputes the Depufy Cify Engineer' s determination of Reimbursable Work or believes that sum established by the Depufy Cify Engineer is not consistent with the specific provisions of the Agreement, then Continental may elect to appeal the Depufy Cify Engineer's decision pursuant to Section 7(a). 6. CITY'S COLLECTION AND PAYMENT OF REIMBURSABLE WORK. Cify shall collect sewer benefit area fees upon its issuance of building permits to developers within Sewer Benefit Area "H," excluding those in the subdivision boundary of Rancho Carrillo MP 139(F) in Sewer L:\CONTHOME\CARRlLLO\reim6.agr February 16,2000 Benefit Area "H," described in detail in the Wilson Report and depicted in the attached Exhibit "C." As each item of the Sewer Work identified in Recital "I" is completed and accepted by Cify, as manifested by Cify's approval of a notice of completion for said item, then the Cify's reimbursement payment for said item is due and payable. Thereafter, Cify shall pay to Continental in semiannual installments on each June 30 (for sewer benefit area fees collected by Cify through the preceding May 31) and on each December 31 (for sewer benefit area fees collected by Cify through the preceding November 30) any such fees collected by Cify for building permits issued within Sewer Benefit Area "H," until Continental is fiilly paid the Reimbursable Amount. Continental acknowledges that ultimate build-out of the properties within Benefit Area "H" (outside of the Rancho Carrillo Project) may not include enough EDUs to fiilly reimburse Continental prior to expiration of this Agreement. 7. MISCELLANEOUS. (a) Disputes: Claims. If a dispute should arise regarding the performance or interpretation of this Agreement, the following procedure shall be used to resolve any question of fact or interpretation not formally resolved by the parties. Such questions, if they become identified as a part of a dispute among persons operating under the provisions of this Agreement, shall be reduced to writing by Cify's principal engineer or the Depufy Public Works Director. A copy of such documented dispute shall be forwarded to both parties involved along with recommended methods of resolution which would be of benefit to both parties. The Depufy Public Works Director, or principal engineer, shall reply to the letter, including a recommended method of resolution, within ten (10) days of receipt. If the resolution thus obtained is unsatisfactory to the aggrieved party, a letter outlining the dispute shall be forwarded to the Cify Council through the office of the Cify Manager for the Council's resolution. The Cify Council may, but is not obligated to, resolve the dispute. If the Cify Council considers the dispute and directs a solution, the action of the Cify Council shall be binding upon the parties involved, although nothing in this procedure shall prohibit the parties seeking remedies available to them at law. (b) Jurisdiction. Continental agrees and hereby stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties arising out of this Agreement is San Diego Counfy, Califomia. (c) Obligations and Benefits Not Running With Land: No Third Partv Beneficiaries. This Agreement shall bind and inure to the benefit of the parties and their respective successors and assigns. However, it shall not mn with the land or be recorded, and all payments due from the Cify shall be made only to Continental Residential, Inc. or such assignee as Continental Residential, Inc. designates in writing. (d) Notice. This Agreement contains the entire agreement between the parties with respect to the matters set forth herein, and supersedes all prior or contemporaneous agreements (whether oral or written) between the parties with respect to the matters set forth herein. (h) Amendment. This Agreement may be amended only by a written instmment signed by both Cify and Continental Residential, Inc. or such assignee as Continental has previously designated in writing. (i) Term. This Agreement shall be effective as of the date hereof, and shall terminate on the earlier of (i) the date Cify fiilly reimburses Continental the Reimbursable Amount, or (ii) January 1, 2015.
