b) relocation of bus loading zone from the north side of the
shopping center to the south side, in accord with discussion

~Recorder of said County on August 11, 1978.-
Except from any portion of said land, all mineral
rights and all oil, gas, petroleum or other hydro-
carbon substances within or underlying said land
without right of surface entry as reserved in deeds
executed by Reginaldo Marron and Caroline Marron,
recorded in Book 6699, Page 264 of Official Records,
and Book 7712, Page 477 of Official Records.
Also except from any portion of said land, all of the
oil, gas and minerals and mineral rights, lying beneath
a depth of 500 feet from the surface of said land,
together with the right of entry at any point in such
land lying below said depth for the purposes of ex-
ploring, drilling, conveying and removal of any such

SUBLEASE AGREEMENT
PLAZA CAMINO REAL TRANSIT CENTER
THIS LEASE,is made and entered into by and between MAY CENTERS, INC.,
hereinafter called "Sublessor", and the NORTH SAN DIEGO COUNTY TRANSIT
DEVELOPMENT BOARD, hereinafter called "SUBLESSEE".
WHEREAS, Sublessee desires to lease certain real property from May
Centers, Inc. for the purpose of developing the Plaza Camino Real Transit
Center, hereinafter called "Site", and
NOW, THEREFORE, in consideration of the covenants, agreements, and
conditions as hereinafter set forth to be faithfully kept and performed by
Sublessee, Sublessor hereby leases and lets and Sublessee hereby takes pos-
session of, hires, rents, and accepts the Site.
It is understood and agreed by the parties hereto as follows, to wit:
ARTICLE 1
DEFINITIONS
1.1 The term "Sublessee" as used herein means the North San Diego County
Transit Development Board.
1.2 The term "Sublease" as used herein means this Sublease Agreement.
1.3 The term "Sublessor" as used in the Sublease means May Centers,
Inc.
1.4 The term "Site" as used in this Sublease means certain Real Property
leased by May Centers, Inc. as described on Exhibit A and as
depicted on Exhibi·t B. and, upon completion, the facilities that are
to be constructed by Sublessee pursuant to the terms of this Lease
on said Real Property.

1.5. The term "Sublease Administrator" means the Manager of Planning and
Administration, North County Transit District (NCTD).
ARTICLE 2
TERM
2.1 The term of this Sublease shall be 20 years unless terminated ear-
lier by mutual agree:rrent of both parties.
ARTICLE 3
CONSIDERATION
3.1 MAY CENTERS, INC., Subleases the Site to Sublessee for and in con-
sideration of the sum of $1.00 per year for the use as hereinafter
more particularly set forth.
ARTICLE. 4
DEVELOPMENT OF SITE
4.1 Site will be developed in accordance with mutual agreement among the
City of Carlsbad, May Centers, Inc. and North San Diego County
Transit Development Board.
ARTICLE 5
MAINTENANCE AND OPERATION
5.1 So long as this Lease shall be in effect, the maintenance and opera-
tion of the Plaze Camino Real Transit Center shall be the
responsibility of the Sublessee.

5.2 The repair and maintenance of the Transit Center shall be at the
sale expense of the Sublessee. Repair and maintenance shall in-
clude, but not be limited to the following:
a. sweeping, cleaning, washing, servicing, repairing and painting
of the facility, all fixtures and appurtenances;
b. janitorial services and trash removal;
c. repair and maintenance of walkways and bus parking areas;
d. repairs and painting made necessary by acts of vandalism or
acts of God; and
5.3 May Centers, Inc. shall provide, at its expense:
a. Electrical power for the site.
b. Plaza Camino Real trash bins and the right to dispose of trash
therein.
ARTICLE 6
USE
6.1 Lessee shall use the Site for a public transportation center. Said
use by public transit operators shall be limited to access and
egress to the areas designed for bus use for the purpose of loading
and unloading passengers.

ARTICLE 7
NO" ASSIGNMENT, IDRTGAGE, ETC.
7.1 Neither Sublessee, nor Sublessee's legal representatives nor succes-
sors in interest, by operation of law or otherwise, shall assign or
mortgage this Sublease, or sublet the whole or any part of the Site,
or permit the Site, or any part thereof, to be used or occupied by
others without the written consent of the May Centers, Inc.
Any consent by May Centers, Inc. to any act of assignment or sublet-
ting shall be held to apply only to the specific transaction thereby
authorized, and such consent shall not unreasonable be withheld,
delayed, or denied. Such consent shall not be construed as a waiver
or as modifying or limiting the rights of May Centers, Inc. under
the foregoing covenant by Sublessee not to assign, mortgage or sub-
let. Any violation of any provision of this Sublease, whether by
act or omission, by any assignee, subtenant or undertenant or oc-
cupant, shall be deemed a violation of such provision by Sublessee,
it being the intention and meaning of the parties hereto that
Sublessee shall assume and be liable to May Centers, Inc. for any
and all acts and omissions of any and all assignees, subtenants and
occupants. All revenues collected from concessions, licenses, sub-
leases, assignments, or any others for the use of the Site shall be
available to Sublessee to pay for maintenance and operation of the
Site. At any time that Sublease revenues exceed maintenance costs,
the amount of the excess shall be divided equally between Sublessee
and May Centers, Inc. Sublessee shall provide a full accounting of
any Sublease revenues and maintenance costs upon the request of May
Centers, Inc ••

7.2 The term "assign", as used, herein, shall include: (i) an assign-
ment of a part interest in this Sublease, as well as any assignment
from one co-tenant to another; and (ii) an assignment to any prior
owner of the tenant's interest herein or part thereof.
ARTICLE 8
ALTERATIONS
8.1 All alterations, installations, additions, or improvements shall be-
come the property of May Centers, Inc. (without any compensation
whatsoever to Sublessee or to any other person or persons, corpora-
tion or corporations for any damage or compensation or any suit or
action for or on account of the same) and shall remain upon and be
surrendered with the Site. Sublessee shall, before making any al-
terations, additions, installations or improvements, at its expense,
obtain all permits, approvals and certificates required by any
governmental or quasi-governmental bodies and, upon compietion,
deliver promptly duplicates of all such permits, approval and cer-
tificates to May Centers, Inc. Sublessee agrees to carry and will
cause Sublessee's contractors and subcontractors to carry such
workers' compensation, general liability, personal and property
damage insurance as May Centers, Inc. may reasonable require.

8.2 Prior to commencing alterations, the Sublessee agrees to furnish to
May Centers, Inc. or have the Sublessee's contractor furnish to the
May Centers, Inc. a completion bond in the form of a one hundred
percent (100%) performance bond to guarantee performance of its con-
struction obligations pursuant to the plans and specifications of
alterations submitted to and approved by the May Centers,Inc.
Sublessee also agrees to furnish to May Centers, Inc. a surety bond
in an amount to be specified by May Centers, Inc. as security of all
persons performing and furnishing materials for construction obliga-
tions pursuant to the plans and specifications of alterations
submitted to the May Centers, Inc. and approved by it. Such bonds
will be kept in full force and effect until the entire construction,
alterations and installations are substantially completed to the
reasonable satisfaction of the May Centers, Inc. and shall be a con-
dition for the granting of this Sublease.
ARTICLE 9
REPAIRS AND MAINTENANCE
9.1 The Sublessee shall have the sole obligation at its sole cost and
expense to maintain, repair, and provide all those services not ex-
pressly made the obligation of May Centers, Inc. under this
Sublease, with respect to the Site and all improvements made thereon
by Sublessee, pursuant to the term of this Sublease Agreement. All
maintenance repairs, restorations and replacements shall be in
quality and class equal to the original work or installations and
shall be performed in a workmanlike manner. If Sublesse, after
thirty (30) days' written notice by the May Centers, Inc. fails to
commence and complete with due diligence such maintenance repairs,
restorations or replacements, same may be made by May Centers Inc.
at the expense of Sublessee and the cost thereof shall be paid by
Sublessee within thirty (30) days after rendition of a bill or
statement therefor. Failure to render payment within thirty (30)
days shall constitute a default of this Sublease Agreement.

ARl'ICLE 10
ACCESS TO PREMISES
10.1 May Centers, Inc. shall have the right to enter the Site at all
times to examine the same. ,Nothing herein contained, however,
shall be deemed or construed to impose upon May Centers, Inc. any
obligation, responsibility or liability whatsoever, for the care,
supervision or repair, of the Site or any part thereof, other than
as herein provided.
ARTICLE 11
REQUIREMENTS OF IAW
11.1 Sublessee at its sole cost and expense shall comply with all laws,
orders and regulations of federal, state, county and municipal
authorities, and with any direction of any public officer or of-
ficers, pursuant to law, which s,hall impose any duty upon May
Centers, Inc. or sublessee with respect to Site, or the use ,or oc-
cupation thereof, Sublessee shall not do or permit to be done any
act or thing upon said Site, which will invalidate or be in con-
flict with fire insurance policies covering the Site, and shall not
do, or permit to be done, any act or thing upon said Site which
shall or might subject May Centers, Inc. to any liability or
responsibility for injury to any person or persons or to property
by reason of any business or operation being carried on upon said
Site; and Sublessee at its sole expense shall comply with all
rules, orders, regulations or requirements of the Board of Fire
Underwriters in the State of California, City of Carlsbad, County
of San Diego, or any other similar body, and shall not do or permit
anything to be done in or upon said Premises, or bring or keep any-
thing therein, except as now or hereinafter permitted by the Fire
Department, Board of Fire Underwriters, Fire Insurance Rating
Organization, or other authority having jurisdication and then only
in such quantity and manner of storage so as not to increase the
rate for fire insurance applicable to the Site.

ARTICLE 12
SIGNS
12.1 As part of the Site, signs, information, displays and bulletin
boards may be provided for the exclusive use of public transit
operators. Sublessee shall keep such signs, displays and boards
free of non-transit material. All signs shall be approved by May
Centers, Inc. prior to being placed on the Site.
ARTICLE 13
DEFAULT
13.1 If Sublessee defaults in fulfilling any of the covenants of this
Sublease, then, upon May Centers, Inc. serving a written thirty
(30) days' notice upon Sublessee specifying the nature of said
default and upon the expiration of said thirty (30) days, if
Sublessee shall have failed to comply with or remedy such default,
or if the said default or omission complained of shall be of such a
nature that the same cannot be completely cured or remedied within
said thirty (30) day period, and shall not thereafter with
reasonable diligence and in good faith proceed to remedy or cure
such default, May Centers, Inc. shall operate the facility at ex-
pense of Sublessee and the costs thereof, including administration,
shall be paid by Sublessee within thirty (30) days after rendition
of a bill or statement therefor.

ARTICLE 14
ALMINISTRATION AND MANAGEMENT
14.1 This Sublease shall be administered on behalf of May Centers, Inc.
by or such other per-
son as shall be designated in writing from time to time by May
Centers, Inc.
14.2 This Sublease shall be administered on behalf of the North San
Diego County Transit Development Board by the Manager of Planning
and Administration or such other person as shall be designated in
writing to May Centers, Inc. from time to time by the North County
Transit District.
ARTICLE 15
NO REPRESENTATIONS BY MAY CENTERS, INC.
15.1 May Centers, Inc. and Sublessee have made no representations or
promises with respect to the said Site except as herein expressly
set forth. The execution of this Sublease by Sublessee shall be
conclusive evidence, as against Sublessee, that said Site was in
good and satisfactory condition at the time such possession was so
taken, except as otherwise reflected herein.

ARTICLE 16
RULES AND REGULATIONS
16.1 Sublessee and Sublessee's servants, employees, agents, visitors and
licensees shall observe faithfully, and comply strictly with
reasonable Rules and Regulations as May Centers, Inc. may from time
to time adopt. Notice of any additional Rules and Regulations
shall be given in writing to Sublessee per Article 24, Notices. In
case Sublessee disputes the reasonableness of any additional Rule
and Regulation hereafter made or adopted by May Centers, Inc. the
parties hereto agree to submit the question of the reasonableness
of such Rule or Regulation for decision in accordance with the ar-
bitration provisions of the California Code of Civil Procedure
which are found at Section 1280 and following. The right to dis-
pute any additional Rules and Regulations upon Sublessee's part
shall be deemed waived unless the same shall be asserted by service
of a notice, receipt of notice of the adoption, or change in a
rule.
ARTICLE 17
DEFEND, INDEMNIFY, AND HOLD HARMLESS
Liability as between May Centers, Inc. and Sublessee arising out of the use
and occupancy of the Site shall be determined as follows:
17.1 Sublessee ~grees that it shall defend and indemnify, insofar as it
may legally do so, subject to limits of liability coverage, the May
Centers, Inc, its agents, officers and employees against and hold
them harmless from any and all liabilities and claims both real and
alleged for penalties, fines, damages, cost, losses, and legal and
investigative expenses resulting from, arising out of, or in any

way connected with Sublessee's its agents, employees or
representatives, alleged negligence, wrongful performance, or
failure to perform fully under this agreement, and Sublessee
further agrees, subject to limits of liability coverage, to defend
May Centers, Inc., its agents, officers and employees, against all
suits, actions or proceedings brought by any third party against
them, for which Sublessee, its agents, employees or representatives
would be liable or be alleged to be liable hereunder.
17.2 May Centers, Inc. agrees that it shall defend and indemnify, in-
sofar as it may legally do so, subject to limits of liability
coverge, Sublessee, its agents, employees and representatives
against and hold them harmless from any and all liabilities both
real and alleged and investigative expenses resulting from, arising
out of or in any way connected with May Centers, Inc., its agents,
officers, and employees alleged negligence, wrongful performance,
or failure to perform fully under this agreement and May Centers,
Inc. further agrees, subject to limits of liability coverage, to
defend Sublessee, its agents, employees, and representatives
against all suits, actions or proceedings brought by any third
party against them, for which May Centers, Inc. its agents, of-
ficers or employees would be liable or be alleged to be liable
hereunder.

17.3 In case suit shall at any time be brought against either Sublessee
or May Centers, Inc. asserting a liability against which the other
agrees to indemnify and save harmless the party sued, the inderrr
nifying party shall, subject to limits of liability coverage, at
its own cost and expense and without any cost or expense whatever
to the party sued, defend such suit and indemnify and save harmless
the party sued against all costs and expenses thereof and promptly
payor cause to be paid any final judgment recovered against the
party sued; provided, however, that the party sued shall promptly,
upon the bringing of any such suit against it, give notice to the
indemnifying party and thereafter provide all such information as
may from time to time be requested. Each party shall furnish to
the other all such information relating to claims made for in-
juries, deaths, losses, damage or destruction of the type covered
by Article 17 hereof, as such other party may from time to time re-
quest.
ARTICLE 18
INSURANCE
Sublessee shall, at its own expense, procure and keep in force at all times
during the term of this Sublease, insurance of the following kinds and
a.Irounts:
18.1 $1,000,000.00 Combined Single Limit Property Damage and Bodily
Injury Policy, naming Sublessor as additional insured by endorse-
ment, with certificate of Insurance and endorsement as required,.
18.2 Fire and extended coverage insurance covering the Site against loss
or damage by fire and against loss or damage by other risks now or
hereafter defined by "extended coverage", so called, in amounts
sufficient to prevent May Centers, Inc. or Sublessee from becoming
a coinsurer under the terms of the applicable policies.

18.3 All insurance shall be in the name of Sublessee with contractual
liability endorsement identifying the Sublease, location,
principals, date and quoting verbatim the liability assumed by
Sublessee. May Centers, Inc. shall be named as an additional in-
sured in the policy. The insurance shall be placed with insurance
companies licensed to do business in the State of California and
approved by May Centers, Inc. Sublessee shall furnish May Centers,
Inc. with a certificate, or certificates, issued by the insurance
carrier(s) evidencing such insurance including a waiver of subroga-
tion against May Centers, Inc. and reciting the contractual
liability assumed by Sublessee. Each policy shall provide that it
shall not be cancelled or changed unless at least thirty (30) days
prior written notice of cancellation or change shall have been
mailed by the insurance company to May Centers, Inc. at the address
designated in Article 24 hereof. All policies of insurance shall
be subject to inspection by May Centers, Inc. at any time after
fifteen (15) days prior written notice to Sublessee.
18.4 Sublessee upon reasonable written request by May Centers, Inc.
shall increase the insurance lirrdts on the Site. Sublessee shall
also procure and maintain coverage against such other hazards as
May Centers, Inc. may reasonable from time to time require.
18.5 The providing of said insurance coverage shall not be deemed a
limitation on the liability of Sublessee, as provided in this
Sublease, but shall be an additional security therefor.
18.6 The failure by Sublessee at any time to procure and/or maintain the
above stated insurance will constitute a default under Article 13
hereof and May Centers, Inc. may terminate this Lease as provided
for in Article 13 hereof.

18.7 It is agreed between the parties hereto that Sublessee may fulfill
its obligations under the foregoing provisions of Article 18 hereof
by being self insured, to the extent Sublessee is a self insurer in
the ordinary course of its business.
ARTICLE 19
EMINENT f.Xl.1AIN
19.1 If the whole or a substantial part of the Site shall be taken for
any public or quasi-public use or purpose, under any statute or by
righ of eminent domain, or private purchase in lieu thereof, by a
public body vested with the power of eminent domain other than the
Sublessee, then and in that event, the term of this Lease shall
cease and terminate from the date of title vesting in such proceed-
ing or sale and Sublessee shall have no claim against May Centers,
Inc. for the value of any unexpired term of this Lease, Sublessee's
obligation under the terms of this Sublease shall cease as of the
date of title vesting.
ARTICLE 20
END OF TERM AND HOLDOVER
20.1 Upon the expiration or other termination of the term of this
Sublease, Sublessee shall remove all of its property and quit and
surrender to May Centers, Inc. the Site in good order and condi-
tion, except for reasonable wear and tear, for the time of the last
necessary repair, replacement, restoration or renewal of Sublessee.
Sublessee's obligation to observe and perform this covenant shall
survive the expiration or other termination of the term of this
Sublease.

20.2. If the last day of the term of this Sublease falls on Sunday, this
Sublease shall expire on the day immediately preceeding.
20.3 If Sublessee, with prior written consent of May Centers, Inc. holds
over and remains in possession of Site after expiration of said
term, this Sublease shall continue in effect from month to month
upon the same terms and conditions as are herein contained until
terminated by May Centers, Inc. giving to Sublessee at least thirty
(30) days' written notice of intention to t~nate same, in the
manner herein provided and with like effect.
ARTICLE 21
NO DISCRIMINATION BY SUBLESSEE
During the term of this Sub~ease, Sublessee covenants and agrees with
respect exclusively to May Centers, Inc. as follows:
21.1 That the Sublessee will not discriminate against any employee or
ap~licant for employment becau~e of race, religion, color, sex,
age, physical handicap or national origin. The Lessee will take
affirmative action to ensure that applicants are employed and that
employees are treated during employment, without regard to their
race, color, religion, sex, age, physical handicap or national
origin. Such action shall include but not be limited to the fol-
lowing: Employment, upgrading, demotion, or transfer; recruitment
or recruitment advertising; layoff or termination; rates of payor
other forms of compensation; and selection for training including
apprenticeship.

21.2 That the Sublessee will, in all solicitations or advertisements for
employees placed by or on behalf of the Sublessee, state that all
qualified applicants will receive consideration for employment
without regard to race, color, religion, sex, age, physical hand-
icap or national origin.
21.3 That the Sublessee agrees that it will not discriminate by segrega-
tion or otherwise against any person or persons because of race,
color, religion, sex, age, physical handicap or national origin in
furnishing, or by refusing to furnish, to such person or persons
the use of any portion of the Site, including any and all services,
privileges, accommodations and activities provided therein and
thereby.
21.4 That the Sublessee agrees to include or to require the inclusion of
the foregoing provisions of this Article in every agreement, sub-
lease, assignment, license, concession or otherwise pursuant to
which any person other than the Sublessee has a right to operate
the Site or any part thereof. The Sublessee also agrees that it
will take such action with respect to any such agreement, sublease,
assignment, license, concession, or otherwise as May Ce~ters, Inc.
may reasonably direct as a means of enforcing the provisions of
this Article including but not limited to'termination of the
Agreement, sublease, license, concession or otherwise.
21.5 It is agreed that the Sublessee's non-compliance with the provi-
sions of this Article 22 shall constitute a default under Article
13 hereof and May Centers, Inc. may terminate this Lease, or May
Centers, Inc. may pursue such other remedies as may be provided by
law.

ARTICLE 22
RESPONSIBILITY OF SUBLESSEE TO ITS EMPLOYEES
22.1 In the performance of any and all work to be done by Sublessee un-
der the terms of this Sublease, or which may arise thereunder,
result therefrom, or be in any way connected therewith or any
operation thereunder, Sublessee will furnish all labor and super-
visory forces of every kind, and all such persons shall be and
remain the sole ernplqyees of and subject to Sublessee's exclusive
supervision, direction and control.
ARTICLE 23
SUBLESSEE'S EMPLOYEES TO PROPERLY CONDUCT THEMSELVES
23.1 Sublessee, Sublessee's officers, agents, employees, servants,
licensees, invitees, and/or others present at the request of
Sublessee will at any and all t~mes while on the Facility conduct
themselves in a proper and orderly manner and if a complaint is
made by May Centers, Inc., Sublessee shall immediately take such
corrective measures as are necessary.

ARTICLE 24
NOTICES
24.1 Except as otherwise in this Sublease provided, a notice or cornr
munication, which May Centers, Inc. may desire or be required to
give to Sublessee, shall be deemed sufficiently given or rendered
if, in writing, delivered to Sublessee personally or sent by
registered or certified mail addressed to Sublessee at 311 So.
Tremont Street, Oceanside, California 92054, or at any such ad-
dress as Sublessee shall designate by written notice, and the time
of the rendition of such notice or communication shall be deemed to
be time when the same is received by Sublessee, as herein provided.
Any notice by Sublessee to May Centers, Inc. must be served by
registered or certified mail addressed to
,or at any such other address as May Centers,
Inc. shall designate by written notice.
ARTICLE 25
HEADINGS
25.1 Headings used herein are placed for reading convenience and shall
not have any other meaning, implication or purpose, legal or other-
wise.
ARTICLE 26
ARTICLE NUMBERS
26.1 The Article Numbers are inserted only as a matter of convenience
and for reference and in no way define, limit or describe the scope
of this Sublease nor the intent of any provisions thereof.

ARTICLE 27
SEVERABILITY
27.1 The provisions of this Sublease are severable and it is the inten-
tion of the parties hereto that if this Sublease cannot take effect
in its entirety because of the final judgement of any court of com-
petent jurisdiction holding invalid any part or parts thereof, the
remaining provisions of the Lease shall be given full force and ef-
fect as completely as if the part or parts held invalid had not
been included therein.
ARTICLE 28
INTEGRATION
28.1 No change or modification of any of the covenants, terms or provi-
sions hereof shall be valid unless in writing and signed by the
parties hereto.
28.2 There are no understandings or agreements of any kind between the
parties hereto, verbal or otherwise, concerning matters treated in
this Sublease, other than as set forth in this Sublease.
28.3 All additions, changes or deletions herein were made prior to ex-
ecution by either party, except that additions, changes or
deletions made after execution by one party and before execution by
the other shall be marginally initialed by both panties.

ARTICLE 29
SUCCESSORS AND ASSIGNS
29.1 The covenants, conditions and agreements contained in this Sublease
shall bind and inure to the benefit of May Centers, Inc. and
Sublessee and their respective heirs, distributees, executors, ad-
ministrators, successors, and, except as otherwise provided in this
Sublease, their assigns.
ARTICLE 30
NOT A JOINT VENTURE
30.1 It is further understood and agreed that neither this Sublease, nor
any or more of the Agreements herein contained is intended, nor
shall the same ever be construed, so as to create a co-partnership
by and between the May Centers, Inc. and Sublessee, or to make the
May Centers, Inc. and Sublessee joint venturers, or to make either
party in any way liable or responsible for the debts or losses of
the other.
ARTICLE 31
PLANS AND DRAWINGS
31.1 Sublessee agrees to prepare all necessary plans, drawings and
specifications of proposed alterations, which plans, drawings and
specifications shall be submitted to the May Centers, Inc. for its
prior written approval.
31.2 No work shall be permitted, directed, commenced, or authorized by
the Sublessee until receipt by the Sublessee of such prior written
approval.

31.3. Sublessee shall submit the contractor's work schedule in advance to
May Centers, Inc. for approval. One copy of all original designs,
contract, detail and shop drawings, together with one cOpy of the
reproducible plans and specifications used by the Sublessee for
work as built, shall be turned over by the architects to the May
Centers, Inc. to become the property of the May Centers, Inc. 'Ihe
May Centers, Inc. will cooperate with the Sublessee in making its
application to obtain discretionary governmental approvals neces-
sary to permit the proposed construction, and at the request of
the Sublessee will execute and file such instruments and furnish
such information which may be necessary for that purpose.

31.4 May Centers, Inc. to approve and inspect work after completed. All
work done by or on behalf of Sublessee shall be approved and in-
spected by May Centers, Inc. upon its completion.
ARTICLE 32
TIME OF THE ESSENCE
32.1 Time is of the essence of all the terms, conditions and provisions
of this Sublease.
ARI'ICLE 33
RECORDS, ACCOUNTS, AND AUDITS
33.1 Sublessee shall, at all times during the term of this Sublease,
keep or cause to be kept true and complete books, records, and ac-
counts of all financial transactions in the operation of all
business activities of whatever nature conducted pursuant to the
rights granted herein. Said records must be supported by source
documents such as sale slips, cash register tapes, purchase in-
voices or other pertinent documents.
33.2 May Centers, Inc. shall have the right at any reasonable time to
examine and perform audits of Sublessee's records pertaining to its
q;:>erations on the Site. The cost of said audits shall be borne by

May Centers, Inc.; however, Sublessee shall provide to May Centers,
Inc. at Sublessee's expense, necessary data to enable May Centers,
Inc. to fully comply with each and every requirement of the State
of Calf ironia or the United States of America for information or
reports relating to this Sublease and to Sublessee's use of the
Premises.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement
as of the day of 1989.

INTRODOCTION
The purpose of this document is to provide a uniform guide
for the design and placement of various bus-related facilities
and amenities. The guidelines are intended to provide indi-
vidual design considerations for certain transit facilities
rather than specify the complete engineering design of each
element. It is anticipated that the final design of a specific
improvement would be conducted in conjunction with other street
improvements undertaken by the city or county agencies or private
developers.
The guideli!les provide the criteria, dimensions, requirements,
typical layouts and designs for the following types of transit
improvements:

Transit Center/Transfer Center/Terminal
Bus Turning Radii
Road Grades
These guidelines were developed primarily for application in
areas where new bus transit 'services are proposed or where
modifications or improvements to existing service are necessary
in order to facilitate safe and efficient bus operations. The
guidelines do not address themselves to exclusive busways or
freeway-type facilities where greater variations in the street
conditions and operational environment exist.
The guidelines for providing ~~ese transit facilities and
amenities are based on the following considerations:
1. The basic bus operations and safety requirements.
2. The current engineering practices in North San Diego
County.
3. The amenities necessary for attracting and maintaining
transit patronage.
4. The anticipated benefits to developers or agencies in
providing transit services to their future residents,
tenants and customers.
5. The compatibility of the improvements with other road-
way uses.
BOS STOP/BOS STOP ZONE
This is a linear curbside area that is specially designated
for bus passenger boardings and alightings. It is identified
by a bus stop sign and is generally accompanied by a red curb
2Cne and/or no-parking sign.
Placement Consideration: Bus stops are generally located
where there is concentrated commercial, residential, and
industrial development or at intersections of arterial or
major collector streets. On ~~e average, bus stops should be
located no more than iSO to 900 feet apart in urban areas
(at least 5,000 persons per square mile), and l300 feet apart
in rural areas (less than 5,000 persons per square mile). In
a strip commercial or high rise development area, closer stop
spacing may be required in orier to serve transit demand.
Whenever possible, bus stops should be located at the farside
of intersections to facilitate bus and traffic operations.
Under certain circumstances nearside or midblock stops may be
necessary. The Traffic Engineering Handbook suggests the
following special considerations:l

the intersection.
4. If ace umulation of buses occasionally exceeds the length
of bus zones, farside stops should be avoided and the
zone placed on the nearside.
5. At complicated intersections, a farside location is often
advantageous.
6. At transfer points of two crossing lines, placing one
stop on the nearside and the stop for the crossing line
on the farside is an advantageous arrangement. This
places bo~~ stops on the same corner and minimizes street
cros'sings by transfer passengers.
7. ~ihen a large percentage of bus passengers using a stop are
destined to a single large generator, the bus stop shoULd
be located so that pedestrian traffic is minimized L~ the

nearside or farside.

District staff should be consulted whenever special circum-
stances regarding bus stop placement arise. Bus stop zones
can usually be accommodated on-street in the parking lane,
bike lane, or in right-turn 1 anes (see Figure 1). In cases
where there are no parking or right-turn lanes or TNhere
traffic speeds or bus volumes are high, a bus turnout may
be necessary esee discussion under Bus Turnout).
Complementary stops for bo~~ directions of travel and cross-
walks at intersections must also be provided.
Design Criteria: Bus stop zones should be 115-140 feet long
for nearside and farside stops and 130 -170. feet for micllilock
stops (see Figure 2). Side'Nalks and wheelchair access ramps
sho~d be provided at all stops wherever possible.
The curb should be painted red and signs posted to clearly
identify the area as no parking or stopping except for buses.
A solid white 6 to 8 inch lane line separating the bus stop
from adjacent traffic lanes and/or "Bus Stop" pavement stencils
shoul d be pro'vided in areas of heavy congestion.

BUS TURNOUT
A bus turnout is a bus stop/zone located in a recessed curb
area on the street (separate from moving lanes of traffic) .
Placement Consideration: Bus turnouts should be constructed
at locations wherever the potential for auto/bus conflicts is
high. Special attention should be given to roadways with high
traffic speeds or traffic volumes where a bus stopping in a
travel lane may De unsafe. Bus turnouts should also be consi-
dered at locations with high bus or passenger volumes where
buses stopping in a travel lane will greatly impede the flow
of traffic. Turnouts, like bus stops, are preferred at the
farside of an intersection whenever possible.

Design Criteria: Bus turnouts must be designed to safely
accommodate bus ingress and egress movements and passenger
load ings • Figure 3 -:1 etail s the design c ri teria for bus
turnouts. In an area with high transit demand, where several
bus routes converge and interface, it is often ns::essary to
provide more· than one bus loading position within a bus turn-
out. In such cases, the design criteria outlined for Bus
Layover Areas should also l:e considered.
Adequate sidewalks and wheelchair access ramps should l:e
provided wherever possible. The bus loading area should
provide the following pavement sections:
Concrete Pavement
9" Concrete-without reinforcement (or 8" with reinforce-
ment of 13 bars at 18" O.C.).
6"-12" Aggregate Base-depending on the soil conditions.
Asphalt Pavement
6" Asphalt Concrete, Type B.
9"-15" Aggregate Base -depending on the soil conditions.
Whenever possible, the turnout area should be paved wi~~
concrete rather than asphalt to reduce maintenance costs
(see Pigure 4>..

BUS LAYOVER AREA
This is an area provided for buses to layover and for drivers
to rest at the end or beginning of bus trips. At this loca-
tion. the driver would park the bus and take a short break
before heading back in the reverse direction. Bus layovers
can take place at bus stops, transfer centers/terminals or at
special.bus layover areas.
Placement Considerations: Bus layovers occur at the end of
eacn route. As new areas in the county are developed, new
routes are instituted or existing routes are extended into
areas not previously served. New layover areas must then be
developed. The bus layover areas should be.located as close
to bus stops serving major traffic generators (shopping centers,
employmen~ centers, recreation areas) as possible to minimize
bus operating costs and maximize passenger transfer opportun-
ities. The layover area may be combined ~7ith other transit
functions such as passenger bo'arding and park-and-ride into
a single facility (see Transit Center/Transfer Center/Terminal
discussion).
Design Criteria: The layover area for each bus should be no
less than 80 feet long for parallel parking design or 60 feet
long for sa1i7tooth design. In addition, sufficient area should
be allowed for bus ingress, egress and turnaround (see Figure 5
for various design options).
Whenever oossible, the "bus layover area pavement should be
concrete (see Bus Turnout for pavement section details). The
bus layover area should be as close to the activity center
buildings as possible so that restrooms may be used by drivers.
Otherwise, separate restrooms for drivers will be necessary at
the bus layover area.

BUS BENCHES
A bus bench can usually accommodate three or more persons,
and is placed at a bus stop for use by waiting passengers.
Placement Considerations: As an objective, benches should be
placed at every bus stop.
The District currently does not own any benches; it relies on
the private sector or local governments to provide benches.
Developers, the County or the Cities may design a special
style of their projects provided that the developer, city or
co~~ty agrees to be responsible for maintenance. In addition
to b~nches placed by private developers or individual cities,
benches can also be obtained from private 'bench companies. In
local jurisdictions where advertising is allowed in the public
right~of~way, benches can be placed by the bench company at no
cost to the city or property owner. These benches are supported
through revenue raised by advertising panels placed on the
benches. However, the choice of design for advertising benches
is limited.
Desiln Criteria: While bench designs vary somewhat between
manu acturers, some standards do exist. Benches usually seat
three to four persons and often have an upright back support.
Benches can be made of a variety of materials, including
wood, metal, concrete,and plastic.
In designing and placing bus benches, the following facto~s
should be considered:

Benches should be constructed so as to be both comfort~
able and safe for passenger use.
Materials should have high resistance to vandalism or
weathering.
Eenches should be placed in such a way as to minimize
obstruction of the public right-of~way and~' if placed
on the sidewalk, should provide at least 36 inches
clearance (on either the front or back side of the
bench) for wheelchairs. In addition~ benches should
be placed no closer than four feet from the curb in
order to allow, passenge~s to pass people sitting on
the bench. Furthermore~' each local jurisdiction has
special standards or requirements for physical clearance
which must also be met.

BUS SHELTER
This is a covered waiting area, often semi-enclosed, with
benches, that provides protection from sun, wind, and rain for
transit passengers.
Placement Consideration: Ideally, shelters should be provided
at every bus stop wherever feasible. As a minimum, shelters
should be placed at the following locations:

Bus stops with high patronage (greater than ten passen-
gers per hour) or major activity centers.
Bus stops at major transfer points.'
Bus stops located near school s, senior citizens housing
projects or community and re::: reation c en ters -w'here
large concentrations of school age children or senior
citizens are expected.
As with bus benches, the District does not own any bus shelters.
It relies on the private sector or local government3 to provide
bus shelters. The ci ties or C01%1 ty may also require developers
to ere::: t shel ters as part of their d evelopmen t to enhance tran-
sit accessibil ity.
Bus shelters can be designed to fit the architectural style and
landscape of the individual development or can be purchased
prefabricated from privat~ shelter companies. 'The developer
and the City or CO'l.mty must agree on amain tenanc e pol ic y for
these shelters. In addition, some shelter companies also pro-
vide advertising shelters at no cost to the city or d~veloper,
if advertising on shelters is permitted by city ordinarx::e. The
revenues from the advertising can be used to cover the shelter
maintenance or other costs. ~~ elongated shelter (or two or
more modular shelters) may be necessary at bus stops where 20
or more passengers per hour are expected.
Public telephones, bike racks and waste cans may also be ircor-
porated into the shelter designs.
Design Criteria: Shelter designs can vary considerably depend-
ing on the city's or -ieveloper's standards. Materials can
include brick, wood, ne tal , plexiglas, and other ~ather and
vandal resistant materials. Figure 7 shows a sample design
for a typical bus shelter. The minimum NCTD criteria for shelter
design are:
* Shelter should be at least 3' x 7' with seating space.
A minimum two-foot roof overhang should be provided to
increase passenger protection from sun a~d rain.

The farthest extension of the shelter (roof, trash
receptacle or other) at the street front should have
a minimum of two feet clearance from the curb face to
avoid being damaged by buses.
Wheelchair clearance and maneuverability (3 feet minimum,
4 feet (desirao1eL should be provided at either the front or back of the shelter.
The shelter should be placed near the front end of the
bus stop mne and should not·obstruct the vision of
motorists and pedestrians or block public walkways or private driveways.
Bus stop signs should be incorporated into the shelter
design in oIder to identify the location as an authorized
bus stop. Shelters should also include NCTD route infor-
mation for passenger use.
Shelters may be lighted.
Figure 8 shows shelter placement criteria, along with other bus stop requirements.

INFO~~TION SIGNS
Information signs are designed to display a variety of
transit information, including bus route, numbers, maps and
schedule information, transit-riding tips, and other related
information as appropriate. The District currently has the
following types of information signs:

Primary signs provi~e the route number, route map,
direction of travel,' scheduled departure times and
a "yo'u are here" des·ignation on the map.
Secondary.: ,route map signs disp~ay the route number ~'

Regular Bus Stop Signs are rectangular white and blue
aluminum placards showing the NCTD logo and the silhou7'
ette of a bus.
Display· Info:pnation Panel: At large transfer or acti-
vity c;::enters, the Dis·tr±ct also places the county-wide
route map or can specially' des:ign an information panel
that can be incorporated into the shelter or building
design.
Placement Considerations: The signing program is· designed to
not onIy make' the sys·tem eas,ier to use for exis·ting patrons,
but also to attract new-riqersh±p.
Bus· Stop signs· are placed at all authorized bus stops. Pri-
mary, signs ,.are placed at the intersection of three or more
bus rO'utes, and secondary· s,igns are placed at the intersection
of two bus· routes. Signs should not be obstructed by trees,
buildings, or other signs, should be set back two feet from
the curb face and should face the oncoming bus ('see Figure 9).
The design criteria vary· slightly for each type of information
sign:

by NCTD at no cost to the cities or developers. These

NCTD provides cylinders (with information inserts) at
locations with specific levels of ridership and bus service.
In instances where a developer requests a cylinder in a
location without certain minimum levels of ridership or
service, the developer would be requested to provic.e the
cylinder at his own cost •. ,NCTD will provide all information
inserts, including updates~ at no cost to the developer or City.

PARK-AND-RIDE LOT
This is a specially designated parking area provided for bus,
vanpool and carpool users to park their cars.
Placement Consideration: Considering the growing demand for
carpool and bus park-and-rides, parking spaces should be
provided by the developer at major developments such as shop-
ping centers or planned communities. These parking spaces are
intended for use by residents of the community and will help
to mitigate the traffic-related impacts of the developrnent~ and
to conserve energy resources. These parking spaces should be
provided as close to freeways or major arterials as possible.
These spaces can be provided separately or'can be joint~used
spaces wi:t."l nearby, commercial, recreational or office develop-:-
ment.

A trans'it center is a major bus facility which is designed
to accommodate a variety of transit functions. These transit
functions can include passenger loading and unloading, trans-
fers, driver breaks and reliefs, bus layovers, park-and-ride,
etc.
Placement Consideration: The transit center will be the focal
point of transit service in the development. It pro,vides
essential amenities and incentives for current and potential
transit riders. It increases the attractiveness of the develop-
ment to prospective customers. Depending on the level of ser-
vice and demand at the particular location; a transit center
could include an enclosed building and/or a variety of amenities
such as shelters, benches, bus bays, phones:' and trash cans.
Joint development to use the air space above transit centers is
also possible. The transit center should be located as close
to the center of activity as possible.
Usually, transit centers are only app~opriate for large~scale
developments such as shopping centers~ planned communities and
large office/commercial developments. The need must be indi-
vidually evaluated.
Design Criteria: Be~ause transit needs and functions vary from
location to location, no universal design criteria can be devel-
oped. However, the basic design requirements for Bus Stop,
Layover areas, Park-and-R~de, etc. are all applicable. Some
prOtotypical designs are shown in Figure 14. Developers should
work with the District staff to first identify the transit needs
and then to design the facility accordingly.

This is ~~e turning radii necessary to accommodate bus turning movements.
Placement Consideration: All public roadways, driveways, private
drives and any other area traveled by buses should be designed
to acco~~odate minimum bus turning radii. These radii are
required in order for buses to safely execute turning movements
witho'ut crossing more than one traffic lane or striking the curb areas or other objects.
Design Criteria: The minimum radius (outer front corner of bus)
to accomplish safe turning movements is 50· feet. In order to
accommodate all possible driving conditions, a 55~foot radius
should be used whenever possible, especially for new develop-
men ts-. Inner wheel radii should be no less than 28 feet, and
where pos'sible, should be 30 feet (Figure 15).
In determining the curb radius for intersection design, the curb
lane width, parking situation and allowable amount of encroach~
ment by. th.e bus· into the next travel lane must be taken into
account. Two sets-of intersection des·ign criteria for huses
a17e presented herein for the following four situations.:

ROAD GRADES
The maximum slope or grade that a standard 40-foot transit
bus can negotiate safely.
Placement Consideration: All public and private roads and
driveways proposed for bus service must be designed wi~~
grades less than the maximum wherever possible to allow safe
bus operations.
Design Criteria: In an uphill direction, the maxim~~ sustained
grade for roadways designated for bus service should not exceed
6%. For the downhill direction, the roadway should be designed
with a maximum 12% grade. In some cases where the roadway is
steep, a climbing lane for buses and trucks will be needed.
These maximum grades are demonstrated in Figure 18. In addition,
abrupt changes' in the grade line should be avoided due to bus
overhangs and ground clearance requirements~ 'Vertical curves
should be specified where necessary.
