EXCLUSIONS FROM COVERAGE
The following matters are expressly excluded from the coverage of this policy and the Company will not pay loss or damage, coats, attorneys' fees or expenses i1itiicl, arise by reason of:
1. (a) Any law, ordinance or governmental regulation (including but not limited to building or zoning laws, ordinances, or regulations) restricting, regulating, prohibiting or relating to (i) the occupancy.
use, or enjoyment of the land: (ii) the character, dimensions or location of any improvement now or hereafter erected on the land; (iii) a separation in ownership or a change in the dimensions or
area of the land or any parcel of which the land is or was a part; or (iv) environmental protection, or the effect of any violation of these laws, ordinances or governmental regulations, except to the
extent that a notice of the enforcement thereof or a notice of a defect, lien, or encumbrance resulting from a violation or alleged violation affecting the land has been recorded in the public
records at Date of Policy.
(b) Any governmental police power not excluded by (a) above, except to the extent that a notice of the exercise thereof or notice of a defect, lien or encumbrance resulting from a violation or alleged
violation affecting the land has been recorded in the public records at Date of Policy.
2. Rights of eminent domain unless notice of the exercise thereof has been recorded in the public records at Date of Policy, but not excluding from coverage any taking which has occurred prior to Date
of Policy which would be binding on the rights of a purchaser for value without knowledge.
3. Defects, liens, encumbrances, adverse claims or other matters:
(a) whether or not recorded in the public records at Date of Policy, but created, suffered. assumed or agreed to by the insured claimant;
(b) not known to the Company, not recorded in the public records at Date of Policy, but known to the insured claimant and not disclosed in writing to the Company by the insured claimant prior to
the date the insured claimant became an insured under this policy:
(C) resulting in no loss or damage to the insured claimant;
(d) attaching or created subsequent to Date of Policy; or
(e) resulting in loss or damage which would not have been sustained if the insured claimant had paid value for the insured mortgage or for the estate or interest insured by this policy.
4. t.tnenforceability of the lien of the insured mortgage because of the inability or failure of the insured at Date of Policy, or the inability or failure of any subsequent owner of the indebtedness, to comply
with the applicable doing business laws of the state in which the land is situated.
5. Invalidity or unenforceability of the lien of the insured mortgage, or claim thereof, which arises out of the transaction evidenced by the insured mortgage and is based upon usury or any consumer
credit protection or truth in lending law.
6. Any claim, which arises Out of the transaction vesting in the insured the estate or interest insured by this policy or the transaction creating the interest of the insured lender. by reason of the operation
of federal bankruptcy, state insolvency or similar creditors' rights laws. -
EXCEPTIONS FROM COVERAGE - SCHEDULE B, PART I
This policy does not insure against loss or damage (and the Company will not pay costs, attorneys' fees or expenses) which arise by reason of:
1. Taxes or assessments Which are not shown as existing liens by the records of any taxing authority that levies taxes or assessments on real property or by the public records.
Proceedings by a public agency which may result in taxes or assessments, or notices of such proceedings, whether or not shown by the records of such agency or by the public records.
2. Any facts, rights, interests, or claims which are not shown by the public records but which could be ascertained by an inspection of the land which may be asserted by persona in possession thereof.
3. Easements, liens or encumbrances, or claims thereof, which are not shown by the public records.
4. Discrepancies, conflicts in boundary tines, shortage in area, encroachments, or any other facts which a correct survey would disclose, and which are not shown by the public records.
5. (a) Unpatented mining claims; (b) reservations or exceptions in patents or in Acts authorizing the issuance thereof; (c) water rights, claims or title to water, whether or not the matters excepted under
(a), (b) or (C) are shown by the public records.

a. building
b. zoning
c. land use

e. land division
f. environmental protection
This Exclusion does not apply to violations or the enforcement of these matters if notice of the violation or enforcement appears in the Public Records at the Policy Dale.
This Exclusion does not limit the coverage described in Covered Risk 14,15,16, 17 or 24.
2. The failure of Your existing structures, or any part of them, to be constructed in accordance with applicable building codes. This Exclusion does not apply to violations of building codes if notice of the
violation appears in the Public Records at the Policy Date.
3. The right to take the Land by condemning it, unless:
a. a notice of exercising the right appears in the Public Records at the Policy Date; or
b. the taking happened before the Policy Date and is binding on You if You bought the Land without Knowing of the taking.
4. Risks:
a. that are created, allowed, or agreed to by You, whether or not they appear in the Public Records:
b. that are Known to You at the Policy Date, but not to Us. unless they appear in the Public Records at the Policy Date;
c. that result in no toss to You; or
d. that first occur after the Policy Date - this does not limit the coverage described in Covered Risk 7, 8.d, 22, 23, 24 or 25.

(e) resulting in toss or damagewhich would not have been sustained if the insured claimant had paid value for the insured mortgage.

which at Date of Policy the insured has advanced or is obligated to advance,
7. Any claim, which arises out of the transaction creating the interest of the mortgagee insured by this policy, by reason of the operation of federal bankruptcy, state insolvency, or similar creditors' rights
laws, that is based on:
(I) the transaction creating the interest of the insured mortgagee being deemed a fraudulent conveyance or fraudulent transfer; or
(ii) the subordination of the interest of the insured mortgagee as a result of the application of the doctrine of equitable subordination; or
(if) the transaction creating the interest of the insured mortgagee being deemed a preferential transfer except where the preferential transfer results from the failure:

Summary:
The initial phase of the LEGOLAND California theme park was completed in March of
1999. Approximately 113 acres of the 128 acre site were developed during the initial
construction including rides, attractions, food, retail, parking, landscaping, administration
and support uses. Approximately fifteen (15) acres of undeveloped land remain for future
expansion of rides and attractions. Four locations for future expansion are identified on
the approved Site Development Plan as "Expansion Areas 1, 2, 3 and 4 11. No detailed
plans were developed for the expansion areas during the original approval of the Site
Development Plan for the park.
This proposal to amend the LEGOLAND Site Development Plan has three parts:
1) Increase the maximum building height from thirty five feet (35') to forty-five feet
(45').
2) A site plan for "Expansion Area 1"
3) A site plan for "Expansion Area 3"
The site development plans for Expansion Areas 1 and 3 represent the next incremental
phases LEGOLANI) will take toward build out. The two expansion areas total
approximately 4.4 acres of the remaining 15 acres of expansion area available in the park.
Building Height
This SDP Amendment proposal includes a request to increase the maximum building
height for the park from thirty-five feet (35') to forty-five feet (45'), with additional height
up to fifty-five feet (55') for allowed height protrusions and architectural features and
exhibits, as described in section 21.46.020 of the Carlsbad Municipal Code and as
specified on page 134, section d. Building Height, of the Carlsbad Ranch Specific Plan.
Currently, the maximum building height for the park is thirty-five feet (35'), with certain
allowed protrusions not to exceed forty-five feet (45'). The Specific Plan (refer top. 134,
Carlsbad Ranch Specific Plan--SPA 207a) stipulates that: "Additional building height
may be permitted to a maximum offorty-five feet through a Site Development Plan
approved by the City Council..." The Specific Plan lists certain conditions which are

increased at a ratio of one horizontal foot for every one foot of vertical construction

Specific Plan that are necessary in order for the City Council to permit the increased
building height.
Specifically, LEGOLAND proposes to increase the landscape setbacks around the entire
property at a ratio if one horizontal foot for every one foot of vertical construction beyond
thirty five feet. The landscape setbacks will be increased by an additional ten feet to allow
for a maximum building height of forty-five feet. Increasing the landscape setback can be
accomplished in most areas of the park as LEGO already has self-imposed landscape
setbacks, berms and landscaped areas far in excess of the City required setbacks, with the
exception of the parking lot where 23 parking spaces will be displaced by increasing the
setbacks. The 23 spaces will be relocated to other areas so that there is no net loss of
parking (refer to drawing no. PW-001 and PW-002 for illustration of the increased
setbacks and relocated parking spaces).
LEGOLANI) requests the increase in building height in order to install several of the
attractions shown on the currently proposed expansion plans, as well as permit rides and
attractions up to forty-five feet for future expansions and installations. The increased
building height should have no detrimental effect on surrounding properties, as the overall
intensity of vertical development on the LEGOLAND site is very low given the large size
of the property and the distance that rides and attractions are located from adjacent
properties.
West Expansion Area #1
Expansion Area 1, herein referred to as the "West Expansion Area 1", is located in the
DUPLO Cluster in the southwestern corner of the Inner Park. The expansion area is
approximately 0.6 acres in size and is currently vacant. Proposed for this area is a small
roller coaster, designed for children in the age range of three to six years old. The
attractions in the DUPLO Cluster focus on the youngest age group in the park and this
ride will complement the other attractions which include the Fairytale Brook, Safari Ride,
WaterWorks, Magic Theater and DUPLO PlayTown.
For comparison purposes, the maximum speed and G-force of the proposed DUPLO
Junior Coaster as compared with the existing Castle Coaster is shown in the table below.

The proposed attraction will be designed with LEGO features consistent with the existing
cluster design theme, the "Imaginary Garden of the Child". Design centers around the
DUPLO toy product line and is characterized by oversized LEGO bricks, bright primary
colors and playful, interactive activities for young children.
The proposed DUPLO Junior Coaster will be effectively screened from view from the
parking lot and other off-site areas by existing berms heavily planted with trees.
Additional berms and landscaping are proposed to further enhance the area.
East Expansion Area #3
East Expansion Area 3 is located at the southeastern corner of the Inner Park, adjacent to
the Imagination Centre and south of the Castle Hill cluster. (Note: The Imagination
Centre has been renamed the "Maniac Zone ", however, the cluster will be referred to
here as the "Imagination Centre "for consistency with previously approved plans) . The
East Expansion Area 3 is approximately 3.8 acres in size and is envisioned as an extension
of the Imagination Centre Cluster. The existing Imagination Centre is one of the smaller
clusters in the park and includes a number of workshops emphasizing learning,
exploration, creativity and hands-on interactive play. The existing cluster is absent rides,
therefore, one of the primary objectives for expansion is to provide ride capacity in an area
of the park where this is currently lacking. The expansion plan includes a mix of rides that
will provide a complement to the more passive existing attractions in the Imagination
Centre.
A summary of the main elements of the East Expansion Area 3 site plan is as follows:
• Approximate Acreage: 3.8 ac (168,400 sf).
• Proposed Building Coverage: 8,710 s.f. (5% coverage for the Expansion Area. Total
park building coverage is approximately 3.4%).
• Proposed Hardscape Coverage: approx. 42,500 sf. (25%).
• Proposed Landscape Coverage: approx. 72,000 sf(43%).
• Two Proposed Facilities: One retail shop, one food and beverage facility.
• Six Proposed Rides and Attractions: Technic Track Ride, Aviator, Caterpillar,
Spinning Cups, Typhoon, andA qua Drag.
• Relocation of the existing nursery shade structure.
• Misc. ancillary uses to serve the above listed improvements (service access, trash
enclosures, mechanical equipment, food and retail carts, etc.).

• Parking requirements: All parking spaces required for the park, including that needed
for final park build out, have been installed and are available for use. This expansion
plan will not generate the need for additional parking spaces.
Guests will enter the expansion area at the south from the Imagination Centre and at the
north from the Castle Hill cluster. Service, fire, emergency and maintenance access is
from the existing service road bordering the site along the east and south. The theme of
the rides, attractions and facilities in the expansion area will be consistent with the existing
Imagination Centre cluster. This cluster is characterized by it's exuberance and creativity
where the unlimited possibilities of imagination are celebrated. The extensive use of bright
LEGO colors and the fanciful and wild juxtapositions of LEGO models are part of the
theme of the Imagination Centre. Design inspiration comes from specific LEGO toy
product lines, such as LEGO TECHNIC, LEGO MThDSTORMS, and AQUAZONE. In
this cluster, "anything goes"—the more creative and fun, the better!
The proposed TECHNIC Track Ride is a roller coaster of classic design. The ride will be
themed in the LEGO TECHNIC toy line. The coaster will be of comparable speed and
excitement as the existing Castle Coaster--a "pink knuckler." For comparison purposes,
following are the speed and G-Force of the two rides:

The maximum height of the TECHNIC Track Ride is proposed at forty five feet
(maximum track height). This ride necessitates the height limit increase requested as part
of this application.
The Aviator consists of a telescoping tower to which the ride vehicles are suspended. The
vehicles rotate around the tower as it rises into the air. The rider can alter the flight
pattern for an interactive experience. The maximum height of the tower at full extension
will be 45 feet. This ride necessitates the height limit increase requested as part of this
application.
Both the Caterpillar and Typhoon are rides for the younger age group. The ride
experience is one of a rotating, up and down movement on a rotating platform. The name
and theme of these rides is tentative, but will be derived from LEGO elements.
The Spinning Cups ride is a new LEGO twist on the ever popular "Tea Cup" ride.
Themed as a spinning collecting of LEGO TECHNIC gears and wheels, the guest can
control the speed and rotation of his vehicle.

The Aqua Drag is composed of water troughs in which ride vehicles slide down an incline.
Riders compete against the clock or each other for the best time down the slide.
All the above rides will be designed and developed consistent with the established LEGO
colors, materials and textures in the existing park. Rides and attractions include exterior
queue lines with some portion of the queue covered for sun protection.
Retail Shop: The proposed retail shop is a single story structure of approximately 3,200
s.f. The shop will be themed with exterior signage, colors and graphics.
Restaurant: The proposed restaurant is a single story structure of approximately 5,510
s.f. The facility will serve park guests as well as a separate employee canteen. Kitchen,
restrooms, storage, office space and associated ancillary uses are included. A shaded
outdoor dining terrace for guest dining is adjacent to the restaurant. A separate outdoor
dining terrace is provided for employee dining. The restaurant will be appropriately
themed according to the cluster and food offer. Service access and a trash enclosure are
provided at the rear of the facility.
Information Applicable to both Expansion Areas
Landscaping: Extensive landscaping is an important attraction of LEGOLAND and the
expansion areas will be planted to complement the theme of each cluster and attraction
further adding to the beauty of the park. New berms between the expansion areas and the
perimeter service road are proposed and will be heavily planted with trees and shrubs to
screen views of the adjacent administration, service, and Outer Park areas. Pavement of
walkways and plazas will reflect colors and textures appropriate to each attraction and will
include interlocking payers, colored and textured concrete and asphalt. Railings and
fencing will be of the same designs and colors already established in the park. Specially
themed railings will be used in some attraction queue areas.
Grading: The existing expansion sites are currently vacant. The sites were mass graded
during the initial construction of the park. Fine grading is proposed to prepare the sites
for the new facilities, rides and attractions. The estimated grading quantities are as
follows:

LEGOLAND proposes to dispose of the net export soil at an off-site location to be
determined when grading is scheduled (via a "soil broker" and/or contractor that has need

of fill soil for other projects). If no suitable off-site disposal is available at the time of
grading, the export can be retained on the LEGOLAND site at the northern Expansion
Area #2, which is currently vacant. 8,000 cy of export, if spread over the northern
expansion area, would raise that area by approximately one foot. The applicant will work
with the City of Carlsbad to agree on an acceptable final disposition of the export once
final grading plans are prepared and quantities and phasing of grading is determined.
The proposed grading plan for the East Expansion Area 3 includes a new berm along the
southern and eastern boundaries. The berm is intended to visually screen views of the
Service and Administration areas from within the expansion area. The berm will have a
maximum slope height of thirteen feet measured from the adjacent service road, and five
feet on the expansion area side of the berm.
Currently, the West Expansion Area 1 is a flat pad with a temporary berm separating it
from the Inner Park (the berm was initially meant to screen the expansion area until it was
developed). This berm will be partially removed in order to open up the expansion area
to the main pedestrian pathway. The excess soil from the removal will be used to create a
new berm along the rear (south) of the expansion area. The new berm will screen the
view of the adjacent service road. Cut and fill quantities within the West Expansion Area
1 will balance, with all soil remaining within the expansion area.
Drainage, Erosion Control and Storm Water Management: All storm water
runoff and drainage from within the expansion areas will be collected in an underground
drainage system as an extension of the existing park-wide system. Drainage systems for
the expansion areas will be connected to existing storm drain main lines which were
previously installed for this purpose during the initial construction of the park (refer to the
Conceptual Grading, Drainage & Utility Plans, sheets EE- 103 and WE- 103). All
drainage from the expansion areas will discharge into the existing detention basin located
along the southern boundary of the park adjacent to Palomar Airport Road. Hydrologic
calculations, design and details for the basin and park wide drainage system were included
in the original grading and drainage plans for the park. The detention basin and storm
drain system was designed to accommodate the drainage flows from future development
of the expansion areas. Site development of the expansion areas will entail installation of
secondary drainage systems, including area drains, catch basins and associated piping.
Runoff is discharged into the detention basin for purposes of desiltation and pollution
control in accordance with the standards and requirements of the City of Carlsbad and
with the Federally mandated requirements of the National Pollution Discharge Elimination
System (NPDES) Storm Water Program. LEGOLAND currently has on file an approved
Storm Water Pollution Prevention Plan (SWPPP) for the park. The SWPPP details
erosion control measures and Best Management Practices (BMP's) to control and
minimize potential pollutants. The SWPPP will be updated for the construction phases
and long term management operation of the park to incorporate the new expansion areas
in accordance with Federal and local agency requirements.

An updated soil report is included in this application (Update Geotechnical Report, East
Expansion Area, LEGOLAND, Carlsbad, California, Leighton and Associates, December
10, 1999). The report finds the proposed development is feasible from a geotechnical
standpoint provided conclusions and recommendations are incorporated into the project
plans and specifications.
Sewer Requirements: Per agreement with the City of Carlsbad, LEGOLAND
currently measures and reports sewage discharge flows each month to the Carlsbad
Municipal Water District. The monitoring and reporting program will continue through
May 2002. These measurements are reported in order to establish accurate discharge data
that can be used by the CMWD. The data will be used to calculate sewer connection fees
and will provide a bench mark for which future park expansion flows can be estimated.
Sewage discharge flows from a theme park are more directly related to guest attendance
figures than to generalized tables and formulas based on land use, building square footage,
"EDU's" or other types of criteria commonly employed for estimating purposes.
Consequently, an increase in sewage flows that may result from development of the
expansion areas will be accounted for in the sewage monitoring and reporting system
currently in place (at least through 2002).
Once a sufficient history of flow data is compiled from the above mentioned monitoring
program, a more reliable estimate of potential flows from the expansion areas can be
developed. Since that data is not yet available, following is an estimate of sewage flows
for the expansion areas based on the City's EDU chart, table 13.10.020c.

Traffic Generation: During the original planning, permitting and environmental review
for LEGOLAND, a traffic study (Kaku Associates) was prepared and incorporated into
the Final Program Environmental Impact Report for the Carlsbad Ranch Specific Plan
Amendment (EIR-94-01). The traffic analysis were conducted for the year 2000 and for
"buildout" (year 2010) conditions. Consequently, the traffic study included projections for
full buildout of the LEGOLAND park which included development of all of the expansion
areas. As this proposal for Expansion Areas 1 and 3 is an incremental step toward park
buildout, but does not yet represent 100% buildout (Expansion Areas 2 and 4 remain to be
planned and developed), the traffic analysis, findings and recommended mitigation
measures in the original traffic report and EIR accounted for any traffic impacts that may
be generated by the future buildout of LEGOLAND, which include Expansion Areas 1
and 3. The mitigation measures recommended in the Final Program EIR for circulation
impacts have either been incorporated into the design of the project, or are included as

conditions of project approval. City Council Resolution No. 94-246 included a
"Statement of Overriding Considerations" for circulation impacts.
To supplement the above, note that traffic generation levels for LEGOLAND were
developed from projected attendance levels. Buildout attendance projections for
LEGOLAND were 2.2 million guests per year. According to the most current (November
1999) figures, LEGOLANT) projects a 1999 year end attendance of approximately 1.5
million guests. (Note, 1999 does not represent a full year of operation since the park
opened in March 1999). LEGOLAND currently projects a year 2000 attendance level of
1.7 million guests, excluding any expansion work. LEGOLAND estimates that as
Expansion Areas 1 and 3 are phased in over a period of four years, attendance levels may
rise to approximately 1.9 million guests per year. This figure is below the 2.2 million
projection for 100% park buildout. Therefore, traffic generation attributable to the
expansion is expected to be within the traffic generation levels analyzed at full buildout in
the original traffic report.

dates tentatively planned as follows:
