LEASE
1044 Carisbad Village Drive
This lease is made as of November 11, 2014, by and between Jane Sonneman,
Trustee of the Robert H. Sonneman Living Tmst, dated March 1, 2006, and Jane M. Singh
(coiiectiveiy, "Landlord"), whose address is 52 El Sereno Court, San Francisco, CA 94127,
and Moon Valley Nursery of Califomia, Inc., a Califomia corporation (Tenant'), whose
address is 19820 N. 7*" Street, Suite 206, Phoenix, AZ 85024.
1. Landlord hereby leases to Tenant, and Tenant agrees to lease from Landlord,
the vacant dirt lot located on the real property commonly known as 1044 Carlsbad Village
Drive, Carisbad, CA 92008 (The Premises").
2. The lease term shall begin on November 11,2014, and end on December 31,
2014.
3. Tenant agrees to pay to Landlord rent in the amount of $10,000.00 by November
1, 2012 (Tenant shall provide one check payable to Jane Sonneman for $5,000.00 and one
check payable to Jane M. Singh for $5,000.00). Tenant shall also provkie a security deposit in
the amount of $500.00 (made payable to Jane Sonneman) by November 11,2014.
4. The Premises shall be used for the exclusive purpose of operating and
conducting a Christmas Tree Lot, for uses nomrtaiiy incident to that purpose, and for no other
purpose. Tenant shall not use or pennit the Premises to be used for any other purpose, without
the prior written consent of Landlord.
5. Tenant shall not commit or pennit the commission by others of any waste on the
Premises. Tenant shall not maintain, commit, or permit the maintenance or commission of any
nuisance on the Premises. Tenant shall not use or permit the use of the Premises for any
unlawful purpose.
6. Tenant shall at Tenant's own cost and expense comply with all statutes,
ordinances, regulations, and requirements of all governmental entities, both federal and state
and county or municipal, relating to Tenant's use and occupancy of the Premises.
7. Tenant shall pay, and hold Landlonj and the property of Landlord free and
hamriiess from, all charges for the fumishing of gas, water, sewer, electricity, telephone service,
garbage pickup and disposal, and other public utilities to the Premises during the term of this
lease. All such charges shall be paid by Tenant directly to the provider of the sen/ice and shall
be pakj as they become due and payable but in any event before delinquency.
8. Tenant shall pay before they become delinquent all taxes, assessments, and
other charges levied or imposed by any governmental entity on the inventory, fumiture, trade
fixtures, appliances, and other personal property placed by Tenant in, on. or about the
Premises.
9. Tenant accepts the Premises in its present condition and stipulates witti
Landlord that the Premises is in good, clean, safe, and tenantabie conditton as of the date of
this lease. Tenant further agrees with and represents to Landlord that the Premises have been
inspected by Tenant, that it has received assurances acceptable to Tenant by means
independent of Landlord or any agent of Landlord of the truth of all facts material to this lease,
and that the Premises are being leased by Tenant as a result of its own inspection and
investigation and not as a result of any representations made by Landlord or any agent of
Landlord except those expressly set forth in this lease.
10. Tenant shall at its own cost and expense keep and m^ntain all portions of the
Prennises in as safe and clean a condition as they were when received by Tenant from
Landlord. On expiration or eariier temiination of this lease, Tenant shall promptly surrender
and deliver the Premises to Landlord in as good condition as they are now at the date of this
lease.
11. Tenant agrees to protect, indemnify, and save Landlord harmless from and
against any all liability to third parties resulting from Tenant's occupatton and use of the
Premises, specifically including, without limitation, any claim, liability, loss, or damage arising
by reason of.
(a) The death or injury of any person or persons, including Tenant or any person who
is an employee or agent of Tenant, or by reason of the damage to or destmction of any
property, including property ovmed by Tenant or any person who is an employee or agent of
Tenant, and caused or allegedly caused by either the condition of the Premises, or some act
or omission of Tenant or of some agent, contractor, employee, servant, subtenant, or
concessionaire of Tenant on the Premises;
(b) Any wori< performed on the Premises or materials furnished to the Premises at the
instance or request of Tenant or any agent or employee of Tenant; and
(c) Tenant's failure to perfonn any provision of this lease.
12. Tenant shall, at its own cost and expense, procure and maintain during the entire
term of this lease public liability insurance and property damage insurance issued by €m
insurance company reasonably acceptable to Landlonj, naming Landlord as an Additional
Insured under the polk:y, and insuring Landlord against loss or liability caused by or connected
with Tenant's occupation and use of the Premises under this lease in amounts not less than
$1,000,000 for injury or death to persons or damage to property. The insurance required under
this Sectton shall be issued by a responsible insurance company or companies autiiorized to
do business in Califomia and shall be in a forni reasonably satisfactory to Landlord. By
November 15,2014, Tenant deposit with Landlord a certificate showing that insurance to be
in full force and effect.
13. Tenant may not erect, maintain, or pennit any signs in or about the Premises
unless the prior written approval of Landlord has been obtained and provided that any signs
erected or maintained by Tenant shall comply with all requirements of any govemmental
authority with jurisdiction.
14. Tenant shall not encumber, assign, sublet, or otiienwise transfer this lease, any
right or interest in this lease, or any right or interest in the Premises without first obtaining the
express written consent of Landlord. Tenant shall not sublet tiie Premises or any part of the
Prennises or allow any other person, oti^r than Tenant's agents, servants, and employees, to
occupy the Premises or any part of the Premises without the prior written consent of l_andlord.
15. In the event of future litigation between the Parties regarding the interpretation
and/or enforcement of any of the tenns of this Agreement, the prevailing party in such litigation
shall be entitied to an award of reasonable fees, costs and expenses incun'ed in connection
with such litigation, including attorneys' fees, expert fees and court reporter transcription fees.
16. This instmment constitutes tiie sole and only full, final, and complete agreement
between Landlord and Tenant respecting tiie Premises, the leasing of the Premises to Tenant,
or tiie lease term created under tiiis lease, and con'ectiy sets fortii tiie obligations of Landtord
and Tenant to each otiier as of its date. Any agreements or representations respecting tiie
Premises or their leasing by Landlord to Tenant not expressly set forth in this instmment are
null and void. All prior negotiations between tiie parties are subsumed into this lease to tiie
extent they have been agreed to, and if not agreed to by the parties such negotiations are not
set fortii in tiie tenns and conditions of this lease. This lease may not be extended, amended,
modified, altered, or changed, except in a writing signed by Landlord and Tenant.
17. Time is expressly declared to be of the essence in tills lease.
18. This Agreement shall be interpreted, constmed. governed and enforced under
and pursuant to the laws of the State of Califomia.
19. This Agreement shall be binding upon, inure to tiie benefit of, and be
enforceable by tiie Parties and tiieir respective representatives, assigns, and successors.
20. Any person executing this Agreement or any related document on behalf of any
of the Parties hereby warrants and promises for the benefit of all other Parties that such
person has been duly authorized by such entity to execute this Agreement and any such
related document.
21. This Agreement may be executed via facsimile and in any number of separate
counterparts, each of which shall be deemed an original but all of which, when taken together,
shall constitute one and the same instmment.
