This plan review is limited to the technical requirements contained in the Uniform Building Code,
Uniform Plumbing Code, Uniform Mechanical Code, National Electrical Code and state laws
regulating energy conservation, noise attenuation and access for the disabled. This plan review
is based on regulations enforced by the Building Department. You may have other corrections
based on laws and ordinances enforced by the Planning Department, Engineering Department,
Fire Department or other departments. Clearance from those departments may be required
prior to the issuance of a building permit.
Code sections cited are based on the I997 UBC.
The following items listed need clarification, modification or change. All items must be satisfied
before the plans will be in conformance with the cited codes and regulations. Per Sec. 106.4.3,
1997 Uniform Building Code, the approval of the plans does not permit the violation of any
state, county or city law.
To speed up the recheck process. please note on this list (or a COPV) where each
correction item has been addressed, Le., plan sheet number. specification section, etc.
Be sure to enclose the marked up list when you submit the revised plans.

Please make all corrections on the original tracings, as requested in the correction
list. Submit three sets of plans for commerciaVindustria1 projects (two sets of plans
for residential projects). For expeditious processing, corrected sets can be
submitted in one of two ways:
1. Deliver all corrected sets of plans and calculations/reports directly to the City of -
Carlsbad Building Department, 1635 Faraday Ave., Carlsbad, CA 92008, (760)
602-2700. The City will route the plans to EsGil Corporation and the Carlsbad
Planning, Engineering and Fire Departments.
2. Bring one corrected set of plans and calculations/reports to EsGil Corporation,
9320 Chesapeake Drive, Suite 208, San Diego, CA 92123, (858) 560-1468.
Deliver all remaining sets of plans and calculations/reports directly to the City of
Carlsbad Building Department for routing to their Planning, Engineering and Fire
Departments.
NOTE: Plans that are submitted directly to EsGil Corporation only will not be
reviewed by the City Planning, Engineering and Fire Departments until review by
EsGil Corporation is complete.
1. Each sheet of the plans must be signed by the person responsible for their
preparation, even though there are no structural changes. Business and
Professions Code.
2. In buildings having floors and roofs of wood frame construction, other than
dwelling or hotel occupancies, draft stop the area between the ceiling and floor
above so that no concealed space exceeds 1,000 s.f. and no horizontal
dimension exceeds 60 L.F. (if space has sprinklers, then 3,000 s.f. and 100
L.F.). Section 708.
3. Please note on the plans “AC Cable is not allowed in A, 6, E, H, and I
occupancies. NM cable is restricted (without City approval) to one and two
family dwellings. Note on plans that an equipment ground conductor is to be
installed in all flexible conduits”.
4. Please clarify the electrical plans to show the new circuit for the new water
heater at the new break room.
5. When new rooms or spaces are constructed and the existing mechanical system
is not to be altered other than relocation of existing duct work; please note or
show mechanical ventilation will be provided capable of supplying outside air at a
minimum rate of 15 cubic feet per minute per occupant. UBC, Section 1202.2.1.

ARTICLE 1 THE CONTRACT DOCUMENTS
The Contract Documents consist of this Agreement, Conditions of the Contract (General, Supplementary and other
Conditions), Drawings, Specifications, Addenda issued prior to execution of this Agreement, other documents listed
in this Agreement and Modifications issued after execution of this Agreement; these form the Contract, and are as
fully a part of the Contract as if attached to this Agreement or repeated herein. The Contract represents the entire
and integrated agreement between the parties hereto and supersedes prior negotiations, representations or

ARTICLE 3 DATE OF COMMENCEMENT AND SUBSTANTIAL COMPLETION 5 3.1 The date of commencement of the Work shall be the date of this Agreement unless a different date is stated
below or provision is made for the date to be fixed in a notice to proceed issued by the Owner.

ARTICLE 5 PAYMENTS
$ 5.1 PROGRESS PAYMENTS 5 5.1.1 Based upon Applications for Payment submitted to the Architect by the Contractor and Certificates for
Payment issued by the Architect, the Owner shall make progress payments on account of the Contract Sum to the
Contractor as provided below and elsewhere in the Contract Documents.
$ 5.1.2 The period covered by each Application for Payment shall be one calendar month ending on the last day of
the month, or as follows:
$ 5.1.3 Provided that an Application for Payment is received by the Owner not later than the IST day of a month, the
Owner shall make payment to the Contractor not later than the 15TH day of the same month. If an Application for
Payment is received by the Owner after the application date fixed above, payment shall be made by the Owner not
later than Fifteen (15) days after the Owner receives the Application for Payment.
$ 5.1.4 Each Application for Payment shall be based on the most recent schedule of values submitted by the
Contractor in accordance with the Contract Documents. The schedule of values shall allocate the entire Contract
Sum among the various portions of the Work. The schedule of values shall be prepared in such form and supported
by such data to substantiate its accuracy as the Architect may require. This schedule, unless objected to by the
Architect, shall be used as a basis for reviewing the Contractor's Applications for Payment.
$5.1.5 Applications for Payment shall indicate the percentage of completion of each portion of the Work as of the
end of the period covered by the Application for Payment.
$ 5.1.6 Subject to other provisions of the Contract Documents, the amount of each progress payment shall be
computed as follows:
.I Take that portion of the Contract Sum properly allocable to completed Work as determined by
multiplying the percentage completion of each portion of the Work by the share of the Contract Sum
allocated to that portion of the Work in the schedule of values, less retainage of Ten percent (10%).
Pending final determination of cost to the Owner of changes in the Work, amounts not in dispute
shall be included as provided in Section 7.3.8 of AIA Document A201-1997;
Add that portion of the Contract Sum properly allocable to materials and equipment delivered and
suitably stored at the site for subsequent incorporation in the completed construction (or, if approved
in advance by the Owner, suitably stored off the site at a location agreed upon in writing), less
retainage of Ten percent (10%);

-4 Subtract amounts, if any, for which the Architect has withheld or nullified a Certificate for Payment

$ 5.1.7 The progress payment amount determined in accordance with Section 5.1.6 shall be further modified under
the following circumstances:
.I Add, upon Substantial Completion of the Work. a sum sufficient to increase the total payments to the
full amount of the Contract Sum, less such amounts as the Architect shall determine for incomplete
Work, retainage applicable to such work and unsettled claims; and

We are pleased to submit our Proposal to perform tenant improvement work in accordance with the plans
prepared by Roberts 8 Bennett, dated March 29,2005 and based on following clarifications, exclusions and
add alternatives.
Clarifications and Exclusions:
1. We have not included costs of any permits, inspections, architectural fees or design fees.
2. We have not included cost for any unforeseen conditions.
3. The cost of reproducing blue prints is considered a reimbursable expense and no cost for this is
included in this proposal.
4. We have assumed work said work to be completed in two phases. We have assumed all work in
phase one to take place during business hours. We have assumed all work in phase two to take
place during business hours with the exception of the demolition of the demising, or separating
wall.
5. We have not included telephone, data and communication systems cabling, equipment or
connecton.
6. We have not included fire alarm and life safety systems.
7. We have not included security systems.
8. We have not included any cost associated with the handling of hazardous materials.
9. This estimate is based upon entering into an agreed mutual contract.
10. We do not include moisture barrier beneath any finished flooring materials.
1 1. We exclude any and all seismic upgrades to the suspended ceiling from our proposal.

Addendum to Ameement
THIS ADDENDUM TO AGREEMENT (“Addendum”), dated May 3,2005, modifies and
supplements that certain AIA Document A101-1997 Standard Form of Agreement Between
Owner and Contractor (“Agreement”) by and between Pacific Building Group (as “Contractor”)
and Integrated Capital Enterprises, LLC, MCR 6212, LLC, and Integrated Capital Technologes
(collectively, “Owner”) as follows:
1. Section 11.3.3 of the General Conditions of the Contract for Construction (ALA
Document A20 1 - 1997) (“General Conditions”) is amended in its entirety to read:
The Contractor shall include the Owner and the Architect as
additional insureds on the Contractor’s Liability Insurance
coverage under Section 1 1.1.
2. Section 1 1.3.3 of the General Conditions is amended in its entirety to read:
The property insurance procured by Owner shall not cover
portions of the Work stored off the site or portions of the Work
in transit, any such coverage to be obtained by Contractor at
Contractor’s discretion.
3. Notwithstanding any language in the Agreement to the contrw, nothing in Article 12 or
in Section 13.7 shall diminish the rights and remedies which would otherwise be afforded
to Owner under applicable law.
