Brusseau Re: Permission to Enter for Temporary Power Facilities Dear Jeffry: This will confirm the terms and conditions on which Rio San Diego Plaza II Master, LLC ("Lot 2 Owner"), as owner of Lot 2 of Carlsbad Tract No. 00-20 Fox Miller Property, Map No. 15253 ("Lot 2"), has agreed to permit H. G. FENTON PROPERTY COMPANY, a California corporation ("Fenton"), and its employees and contractors, to enter Lot 2 for the purposes of installing, connecting, maintaining, securing, using, dismantling and disconnecting the following temporary improvements in the locations depicted on the site plan attached as Exhibit A. dated July 3, 2007 (collectively, the "Temporary Power Facilities"): (i) one 18 foot high power pole and one four foot high meter panel adjacent to the existing transformer on Lot 2, and (ii) one 18 foot high power pole adjacent to Salk Avenue with cables-running across Salk to an additional 18 foot high power pole. The Temporary Power Facilities should take approximately one week to install and another week to dismantle, and are expected to be needed for approximately seven months during construction work on Fenton's adjacent property, i.e., Lot 1 of the same Map No. 15253 ("Lot 1"). The grant of permission to enter is subject to the following conditions and undertakings, to each of which Fenton has agreed: 1. Lot 2 Owner shall not be liable for any liability, loss, damage or injury arising out of or in connection with the activities of Fenton, its contractor or its employees, agents or assignees on Lot 2 or as it relates to the Temporary Power Facilities, and Fenton hereby releases Lot 2 Owner from any potential claims arising out of or connected to Fenton's use of Lot 2 or the Temporary Power Facilities pursuant to this letter agreement. 2. Fenton agrees to indemnify, defend and hold Lot 2 Owner and its employees, partners, agents and representatives, entirely free and harmless from all actual and alleged loss, damage or injury, and from all costs and expenses arising from the activities of Fenton, its contractor or its employees, agents or assignees on Lot 2 or as it relates to the Temporary Power Facilities, including reasonable attorneys' fees and costs. 3. Once Fenton has permanent power facilities in place to serve Lot 1, but not later than June 1, 2008, the Temporary Power Facilities will be removed and Fenton will repair any damage done to Lot 2 and/or to any improvements or landscaping thereon, and shall remove all trash and debris incident to Fenton's entry and use pursuant to this letter agreement. 4. Fenton will provide at least three days' prior notice before commencing installation of the Temporary Power Facilities and again before commencing their removal. Fenton will not suffer or permit to be enforced against Lot 2 any mechanic's, materialman's, contractor's or subcontractor's lien arising from, or any claim for damage growing out of, the activities of Fenton, its contractor or its employees, agents or assignees on Lot 2 pursuant to this letter agreement. 6. Fenton shall secure and maintain, at Fenton's sole cost, a commercial general liability and property damage insurance policy covering the activities on Lot 2 of Fenton, its contractor, employees and agents, with combined limits of $2,000,000 for personal injury or death, $2,000,000 for property damage, and $2,000,000 policy limit for aggregate operations on an occurrence basis. The policy shall be endorsed to name Lot 2 Owner and Newport National Corporation as additional insured parties and contain a provision that such policy may not be terminated for non-payment of premium until thirty (30) days written notice of the proposed termination has been delivered .to Lot 2 Owner. A certificate of insurance evidencing the required insurance policy will be delivered by Fenton to Lot 2 Owner before entry onto the Property by Fenton, its contractor or its employees, agents or assignees.
