LICENSE AGREEMENT
THIS LICENSE AGREEMENT (the "Agreement") is made as of this 5th day of February, 2013, by
and among CWCA NORTHPOINTE 76, L.L.C., a Delaware limited liability company ("Licensor"), VIASAT,
INC , a Delaware corporation ("Licensee") and GRANDONA INVESTMENT ASSOCIATES, L P., a California
limited partnership ("Cosmos Ownef")
RECITALS-
A Licensor is the owner of that ceitain real property, a portion of which is leased by Licensee
located at 6215 El Camino Real, Carlsbad, California as descnbed on Exhibit "A" and depicted'on the Site
Plan on Exhibit "B", both attached hereto (the "Licensor Property"} Licensee is a tenant of Licensor
pursuant to the terms of that certain Lease with a lease reference date of July 22, 2005, as amended by (i)
that certain First Amendmentto Lease dated as of April 3, 2008 (the "First Amendmenf) and (ii) that certaiin
Second Amendment to Lease dated as of August 31,2011, (iii) that cerlaln Third Amendmentto Lease dated
December 9, 2011, and (iv) that certain Fourth Amendmentto Lease dated August 31, 2012'(collectively
herein the "CWCA Lease")
B Licensee has entered into a lease agreement with Cosmos Owner dated October 29,2012
(the "Cosmos Lease") for certain premises at the property located at 2290 Cosmos Court, Carlsbad,
California as descnbed on Exhibit "C" attached hereto and as depicted on the Site Plan (the "Cosmos
Property") '
C In connection with the Cosmos Lease, Licensee desires to construct a stairway/walkway in
order to provide access from the Licensor Property to the Cosmos Property as shown on the Site Plan (the
"Access stairway") A portion of the Access Stairway will be on the Licensor Pioperty and a portion on
Cosmos Property The parties hereto are entenng into this Agreement to permit constmction- and use of the
Access Stairway and the grant of a license hereunder on all ofthe terms and conditions as set forth in this
Agreement
NOW, THEREFORE„m consideration ofthe mutual covenants herein expressed and for other good
and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto
agree as follows
1 Grant of License Licensor hereby grants to Licensee a license (the "License") over the
portions of Licensor's Property as shown on Exhibit "B" attached hereto for the purposes of Licensee
constructing and utilizing the Access Stairway on fhe terms and conditions as set forth in this Agreement (the
"Licensed Premises"), commencing on the Commencement Date As used herein, the "Commencement
Date" shall be the date that Licensee accepts possession ofthe premises under the Cosmos Lease and has
provided to Licensor the insurance certificates as required below relating to the use ofthe Licensed Premises
The term (the "Term") of the License granted pursuant to this Section 1 shall commence on the
Commencement Date, and shall expire one hundred and eighty (180) days after the earlier to occur of the
expiration or earlier termination of the Cosmos Lease Term (as defined below) or the expiration or earlier

time to remove the Access Stairway pursuant to the provisions and requirements as set forth in Section 5
below The initial term ofthe Cosmos Lease ends on April 1, 2017 with Licensee having two (2) options to
extend the term for periods of three (3) years each (the "Cosmos Lease Term") In addition to the Licensed
Premises, during any period of construction ofthe Access Stainway or removal and demolition ofthe Access
stairway, Licensee and/or Cosmos Owner, as applicable, shall also have the right to place equipment upon
and utilize areas adjacent to the Licensed Premises as reasonably necessary relating to such
construction/demolition activities Licensee shall accept the Licensed Premises on an "as is" basis and'in its
existing condition as ofthe Commencement Date Licensee acknowledges and agrees Licensor has no duty,
obligation or right to make any improvements or alterations to the Licensed Premises dunng the Term
2 Waiver of Liability and Indemnification Licensee agrees to use reasonable care to
prevent damage to property and injury to persons with respect to any construction activity relating to the
consfruction ofthe Access Stairway and the use of the Access Stairway dunng the Tenn of this Agreement.
Licensee waives any claim it may have against Licensor arising out ofthe use ofthe License or the Licensed
Premises, and releases and exculpates Licensor from any liability in connection with Licensee's use of the
License or the Licensed Premises. Subject to the waivers in the final paragraph of Section 3. Licensee
hereby agrees to indemnify, defend, and hold harmless Licensor from any claim of damage to property or
injury to person arising from Licensee's use of this License or the Licensed Premises or a breach oi default by
Licensee m the performance of any of ds obligations or agreements hereunder, unless caused solely by the
willful misconduct or gross negligence of Licensor The provisions of this Section 2 shall survive the
expiration or eariier termination of this Agreement .Notwithstanding the foregoing, none of the parties hereto
shall be liable for any consequential damages in connection with this Agreement or the License granted
hereby
3 Insurance. Licensee, at its sole cost and expense, shall maintain dunng the Term at
Licensee's expense all nsk property insuranceTelating to the Access Stairway (or alternatively Licensee
shall have fhe right to self insure this risk), workers' compensation insurance with no less than fhe minimum
limits required by law, employer's liabiiily insurance with such limits as required by law, and commercial
general liability insurance, with a minimum limit^of not less than $5,000,000 per occurrence for bodily injury
and property damage with respect to the Licensed Premises The foregoing limit may be met with a
combination of primary and excess umbrella insurance policies The commercial general liability insurance
policy shall name Licensor and Cosmos Owner as additional insureds; be issued by insurance companies
which have a rating of not less than policyholder rating of A- and financial category rating of at least Class X
in "Best's Insurance Guide", shall not be cancelable for nonpayment of premium unless 30 days prior written
notice shall have been given to Licensor from the insurer, and provide primary coverage to Licensor (any
policy issued to Licensor providing duplicate or similar coverage shall be deemed excess over Licensee's
policies) Certificates of insurance showing the limits of coverage required hereunder and showing Licensor
and Cosmos Owner as additional insureds, shall be delivered to Licensor and Cosmos Owner by Licensee
pnor to the Commencement Date and upon each renewal of said insurance Licensee's policy may be a
"blanket policy" with an aggregate per location endorsement which specifically provides that the amount of
insurance shall notbe prejudiced by other losses covered by the policy Licensee shall, at least 6 days pnor
to the expiration of such policies, furnish Licensor and Cosmos Owner with renewal certificates
The property insurance obtained by Licensee and any property insurance maintained by
Licensor and/or Cosmos Owner with respect to the Licensed Premises shall include a waiver of subrogation
by the insurers and all nghts based upon an assignment from its insured, against Licensor, Licensee, or
Cosmos Owner, in connection with any. loss or damage thereby insured against No party hereto shall be
liable to the other for loss or damage caused by any risk insured against under such property Insurance, and
each party waives any claims against the other party for such loss or damage The failure of a party to insure
its property shall not void this waiver
4 Use Licensee's use of the Licensed Premises is strictly limited to the construction of and
use of the Access Stairway between the Licensor Property and the Cosmos Property together with required
maintenance, replacement and improvement of the Access Stairway once constmcted, Licensee agrees thaf
Licensee will lepair any damage to the Access'Stairway and perform maintenance as necessary to maintain it

in the condition.as initially constructed, reasonable wear and tear excepted Licensee agrees that Licensee
shall not otherwise make or perform any improvements to the Licensed Premises without the prior wntten
consent of Licensor, such consent not to be reasonably withheld or delayed The Licensed Premises shall be
used in compliance with all laws, orders, ordinances, regulations, codes or permits, now or hereafter'
applicable to the Licensed Premises ("Legal Requirements") Ifthe Access Stairway or its use causes the
Licensor Property not to comply with Legal Requirements, the Licensee shall be responsible for all costs
incurred by Licensor to bnng the Licensor Property into compliance Licensee shall be responsible for
obtaining and paying for all required City of Carlsbad permits.and approvals relating to the construction and
use of Access Stairway and the Licensed Premises
5. Removal of Access Stairway Pursuant to the provisions of the Cosmos Lease, Cosmos
Owner has agreed to be responsible, at its sole cost and expense, to fully remove the Access Staira/ay and to
restore the Licensed Premises to its condition existing pnorto the date of this Agreement within one hundred
and eighty (180) days afler the termination or sooner expiration of the Cosmos Lease Term (the "Restoration
Obligation") Licensor acknowledges and agrees that the'Restoration Obligation shall be the joint and
several obligation of Licensee and Cosmos Owner-and that in the event of a default by Cosmos Owner of its
obligations under this Section, Licensor shall be entitled to pursue any and all legal and equitable rights and
remedies directly against Licensee and/or Cosmos Owner
6 Assignment Licensee may not assign or otherwise ti ansfer all or any part of its interest in
this Agreement or in the Licensed Premises without the pnor written consent of both Licensor and Cosmos
Owner, which consent shall not be unreasonably withheld or delayed
7 Cross Default/Remedies Any default by Licensee hereunder shall constitute a default by
Licensee under the terms of the CWCA Lease and Licensor shall have all rights and remedies available for
such a default as if it were a default under the CWCA Lease Further, any Event of Default under the CWCA
Lease resulting in a termination of the CWCA Lease shall constitute a default by Licensee hereunder and
Licensor shall have the right to terminate this License and tngger Licensee's and'the Cosmos Owner's
o'bligation'to remove the Access Stairway
8 Governing Jurisdiction This Agreement shallbe construed under and in accordance with
the laws of the State of California
9 Notice Any i:iotice required to be given under this Agreement may be personally delivered to
a paity, or may be sent by overnight couner service (e g , Federal Express), or by facsimile transmission or
