Carlsbad and, subject to authorized adjustments, Substantial
Completion shall be achieved not later than thirty days.
ARTICLE 3
CONTRACT SUM
3.1 The Tenant shall pay the Contractor in current funds for the
performance of the Work, subject to additions and deductions by
Change Order as provided in the Contract Documents, the
Contract Sum of $7,222.00 Seven Thousand Two Hundred Twenty
Two Dollars and Zero Cents.

ARTICLE 4
PROGRESS PAYMENTS
4.1 Based upon Applications for Payments submitted to the Tenant
by the Contractor, the Tenant shall make progress payments on
account of the Contract Sum to the Contractor as provided below:
50% at drywall installation
50% at completion
4.2 Late payments shall bear interest at rate 1.5% per month.
Should any action be brought, at either law or equity, to either
enforce or interpret this contract, then the prevailing party shall be
entitled to recover costs and attorney's fee.
ARTICLE 5
FINAL PAYMENT
5.1 Final payment, constituting the entire unpaid balance of the
Contract Sum, shall be paid by the Tenant to the Contractor when
the Work has been completed.

ARTICLE 6
PROJECT PROVISIONS
6.1 Guideline: The project will be constructed in strict conformance
to the plans and specifications which have been examined and
approved by the Tenant.
6.2 Compliance: The project will be completed in strict compliance
with all laws, ordinances, rules and regulations of the applicable
government authorities.
6.3 Control: The Agreement, plans and specifications are intended
to supplement each other. In case of conflict, the plans will control
the specifications and the Agreement provision will control both.

6.4 Change Orders: As directed by the Tenant, construction lender,
public body or inspector, any alteration or deviation from the
specifications that involves extra cost (subcontract, labor,
materials) will be executed only upon the parties entering into a
written change order. Expense incurred because of unusual or
unanticipated conditions will be paid for by the Tenant.
6.5 Allowances: If the Agreement price includes allowances, and
the cost of performing the work is greater or less than this
allowance, then the Agreement price will be adjusted accordingly.
ARTICLE 7
FINANCIAL RIGHTS AND RESPONSIBILITIES
7.1 Labor and Material: Contractor will provide and pay for all
labor and materials necessary to complete the Project. Contractor
is released from this obligation for expenses incurred when the
Tenant is in arrears in making progress payments,
7.2 Taxes, Assessments and Charges: Taxes, special assessments of
all descriptions, and charges required by public bodies and utilities
will be paid for by the Tenant.
7.3 Bankruptcy: If either party becomes bankrupt, the other party
has a right to cancel this Agreement.
ARTICLE 8
TENANT'S RIGHTS AND RESPONSIBILITIES
8.1 Cancellation: Tenant has an unconditional right to cancel the
Agreement, without penalty or obligation, until midnight of the
third business day after the Agreement was signed. Cancellation
must be done in writing. Upon cancellation, any property traded in,
any payments made under this Agreement, and any negotiable
instrument executed will be returned within 10 business days
following receipt by the Contractor of cancellation notice.

8.2 Property Lines: Tenant shall locate and point out property lines
to the Contractor. Contractor may, at his option, require the Tenant
to provide a licensed land surveyor's map of the property.
8.3 Liens: Failure to pay persons supplying materials or services
according to the terms of this Agreement may result in the filing of
mechanic's liens on the affected property. Tenant has the right to
ask the Contractor for lien waivers from all persons supplying
these material or services. In the event any mechanic's lien is filed
through no fault of the Tenant, then the Contractor agrees to take
all steps necessary for the release and discharge of such lien.
8.4 Insurance: Tenant will maintain property damage insurance at
least equal to the Agreement price.
8.5 Damage to Project: Contractor will not be responsible for any
damage caused by the Tenant, or other causes beyond the control of
the Contractor. Tenant will pay for any restoration work.
ARTICLE 9
CONTRACTOR'S RIGHTS AND RESPONSIBILITIES
9.1 Delay: Contractor will be excused for any delay beyond his
reasonable control. These delays may include, but are not limited to
Acts of God, labor disputes, inclement weather, acts of public
authority, acts of the Tenant, or other unforeseen contingencies.
9.2 Right to Stop Work: If any payment under this Agreement is not
made when due, the Contractor may suspend work on the job until
such time as all payments due have been made. Any failure to make
payment is subject to a claim enforced against the property in
accordance with the applicable lien laws.
9.3 Substitution of Materials: Contractor may substitute materials
with notice to the Tenant in order to allow work to proceed,
provided that substituted materials are of no lesser quality than
those listed in specifications.

9.4 Salvage: All salvage resulting from work under this Agreement
is to be retained by the Contractor unless other agreements are
contained in written specifications.
9.5 Insurance: Contractor will maintain workers' disability
compensation insurance for his employees and comprehensive
public liability insurance policies.
ARTICLE 10
COMPLETION OF PROJECT
10.1 Notice: Tenant agrees to sign a Notice of Completion within 5
days after completion of the project. If project passes final
inspection and the Tenant does not sign the Notice, the Contractor
may act as Tenant's agent and sign Notice.
10.2 Clean up: Contractor is responsible for removing debris and
surplus material from property, and leaving the property in a neat
and orderly condition.
ARTICLE 11
CONFLICT PROVISIONS
11.1 Arbitration: Any controversy or claim arising out of this
Agreement that cannot be resolved, is subject to arbitration, with
an arbitrator of mutual agreement, and all parties (including
Tenant, Contractor, Architect and Sub-Contractors) are bound to
this arbitration. If any party does not appear at arbitration
proceedings, the arbitrator is empowered to decided the
controversy in accordance with whatever evidence is presented by
the party (ies) that do participate.
11.2 Attorney Fees: If either party becomes involved in litigation
arising out of this Agreement, the court shall award costs/expenses
including attorneys fees to the party justly entitled to them.
11.3 Limitations: No action related to this Project may be made by
either party against the other more than 2 years after the
completion of work.

ARTICLE 12
GENERAL PROVISIONS
12.1 Notice: Any notice required or permitted under this agreement
may be given by certified or registered mail at the addresses
contained in the Agreement.
12.2 Prohibition of Assignment: Neither party may assign this
Agreement or payment due under this Agreement without the
written consent of the other party.
12.3 Qualification: This document constitutes the entire agreement
of the parties. No other agreement exists. This Agreement can be
modified only by written agreement signed by both parties.
12.4 Governance: This Agreement shall be constructed in
accordance with and governed by, the laws of the state in which the
Project is located.
This Agreement is entered into as of the day and year first above
written and is executed by an authorized representative of Tenant
and Contractor.

for the drain/redrculation system:
The Drain is designed with a system which allows redrculation of a
combination of water and a cleaning agent during each particular wash.
After each machine is washed, the drain compartment (which is made of
stainless steel) will be flushed out into the sewer outlet. This will occur

each time a machine is washed providing a continuous source of main-
taining the water seal. This wash station will be used on a weekly basis.
