The real property referred to hereinabove and made subject to said Right Of Entry Permit by this grant is situated in the City of Carlsbad, County of San Diego, State of California, and is more particularly described in the attached Exhibit "A" and as shown on the attached Exhibit "B". This Right of Entry Permit is granted with the acknowledgment that the permitor has accepted the fair market value offer of $9,000 and that an escrow will be opened by Permitee with Commonwealth Land Title Company, San Diego office, immediately upon execution and delivery of this Right Of Entry Permit. Permitor agrees to convey by Grant Deed Parcel "A" as described in Exhibit "A" and convey by Easement Deed Parcel "B" (Slope Easement) as described in Exhibit "A" to the City of Carlsbad. The $9,000 consideration will be paid through said escrow and all escrow fees, including the cost of a policy title insurance, will be paid by Permitee. It is understood and agreed that the Permitor shall not be held liable for any damage to equipment or injury to personnel of said Permitee, its agent(s), contractor(s), or employees resulting from the Permitee's use of said real property. It is also understood that the Permitee agrees to indemnify, defend and hold the Permitor, its affiliates, employees, agents, successors and assigns, harmless against any and all damage, cost and liability imposed or claimed, including attorneys' fees and other expenses, arising directly or indirectly from any act or failure of the Permitee or Permitee's agent(s) contractors), or employees to act, including all claims related to the injury or death of any person or damage to any property resulting from the Permitee's negligent use of said real property. Except for the land described in Exhibit "A" and as shown on Exhibit "B", the Permitee agrees that it shall be responsible for the restoration of the contiguous premises to the condition existing prior to entry, as nearly as possible. If any existing landscape and related irrigation system is damaged, it will be replaced in-kind. Any damage to existing improvements will be repaired in a manner comparable to its existing condition. The Permittee shall deliver the necessary funds to said escrow upon receiving a demand for same. Title to said property shall be delivered free and clear of any and all liens and encumbrances except for those that the City of Carlsbad agrees to accept. It is agreed and confirmed by the parties hereto that notwithstanding other provisions in this Right Of Entry Permit, the right of possession and use of the subject property by the City of Carlsbad, including the right to remove and dispose of improvements, shall commence on November 17, 1993, or the close of escrow controlling this transaction, whichever occurs first, and that the payment of $9,000 includes, but is not limited to, full payment for such possession and use, including damages, if any, from said date. This Right of Entry Permit shall remain in force for the period of time described below and be binding upon the permitor's heirs, assigns, and successors. The Permitee is hereby authorized to record this Right of Entry Permit with the County Recorder of the County of San Diego, California. THIS RIGHT OF ENTRY PERMIT SHALL TERMINATE UPON THE RECORDATION OF THE ABOVE REFERENCED CONVEYANCE DOCUMENTS. This permit was executed this day of 1993.
