The Permitor hereby grants permission to the City of Carlsbad and its designees, agents, employees, contractors, and authorized
representatives to enter upon the hereinafter described real property for the purpose of constructing and maintaining highway
improvements and related appurtenances over, under, along, through and across the herenafter described property, together with
the right to assign this permit to other public agencies.
The real property referred to hereinabove and made subject to said Right Of Entry Permit by this grant is situated in the City of
Carlsbad, County of San Diego, State of California, and is more particularly described in the attached Exhibits "A-l", "A-2",
"A-3", and "A-4" and as shown on the attached Exhibits "B-l", "B-2", "B-3", and "B-4".
This Right of Entry Permit is granted with the acknowledgment that the permitor has accepted the fair market value offer of
$8,100 and that an escrow will be opened by Permitee with Commonwealth Land Title Company, San Diego office, immediately
upon execution and delivery of this Right Of Entry Permit. Permitor agrees to convey the land described in Exhibits "A-l" and
"A-3" by grant deed and convey a temporary construction easement in the land described in Exhibits "A-2" and "A-4" to the
City of Carlsbad. The $8,100 consideration will be paid through said escrow and all escrow fees, including the cost of a policy
title insurance, will be paid by Permitee.
The improvements to be constructed within the temporary construction easement will be constructed in conformance with the
improvement plans on file with the City Carlsbad which are identified as follows: Retaining Wall Plans (R-l & R-2),
Sound Wall Plan (SW-1), and Planting Plan (HP-3).
The Permitee agrees that it shall be responsible for the restoration of the premises to the condition existing prior to entry, as
nearly as possible. If the existing landscape and related irrigation system is damaged, it will be replaced in-kind. Any damage to
existing improvements will be repaired in a manner comparable to its existing condition. It is further understood that all work will
be completed in accordance with construction trade standards and be subject to Permitor's acceptance.
The undersigned Permitor agrees to sign escrow instructions and deliver an executed grant deed and temporary construction
easement deed to escrow upon receiving the documents from said escrow. The Permittee shall deliver the necessary funds to said
escrow upon receiving a demand for same. Title to said property shall be delivered free and clear of any and all liens and
encumbrances except for those that the City of Carlsbad agrees to accept.

' It is understood and agreed that the Permitor shall not be held liable for any damage to equipment or injury to personnel of said
Permitee, its agent(s), contractor(s), or employees resulting from the Permitee's use of said real property.
It is agreed and confirmed by the parties hereto that notwithstanding other provisions in this Right Of Entry Permit, the right of
possession and use of the subject property by the City of Carlsbad, including the right to remove and dispose of improvements,
shall commence on November 17, 1993, or the close of escrow controlling this transaction, whichever occurs first, and that the
payment of $8,100 includes, but is not limited to, full payment for such possession and use, including damages, if any, from said
date.
This Right of Entry Permit shall remain in force for the period of time described below and be binding upon the permitor's heirs,
assigns, and successors. The Permitee is hereby authorized to record this Right of Entry Permit with the County Recorder of the
County of San Diego, California. THIS RIGHT OF ENTRY PERMIT SHALL TERMINATE UPON THE RECORDATION OF
THE ABOVE REFERENCED CONVEYANCE DOCUMENTS.
