AS OF THE DATE OF RECORDATION.
SUBJECT FURTHER TO A RIGHT OF FIRST REFUSAL IN FAVOR OF GRANTOR AS FOLLOWS:
Any sale or transfer by Grantee of all or any portion of the Property
(except for the sale of the .368-acre parcel to La Costa Cable
Television) shall be subject to a right of first refusal of Grantor,
which right shall require Grantee to give notice to Grantor of any
proposed sale or transfer, and Grantor shall have fifteen (15) days
after receipt of this notice within which to accept the proposed sale
or transfer. If Grantor does not so accept, Grantee may then proceed
with its proposed sale or transfer, provided that any change in the
terms will then require resubmittal to Grantor under this right of
first refusal.
