FOR A VALUABLE CONSIDERATION, receipt of which is hereby acknowledged,
NEW ENGLAND MUTUAL LIFE INSURANCE COMPANY, A MASSACHUSETTS CORPORATIOh
hereby GRANTS to
THE CITY OF CARLSBAD, A MUNICIPAL CORPORATION,
an easement and right-of-way for earth embankment slopes, together with the right to construct and maintain such slopes and embankments and facilities incidental thereto, over, under,along and across the herenafter described property, together with the right to convey said easement, or any portion of said easement, to other public agencies.
?'he real property referred to hereinabove and made subject to said easement and right-of-way by this gra is situated in the CITY OF CARLSBAD, COUNTY OF SAN DIEGO, STATE OF CALIFORNIA, and is more particularly described in the attached EXHIBIT "A" and as shown on the attached EXHIBIT "B":
The construction of the proposed improvements shall be completed in accordance with the City's Improvement Pian
Drawing No. 326-7 and as more specifically shown on the following drawings:

(2) Planting Pian HP1 - HP3
(3) Irrigation Plan HP7 - HP9
(4) Contour Grading Plan GI -G2
(5) Summary of Quantities Q1
(6) Layout Plan L1 -E
Reserving unto the Grantor herein, heirs and assigns the continued use of the above described land subject to the
following conditions:
The erecting of buildings, masonry walls, masonry fences and other structures; the planting or growing of trees; the
changing of the surface grade; and the installation of privately owned pipe lines shall be prohibited except by written
permission from the CITY OF CARLSBAD.

16, 1896, and recorded September 16, 1988, as File No. 88-467980 of Official Records.
BEGINNING at the northwesterly corner of said Parcel 1;
Thence South 77" 34'39" East 4.73 feet to the beginning of a non-tangent curve,
concave to the North, having a radius of 2557.42 feet, to which a radial line bears South
