OFF t C1AL SAM 5lEGO CI ?pq*rrhlT n !?Y TwANSFER TAX $".?&& - HARLEY DL, RECC GRANT OF EASEMENT ~~ ~ ~~ ~~~~~ ~~~ SAN DIEGO GAS & ELECTRIC CGMPANY, a corporation, hereinafter called "Grantor", for valuable consideration, grants to the CITY OF CARLSBAD, a munic corporation, in the County of San Diego, State of California, hereinafter call "Gra.ntee", an easement and right of way for drainage facilities and incidental thereto, through, over, under and across the Grantor's land situate in the Cil Carlsbad, County of San Diego, State of California, and more particularly des( as follows: That portion of Lot 'IJ" of the Rancho Agua Hedionda, according to Partition Nap thereof No. 823, filed in the office of the County Recorder of said County of San Diego, November 16, 1896, being a strip of land 12.00 feet in width, lying 6.00 feet measured at right angles, on each side of the following described center line: Commencing at the intersection of the Westerly line of the land conveyed to San Diego Gas & Electric Company, a corporation, by Deed recorded February 14, 1968 at Recorder's File/Page No. 25445 of Official Records of said County of San Diego, and the Southerly line of said Lot "J" of the Rancho Agua Hedionda; thence along the Westerly line of said San Diego Gas & Electric Company land North 6' 29' 30" West, 138.47 feet to the TRUE POINT OF BEGINNING of the center line herein described; thence from said TRUE POINT OF BEGINNI'C South 65' 48' 50" East, 45.00 feet. The side lines of the above described easement and right of way shall be lengthened and/or shortened so as to termiflate said side lines in the Westerly boundary of the above described lands of the Grantor herein. All as shm n for convenience sake on Attachment "A" attached hereto and made a part hereof. Grantee, its successors, assigns, agents or contractors, shall be res ble for any damage to Grantor's existing facilities occasioned by or arising f the construction, operation or maintenance of Grantee's drainage facilities wi Grantor's property. Grantee covenants for itself, its successors, assigns, agents or cont that all work in connection with the installation of said drainage facilities appurtenances shall be done in a workmanlike manner and in accordance with st2 engineering practices. 1. I 4% ,I -1 e 0 .. f s 8 d I Grantor, its successors and assigns shall not be required to bear an: portion of the cost of construction, maintenance, alteration, repair or replac of said drainage facilities. Grantor reserves untc itself, its successors and assigns, the right . use the subsurface, surface and airspace thereover, of the hereinbefore descr: easement and right of way, for the installation of such facilities as it shal: or in the future deem necessary, provided, however, that such reserved use rii shall not be exercised by the Grantor, its successors or assigns, in such a m: as to be incompatible with the Grantee's installation. Grantee shall at all times indemnify and save harmless Grantor again: pay in full any and all loss, damage or expense that Grantor may sustain, inc. become liable for, resulting in any manner from the construction, maintenance state or repair or presence of Grantee's drainage facilities installed hereunl all necessary and proper fixtures and equipment for use in connection therewi including any such loss, damage or expense arising out of the (a) loss of or I to property, and (b) injury to or death of persons, including the defense of < action arising.therefrom, excepting any loss, damage or expense and claims fo damage or expense resulting in any manner from the negligent act or acts of t: Grantor, its contractors, officers, agents or employees. Grantee agrees that if for any reason said easement and right of way abandoned by Grantee for a continuous period of one (1) year, then all rights granted shall revert to the Grantor, its successors or assigns, automatically without the necessity of re-entry or notice.
