This is to certify that the interest in real property conveyed by the Grant Deed of
Easement dated August 29. 2006 from Slough Carlsbad, LLC, a Delaware Limited
Liability Company to the City of Carlsbad, California, a municipal corporation, is hereby
accepted by the City Council of the City of Carlsbad, California, pursuant to Ordinance
No. NS-422, adopted on September 16, 1997, and the grantee consents to the
