SUBORDINATION AGREEMENT
NOTICE: THIS SUBORDINATION AGREEMENT RESULTS IN YOUR SECURITY INTEREST IN THE PROPERTY BECOMING SUBJECT TO AN ESTATE IN THE REAL PROPERTY TO WHICH YOUR SECURITY INSTRUMENT AlTACHES

WITNESSETH
THAT WHEREAS, T. I.L. Ltd. and T. 1.0. Ltd. did
dated May 12, 1988 , to Safeco Title Insurance Company, a Cal i fornia
CorDoration as trustee, covering real Drouerty described on Exhibit A, attached
hereto, and incorDorated herein by this reference, to secure a note in tne sum

WHEREAS, Owner has executed, or is about to execute, as grantor, a grant
of EASEMENTS datedA,u@ust 15. 1988, in favor of the City of Carlsbad as grantee
herein referred to as 'fEasement Grantee," creating ' the EASEMENTS more
particularly described in EXHIBIT B attached hereto; and
WHEREAS, it is a condition precedent to obtaining said EASEMENTS that said
grant of EASEMENTS above mentioned shall unconditionally be and remain at all
times a charge upon the land hereinbefore described, prior and superior to the
lien of charge of the deed of trust above mentioned; and
WHEREAS, Easement Grantee is willing to accept said EASEMENTS provided the
grant of EASEMENTS is a charge upon the above described property prior and
superior to the 1 ien or charge of the deed of trust above mentioned and provided
that Beneficiary will specifically and unconditionally subordinate the lien or
charge of the deed of trust above mentioned to the 1 ien or charge of the
EASEMENTS created in favor of Easement Grantee; and
WHEREAS, it is to the mutual benefit of the parties hereto that Easement
Grantee accept said EASEMENTS and Beneficiary is willing that the grant of
EASEMENTS shall, when recorded, constitute a charge upon said land which is
unconditionally prior and superior to the lien or charge of the deed of trust
above mentioned.
NOW, THEREFORE, in consideration of the mutual benefits accruing to the
parties hereto and other valuable consideration, the receipt and sufficiency of
which consideration is hereby acknowledged, and in order to induce Easement
Grantee to accept said EASEMENTS above referred to, it is hereby declared,
understood and agreed as follows:

1. That said EASEMENTS in favor of Easement Grantee shall
unconditionally be and remain at all times a charge on the property therein
described, prior and superior to the lien or charge of the deed of trust above
mentioned .
2. That Easement Grantee would not accept said EASEMENTS above
described without this subordination agreement.
3. That this agreement shall be the who1 e and only agreement with
regard to the subordination of the lien or charge of the deed of trust above
mentioned to the EASEMENTS in favor of Easement Grantee above referred to and
shall supersede and cancel, but only insofar as would affect the priority
between the deed of trust and EASEMENTS hereinbefore specifically described, any
prior agreement as to such subordination including, but not limited, those pro-
visions, if any, contained in the deed of trust above mentioned, which provide
for the subordination of the lien or charge thereof to another interest in the
real property therein descri bed.
BENEFICIARY declares, agrees and acknowledges that:
1. He consents to and approved the grant of EASEMENTS in favor of the
Easement Grantee.
2. He intentionally and unconditionally waives, relinquishes and subor-
dinates the lien or charge of the deed of trust above mentioned to the EASEMENTS
in favor of Easement Grantee above referred to and understands that in reliance
upon, and in consideration of, this waiver, relinquishment and subordination of
the grant of EASEMENTS is being executed and del ivered, the EASEMENTS is being
created, ana that specific monetary and other obligations are being and will be
entered into by the Easement Grantee, other lenders and title insurance
companies which would not be made or entered into but for said reliance upon the
waiver, relinquishment and subordination; and

3. An endorsement has been placed upon the note secured by the deed of
trust above mentioned that said deed of trust has by this instrument been subor-
dinated to the charge of the EASEMENTS in favor of Easement Grantee above

Beginning at the centerline intersection of Carlsbad Boulevard and Elm Avenue, as shown on Record of Survey Map No, 9536, recorded December 30, 1983; thence, northeasterly along the centerline of said Elm Avenue, North 55°28'39tt East (Record: North 55"30'0011 East, Record of Survey 9536), a distance of
295.04 feet, to the TRUE POINT OF BEGINNING; thence, perpendicular to said centerline, North 34"31'2111 West, a
distance of 50.00 feet.
Excepting all that portion lying within Elm Avenue, as shown on
