THAT WHEREAS, Carltas Company, a limited partnership, did execute a dee
dated January 1, 1994 to Ticor Title Insurance Company of California, a California corp
trustee, covering (not shown), to secure a note in the sum of $420,000.00 dated Janua
in favor of California State Coastal Conservancy recorded in the office of the County RI

WHEREAS, Owner has executed, or is about to execute, as grantor, a

"Easement Grantee," creating an EASEMENT more particularly described in EXHIBIT 1
hereto; and

WHEREAS, Easement Grantee is willing to accept said EASEMENT provided th
EASEMENT is a charge upon the above described property prior and superior to tl
charge of the deed of trust above mentioned and provided that Beneficiary will specil
unconditionally subordinate the lien or charge of the deed of trust above mentioned to t
charge of the easement created in favor of Easement Grantee; and
WHEREAS, it is to the mutual benefit of the parties hereto that Easement Grantc
said EASEMENT and Beneficiary is willing that the grant of EASEMENT shall, when
constitute a charge upon said land which is unconditionally prior and superior to tt
charge of the deed of trust above mentioned.
NOW, THEREFORE, in consideration of the mutual benefits accruing to th
hereto and other valuable consideration, the receipt and sufficiency of which considl
hereby acknowledged, and in order to induce Easement Grantee to accept said EA
above referred to, it is hereby declared, understood and agreed as follows:
1. That said EASEMENT in favor of Easement Grantee shall uncon

2. That Easement Grantee would not accept said EASEMEN'
