CORPORATE AUTHORIZING RESOLUTION
AL a duly constituted meeting of the Board of Directors of BRIDGE Housing Corporation - Southern California, a California non rofit public benefit corporation (the "CorporationV1) held on
AT <7*r71- 7 1998, the following resolutions were adopted:
WHEREAS, the Board of Directors of the Corporation deems it to be in the best interests of the Corporation to enter into a limited partnership known as Poinsettia Housing Associates, a California Limited Partnership (the UPartnershipN) with the Corporation acting as the general partner, along with BRIDGE Housing Corporation, a California nonprofit public benefit corporation (IIBRIDGE") as the initial limited partner;
WHEREAS, the Board of Directors of the Corporation deems it to be in the best interests of the Corporation to obtain a one percent (1%) partnership interest in the Partnership;
WHEREAS, the Board of Directors of the Corporation deems it to be in the best interests of the Corporation to enter into any and all agreements, including, but not limited to limited partnership agreements and certificates of limited partnership, and any other types of agreements to do any and all acts necessary for the formation of the Partnership;
WHEREAS, the Board of Directors of the Corporation deems it to be in the best interests of the Corporation to assist the Partnership with obtaining an interest in certain real property located in Carlsbad, California (the "Propertyfl), upon which the Partnership intends to construct a residential housing development for low income persons (the "Improvements");
NOW, THEREFORE, BE IT RESOLVED: That the Corporation shall enter into the Poinsettia Housing Associates Limited Partnership Agreement acting as the general partner, along with BRIDGE as the initial limited partner;
FURTHER RESOLVED: That the Corporation shall obtain a one percent (1%) partnership interest in the Partnership;
FURTHER RESOLVED: That the Corporation shall enter into a and all agreements, including, but not limited to limited partnership agreements and certificates of limited partnership, and any other types of agreements and take any and all further actions necessary in order to form the Partnership;

FURTHER RESOI,VED: That the Corporation shall assist the Partnership with obtaining an interest in the Property and in

FURTHER RESOLWD: That any officer of the Corporation, acting alone, shall be authorized and directed to execute any and all necessary documents, including, but not limited to partnership agreements, certificates of limited partnership, and to take any and all further actions necessary for the formation of the Partnership, and to assist the Partnership with its acquisition of the Property and the financing of the Improvements.
I, the undersigned, hereby certify that the foregoing is a true copy of the Resolution adopted by the Board of Directors of the above mentioned Corporation at a meeting of said Board held
on the aforementioned date, and that said Resolution is in full
force and effect, and that the Board of Directors of said Corporation has, and at the time of the adoption of said Resolution had, full power and authority to act on behalf of the Board of Directors and to appoint the said officer(s) therein named who have full power and lawful authority to exercise the
same.
