AGREEMENT FOR ARCHITECTURAL/ENGINEERING SERVICES FOR JAMES DRIVE UNDERGROUND EXTENTED STORM DRAIN
.
THIS AGREEMENT, made and entered into as of the day of
1986, by and between the CITY OF CARLSBAD, a municipal corporation,
hereinafter referred to as "City," and Fraser & Associates
hereinafter referred to as "Consultant."
RECITALS
. City requires the services of the consultant to provide the necessary
architectural/engineering services for designing and accomplishing necessary related tasks for an underground storm drain from Tamarack Avenue and James Drive northward to James Drive south of Basswood
Avenue.
and to prepare biddable design plans, general and special provisions/ specifications, contract documents and necessary legal descriptions
for required property acquisitions.

Consultant possesses the necessary skill and qualifications to provide
the services required by City;
NOW THEREFORE, in consideration of these recitals and the mutual.
covenants contained herein, City and a Consultant agree as follows:
(1) CONSULTANT'S OBLIGATIONS
The Consultant will provide all professional services necessary to carry out the work proposed in the City's letter of February 6, 1986,
and in the Consultant's lette-rs of February 26, 1986, and March 13,
1986; and will submit complete biddable design plans, general and special provisions/specifications, and contract documents including completed proposal page and necessary legal documents for right-of-way
acquisition with minimum corrections required for first plan check by
the completion time specified in paragraph (3), PROGRESS AND COMPLETION.
CITY OBLIGATIONS
The City shall assist the Consultant by providing available hydrology studies for the storm drains to the north and south of the project,
provide "boiler plate" copy of contract documents and make payment to
the Consultant as provided for in this Agreement.

(3) PROGRESS AND COMPLETION
The work under this contract will begin upon receipt of this signed
agreement from the City. Submission of the predesign phase will be within 2-4 weeks (14-28 consecutive calendar days) following receipt
of signed agreement. Upon approval of the preliminary design by the
city, the completed project will be submitted to the city for plan
check, with minimal corrections required within 6-8 weeks (42-56
consecutive calendar days) following receipt of approval of the
preliminary design. Extensions of time may be granted if requested
by the Consultant and agreed to in writing by the Utilities and Maintenance Director. In consideration of such requests, the Utilities
& Maintenance Director will give allowance for documented and substanti-
ated unforeseeable and unavoidable delays not caused by a lack of fore-
sight on the part of the Consultant, or delays caused by City, inaction
or other agencies' lack of timely action. Corrections required by plan
checks will be expeditiously completed and returned to the Utilities
and Maintenance Director according to schedule agreed upon at time of
receipt of required corrections.
.. (4) FEES TO BE PAID TO CONSULTANT
The fee payable according to paragraph (5) shall be $ 18,643.00. No other compensation for services will be allowed except those
items covered by supplemental agreements per paragraph (7), CHANGES IN WORK.
(5) PAYMENT OF FEES (Strike inappropriate statements)

Monthly payment of fees shall be made for work actually accomplished during the past month. Final payment shall be made within thirty-five (35) days after approval of the final documents.
(6) FINAL SUBMISSIONS
Within 15 days of completion and approval of the final designs, the Consultant shall deliver to the City the following items:
(a) Original mylars at scale of the drawings reproducible
on standard 24" by 36" sheets. Blank mylars may be purchased from the City Engineer's Office.
(b) All final engineering certifications and documents.
The plans shall be signed by a Registered Civil Engineer.

(7) CHANGES IN WORK
If, in the course of this agreement and design, changes seem merited by the Consultant or the City, and informal consultatioms with the
other party indicate that a change in the conditions of the contract
is warranted, the Consultant or the City cay request a change in contract. Such changes shall be processed by the City in the follow-
ing manner: A letter outlining the required changes shall be forward-
ed to the City or Consultant to inform them of the proposed changes
along with a statement of estimated changes in charges or time schedule. After reaching mutual agreement on the proposal, a supple-
mental agreement shall be prepared by the City and approved by the City Council or the City Manager, as appropriate. Such supplemental
agreement shall not render ineffective or invalidate unaffected
portions of this agreement. Changes requiring immediate action by the Consultant or-City shall be ordered by the Utilities and Maintenance Director who will inform a principal of the Consultant's firm of the
necessity of such action and follow up with a supplemental agreement covering such work.

DESIGN STANDARDS
The Consultant shall prepare the plans and specifications in accordance
with the design standards of the City of Carlsbad and recognized current
design practices. Applicable City of Carlsbad standards and regional
standards shall be used where appropriate. Copies of such standards
shall be obtained from the City's Utilities and Maintenance Office.
Plans are to be drawn at l4D horizontal scale.
(9) COVENANTS AGAINST CONTI /$-?f G NT FEES
The Consultant warrants that their firm has not employed or retained any company or person, other than a bona fide employee working for the
Consultant, to solicit or secure this agreement, and that Consultant
has not paid or agreed to pay any company or person, other than a bona
fide employee, any fee, commission, percentage, brokerage fee, gift,
or any other consideration contingent upon, or resulting from, the
award or making this agreement. For breach or violation of this warranty, the City shall have the right to annul this agreement with-
out liability, or, in its discretion, to deduct from the agreement price or consideration, or otherwise recover, the full amount of such
fee, commission, percentage, brokerage fee, gift or contingent fee.
NONDISCRIMINATION CLAUSE
The Consultant shall comply with applicable State and Federal laws
regarding nondiscrimination.

TERMINATION-OF CONTRACT
In the event of the Consultant's failure to prosecute, deliver, or
perform the work as provided for in this agreement, the City may termi- -
nate this agreement for nonperformance by notifying the Consultant by certified mail of the termination of the agreement, The Consultant,
thereupon, has five working days to deliver said documents owned by
the City and all work in progress to the Utilfties and Maintenance
Director. The Utilities and Maintenance Director shall make a determi-
nation of fact based upon the documents delivered to City of the
percentage of work which the Consultant has performed which is usable
and of worth to the City in having the agreement completed.

(12) DISPUTES
If a dispute should arise regarding the performance of work under

(14) SUSPENSION OR TERMINATION OF SERVICES
This agreement may be terminated by either party upon tendering 30
days written notice to the other party, In the event of such
suspension or termination, upon request of the City, the Consultant
shall assemble the work product and put same In order for proper
filing and closing and deliver said product to City, In the event
of termination, the Consultant shall be paid for work performed to
the termination date: however, the total shall not exceed the guaranteed total maximum. The City shall make the final determi- nation as to the portions of tasks completed and the compensation
to be made. Compensation to be made in compliance with the Code of
Federal Regulations.
(15) STATUS OF THE CONSULTANT
The Consultant shall perform the services provided for herein in
Consultant's own way as an independent contractor and in pursuit of
Consultant's independent calling, and not as an employee of the City.
Consultant shall be under control of the City only as to the result
to be accomplished and the personnel assigned to the project, but
shall' cnqsult with the City 'as p'rovided for 'i'n the -request for'

(16) CONFORMITY TO LEGAL REQUIREMENTS
The Consultant shall cause all drawings and specifications to conform
to all applicable requirements of law: Federal, State and local.
Consultant shall provide all necessary supporting documents, to be
filed with any agencies whose approval is necessary.
The City will provide copies of the approved plans to any other
agencies.
(17) OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings reports and specifications
as herein required are the property of the City, whether the work for which they are made be executed or not. In the event this
agreement is terminated, all documents, plans, specifications,
drawings, reports and studies shall be delivered forthwith to the
City. Consultant shall have the right to make one copy of the plans
for own records.

(18) HOLD HABHLESS AGREEMENTS

The City, its agents, officers and employees shall not be liable
for any claims, liabilities, penalties, fines, or any damage to
goods, properties, or effects of any person whatever, nor for
personal injuries or death caused by, or resulting from, or claimed
to have been caused by, or resulting from, the wrongful or negligent
acts or omissions of Consultant or Consultant's agents, a employees or representatives. Consultant agrees to defend, indemnify and save
free and harmless the City and its authorized agents, officers, and employees against any of the foregoing liabilities or claims of any
kind and any cost and expense that is incurred by the City on account of any of the foregoing liabilities, Including liabilities or claims
by reason of alleged defects in any plans and specifications, unless
the liability or claim is due to or arises out of, solely the City's active negligence.
(19) ASSIGNMENT OF CONTRACT
The Consultant shall not assign this agreement or any part thereof or any monies due.thereunder without prior written consent of the City.

If the Consultant shall subagreement any of the work to be performed
under this agreement by the Consultant, Consultant shall be fully responsible to the City for the acts and omissions of Consultant's
subagreementor and of the persons either directly or indirectly employ- ed by the subagreementor, as Consultant is for the acts and omissions
of persons directly employed by Consultant. Nothing contained in this agreement shall create any agreemental relationship between any
subagreementor of Consultant and the City. The consultant shall bind
every subagreementor and every subagreementor of a subagreementor by
the terms of this agreement applicable to Consultant's work unless specifically noted to the contrary in the subagreement in question
approved in writing by the City.
(21) PROHIBITED INTEREST
No official of the City who is authorized in such capacity on behalf of the City to negotiate, make, accept, or approve, or take part in
negotiating, making accepting, or approving of any architectural, engineering inspection, construction or material supply agreementor, or any subagreementor in connection with the construction of the
project, shall become directly or indirectly interested personally
in this agreement or in any part thereof. No officer, employee, architect, attorney, engineer, or inspector of or for the City who
is authorized in such capacity and on behalf of the City to exercise any executive, supervisory or other similar functions in connection
with the performance of this agreement shall become directly or
indirectly interested personally in this agreement or any part thereof.

VERBAL AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agent, or
employee of the City, either before, during, of after the execution
of this agreement, shall affect or modify any of the terms or
obligations herein contained nor such verbal agreement or conversa-
tion entitle the Consultant to any additional payment whatsoever
under the terms of this contract.
(23) SUCCESSOR OR ASSIGNS
Subject to the provisions of paragraph (18) HOLD HARMLESS AGREEMENT,
all terms, conditions, and provisions hereof shall insure to and
shall bind each of the parties hereto, and each of their respective heirs, executors, administrators, successors and assigns.
(24) CONFLICT OF INTEREST
The consultant shall file a conflict of interest statement with the
City Clerk of the City of Carlsbad.' The'Consultant shall report investments or interests in real property in the area of work covered
by this agreement.
(25) EFFECTIVE DATE
This agreement shall be effective on and from the day and year
first above written.

REQUEST FOR PROPOSAL
The Utilities and Maintenance Department of the City of Carlsbad is
requesting proposals to design and accomplish necessary related tasks of an underground storm drain from Tamarack Avenue north to James Dr.
between Highland Drive and Valley Avenue. A location map is provided.
The tasks will include but are not limited to: analysis and recommenda-
tion of size and exact location of storm drain which will be approved prior to design; design of project: preparation of biddable
construction plans, general and special provisions/specifications, contract documents and legal documentation for required easements:
obtaining of access rights to property adjacent to project for design
surveying and for construction and other pertinent things related to the project.
The city will provide available information that it has concerning the
project to the proposer upon request.
The proposal, which should be received by the Utilities and Maintenance
Director at 405 Oak Avenue, Carlsbad, California, on or before 5:OOPM
on Thursday, February 27, 1986, should contain the following informa-
tion:
- Information about company.
- References (names, addresses and telephone numbers) of clients for which recent and similar work has been
completed.
- Planned approach for accomplishing the design.
. - Time schedule for working on the project including turn- around time for plan check corrections.
- Listing of personnel to be assigned to the project with rate schedule.
- Total design and related costs.
Proposal should Ye brief and to the point. If necessary, a selection committee will be designated to interview submitters of eligible
proposals.

Dear Mr. Greer:
. ... In response to your February 6, 1986 R.F.P., we are pleased to submit our proposal for this project,.
Fraser & Associates is very interested in continuing to provide quality engineering services to the City. The firm is well known
to the City and a copy of our general brochure is enclosed
herewith. The company currently has a staff of eleven, including
five (5) registered civil engineers.
Our recent experience with the State Street Storm Drain project in
which we performed a hydrology and hydraulics analysis and redesigned most of the sewer during the construction process has provided us with a wealth of experience regarding the problems
that can be associated with storm drain construction in the City of Carlsbad. As a result of this project we are familiar with working with the various utilities including the City’s Utilities
and Maintenance Department who on numerous occassions displayed
exceptional professionalism in relocation of utilities and other
construction related situations.
In preparing our proposal we have walked the proposed pipeline route. A description of the proposed project follows.
Description of Proposed Project
The proposed storm drain extends approximately 2700 feet south
from the dead-ended portion of James Drive off Basswood Avenue
across Chestnut Avenue and Magnolia Avenue to Tamarack Avenue where it joins an existing 48-inch storm drain installed in the section of James Drive south of Tamarack.
North of Chestnut Avenue there is an existing concrete lined

channel and between Chestnut and Magnolia Avenue there is an
unlined channel. In the reach between Magnolia Avenue and Tamarack Avenue, behind the Junior High School, the existing drainage appears to follow a natural gully.
The proposed storm drain is noted in the City's 1980 Master Drainage Plan as part of Facility BB and vas preliminarily sized as 42-inch diameter. However no hydrology or hydraulic data is provided to substantiate this size selection. Smaller diameter
pipelines will most likely be adequate in the upper reaches of the
catchment providing a more economical storm drain system to the
City.
Planned Approach and Project Scope
The following Task descriptions outlines our approach:
Task 1 - Hvdrolonv and Hydraulics Report. Preparation of a
service area hydrology and hydraulics report in the portion of the catchment upstream of Tamarack Avenue. The limits of the catchmezlt area will be adopted from.the Storm Drain Master Plan and the area divided into subdrainage areas. The hydrology of
the service area will be tabulated and runoff co-efficient8 adopted assuming full development in accordance with the City's Standards and General Plan. Since the service area is comparatively small we plan to use the Rational Method of
computing storm flows, in lieu of utilizing our computer capabilites.
This report will recommend the proper design flows for each reach
of the storm drain, determine the proper slope size and location for each reach.
An example of a similar report recently prepared by Fraser & Associates for the City accompanies this proposal.
Task 2 - Preparation of Base Sheets. The base sheets for the projects will be prepared utilizing Photo/Plan/Profile format with one (I) foot contour intervals on the plan sheets. This
format, although a little more expensive to prepare, provides the benefit of an aerial photograph upon which the storm drain is shown as well as the contoured plan. The photo is very useful
in dealing vith property owners and others in helping to visualize the project and the impact on their property.
The bulk of the information on these base sheets will be provided by aerial photogrammetric methods and the remainder by field
survey methods. The field survey will also verify the accuracy and provide the control for the aerial work.

Task 3 - Detailed Design. the storm drain in plan and profile on the base sheets plus all necessary details all in accordance with City Standards. Included
also in this Task is the location of utilities from utility records
and verifying their location where possible in the field.
Excluded is the design of lateral storm sewers.
Detailed design consists of showing
Task 4 - Geotechnical Investigations. A geotechnical investigation will be performed to determine bedding and backfill
requirements and the presence of rock and ground water. These
elements are essential for detailed design to minimize change orders and for receiving good balanced bids.
Task 5 - Preparation of Easement Documents. A preliminary investigation reveals that approximately 6-12 properties may be affected. Maps will be prepared showing the permanent and
construction easements required and a legal description ready for
recording will be prepared. These documents will be presented to
the City for negotiations with property ownerg.

Exhibit "A" attached hereto provides a representative list of major storm drains and other pipelines designed by members of our
proposed design team. Several of these projects were performed for the City. .Please refer to Hr. Donovan or Mr. Bunnell for references regarding the quality of our work.
Eey Project Personnel
The success of any project lies in the experience and skill of the
people assigned to actually perform the work. The depth and experience of the personnel assigned to this project is substantial with an average experience of over 25 years, assuring
an economical efficient design for the City. The following personnel will be assigned to the project:
Project EnRineer - Hr. Clarence A. Hagnusen, P.E. will
perform most of the day-to-day work. Mr. Hagnusen has over
30 years of experience in the design of storm drainage
systems and other types of pipelines. He is experienced in
working with the City of Carlsbad.
Project Surveyor - Mr. Walter E. Brown, P.E. & L.S. has over 20 years of experience in surveying and engineering work and
will be responsible for the field surveying as well as
supporting Hr. Magnusen in preparation of the easement
documentation.
Project Review & Management - Mr. Graham T. Fraser, P.E. will serve as Principal-in-Charge and review the construction

documents for completeness. Mr. Fraser, has designed storm
drainage systems, pipelines and other utility and
infrastructure systems for over 20 years. The combination of
his technical and administrative skills assures the success
of this project.
Time Schedule
We anticipate the predesign phase, including the service area hydrology and hydraulics study in which the location, slope and size of the storm drain will be established will require
approximately 2-4 weeks to complete following notice to proceed.
Upon approval of the- preliminary design report we anticipate an additional 6-8 weeks to complete the plans and specifications and
prepare the easement document.
Cost Estimate for Consultinft Services
We propose that the work described herein be performed on a lump sum basis for $17,193.00. Exh.ibit "B" attached'hereto'provides a
breakdown of costs. Exhibit "C" is our hourly rate schedule which
will apply to any additional work beyond the present planned scope
of the project.
