A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, ACCEPTING A BID AND
APPROVING AN AGREEMENT FOR THE PURCHASE OF
TROPHIES.

AGREEMENT FOR
ADULT ANNUALTROPHIES
This Agreement, made and entered into this day of , 1990,
by and between the City of Carlsbad, a Municipal Corporation, hereinafter referred to as
"City" and AAction Trophies, hereinafter referred to as "Vendor".
Whereas, the City does find that the proposal tendered by the Vendor for trophies
was a responsible proposal and of high standards.
Whereas, the City of Carlsbad does further find and determine that it would be in the
best interests of the City to enter into the Agreement hereinafter contained.
Now, therefore, in consideration of the mutual promises, conditions, and covenant5
herein contained, the parties hereto agree as follows:
1. Term of Agreement
This Agreement shall be for a period of one (1) year commencing on July 1, 199(
through June 30, 1991. At the end of the year, the City has the right to rebid or renew tht
agreement for two additional one (1) year periods unless canceled by either part in writini
at least thirty (30) days prior to the annual renewal date. If the City and the Vendor agrec
to renewal, the increase will not exceed 25% of prices in effect at the end of the initia
contract period.
2. Compensation
Vendor shall supply trophies per samples submitted with bid proposal at the followin!
prices.
(a) Softball - 36 Leaguedyear
Individual Award (32) $ 9.50 each
Team Award (2) $22.00 each
(b) Basketball (5 man) - 10 Leawedyear
Individual Award (24) $ 9.00 each
Team Award (2) $22.00 each
(c) Basketball (3 man) - 6 Leagues/year

3. Dutv of Vendor
(a) The Vendor will supply trophies as needed per samples submitted wit1
bid proposals.
(b) Delivery - 14 days after receipt of order.
4. Business License
Vendor shall maintain a business license to operate in the City of Carlsbad.
5. Cancellation Clause
At any time during the term of this Agreement, City may cancel this Agreement, il
Vendor fails to perform in accordance with the provisions of this Agreement, with thirty (30:
days written notice.
6. Payments
Vendor shall submit invoices to Finance Department, 1200 Carlsbad Village Drive,
Carlsbad, CA 92008. Payment shall be made in full by City within thirty (30) days after
receipt of invoice.
7. Independent Vendor
It is expressly understood and agreed that the Vendor herein named is acting as ar
independent vendor and not as an agent, servant or employee of the City.
The Vendor shall be aware of the requirements of the Immigration Reform anc
Control Act of 1986 and shall comply with those requirements including but not limited to
verifying the eligibility for employment for all agents, employees and subcontractors that are
included in the Agreement.

Vendor may not transfer, assign or subcontract this Agreement without prior written
consent of City.
In Witness Whereof, the parties hereto have executed the Agreement at Carlsbad,
California, the day and year first above written.
