RESOLUTION NO. 92-339
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF CARLSBAD, CALIFORNIAf APPROVING AN
AMENDMENT TO AN AGREEMENT WITH BOYLE
ENGINEERINGf INCORPORATED FOR PALOMAR AIRPORT
ROAD/I-5 INTERCHANGE
WHEREAS, the City Council of the City of Carlsbad has authorized improvements to I

WHEREAS, the City Council has determined the need for professional engineering cons1 8
complete this improvement project; and
Airport Roadflnterstate 5 Interchange in the City of Carlsbad; and
WHEREAS, the City has entered into a cooperative agreement with CALTRANS in o
assistance; and
WHEREAS, the City Council has determined that the firm of Boyle Engineering, Incor,
10 possesses the necessary skills and qualifications to provide the services to the City.
11 NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, as fc

AMENDMENT NO. 1 TO AGREEMENT
FOR DESIGN SERVICES FOR IMPROVEMENTS TO THE
PALOMAR AIRPORT ROAD/INTERSTATE ROUTE 5 INTERCHANGE
THIS AMENDMENT NO. 1, made and entered into as of the 20 th day of
NOVEMBER , 1992, by and between the CITY OF CARLSBAD, a Municipal
Corporation, hereinafter referred to as "CITY" and BOYLE ENGINEERING
CORPORATION, hereinafter referred to as "CONSULTANT."
RECITALS
WHEREAS, the City of Carlsbad and Boyle Engineering Corporation have
previously entered into an agreement on April 2, 1990, for the design of the Palomar
Airport Road/Interstate Route 5 Interchange; and,
WHEREAS, said agreement identified a scope of work which included
professional engineering services consisting of field survey work, roadway, ramp,
bridge, structural, drainage and traffic signal design, traffic striping and marking,
coordination of utilities, landscape services, and preparation of the final plans,
, specifications, and cost estimates; and
WHEREAS, the City of Carlsbad is actively pursuing the construction of the
Palomar Airport Roadhnterstate Route 5 Interchange project; and
WHEREAS, the parties to this aforementioned agreement desire to expand the
scope of work to include construction assistance services; and

. WHEREAS, a supplemental scope of work and fee schedule have been
negotiated and agreed to between the parties hereto; and
WHEREAS, the City Council of the City Carlsbad hereby finds it necessary,
desirable, and in the public interest to proceed with this Amendment No. 1 for said
additional work.
NOW, THEREFORE, in consideration of these recitals and the mutual
convenants contained herein, CITY and CONSULTANT hereby agree as follows:
1. CONSULTANT shall provide CITY additional professional engineering
services related to construction assistance in accordance with the terms, conditions and
project scope of work as outlined in the attached Exhibit "A", dated October 28, 1992,
which is hereby incorporated and made a part of this agreement.
2. CITY shall pay CONSULTANT in accordance with the fees and costs
outlined in Exhibit "A", not to exceed $30,000. I,
3. Except as modified herein, all provisions of the aforementioned
agreement entered into on April 2, 1990, by and between CITY and CONSULTANT,
shall remain in full force and effect.
4. This Amendment No. 1 to the aforementioned agreement between CITY
and CONSULTANT shall be effective on and from the day first above written.

SCOPE OF PROFESSIONAL ENGINEERING SERVICES FOR
AMENDMENT NO. 1 TO AGREEMENT
FOR DESIGN SERVICES FOR IMPROVEMENTS TO THE
PALOMAR AIRPORT ROAD/INTERSTATE ROUTE 5 INTERCHANGE
Professional engineering services are needed by the City of Carlsbad (City) for constructior
assistance. This Scope of Services, prepared by Boyle Engineering Corporation (Consultant), i:
based upon our discussions with the City. Certain assumptions have been made in preparing
this Scope of Services. To the extent possible, they are stated herein. If the actual total effori
required is different from the assumptions presented herein, both City and Consultant agree tc
revise the scope and fee accordingly.
In general, this work consists of i) final design tasks not included in the original Agreement fol
Design Services, and ii) providing engineering services related to construction activities
Specifically, Consultant agrees to provide the following services:
A. Coordinate with Caltrans after delivery of the final plans, specifications, and estimatc
(PS&E) to assist Caltrans District 11 and Caltrans Headquarters with preparation of thc
PS&E for advertising. Items to be coordinated include late comments from reviewers
new Caltrans policies regarding utilities in structures, a new Caltrans policy regardins
utility facilities within Caltrans right-of-way, and research and coordination for the City's
preparation of a Materials Information Brochure.
B. Complete revision to the Final Materials Report due to Caltrans Headquarter:
comments received after acceptance by Caltrans District 11 staff, and incorporatc
recommendations for keying and benching into the PS&E. Print copies and redistributc
as required.
C. As requested by the City, review the plans and specifications prepared in associatior
with the Price Club development for modifying the Palomar Airport Road and Paseo de
Norte intersection for compatibility with the Palomar Airport Road/l-5 Interchangc
widening improvements. Document any comments in writing.
D. As requested by the City, assist the City in a joint City/Caltrans review of the bid item
prices obtained by Caltrans after opening bids, if bids indicate a cost overrun of no morc
than 10 percent of the Engineer's Estimate.

E. As requested by the City, assist the City in consultation with Caltrans to determine a
course of action should the bids obtained by Caltrans indicate a cost overrun exceeding
10 percent of the Engineer’s Estimate.
F. Prepare for and attend one preconstruction meeting organized by Caltrans. Document
observations with a written memo.
G. As requested by the City, prepare for and make periodic site visits during construction to
observe construction progress. Up to 10 site visits may be made by Boyle based upon
the contractor’s .scheduled activities or as requested by the City. After each site visit
document observations with a written memo and photographs.
H. As requested by the City, assist the City in coordinating and consulting with Caltrans’
resident engineer. Document all coordination and consultation activities in writing to the
City.
I. As requested by the City, assist the City in reviewing construction contract change
orders requested ,by the contractor. Document all comments in writing to the City.
J. As requested by the City (or Caltrans with City approval), complete revisions to the final
calculations, plans, specifications, opinion of probable construction costs as a result of
unknown field conditions or unrecorded utilities.
K. As requested by the City, review quarterly reports of actual expenditures provided by
Caltrans to the Civ. Document all comments in writing to the City.
L. As requested by the City, review costs of Caltrans services for construction oversight
provided by Caltrans to the City. Document comments in writing to the City.
M. As requested by the City, review contract claims which may be filed by the construction
contractor. Document comments in writing to the City.
N. As requested by the City, review the detailed statement of total actual cost of
construction, Caltrans services, and contract claims allowed to the construction
contractor provided by Caltrans to the City. Document comments to the City.
0. As requested by the City, review shop drawing submittals only for general conformance
with the design concept of the project and general compliance with the plans and
specifications. Shop drawing submittals will be logged in and checked for the
contractor’s approval prior to processing.
P. Provide consultation or other services to the City as requested.

maximum rate allowable by law) will be applied to any unpaid balance commencing 30 days after the date
the original invoice.
