FOR ANNUAL LElTERHEAD/ENVELOPE/BUSINESS CARD PRINTING SERVICES i NOW THEREFORE BE IT RESOLVED by the City Council of the City of ( 7 regarding the annual letterhead/envelope/business card printing on recycled paper as ! 9 1. This Agreement shall consist of and include the following document attache hereto, as Exhibit "A", Bid Proposal. 2. The Contractor agrees to furnish all labor and materials for the printing c letterhead/envelopes/business cards submitted in the proposal dated Octobc 28,1993. 3. The Contractor shall provide pick-up an delivery service as required by'th City. The Contractor shall furnish printed matter within five (5) days aft€ a "proof' is approved by the City. 4. The Contractor shall obtain and pay for a City of Carlsbad business licens prior to signing this Agreement. 5. This Agreement shall be for a period of one (1) year commencing on Januar 1,1994 and ending on December 31, 1994. At the end of one (1) year, th City has the right to re-bid or renew the Agreement for three (3) addition: one (1) year periods. 6. The Contractor shall be aware of the requirements of the Immigration an Control Act of 1986 and shall comply with those requirements, including bl not limited to verifying the eligibility for employment of all agent: employees, sub-contractors and consultants that are included in th. agreement. 0 0 \ 7. The Contractor shall take and maintain during the life of this Agreemer worker's compensation insurance covering all of the Contractor's employel in a company satisfactory to the City and shall furnish to the City certificate issued by such company prior to the beginning of this contract 8. It is expressly understood and agreed that the Contractor herein named the furnishing of all labor and materials provided in this Contract, is actir as an independent Contractor and not an agent, servant or employee of tl City. 9. This agreement or any part thereof shall not be assigned by Contract( without prior written consent of the City. 10. This Agreement may be amended or modified only by written agreeme: signed by both parties, and failure on the part of either party to enforce a1 provision of this Agreement shall not be construed as a waiver of the rig to compel enforcement of such provision or provisions. 11. Once each year, after the first six (6) months of this Agreement, up( written request by the Contractor and approval of the Purchasing Officc said prices shall be subject to change in accordance with the Consumer Pri Index, San Diego as published by the U.S. Department of Labor, based ( one-half of the percentage change in the index from the first month of tE Agreement to each succeeding anniversary thereof. 12. This Agreement may be terminated by either party by giving thirty (30) da written notice to the other, and this Agreement shall terminate forthwi thirty (30) days following the date such notice is given. The City proposes that such renewal be contingent on a mutual agreem between the City and the successful bidder herein, such agreement to be confirmed sixty ( days prior to the termination of the contract period. Either the City or the bidder ma: that time decline to confirm the renewal of the Contract, for any reason whatever, and s declination would render the renewal option null and void.
