A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF CARLSBAD, CALIFORNIA, FOR APPROVAL AND
ACCEPTANCE OF AMENDMENT NO. 1 FROM
ADDITIONAL DESIGN SERVICES FOR
VISTAlCARLSBAD INTERCEPTOR SEWER REACHES
CONTRACT NO. 31821
MALCOLM-PIRNIE, INCORPORATED TO PROVIDE
VC5B TO VC8, CMWD PROJECT NO. 91-403,
WHEREAS, the City Council of the City of Carlsbad, California has
determined it necessary and in the public interest for approval and acceptance of a
Amendment No. 1 from Malcolm-Pirnie, Incorporated to provide additional design
services for Vista/Carlsbad Interceptor Sewer Reaches VC5B to VC8, CMWD
Project No. 91-403, Contract No. 31821 ; and
WHEREAS, funds appropriated in the amount of $2,664,281 have been
appropriated in the 1997-98 budget for the Vista/Carlsbad Interceptor Sewer, and
the project cost estimated for Amendment No. I is $72,595, therefore, there are
sufficient funds available.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of
Carlsbad, California, as follows:
1. That the above recitations are true and correct; and
2. That the attached Amendment No. 1 between Malcolm Pirnie,
Incorporated and the City of Carlsbad be approved and accepted; and

3. That the Mayor is authorized and directed to execute the proposed
Amendment No. 1 between Malcolm Pirnie, Incorporated and the City of Carlsbad.
PASSED, APPROVED AND ADOPTED at a regular meeting of the City
Council of the City of Carlsbad, California, held on 3rd day of March I

AMENDMENT NO. 1 TO AGREEMENT
44 This Amendment is entered into and effective as of the /3 day of
Fe& rea r/c/ , 199&, amending the agreement dated Auaust 26. 1997 by and between
the City of Carlsbad, a municipal corporation, hereinafter referred to as "City", and Malcolm
Pirnie. IncorDorated , hereinafter referred to as, "Contractor" for providing additional design
services for Vista/Carlsbad Interceptor Sewer Reaches VCSB throughVC8, CMWD Project No.
93-401, Contract No. 31821.
RECITALS
WHEREAS, the initial agreement, dated August 26. 1997 identified a scope of
work to Drovide desian services for Reaches VC5B to VC8 *of the Vista/Carlsbad lnterceotor
Sewer
; and
WHEREAS, the parties to this aforementioned agreement desire to alter the
scope of work as follows: to Drovide additional desian services for Vista/Carlsbad Interceotor
Sewer Reaches VCSB to VC8. CMWD Proiect No. 91403. Contract No. 31821; and
WHEREAS, a supplemental scope of work and fee schedule have been
negotiated and agreed to between the parties hereto, and as shown on Exhibit "A" Scope of
Services and Fee;
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor hereby agree as follows:
, 1. Contractor shall provide services as outlined on the attached Exhibit "A.
2. City shall pay Contractor for all work associated with Paragraph 1 above, GI-

basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and
related activities and costs for approval by City.
3. Contractor shall complete all work outlined on the attached Exhibit “A by
Auaust 26. 1998 or by expiration of the agreement amended hereby.
4. All other provisions of the aforementioned agreement entered into on Auaust
27. 1997, by and between City and Contractor shall remain in full force and effect.
5. All requisite insurance policies to be maintained by the Contractor shall
include coverage for the amended assignment and scope of work.
