AMENDMENT NO. 2 TO AGREEMENT
FOR PROFESSIONAL SERVICES FOR PREPARATION OF
ENVIRONMENTAL STUDIES FOR RANCHO SANTA FE ROAD
BRIDGE REPLACEMENT
This Amendment is entered into and effective as of the ath day of
DECEMBER , 1999, amending the agreement dated February 28,1997 by and between
the City of Carlsbad, a municipal corporation, hereinafter referred to as llCity", and Dudek &
Associates, a California Corporation, hereinafter referred to as, "Contractor" for environmental
technical studies relating to the Rancho Santa Fe Road Bridge Replacement project.
RECITALS
WHEREAS, the initial agreement, dated February 28, 1997 identified a scope of
work to prepare technical studies for environmental review relating to Rancho Santa Fe Road
bridge replacement; and
WHEREAS, the parties to this aforementioned agreement desire to alter the
scope of work as follows: to expand the limits of the environmental work to encompass the
entire road realignment project from southerly of La Costa Avenue to the bridge replacement
boundary defined in the initial agreement scope of work.
WHEREAS, a supplemental scope of work and fee schedule have been
negotiated and agreed to between the parties hereto, and as shown on Exhibit "A" Scope of
Services and Fee;
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor hereby agree as follows:
1. Contractor shall provide services as outlined on the attached Exhibit "A.

2. City shall pay Contractor for all work associated with Paragraph 1 above, on a
time and materials basis not-to-exceed $95,000. Contractor shall provide City on a monthly
basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and
related activities and costs for approval by City.
3. Contractor shall complete all work outlined on the attached Exhibit "A" by
July 1, 2000 or by expiration of the agreement amended hereby, whichever occurs first.
4. All other provisions of the aforementioned agreement entered into on
February 21, 1997, by and between City and Contractor shall remain in full force and effect.
5. All requisite insurance policies to be maintained by the Contractor shall
include coverage for the amended assignment and scope of work.

Dear Doug:
Dudek & Associates, Inc. (DUDEK) is pleased to provide this letter proposal and augment request to
provide environmental documentation necessary to address revisions to the Rancho Santa Fe Road North
Project. The scope of work and cost estimate presented in this proposal would represent an augment to the
existing Agreement to Provide Environmental Services for Rancho Santa Fe Road (Proj. No. 3190).
This proposal has been prepared based on our understanding of the revised project as well as input from
the City of Carlsbad and Caltrans. As discussed below, the scope for the environmental documentation
including the NEPA and CEQA requirements as well as the resource agency permits required for the
existing project will need to be revised to accommodate the addition of a segment of Rancho Santa Fe Road
to the project description.
UNDERSTANDING OF THE PROJECT
The project description has been revised to include an approximately 7,000 foot section of Rancho Santa
Fe Road that extends from southerly of La Costa Avenue to the proposed bridge crossing of San Marcos
Creek. To complete the environmental documentation for the project it will be necessary to defme the
Area of Potential Effect (APE). However, for purposes of this proposal it is assumed that the APE will
include the limits of grading for the roadway as well as a connector road and the removal of a section of
the existing Rancho Santa Fe Road. The elements of the proposed project are illustrated on the January
11, 1999 Revised Geometric Approval Drawing prepared for the City of Carlsbad by Dokken
Engineering.
The section of Rancho Santa Fe Road to be added to the project description would extend from the southern
terminus of the proposed bridge to approximately 500 feet to the south east of the proposed Rancho Santa
Fe Road/La Costa Avenue extension. The right-of-way (ROW). for Rancho Santa Fe Road from La Costa
Avenue to Questhaven Road would be 126 feet. The limits of grading for Rancho Santa Fe Road would
extend beyond the ROW to accommodate manufactured slopes necessary to complete the travel lanes.
With the exception of the connector road described below, it is assumed that no planned connections to
Rancho Santa Fe Road are to be addressed as a part of this project.

The connector road will consist of a two lane connection between the realigned Rancho Sank Fe Road ad
the CadencidRancho Santa Fe Intersection. The limits of grading will extend beyond the ROW as shown
on the Dokken Drawing.
A section of the existing Rancho Santa Fe Road will be removed as a part of the project. The section to
be removed extends from a point approximately 1,600 feet to the north east of the Cadencia Road/&cho
Santa Fe Bridge intersection to the northern terminus of the proposed project. At various locations removal
of the roadway would require grading activities and the need to access construction areas that are outside
of the limits of grading for the proposed realignment of Rancho Santa Fe Road. It is anticipated that the
City of Carlsbad will return the area disturbed in association with the road removal to preexisting grade
and will apply a hydroseed mix to the recontoured area. As a result, it is not anticipated that removal of
the roadway would result in any environmental impacts.
It is assumed that the City of Carlsbad would provide DUDEK with the following materials and documents
for implementing the proposed scope of work:
Q Digital topographic maps of the APE
c3 Digital files containing the APE and limits of grading for proposed improvements
0 Revised Geometric Approval Drawings and associated digital files as necessary
0 Environmental database from Helix Environmental for Morrow Development
project, if possibIe.
SCOPE OF WORK
As a part of this proposed scope of work, DUDEK will complete the following tasks, in addition to the
eleven tasks approved as a part of the existing contract. The following tasks are necessary to complete
environmental documentation and resource agency permitting for the revised project: Task 12) Coordinate
with City of Carlsbad Regarding APE Definition; Task 13) Complete Additional Technical Studies; Task
14) Additional Efforts to Prepare and Process EA for NEPA approval for Expanded Project; Task 15)
Additional Resource Agency Permitting Support; Task 16) NEPA/404 Integrated Agency Review Process
(At this time is anticipated that an Individual Permit pursuant to Section 404 of the Clean Water Act will
be required, therefore, the Integrated Agency Review Process will be required) ; and Task 17) Complete
review of existing EIR and make recommendations to the City on what additional, if any, CEQA
documents are needed. The scope of work for these tasks are described below:
V Task 12: Coordinate with City of Carlsbad Regarding APE Definition
As a part of this task, DUDEK will coordinate with the City of Carlsbad and Caltrans to define the APE
for the project. It is necessary to define the APE in order to complete the necessary technical studies and
begin processing resource agency permits for the project. Once the APE is defmed graphics showing the
APE within a regional and local context will be prepared by DUDEK for use in the technical studies and
permit applications. For purposes of this scope of work, it is assumed that once the APE is defmed the
City will provide DUDEK with a digital fde with the APE limits.

v Task 13: Technical Studies
To date DUDEK and various subconsultants have prepared the following technical studies for the Bridge
Replacement Project: 1) Biological Resources Report and Impact Analysis, 2) Cultural Resources Survey
Report; 3) Air Quality Impact Analysis; 4) Acoustical Assessment Report; 5) Floodplain Evaluation
Report; 6) Water Quality Study; 7) Phase 1 Hazardous Waste Site Assessment and the 7) Visual
Assessment. Based on a review of the environmental analysis prepared for the EIR for the Rancho Santa
Fe Road Mass Grading Process (1990) it is anticipated that adequate environmental review of the proposed
roadway realignment has been completed for the issues of acoustics, floodplains, water quality, hazardous
wastes and visual quality.
As a part of this task, technical studies related to biological resources, cultural resources and air quality
will be prepared to conform with federal requirements and to address environmental issues not covered
by the existing EIR prepared for the roadway. Once completed the technical studies will be submitted to
the City for submittal to necessary federal and state agencies. The scope of work necessary to complete
these technical studies is discussed further below:
Biological Resources Report and Impact Analvsis
As a part of this scope of work the Biological Resources Report prepared by Dudek & Associates for the
bridge replacement would be expanded to address the updated APE. Vegetation mapping and sensitive
species surveys completed for the existing EIR, the City of Carlsbad Habitat Conservation Plan and
technical studies prepared by Helix Environmental for the Morrow Development project will be used to
the greatest extent possibIe. DUDEK biologists will conduct a brief field visit to verify vegetation mapping
completed for the previous studies. It is anticipated for purposes of this scope of work that surveys
conducted by Helix Environmental for the Morrow Development project to address endangered species
not covered by the HCP, including San Diego thornmint, quino checkerspot and Pacific pocket mouse,
can be incorporated by reference into the DUDEK report and that no additional sensitive species surveys
will be necessary. However, if these surveys are not availabIe for use, DUDEK has provided an estimate
for conducting these studies as Task 18.
As a part of the updated technical study the impact of the Expanded Project on jurisdictional waters of the
United States including wetlands as defined by the ACOE will be quantified and mitigation measures
identified. It is assumed that wetland delineations conducted by DUDE for the bridge replacement project
and wetland delineations conducted by Helix for the Morrow Development project will be adequate to
quantify the acreage and linear feet of wetlands impacted by the project. The impacts of the project to
wetlands will be incorporated into the updated technical report and no additional wetland delineation will
be conducted.
Cultural Resources Survey Report
Gallegos & Associates will complete an updated technical report to address the roadway realignment
portion of the project. A copy of the proposed Gallegos & Associates scope of work and cost estimate is
attached.

Air Qualitv Impact Analysis
Giroux & Associates will complete an updated technical report to address the roadway realignment portion
of the project. A copy of the proposed Giroux & Associates scope of work and cost estimate is attached.
v Task 14: Additional Efforts to Prepare and Process EA for NEPA Approval
for Expanded Project
Following completion of the draft technical studies, DUDEK will complete a draft EA supported by an
Initial Study/Environmental Checklist 'to comply with NEPA and FHWA guidelines. This task will
supplement Tasks 3-7 of the existing contract. Environmental analysis specific to the roadway realignment
and the updated APE will be incorporated into the Initial Study/Environmental Checklist. Although all
environmental issues required for the NEPA Initial StudyEnvironmental checklist will be addressed as a
part the EA, issues of concern for the Expanded Project that we anticipate will require an extended
discussion to address the roadway realignment include biological resources, air quality, and cultural
resources. It is anticipated that the analysis completed for the Existing EIR will be adequate to incorporate
into the EA for the remaining issues.
v Task 15: Additional Resource Agency Permit Support
This task would be considered supplemental to Task 9 of our existing contract. Under this supplemental
task, DUDEK would prepare and process applications for permits under Sections 401 and 404 of the Clean
Water Act, and California Department of Fish and Game (CDFG) Section 1600 streambed alteration
agreements. Additional work is necessary to include the expanded roadway realignment in the applications
and the processing efforts.
As a part of this task DUDEK has arranged pre-application meeting with ACOE, United States Fish and
Wildlife Service (USFWS), and CDFG as soon as possible to discuss wetlands and sensitive species.
DUDEK contacted the ACOE in early January to request a pre-application meeting . The agencies have
agreed to meet on February 9.
Information necessary for the pre-applicationmeeting includes: project descriptionlAPE, upland vegetation
map, wetland delineation, and estimates of project impacts to upland vegetation and wetlands. DUDEK
would utilize existing DUDEK biological resources maps for Phase I in addition to technical studies
prepared by Helix environmental to estimate impacts to biological resources and wetlands.
Following the pre-application meeting DUDEK will submit the necessary applications for the resource
agency permits. Based on the pre-application meeting as well as the determination by the ACOE regarding
the stream classifications for the Morrow Development project either a Nationwide Permit or Individual
permit application will be required. A description of each are presented below. Preparation and
processing of either permit is considered to be a part of the scope of work for this task.
Nationwide Permit: Application must include Project DescriptiodAPE, Conceptual Mitigation Plan for
wetland impacts, biological resources maps, endangered species survey results (if necessary), cultural
resources mitigation plan for Section 106 compliance. DUDEK would prepare conceptual mitigation plan
as well as submit cultural resources mitigation plan from existing EIR. DUDEK would also prepare
biological resources map based on existing DUDEK and Helix technical studies and the APE. Cultural

resources mitigation pian would need to be approved by both the ACOE and State Historic Preservation
Officer prior to approval of Nationwide Permit. (Note phase 1-bridge replacement has completed
Section 106 compliance)
Individual Permit: Application must include Project DescriptiordAPE, Conceptual Mitigation Plan for
wetland impacts, cultural resources mitigation plan for Section 106 compliance as well as Alternatives
Analysis, biological resources maps, endangered species survey results (if necessary) Functional Values
Assessment, and names and addresses of adjacent property owners. DUDEK would prepare Alternatives
Analysis and Functional Values Assessment based on APE as well as cross sections and plan views of
jurisdictional impacts provided by Dokken Engineering.
v Task 16: NEPA/404 Integrated Agency Review Process
Based on our January 20, 1999 meeting with Caltrans it is anticipated that agency review and comment on
the technical studies as well as the EA will occur during the integrated agency review permit process
associated with an ACOE Individual Permit addressed in Task 16 of this proposal. As a part of the
integrated process, the federal and state agencies will review and comment on the cultural, biological
resources, and air quality technical studies prepared as a part of Task 13 of this proposal. In addition,
agencies will review and comment on the applications for each pennit.
Based on our past experience with the integrated process, it is anticipated that extensive coordination with
the federal and state agencies will be required. The integrated agency review process involves a number
of milestones that each agency must agree to prior to continuing project processing. These milestones
include development of the purpose and need for the project, proposed action and project alternatives, the
least environmentally impactive alternative, and mitigation options. In addition to the ACOE, coordination
with FHWA, EPA, C'KTRANS, CDFG, SHPO, USFWS, and RWQCB will be required. As a part of
this task DUDEK staff will coordinate with state and federal agencies regarding comments and responses
to comments on the technical studies, EA, and permit applications. This task assumes that four more
meetings beyond that included in Task 10 of our exiting contract.
v Task 17: Recommendations for CEQA Compliance
Upon completion of the technical studies and Resource Agency applications, DUDEK will provide a
written report to the City of Carlsbad setting forth their recommendation on what type of environmental
document is needed to complete the CEQA approval process and the rationale for the recommendation.
v Task 18: Complete Focused Surveys for Sensitive Species
As a part of this optional task, DUDEK biologists would complete focused surveys for the San Diego
thornmint, Quino checkerspot, the Pacific pocket mouse, and the thread-leaved brodiaea for the Phase I
portion of the roadway. Species proposed for focused surveys were obtained from the 1997 list obtained
from the US Fish and Wildlife Service of endangered, threatened, and proposed species that may occur
in the vicinity of the Rancho Santa Fe Bridge Replacement project area. It should be noted that surveys
for the Quino checkerspot, and the San Diego thornmint must be completed in the spring. Thread-leaved
brodiaea surveys can be completed after the thornmint survey, but should be finished within the next few
months. To avoid having to complete surveys for the Quino checkerspot and the San Diego thornmint next

spring, it is recommended that these surveys be conducted immediately. For purposes ofthis scope of work
we propose that a phase one site assessment for the Quino checkerspot be conducted immediately. The
adult focused surveys for the Quino checkerspot must be completed during the flight season which is almost
complete for this year. The cost presented in the following section includes an estimate for the adult
focused survey if necessary.
Surveys for the Pacific pocketmouse can be completed between April 15 and October 1. The survey would
consist of a Phase I habitat assessment to determine the location, if necessary for a trapping program to be
conducted. For purposes of this scope of work, it is assumed that the extent of the trapping program would
be determined based on the Phase I site assessment. The cost presented in the following section includes
an estimate for the trapping program.
Although not on the USFWS list, we recommend that a survey for the spadefoot toad be conducted as it
is a species of concern by the CDFG.
It is our opinion that surveys for some of the species on the USFWS list would not be required based on
the type of habitat present in the Phase 1 portion of the road project. Based on a review of vegetation and
wetland mapping completed within the vicinity of the Phase 1 portion of the roadway, it is not anticipated
that the type of riparian habitat necessary for the least Bell’s vireo, southern willow flycatcher, and the
southwestern Arroyo toad is present. As a result, this proposal does not contain a scope of work or cost
estimate for the species.
It is also our assumption that information regarding the California gnatcatcher locations available from the
City of Carlsbad obtained in association with the approved Fieldstone HCP and the EIR for the Rancho
Santa Fe Road project would be adequate for purposes of assessing impacts of the Phase 1 portion of the
project to gnatcatchers. As a result, focused gnatcatcher surveys are not included in the proposed scope
of work and cost estimate.
v Task 19: Complete Analysis of Impacts of Road Only Project
In February and March of 1999 DUDEK completed an analysis of potential impacts of a road only project
to vegetation communities as well as the California gnatcatcher. DUDEK submitted two memoranda to the
City that summarized the impacts of the road only project on coastal sage scrub as well as other vegetation
communities, as well as an assessment of the impacts of the road to previously identified gnatcatcher
locations within the APE for the road-only project. Two exhibits showing the impacts of the road only
project were also prepared for the analysis.

COST ESTIMATE
All work will be billed on a time and materials basis in accordance with our 1999 Standard Schedule of
Charges. A cost summary is presented below and a detailed cost estimate is attached.

The additional $86,005, would represent an augment to our existing contract to conduct environmental
services Amendment Number 1 - Rancho Santa Fe Road Bridge Replacement (Proj. No. 3190). The
current contract value is $75,000. With this additional $86,005 augment request, the total contract value
would be $161,005.
SCHEDULE
DUDEK is prepared to begin immediately upon receipt of a notice to proceed. As we have discussed, the
critical items necessary to begin will be to define the APE and submit the applications and technical studies
necessary for the resource agency permits. .As discussed at the January 20, 1999 meeting with Caltrans,
. the review process for both the federal and state agencies may be conducted as a part of the integrated
process review associated with the Section 404 Individual Permit process. Subsequent schedule milestones
will be based on the scheduling constraints of the reviewing agencies.

The estimated time-and-marerials cost for cumpfeting this scope of work is $3,990-00 (T'le I). This cust will not be exdd without clients' authorization. This scope of
work and cost estimate does not include meetings, response to comments, or testhg of culmral ~esources for significance under City of carfsbad or federal guidelines. Billing will be submitted on a motlfhiy basis fot work completed to date Payment is requid within 30 days of billing. Tae payments will incur a 15% rnonchiy late fee.

We have reviewed the previous air quality study for the Rancho Santa Fe Road realignment in terms of applicability for the currently proposed realignment, The previous study included an
anticipated amendment to the City of Carlsbad General Plan that is not directly related to tke a. proposed realignment and bridge reconstruction. The air quality .finding of significance due to the addition of 186,000 square feet of general commercial and of 50,000 square feet of office is not g-ane to the current project.
We are therefore unable to use the previous documentation, and would need to update/revise our previous analysis for the smaller
disturbance area to accommodate the total prupos& realignment.
.Our scope of services will include:

- Deternine the likely construction scenario in terms of earth distqrbance and equipment utilization for the expanded project.
- Calculate fugitive dust (=-lo) and equipment exhaust emissions
and coqpare ta established standards of significance. I - Prepare a Clean Air Act Section 176 (c) conformity finding for any federal project participation.
- Identify any additional mitigation measures beyond those identified in the already completed analysis.
