RESOLUTION OF THE BOARD OF DIRECTORS OF
COSTA REAL MUNICIPAL WATER DISTRICT
APPOINTING INTERIM DISTRICT ENGINEER AND PARTIALLY TERMINATING EXISTING ENGINEERING CONTRACT
WHEREAS, the Board of Directors on December 19, 1984,
directed that the existing contract between the District and its
engineering consultants be terminated as soon as possible
following January 1, 1985, and
WHEREAS, the General Manager has recommended a
procedure for accomplishing the orderly transition for acquiring
new engineering services, and
WHEREAS, the District has received a letter proposal
from Linden R. Burzell to provide interim engineering services;
and
WHEREAS, it is in the best interests of the District
that an orderly procedure for the termination for the
WOODSIDE/KUBOTA & ASSOCIATES contract be adopted,
NOW, THEREFORE, THE BOARD OF DIRECTORS OF COSTA REAL
MUNICIPAL WATER DISTRICT DOES HEREBY DETERMINE AND RESOLVE:
1. The October 17, 1979 agreement (as revised
February 1, 1980) between COSTA REAL MUNICIPAL WATER DISTRICT and
WOODSIDE/KUBOTA & ASSOCIATES, is hereby terminated, as of
February 6, 1985, insofar as it provides for that firm to serve
as District Engineer and provides for compensation on a retainer
basis per section (d) (2) of the revised agreement.
2. Linden R. Burzell is hereby appointed to serve as
District Engineer on an interim basis, until such time as the
Board of Directors takes action to appoint a permanent District
Engineer according to the terms of his January 14, 1985 proposal,
for services rendered from January 9, 1985.
3. The interim District Engineer is directed to
present to the Board for its consideration at its next meeting a
list of the pending engineering matters which may be
expeditiously transferred from WOODSIDE/KUBOTA & ASSOCIATES to
other engineers for completion in an orderly and cost-effective

manner.
4. It is the desire of the Board that as many
engineering functions as possible be assumed by the interim
District Engineer and District staff within the thirty (30) days.
Therefore, the Board requests WOODSIDE/KUBOTA & ASSOCIATES to
cooperate with the interim District Engineer's efforts to
effectuate an orderly and rapid transition.
5. The interim District Engineer and General Manager
are directed to prepare a plan for the establishment of such in-
house expertise as may be necessary to carry out the District's
operations.
ADOPTED, SIGNED AND APPROVED this 6th day of February,
1985.

do hereby certify that the foregoing Resolution was duly adopted
by the Board of Directors of said District at a regular meeting
of the Board held on the 6th of February, 1985, and that it was
adopted by the following vote:
