Coman Trust; 2016-05-11;7 TEMPORARY RIGHT OF ENTRY AGREEMENT THIS AGREEMENT, is made and entered into as of ~~~ t ) 11.-, 2016 ("Agreement Date"), by and between the City of Carlsbad, a chartered municipal corporation ("City"), and the Owner of the real property identified below. City and Owner may also individually referred to as a "Party" and collectively as "Parties." SUBJECT PROPERTY: Address: 5855 Sunny Creek Rd., Carlsbad, CA 92010 APN: 209-040-15-00 Owner: Chase H. Coman Trust; Chase H. Coman, Trustee Mailing Address: 5855 Sunny Creek Rd., Carlsbad, CA 92010 RECITALS 1. The City is proposing a public improvement project as set forth in the approved construction plans identified as the Sunny Creek Stream Bank Restoration Project (Project No. 6618, Special Use Permit No. 15-02, incorporated herein by reference) ("Project"). 2. The Project is located within the boundary of the Subject Property. 3. The Project will include installation of drainage facilities, planting of permanent landscape, and post-construction maintenance and monitoring of the permanent landscape (the "Work"). 4. In order to complete the Project, Owner will need to grant access to the Project site by City's contractor's employees and City's employees along Sunny Creek Road as identified in the construction plans for Project. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained therein, City and Owner, agree as follows: 1. ENCUMBERED AREA. The portion of the Subject Property encumbered by this Agreement shall be that area identified in the approved construction plans for the Sunny Creek Stream Bank Restoration Project ("Project site"), including that portion of Sunny Creek Road from College Avenue to the Project site and the staging area adjacent to the Project site (collectively, the "Encumbered Area"), as shown in Exhibit A. 2. ACCESS. Owner authorizes and shall provide reasonable access to the City, its employees or its contractor over and to the Encumbered Area in order to perform the Work during the term of this Agreement. The Work and all related activities or events shall be limited and conducted as required by the approved construction plans for the Project, all at City's sole cost and expense. Owner shall incur no cost or expense in connection with the Work or any related activities or events. Access during construction shall be provided in accordance with the construction schedule as shown in Exhibit B. During the post-construction maintenance and Sunny Creek Stream Bank Restoration Project Temporary Right of Entry Agreement: 5855 Sunny Creek Rd, APN 209-040-15-00 8 monitoring period, the City, its employees, or its contractor shall give Owner notice at least 24 hours before entering the Encumbered Area, except in the case of an emergency. 3. IMPROVEMENTS WITHIN ENCUMBERED AREA. This Agreement provides the City or its contractor with the right to enter onto the Subject Property for access to perform the Work. The City agrees to have its contractor repair any damage to the Encumbered Area that is caused by or results from the Work and shall remove any and all equipment and materials used by City or its contractor in conducting the Work and shall restore the Property to a condition similar to the existing condition before construction. 4. INDEMNITY. The City shall jointly and severally protect, defend, indemnify and hold harmless Owner and, if applicable, its respective officers, directors, employees, contractors and consultants, and each of them, jointly and severally, from and against only those claims, demands, causes of action, damages, costs (including reasonable attorneys' fees), expenses, losses and liabilities, to the extent arising out of or in any manner connected with the Work, the entry upon the Subject Property by City and/or its contractor. 5. TERM. This Agreement shall begin on the date shown above and continue in force until the completion of the maintenance and monitoring period, which is anticipated to end five-years after the Notice of Completion is recorded by the City. ~~ec...;-e!f H > C/jV 6. COMPLETE AGREEMENT. This Agreement sets forth the entire agreement Between the Parties and supersedes other oral or written provisions. No modification of any provisions shall be binding on either party unless expressly agreed to in writing by all Parties. 7. RELEASE. Upon the termination of this Agreement and restoration in accordance with the terms hereof, the Owner releases the City and its contractors from any and all future maintenance or repair responsibilities in the area within the Encumbered Area that is outside the City's drainage easement. 8. COUNTERPARTS. This Agreement may be executed in duplicate counterparts, and when executed by both of the Parties each duplicate shall be deemed a single agreement IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed as of the Agreement Date.
