PWL21-1229FAC Building Materials Welding Services 4715 1 of 12 City Attorney Approved 2/29/2016 CITY OF CARLSBAD PUBLIC WORKS LETTER OF AGREEMENT Building Materials Welding Services: CONTRACT 4715 This letter will serve as an agreement between Dean's Certified Welding Inc., a California corporation (Contractor) and the City of Carlsbad (City). The Contractor will provide all equipment, material and labor necessary to repair steel building materials, per Exhibit A and City specifications, for a sum not to exceed one thousand, four hundred and fifty dollars ($1,450). This work is to be completed within ninety (90) working days after issuance of a Purchase Order. ADDITIONAL REQUIREMENTS 1.City of Carlsbad Business License 2.The Contractor shall assume the defense of, pay all expenses of defense, and indemnify and hold harmless the City, and its agents, officers, officials, employees, and volunteers from all claims, loss, damage, injury and liability of every kind, nature and description, directly or indirectly arising from or in connection with the performance of this Contract or work; or from any failure or alleged failure of the contractor to comply with any applicable law, rules or regulations including those relating to safety and health; except for loss or damage which was caused solely by the active negligence of the City; and from any and all claims, loss, damage, injury and liability, howsoever the same may be caused, resulting directly or indirectly from the nature of the work covered by this Contract, unless the loss or damage was caused solely by the active negligence of the City. The expenses of defense include all costs and expenses, including attorney’s fees for litigation, arbitration, or other dispute resolution method. 3.Contractor shall furnish policies of general liability insurance, automobile liability insurance and a combined policy of workers compensation and Employers’ Liability in an insurable amount of not less than one million dollars ($1,000,000) each, unless a lower amount is approved by the Risk Manager or the City Manager. Said policies shall name the City of Carlsbad as an additional insured. The full limits available to the named insured shall also be available and applicable to the City as an additional insured. Insurance is to be placed with California admitted insurers that have a current Best’s Key Rating of not less than “A-:VII”,; OR with a surplus line insurer on the State of California’s List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best’s Key Rating Guide of at least “A:X”; OR an alien non-admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report. Proof of all such insurance shall be given by filing certificates of insurance with contracting department prior to the signing of the contract by the City. 4.The Contractor shall be aware of and comply with all Federal, State, County and City Statues, Ordinances and Regulations, including Workers Compensation laws (Division 4 California Labor Code) and the “Immigration Reform and Control Act of 1986” (8USC, Sections 1101 through 1525), to include but not limited to, verifying the eligibility for employment of all agents, employees, subcontractors and consultants that are included in this Contract. 5.The Contractor may be subject to civil penalties for the filing of false claims as set forth in the California False Claims Act, Government Code sections 12650, et seq., and Carlsbad Municipal Code Sections 3.32.025, et seq. init init 6.The Contractor hereby acknowledges that debarment by another jurisdiction is grounds for the City of Carlsbad to disqualify the Contractor from participating in contract bidding. init init DocuSign Envelope ID: 3805B5CB-FD11-4347-AD9F-4CF2F16F7582 PWL21-1229FAC Building Materials Welding Services 4715 2 of 12 City Attorney Approved 2/29/2016 7.The Contractor agrees and hereby stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties arising out of this agreement is San Diego County, California. 8.The general prevailing rate of wages, for each craft or type of worker needed to execute the contract, shall be those as determined by the Director of Industrial Relations pursuant to the Section 1770, 1773 and 1773.1 of the California Labor Code. Pursuant to Section 1773.2 of the California Labor code, a current copy of applicable wage rates is on file in the office of the City Engineer. Contractor shall not pay less than the said specified prevailing rates of wages to all workers employed by him or her in theexecution of the work covered by this Letter of Agreement. Contractor and any subcontractors shall comply with Section 1776 of the California Labor Code, which generally requires keeping accurate payroll records, verifying and certifying payroll records, and making them available for inspection. All mobilizations thereafter require 48 hours' notice. Failure to provide the minimum notice specified in this section may result in additional charges. This proposal to be part of any subcontract. Prices quoted herein are valid for a period of 30 days from the date of this proposal. Payment terms are Net 30 days from the date of Dean's invoice. Equipment damaged during the performance of the work described in this proposal, due to operations not controlled by Dean's Certified Welding, Inc., will be charged at repair or replacement costs, whichever is more economic. Dean' s Certified Welding, Inc. is signatory to and performs all work through the Laborers union, if Dean's is required to use any other union additional charges may apply. Standard Terms and Conditions for Service Contracts The following Standard Terms and Conditions apply to all services provided by Dean's Certified Welding, Inc. or one or more of its affiliated entities, (collectively "Dean's") to you (the "Buyer"). By accepting the Services, the Buyer hereby agrees to the terms and conditions set forth herein. 1.Prices quoted orally expire the same day they are made unless accepted in writing on that day or confirmed by written communication by Dean's. Written price quotations are guaranteed for thirty (30) days after the date issued, but may be terminated by written notice within that period, prior to acceptance. In addition, the Buyer shall pay the cost of any bonds, guarantees, insurance, or any other products or services, which the Buyer may require Dean's to obtain in relation to any items or services sold by Dean's to you. 2.Dean's shall not be liable for any delays including, without limitation, delays resulting from causes beyond its reasonable control, such as strikes, slow-downs, terrorism or acts of terrorists, fire, or failures or delays of its usual sources of supply of raw materials, government orders or requests (domestic or foreign), floods, accidents, embargoes or other conditions that are beyond Dean's control. Except as specifically set out above, Dean's makes no other representations, assurances or warranties whatsoever, whether express or implied oral or written, in fact or by operation of law or otherwise and the warranties contained in these terms and conditions are in lieu of all other express or implied warranties whether statutory, by operation of law or otherwise and all such other warranties are hereby excluded and denied. Dean's liability shall be limited to either performing the services as warranted or refunding the price paid by the Buyer for the provision of the Services. 4.Dean's is exempt from any responsibility whatsoever pursuant to its warranty or otherwise for faults, malfunctions, damages, liability, or any other losses arising from improper, careless or faulty storage or treatment, faulty installation or operation of the Items by the Buyer or third parties, normal and natural wear and tear, incorrect or careless handling, improper maintenance, subject to loads higher than prescribed, use of unsuitable materials, change of materials, faulty construction work, unsuitable site, environmental damage or the cutting, usage or alteration of any Items to which the Services applied. Furthermore, this warranty may be revoked by Dean's if any items are operated differently than prescribed, disassembled, repaired or otherwise altered by any person, or if the items have been damaged after being installed on site by any event or action outside of Dean's control. If Buyer requests or causes a cancellation, suspension or delay in any of the Services, the Buyer shall pay to Dean's all appropriate charges, including but not limited to any costs, storage fees, expenses, and commitments incurred by Dean's up to date of receipt of notice of such cancellation, suspension or delay plus Dean's overhead and reasonable profit. If items are required to be stored at Dean's facility, a premises storage fee of one percent (1%) of the cost of the services rendered about the items per month, counting from the earlier of the date of receipt of the foregoing notice and the date of readiness for dispatch, shall be charged. If shipment or performance is delayed because the Buyer, the cost of the Services shall be due and payable as if delivery of the items or performance of the services had been completed as scheduled. Subject to the other terms and conditions herein, the services are deemed to have been completed on time if Dean's notifies the Buyer as such on or prior to the scheduled completion date and the items are deemed to have been delivered on time if handed over to the first carrier and declared ready for dispatch as scheduled. 7.If and while Dean' s employees, representatives or subcontractors are on the Buyer ' s site to carry out performance of the Services, the Buyer shall, without cost to Dean's, provide safe and sanitary work conditions to such personnel and shall have paid all required workplace safety insurance premiums for such employees, representatives and subcontractors.
