UTIL 1557 AMENDMENT NO. 1 TO AGREEMENT FOR LEAK DETECTION SURVEY OF DISTRIBUTION SYSTEM MATCHPOINT WATER ASSET MANAGEMENT 5) T~endment No. 1 is entered into and effective as of the ,9.J A...Q day of (: ~ , 2017, amending the agreement dated May 17, 2017 (the "Agreement") by and between the Carlsbad Municipal Water District, , a Public Agency organized under the Municipal Water Act of 1911, and a Subsidiary District of the City of Carlsbad, ("CMWD"), and Matchpoint Water Asset Management, a North Carolina corporation, ("Contractor") (collectively, the "Parties") for leak detection survey of water distribution system. RECITALS A. The Parties desire to alter the Agreement's scope of work to include approximately 315 additional miles of the city's water mains to conduct system leak surveys; and B. The Parties have negotiated and agreed to a supplemental scope of work and fee schedule, which is attached to and incorporated in by this reference as Exhibit "A", Scope of Services and Fee. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, CMWD and Contractor agree as follows: 1. In addition to those services contained in the Agreement, as may have been amended from time to time, Contractor will provide those services described in Exhibit "A". With this Amendment, the total annual Agreement amount shall not exceed one hundred thousand dollars ($100.000). 2. CMWD will pay Contractor for all work associated with those services described in Exhibit "A" on a time and materials basis not-to-exceed sixty five thousand dollars ($65,000). Contractor will provide CMWD, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by CMWD. 3. Contractor will complete all work described in Exhibit "A" by May 17, 2018. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. (MWAM), a national service provider and distributor of water network management equipment, has been providing real and apparent water loss solutions since 2007. In recent years MWAM expanded to include comprehensive solutions, such as risk management & condition assessment packages. MWAM, a corporation based out of Wilmington, North Carolina, boasts over 100 years of combined water industry experience and currently operates nationwide and in six countries. Our equipment suppliers have been hand selected to include only companies with proven technology that yield positive and consistent results. • Serviced area to date Customer service and satisfaction are our main objective, and in 2016 we earned a 4.74/5.00 on our quality control surveys. Columbus Water Works, a client out of Georgia, remarked: "Match point's level of service is second to none. Every employee we have dealt with has been knowledgeable and helpful." The majority of leak detection manufacturers are housed overseas. The risks bared from working with such companies include long lead times and lapses in support services. To better serve our customers MWAM has opened a repair and service center in North Carolina to mitigate these risks. Moreover, MWAM has a designated Support Services team and offers lifetime support with the supply of oµr equipment. 4 Part 2-PROJECT PLAN LEAK DETECTION METHODOLOGY Matchpoint leak detection services are traditional, non-invasive, and are reliant on acoustic technology combined with personnel expertise. Our leak detection approach has been refined over the lifetime of our company to ensure optimum customer satisfaction, effective communication, and precise results. We abide by a comprehensive process that maximizes the potential of reducing water loss and minimizes the likelihood of dry holes, or excavating a leak-free hole. All services will be executed to meet, and very often exceed, the best practices listed in the A WW A Manual of Water Supply Services (M36) and will be performed at the highest level of health and safety standards (OSHA safety standards). WORKFLOW PLAN SURVEY Reporting: Dally, Weekly, and Monthly Loak Repaired By Customer The Matchpoint crew will deploy acoustic technology to sound all 315 miles of the distribution system. This initial step highlights anomalies within the network, which then allows for additional leak detection activities to be prioritized. 5 Final Report The initial survey will be executed using acoustic noise loggers and/ or an electronic listening stick to identify points of interest. We will select the most efficient and effective solution for each area based on pipe material and other factors. The Phocus3 acoustic noise loggers will be used in "lift-n-shift" mode and deployed during daytime hours at relevant and sensible spacing (as close as possible on PVC mains and no greater than 500 feet apart on AC & metallic mains). The acoustic noise loggers go "live" and listen at night when the distribution system is at its highest pressure and the ambient noise/usage is at its lowest. The loggers record actual audio leak noise each night and the data is gathered for analysis every morning. Any identified leak noise will require further investigation through pinpointing and confirmation In any busy areas, for PVC pipe, or other suspect areas we will sound every service and fitting available with any combination of a electronic listening stick, ground microphone and/or acoustic noise loggers. There are three potential outcomes from the initial system survey: 1. Leak Identified: If a leak noise is identified then we will do further investigating to determine if it is indeed a true leak through pinpointing and confirmation testing. a. Pinpoint After the initial survey we execute the correlation, or pinpointing, phase in order to determine the legitimacy and exact location of leak noises discovered, using a Eureka3 real time noise correlator. For more difficult jobs and/or complex sites, we will deploy Enigma non-real time correlating no,ise loggers in the suspect area. The Enigma will log sound data during nighttime hours and our crews will collect the data for analyzing the following morning. Examples of when this equipment could be used include: very busy intersections, often with multiple pipes, and/or very quiet leaks, which are difficult to correlate during normal working hours. The Enigma uses wet fittings to listen for leakage, and is also the most appropriate tool for PVC or large mains . b. confirmation: Each time any leak is highlighted in the pinpointing process the leakage technician will verify this result is as correct and as accurate as possible by carrying out the confirmation process. We use a combination of skills and equipment in this process using an advanced ground microphones and listening sticks, carrying out visual checks. This part of the process is the most critical and greatly increases the accuracy of our work and in return reduces false excavations known as 'dry holes'; thus saving you time and money. 6 ··········----·-··--·--------·----·--- It the noise is a valid leak then the area will be physically and visibly marked and the leak will be recorded through GPS software. All confirmed leaks' details would be included on the daily leak report card, as well as the weekly, monthly and final reports. 2. System Defects Located: Any other defects noticed in the distribution system during the survey will be included on all reporting. 3. No Leak Found: If no leak is identified during a given day, then no more action is needed. Yet, we will report that there was no identifiable leak on the surveyed area of pipe on the particular day in all reports. It is the responsibility of the customer to repair the reported confirmed leak(s) in timely manner in order to reduce further water loss and for overall efficiency and NRW reduction. Once the repairs have been made, we will re-survey the repaired area to affirm it remains a leak-free zone, if and only if we are still on-site, unless specified elsewhere in this proposal and/ or priced accordingly. REPORTING All reporting will be completed in a timely manner and delivered to the representative of your choice. Per our workflow plan, we will report all progress made on a daily and weekly basis, with a comprehensive report delivered upon completion of the project. 1. Daily If a leak is discovered then it will be accounted for in a daily "Leak Card" and submitted to the representative of choice on that same day of discovery. In total, 164 distribution and 179 suspected customer leaks were identified and confirmed while conducting the leak detection survey. Only 8.6% of the discovered leaks had visible water. The total 343 leaks discovered have a 13 -----------------------------·-------------------------- combined leakage rate estimated at 37 4.00 gallons per minute. Once repairs are completed, the City will save approximately 538,560 gallons per day, or 16,381,200 gallons per month, or 196,574,400 gallons per year. Georgia Environmental Finance Authority (GEFA) In late 2015, Matchpoint was awarded a contract with GEFA to perform 400 miles ofleak detection services, which was split between 6 pre-selected utilities. We conducted a survey for each of the 6 utilities and in total found 176 leaks. Once the repairs are complete, an estimated 127,773,360 gallons of water will be saved across the state of Georgia per year. We have been requested by a few of the utilities to perform additional work outside of the scope of the contract with GEFA. As of June 16, 2017, we were awarded a contract to perform 1,305 miles of leak detection services, split between 25 utilities. This project is ready to begin. Knoxville Utility Board (KUB), TN This project was initially awarded for leak detection services of 211 miles of CI pipe in the oldest part of the city area. The project was expanded to include an additional 5 5.65 miles of pipe. Performance and schedule were very important to this customer and we delivered, maintaining our reputation of exceptional customer service. A total of SO distribution leaks were confirmed. These leaks totalized a conservative 441.5 gallons per minute or 635,760 gallons per day water loss recovered. We were awarded another leak detection project, this time for 1200 miles, with KUB in early 2016 and have just started another in 2017. Branson,MO MWAM was awarded a contract to perform 100 miles of leak detection through a competitive bid. We used a combination of acoustic loggers, manual sounding and correlation leak detection techniques throughout the 18-day leak detection survey. We discovered a total of 102 leaks (80 distribution side and 22 customer side) throughout the 100 miles of the city's distribution system. The leakage rate of the combined distribution leaks discovered is estimated at 128.65 gallons per minute. Only 3% of the leakage found had visible water. Once repairs are completed, the city of Branson, MO will save approx. 67 million gallons of water per year. Vermont Department of Environmental Conservation This project was awarded for up to 50 days ofleak detection in 2015 and then renewed for an additional 25 days in 2016. The contract days are split across multiple systems awarded within the state. MWAM is has received the 2017 contract as well. 14 PERSONNEL QUALIFICATIONS While we are heavily invested in our water loss prevention products, our people are our greatest asset. MWAM's culture recruits exceptional talent and maintains highly qualified and experienced personnel. Below is information on our key personnel. Simon Wick, Vice President An internationally recognized expert in the field of non-revenue water, Simon came up through the ranks of a UK water company and over his tenure rose to the position of Chief Inspector. When Simon left, he left behind the lowest ever recorded level of water loss the company had witnessed. Matchpoint was introduced to Simon during a facilities tour of Leak Detection equipment manufacturers. His personal and professional skill set made him the perfect candidate to launch our Water Asset Management business. In 2009 Simon joined Matchpoint to share his knowledge in the US with immediate results demonstrating to utilities how they can partner to reduce their NRW. He has been involved in the DMA design, implementation, management, and monitoring of leak detection work including correlations, testing, planning, and implementing the latest technology; while ensuring that current regulations are met by utilities. Simon has led all Matchpoint Water Loss Recovery projects since he started with Matchpoint. Training and Certifications: NVQ level 2: water distribution, NVQ level 3 customer service, EU and US Water Asset Management; A member of A WWA, GRWA, GAWP and has been awarded a Bachelor's Degree in Engineering Management. Tony Popolo, Field Operations Director Tony was recruited by Matchpoint 6 years ago to develop our GPS/GIS program. His knowledge, gained over a decade, of experience in GPS/GIS consulting and project coordination have proven valuable to our internal and external customers. His leadership skills soon propelled him to the position he occupies today. Tony has vast amount of experience in the field of leak detection, meter testing, meter installation, and project management. Recently, Tony has broadened his role into the expanding water asset management portion of the company through: project scheduling, client coordination, planning, estimating, and logistics. He is also actively engaged in the research and development of the company's future endeavors regarding other utility services and products. Premium$ Page 1 of 1 UTIL 1557 AGREEMENT FOR LEAK DETECTION SURVEY OF DISTRIBUTION SYSTEM {MATCHPOINT WATER ASSET MANAGEMENT) THIS AGREEMENT is made and entered into as of the \ ~h, day of l'\L; ~ , 2017, by and between the CARLSBAD MUNICIPAL WATER DISTRICT, a Public Ag ncy organized under the Municipal Water Act of 1911, and a Subsidiary District of the City of Carlsbad, ("CMWD"), and MATCHPOINT WATER ASSET MANAGEMENT, a North Carolina corporation, ("Contractor"). RECITALS A CMWD requires the professional services of a consultant that is experienced in leak detection surveys of distribution systems. B. Contractor has submitted a proposal to CMWD and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, CMWD and Contractor agree as follows: 1. SCOPE OF WORK CMWD retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in attached Exhibit "A", which is incorporated by this reference in accordance with this Agreement's terms and conditions. 2. STANDARD OF PERFORMANCE While performing the Services, Contractor will exercise the reasonable professional care and skill customarily exercised by reputable members of Contractor's profession practicing in the Metropolitan Southern California Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. TERM The term of this Agreement will be effective for a period of one (1) year from the date first above written. 4. TIME IS OF THE ESSENCE Time is of the essence for each and every provision of this Agreement. 5. COMPENSATION The total fee payable for the Services to be performed during the initial Agreement term will not exceed thirty five thousand dollars ($35,000). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. Incremental payments, if applicable, should be made as outlined in attached Exhibit "A". 6. STATUS OF CONTRACTOR Contractor will perform the Services in Contractor's own way as an independent contractor and in pursuit of Contractor's independent calling, and not as an employee of CMWD. Contractor will be under control of CMWD only as to the result to be accomplished, but will consult with CMWD as necessary. The persons used by Contractor to provide services under this Agreement will not be considered employees of CMWD for any purposes. CMWD will not make any federal or state tax withholdings on behalf of Contractor or its agents, employees or subcontractors. Contractor agrees to indemnify CMWD and the City of Carlsbad within thirty (30) days for any tax, retirement contribution, social security, overtime payment, unemployment payment or workers' compensation payment which CMWD may be required to make on behalf of Contractor or any agent, employee, or subcontractor of Contractor for work done under this Agreement. At CMWD's election, CMWD may deduct the indemnification amount from any balance owing to Contractor. 7. SUBCONTRACTING Contractor will not subcontract any portion of the Services without prior written approval of CMWD. If Contractor subcontracts any of the Services, Contractor will be fully responsible to CMWD for the acts and omissions of Contractor's subcontractor and of the persons either directly or indirectly employed by the subcontractor, as Contractor is for the acts and omissions of persons directly employed by Contractor. Nothing contained in this Agreement will create any contractual relationship between any subcontractor of Contractor and CMWD. Contractor will be responsible for payment of subcontractors. Contractor will bind every subcontractor and every subcontractor of a subcontractor by the terms of this Agreement applicable to Contractor's work unless specifically noted to the contrary in the subcontract and approved in writing by CMWD. 8. OTHER CONTRACTORS CMWD reserves the right to employ other Contractors in connection with the Services. 9. INDEMNIFICATION Contractor agrees to indemnify and hold harmless CMWD and the City of Carlsbad, their officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorney's fees arising out of the performance of the work described herein caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. The parties expressly agree that any payment, attorney's fee, costs or expense CMWD or the City of Carlsbad incurs or makes to or on behalf of an injured employee under the their self- administered workers' compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. 10. INSURANCE Contractor will obtain and maintain for the duration of the Agreement and any and all amendments, insurance against claims for injuries to persons or damage to property which may arise out of or in connection with performance of the services by Contractor or Contractor's agents, representatives, employees or subcontractors. The insurance will be obtained from an insurance carrier admitted and authorized to do business in the State of California. The insurance carrier is required to have a current Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California's List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best's Key Rating Guide of at least "A:X"; OR an alien non-admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report. 10.1 Coverages and Limits. Contractor will maintain the types of coverages and minimum limits indicated below, unless the Risk Manager or Executive Manager approves a lower amount. CMWD, its officers, agents and employees make no representation that the limits of the insurance specified to be carried by Contractor pursuant to this Agreement are adequate to protect Contractor. If Contractor believes that any required insurance coverage is inadequate, Contractor will obtain such additional insurance coverage, as Contractor deems adequate, at Contractor's sole expense. The full limits available to the named insured shall also be available and applicable to CMWD as an additional insured. 1 0.1.1 Commercial General Liability Insurance. $2,000,000 combined single-limit per occurrence for bodily injury, personal injury and property damage. If the submitted policies contain aggregate limits, general aggregate limits will apply separately to the work under this Agreement or the general aggregate will be twice the required per occurrence limit. 1 0.1.2 Automobile Liability (if the use of an automobile is involved for Contractor's work for CMWD). $1,000,000 combined single-limit per accident for bodily injury and property damage. 1 0.1.3 Workers' Compensation and Employer's Liability. Workers' Compensation limits as required by the California Labor Code. Workers' Compensation will not be required if Contractor has no employees and provides, to CMWD's satisfaction, a declaration stating this. 1 0.1.4 Professional Liability. Errors and omissions liability appropriate to Contractor's profession with limits of not less than $1,000,000 per claim. Coverage must be maintained for a period of five years following the date of completion of the work. 1 0.2. Additional Provisions. Contractor will ensure that the policies of insurance required under this Agreement contain, or are endorsed to contain, the following provisions: 1 0.2.1 CMWD will be named as an additional insured on Commercial General Liability which shall provide primary coverage to CMWD. 1 0.2.2 Contractor will obtain occurrence coverage, excluding Professional Liability, which will be written as claims-made coverage. 1 0.2.3 This insurance will be in force during the life of the Agreement and any extensions of it and will not be canceled without thirty (30) days prior written notice to CMWD sent by certified mail pursuant to the Notice provisions of this Agreement. 10.3 Providing Certificates of Insurance and Endorsements. Prior to CMWD's execution of this Agreement, Contractor will furnish certificates of insurance and endorsements to CMWD. 10.4 Failure to Maintain Coverage. If Contractor fails to maintain any of these insurance coverages, then CMWD will have the option to declare Contractor in breach, or may purchase replacement insurance or pay the premiums that are due on existing policies in order to maintain the required coverages. Contractor is responsible for any payments made by CMWD to obtain or maintain insurance and CMWD may collect these payments from Contractor or deduct the amount paid from any sums due Contractor under this Agreement. 10.5 Submission of Insurance Policies. BUSINESS LICENSE Contractor will obtain and maintain a City of Carlsbad Business License for the term of the Agreement, as may be amended from time-to-time. 12. ACCOUNTING RECORDS Contractor will maintain complete and accurate records with respect to costs incurred under this Agreement. All records will be clearly identifiable. Contractor will allow a representative of CMWD during normal business hours to examine, audit, and make transcripts or copies of records and any other documents created pursuant to this Agreement. Contractor will allow inspection of all work, data, documents, proceedings, and activities related to the Agreement for a period of three (3) years from the date of final payment under this Agreement. 13. OWNERSHIP OF DOCUMENTS All work product produced by Contractor or its agents, employees, and subcontractors pursuant to this Agreement is the property of CMWD. In the event this Agreement is terminated, all work product produced by Contractor or its agents, employees and subcontractors pursuant to this Agreement will be delivered at once to CMWD. Contractor will have the right to make one (1) copy of the work product for Contractor's records. 14. COPYRIGHTS Contractor agrees that all copyrights that arise from the services will be vested in CMWD and Contractor relinquishes all claims to the copyrights in favor of CMWD. 15. CONFLICT OF INTEREST Contractor shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. The Contractor shall report investments or interests in all four categories. 17. GENERAL COMPLIANCE WITH LAWS Contractor will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Contractor, or in any way affect the performance of the Services by Contractor. Contractor will at all times observe and comply with these laws, General Counsel Approved Version 4/2/15 4 UTIL 1557 ordinances, and regulations and will be responsible for the compliance of Contractor's services with all applicable laws, ordinances and regulations. Contractor will be aware of the requirements of the Immigration Reform and Control Act of 1986 and will comply with those requirements, including, but not limited to, verifying the eligibility for employment of all agents, employees, subcontractors and consultants that the services required by this Agreement. 18. DISCRIMINATION AND HARASSMENT PROHIBITED Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 19. DISPUTE RESOLUTION If a dispute should arise regarding the performance of the Services the following procedure will be used to resolve any questions of fact or interpretation not otherwise settled by agreement between the parties. Representatives of Contractor or CMWD will reduce such questions, and their respective views, to writing. A copy of such documented dispute will be forwarded to both parties involved along with recommended methods of resolution, which would be of benefit to both parties. The representative receiving the letter will reply to the letter along with a recommended method of resolution within ten (10) business days. If the resolution thus obtained is unsatisfactory to the aggrieved party, a letter outlining the disputes will be forwarded to the Executive Manager. The Executive Manager will consider the facts and solutions recommended by each party and may then opt to direct a solution to the problem. In such cases, the action of the Executive Manager will be binding upon the parties involved, although nothing in this procedure will prohibit the parties from seeking remedies available to them at law. 20. TERMINATION In the event of the Contractor's failure to prosecute, deliver, or perform the Services, CMWD may terminate this Agreement for nonperformance by notifying Contractor by certified mail of the termination. If CMWD decides to abandon or indefinitely postpone the work or services contemplated by this Agreement, CMWD may terminate this Agreement upon written notice to Contractor. Upon notification of termination, Contractor has five (5) business days to deliver any documents owned by CMWD and all work in progress to CMWD address contained in this Agreement. CMWD will make a determination of fact based upon the work product delivered to CMWD and of the percentage of work that Contractor has performed which is usable and of worth to CMWD in having the Agreement completed. Based upon that finding CMWD will determine the final payment of the Agreement. Either party upon tendering thirty (30) days written notice to the other party may terminate this Agreement. In this event and upon request of CMWD, Contractor will assemble the work product and put it in order for proper filing and closing and deliver it to CMWD. Contractor will be paid for work performed to the termination date; however, the total will not exceed the lump sum fee payable under this Agreement. CMWD will make the final determination as to the portions of tasks completed and the compensation to be made. 21. COVENANTS AGAINST CONTINGENT FEES Contractor warrants that Contractor has not employed or retained any company or person, other than a bona fide employee working for Contractor, to solicit or secure this Agreement, and that Contractor has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon, or resulting from, the award or making of this Agreement. For breach or violation of this warranty, CMWD will have the right to annul this Agreement without liability, or, in its General Counsel Approved Version 4/2/15 5 UTIL 1557 discretion, to deduct from the Agreement price or consideration, or otherwise recover, the full amount of the fee, commission, percentage, brokerage fees, gift, or contingent fee. 22. CLAIMS AND LAWSUITS By signing this Agreement, Contractor agrees that any agreement claim submitted to CMWD must be asserted as part of the agreement process as set forth in this Agreement and not in anticipation of litigation or in conjunction with litigation. Contractor acknowledges that if a false claim is submitted to CMWD, it may be considered fraud and Contractor may be subject to criminal prosecution. Contractor acknowledges that California Government Code sections 12650 et seq., the False Claims Act applies to this Agreement and, provides for civil penalties where a person knowingly submits a false claim to a public entity. These provisions include false claims made with deliberate ignorance of the false information or in reckless disregard of the truth or falsity of information. If CMWD seeks to recover penalties pursuant to the False Claims Act, it is entitled to recover its litigation costs, including attorney's fees. Contractor acknowledges that the filing of a false claim may subject Contractor to an administrative debarment proceeding as the result of which Contractor may be prevented to act as a Contractor on any public work or improvement for a period of up to five (5) years. Contractor acknowledges debarment by another jurisdiction is grounds for CMWD to terminate this Agreement. 23. JURISDICTION AND VENUE Any action at law or in equity brought by either of the parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Diego, State of California, and the parties waive all provisions of law providing for a change of venue in these proceedings to any other county. 24. SUCCESSORS AND ASSIGNS It is mutually understood and agreed that this Agreement will be binding upon CMWD and Contractor and their respective successors. Neither this Agreement nor any part of it nor any monies due or to become due under it may be assigned by Contractor without the prior consent of CMWD, which shall not be unreasonably withheld. 25. ENTIRE AGREEMENT This Agreement, together with any other written document referred to or contemplated by it, along with the purchase order for this Agreement and its provisions, embody the entire Agreement and understanding between the parties relating to the subject matter of it. In case of conflict, the terms of the Agreement supersede the purchase order. Neither this Agreement nor any of its provisions may be amended, modified, waived or discharged except in a writing signed by both parties. He has extensive field experience in meter tests, district measurements, flow and pressure measurements, loss of head tests, fire flow tests, hydraulic gradients, and pump tests. He has conducted engineering studies, hydraulic field tests, trunk main surveys, and leakage surveys across the U.S. He has assisted over 300 municipalities in water conservation techniques, water audits, leak detection, and hydraulic field measurements. Training and Certifications: Bachelors of Science Degree in Civil Engineering, EU and UK Water Asset Management, Leak Detection Certified Technician **All of our project managers are trained to lead this project 7 Georgia Environmental Finance Authority (GEFA) In late 2015, Match point was awarded a contract with GEFA to perform 400 miles of leak detection services, which was split between 6 pre-selected utilities. We conducted a survey for each of the 6 utilities and in total found 176 leaks. Once the repairs are complete, an estimated 127,773,360 gallons of water will be saved across the state of Georgia per year. We have been requested by a few of the utilities to perform additional work outside of the scope of the contract with GEFA. Knoxville Utility Board (KUB), TN This project was initially awarded for leak detection services of211 miles of Cl pipe in the oldest part of the city area. Within a week of starting this contract, we agreed to change the scope of work to include all pipe materials in any given area as we were identifying leaks that were out of the initial contracted area. Therefore, the project was expanded to include an additional 55.65 miles of pipe. Performance and schedule were very important to this customer and we delivered, maintaining our reputation of exceptional customer service. A total of 50 distribution leaks were confirmed. These leaks totalized a conservative 441.5 gallons per minute or 635,760 gallons per day water loss recovered. We were awarded another leak detection project, this time for 1200 miles, with KUB in early 2016. This project has yet to begin. Otay Water District, CA This initial project was awarded in 2015 for leak detection and a system survey of 167 miles of rural and urban service areas of their distribution system. Matchpoint discovered 931eaks/all were confirmed distribution leaks (1 main, 13 fittings, & 79 service). The savings were conservatively estimated to be 50.31 gallons per minute. Late last year the district solicited for leak detection services again and we were awarded and executed a leak detection survey on approx 241 miles of their distribution system resulting in 42 confirmed distribution leaks totaling approximately 10.48 gallons per minute. Vermont Department of Environmental Conservation This project was awarded for up to 50 days of leak detection in 2015 and then renewed for an additional25 days in 2016. The contract days are split across multiple systems awarded within the state and 20 have been completed to date. We executed all 50 days of Contract 1 and are currently working on Contract 2 with 12 days remaining as requested by the DEC. To date, 45 combined leaks have been discovered. 9 each area based on pipe material and other factors. If loggers are used we will utilize the acoustic noise loggers in Uft-N-Shift mode, which is the quickest and most effective way of surveying most distributions systems. We will deploy these loggers on your network at relevant and sensible spacing (as dose as possible on PVC mains and no greater than 500 feet apart on AC & Metallic Mains) to ensure that we comprehensively cover any area in question. In any busy areas, for PVC pipe, or other suspect areas we will sound EVERY service and fitting available with an electronic listening stick/ground microphone and/or acoustic noise loggers. NOTE: The acoustic noise loggers listen at night when the distribution system is at its highest pressure and the ambient noise/usage is at its lowest. This results in us often finding leaks that would otherwise be missed using traditional methods. The acoustic noise loggers and electronic listening sticks also work independently from one another--again finding more leaks than with traditional correlation survey methods. The Phocus 3 acoustic leak detection loggers we deploy, have an added benefit of being able to record actual audio leak noise on every logger each night; thus, significantly reducing any false alarms caused by ambient noise, electrical interference or usage. There are three potential outcomes from the initial system survey: 1. leak Identified: If a leak noise is identified then we will do further investigating, quality control exercises, to determine if it is indeed a true leak through further correlation and confirmation testing. a. Correlation: After the Initial survey we execute the correlation, or pinpointing, phase in order to determine the legitimacy and exact location of leak noises discovered. This takes a combination of skill and the most precise equipment available to be successful. A leak noise real-time correlator and/or a ground microphone system will be used to pinpoint potential leaks identified during the survey stage. Traditionally, the suspected leak is narrowed down to between two access points, such as two valves or hydrants. The accelerometers (sensors) wlll be placed on each of the two access points on either side of the suspect pipe section. Then, basic information such as pipe material, pipe size & length is entered into the base unit of the correlator. lf a true leak is present, then it will be displayed on the base unit detailing the distance of the leak from each accelerometer. For difficult leaks to pinpoint: During this pinpointing phase, for more difficult jobs and/or complex sites, we also use Non-Real time correlating noise loggers. Examples of when this equipment could be used include: very busy intersections, often with multiple pipes, and/or very quiet leaks, which are difficult to correlate during normal working hours. These are a very useful addition to our leak detection tools and offer an advanced pinpointing system that is extremely useful for assisting the leakage detection process where needed. The results can also be used to 'back-up" daytime correlations where needed to ensure that our correlations are as accurate as possible, avoiding unnecessary 'dry holes'. For Pinpointing Leaks on PVC or large Mains: Even the best correlators on the market struggle to perform effectively on PVC pipe and large mains (16" and above). This Is due to the fact that, traditionally, accelerometers (sensors) are deployed on pipefittings within the distribution system and they 'listen' to the leak noise via the noise travelling along the pipe wall. For PVC pipes and large mains (even large metallic mains) this noise does not travel far and thus most correlations are not effective in these conditions. 11 This is why we utilize, where needed, the Primayer Enigma hy-Q hydrophone based, Non-Real time leak noise correlating system. This proven technology, and the Enigma hy-Q, can pinpoint leaks that other correlators cannot. It uses 'wet' fittings to listen to the leak noise traveling in the water not the pipe wall. NOTE: Access to FH's and/or other 'wet' fittings will be required to utilize this equipment on site. b. Confirmation: Each time any leak is highlighted in the pinpointing process the leakage technician will verify this result is as correct and as accurate as possible by carrying out the confirmation process. We use a combination of skills and equipment in this process using an advanced ground microphones and listening sticks, carrying out visual checks. This part of the process is the most critical and greatly increases the accuracy of our work and in return reduces false excavations known as 'dry holes'; thus saving you time and money. If the noise is a valid leak then the area will be physically and visibly marked and the leak will be recorded through GPS software. All confirmed leaks' details would be included on the daily leak report card, as well as the weekly, monthly and final reports. 2. System Defects Located: If any other defects in the distribution system are discovered during the survey, then we notify you of the issue and the GPS coordinates so the Utility is aware and can make any improvements necessary. This information will also be included on all reporting. 3. No leak Found: If no leak is identified during a given day, then no more action is needed. Yet, we will report that there was no identifiable leak on the surveyed area of pipe on the particular day in all reports. Reporting: Daily, Weekly and Monthly All surveying will be reported to your representative of choice. See "Reporting" section of this document for further details as to what we will include on each type of report. Leak Repair It is the responsibility of the customer to repair the reported confirmed leak(s) in timely manner in order to reduce further water loss and for overall efficiency and NRW reduction. Once the repairs have been made, we will re-survey the repaired area to affirm it remains a leak-free zone, if and only if we are still on-site, unless specified elsewhere in this proposal and/or priced accordingly. Project Summary Report A Project Summary Report will be produced upon the completion of the project and submitted within 10 working days to your representative of choice. See "Reporting" section for details. 12 Reporting All reporting will be completed in a timely manner and delivered to the representative of your choice. Per our workflow plan, we will report all progress made on a daily and weekly basis. The City of Carlsbad will also be notified immediately if anything is urgent is detected upon discovery. At the completion of the survey, our results, methodology and survey details will be compiled into the Project Summary report. Daily Leak Cards If a leak is discovered then it will be accounted for in a daily "Leak Card" and submitted to the representative of choice on that same day of discovery.
