DBA NORTH COUNTY STUDENT TRANSPORTATION This Amendment No. 1 is entered into and effective as of the / 9 day of :Tu t ~ , 2019, amending the agreement dated May 15, 2019 (the "Agreemen ) by and between the City of Carlsbad, a municipal corporation, ("City"), and NCST, Inc. dba North County Student Transportation, a California Corporation ("Contractor") (collectively, the "Parties). RECITALS A. On May 15, 2019, the Parties entered into a one year Agreement for professional services of transportation provider that is experienced in transporting students and community members to various Carlsbad locations; and B. The Parties desire to amend the Agreement's scope of work to include transportation services for TGI F Concerts in the Parks for 2019. C. The Parties have negotiated and agreed to a supplemental scope of work and fee schedule, which is attached to and incorporated by this reference as Exhibit "A"; Scope of Services and Fees. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. That the above recitals are incorporated herein by the reference. 2. In addition to the services contained in the Agreement, as may have been amended from time to time, Contractor will provide additional services and equipment described in "Exhibit A". at a not-to-exceed ten thousand dollars ($10,000). The total Agreement shall not exceed seventeen thousand dollars ($17,000). Contractor will provide City invoices sufficiently detailed to include and related activities and costs. 3. Contractor will complete all work described in Exhibit "A" by August 16, 2019. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by the Contractor pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. Additional time will be charged at $85 per hour as previously outlined $2,125 Total $10,000 All buses will be operated by employees of Contractor and will follow predesignated shuttle route during all events on a continuous route from 4:15 to 9:15 p.m. The fares outlined above are inclusive of PUC tax. • Buses shall be cleaned inside and out as necessary, and repairs to visible body damage, inside or out, shall be made immediately after such damage occurs. • Spare buses of appropriate sizes, and meeting all requirements, shall be located by the Contractor at points close enough to City so they may be substituted for regularly assigned buses, if needed, without delay. • Regular preventative maintenance, as approved by the manufacturer, shall be practiced on all buses. Maintenance records for said buses shall be made available to City on reasonable notice. Invoicing/ Payment: All invoices shall be submitted to City's Community Coordinator Megan Gilby and shall be sufficiently detailed to include related activities and costs. Final invoice approval will be completed by City's Library & Cultural Arts Director or designee. DBA NORTH COUNTY STUDENT TRANSPORTATION __,..,. l / THIS AGREEMENT is made and entered into as of the /5th day of!/ /CW 2019. by and between the CITY OF CARLSBAD. a municipal corporation, ("City"),'ana~ST, Inc. dba North County Student Transportation, a California corporation, ("Contractor"). RECITALS A. City requires the professional services of a transportation provider that is experienced in transporting students and community members to various Carlsbad locations. B. Contractor has the necessary experience in providing these professional transportation services. C. Contractor has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. SCOPE OF WORK City retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in Exhibit "A", attached and incorporated by this reference in accordance with the terms and conditions set forth in this Agreement. 2. STANDARD OF PERFORMANCE While performing the Services, Contractor will exercise the reasonable professional care and skill customarily exercised by reputable members of Contractor's profession practicing in the Metropolitan Southern California Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. TERM This Agreement will be effective for a period of one (1) year from the date first above written. The City may amend the Agreement to extend it for four (4) additional one (1) year periods or parts thereof. Extensions will be based on a satisfactory review of Contractor's performance, City needs, and appropriation of funds. The parties will prepare a written amendment indicating the effective date and length of the extended Agreement. 4. CERTIFICATIONS Contractor shall provide City with all documentation, licenses, and certifications showing: (1) inspection by the California Highway Patrol; (2) compliance with all California Public Utilities Commission requirements/inspections; (3) compliance with all Department of Transportation requirements/inspections; (4) if required, ADA lift compliant buses; and (5) drivers licensed through California Department of Motor Vehicles with all required license classes/endorsements. If any license or certification(s) expires or will expire during the term of this Agreement, Contractor shall provide updated proof of valid license(s) and certificate(s) prior to license and certification's expiration date. City Attorney Approved Version 9/27/17 5. COMPENSATION The total fee payable for the Services to be performed during the initial Agreement term shall not exceed seven thousand dollars ($7,000). Fees are based on (1) trips or (2) on an hourly basis. The fee schedule is contained in Exhibit A." No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. City reserves the right to withhold a ten percent ( 10%) retention until City has accepted the work and/or the Services specified in Exhibit "A." Incremental payments, if applicable, should be made as services have been rendered, and outlined in attached Exhibit "A". 6. STATUS OF CONTRACTOR Contractor will perform the Services in Contractor's own way as an independent contractor and in pursuit of Contractor's independent calling, and not as an employee of City. Contractor will be under control of City only as to the result to be accomplished, but will consult with City as necessary. The persons used by Contractor to provide services under this Agreement will not be considered employees of City for any purposes. The payment made to Contractor pursuant to the Agreement will be the full and complete compensation to which Contractor is entitled. City will not make any federal or state tax withholdings on behalf of Contractor or its agents, employees or subcontractors. City will not be required to pay any workers' compensation insurance or unemployment contributions on behalf of Contractor or its employees or subcontractors. Contractor agrees to indemnify City within thirty (30) days for any tax, retirement contribution, social security, overtime payment, unemployment payment or workers' compensation payment which City may be required to make on behalf of Contractor or any agent, employee, or subcontractor of Contractor for work done under this Agreement. At the City's election, City may deduct the indemnification amount from any balance owing to Contractor. 7. SUBCONTRACTING Contractor will not subcontract any portion of the Services without prior written approval of City. If Contractor subcontracts any of the Services, Contractor will be fully responsible to City for the acts and omissions of Contractor's subcontractor and of the persons either directly or indirectly employed by the subcontractor, as Contractor is for the acts and omissions of persons directly employed by Contractor. Nothing contained in this Agreement will create any contractual relationship between any subcontractor of Contractor and City. Contractor will be responsible for payment of subcontractors. Contractor will bind every subcontractor and every subcontractor of a subcontractor by the terms of this Agreement applicable to Contractor's work unless specifically noted to the contrary in the subcontract and approved in writing by City. 8. OTHER CONTRACTORS The City reserves the right to employ other Contractors in connection with the Services. 9. INDEMNIFICATION Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys' fees arising out of the performance of the work described herein caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. City Attorney Approved Version 9/27/17 2 The parties expressly agree that any payment, attorney's fee, costs or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. 10. INSURANCE Contractor will obtain and maintain for the duration of the Agreement and any and all amendments, insurance against claims for injuries to persons or damage to property which may arise out of or in connection with performance of the services by Contractor or Contractor's agents, representatives, employees or subcontractors. The insurance will be obtained from an insurance carrier admitted and authorized to do business in the State of California. The insurance carrier is required to have a current Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California's List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best's Key Rating Guide of at least "A:X"; OR an alien non-admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report. 10.1 Coverage and Limits. Contractor will maintain the types of coverage and minimum limits indicated below, unless the Risk Manager or City Manager approves a lower amount. These minimum amounts of coverage will not constitute any limitations or cap on Contractor's indemnification obligations under this Agreement. City, its officers, agents and employees make no representation that the limits of the insurance specified to be carried by Contractor pursuant to this Agreement are adequate to protect Contractor. If Contractor believes that any required insurance coverage is inadequate, Contractor will obtain such additional insurance coverage, as Contractor deems adequate, at Contractor's sole expense. The full limits available to the named insured shall also be available and applicable to the City as an additional insured. 10.1.1 Commercial General Liability Insurance. $2,000,000 combined single-limit per occurrence for bodily injury, personal injury and property damage. If the submitted policies contain aggregate limits, general aggregate limits will apply separately to the work under this Agreement or the general aggregate will be twice the required per occurrence limit. 10.1.2 Automobile Liability. (if the use of an automobile is involved for Contractor's work for City). $5,000,000 combined single-limit per accident for bodily injury and property damage. 10. 1. 3 Workers' Compensation and Employer's Liability. Workers' Compensation limits as required by the California Labor Code. Workers' Compensation will not be required if Contractor has no employees and provides, to City's satisfaction, a declaration stating this. 10.2 Additional Provisions. Contractor will ensure that the policies of insurance required under this Agreement contain, or are endorsed to contain, the following provisions: 10.2.1 The City will be named as an additional insured on Commercial General Liability which shall provide primary coverage to the City. 10.2.2 Contractor will obtain occurrence coverage, excluding Professional Liability, which will be written as claims-made coverage. 10.2.3 This insurance will be in force during the life of the Agreement and any extensions of it and will not be canceled without thirty (30) days prior written notice to City sent by certified mail pursuant to the Notice provisions of this Agreement. Prior to City's execution of this Agreement, Contractor will furnish certificates of insurance and endorsements to City. 10.4 Failure to Maintain Coverage. If Contractor fails to maintain any of these insurance coverages, then City will have the option to declare Contractor in breach, or may purchase replacement insurance or pay the premiums that are due on existing policies in order to maintain the required coverages. Contractor is responsible for any payments made by City to obtain or maintain insurance and City may collect these payments from Contractor or deduct the amount paid from any sums due Contractor under this Agreement. 10.5 Submission of Insurance Policies. City reserves the right to require, at any time, complete and certified copies of any or all required insurance policies and endorsements. 11. BUSINESS LICENSE Contractor will obtain and maintain a City of Carlsbad Business License for the term of the Agreement, as may be amended from time-to-time. 12. CONFLICT OF INTEREST Contractor shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. COMPLIANCE WITH LAWS Contractor will comply with all applicable local, state and federal laws and regulations related to and/or pertaining to the Services to be provided herein. Contractor will also comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. Contractor will obtain and maintain a City of Carlsbad Business License for the term of this Agreement. 9. TERMINATION City or Contractor may terminate this Agreement at any time after a discussion, and written notice to the other party. City will pay Contractor's costs for services delivered up to the time of termination, if the services have been delivered in accordance with the Agreement. 10. CLAIMS AND LAWSUITS By signing this Agreement, Contractor agrees it may be subject to civil penalties for the filing of false claims as set forth in the California False Claims Act, Government Code sections 12650, et seq., and Carlsbad Municipal Code Sections 3.32.025, et seq. Contractor further acknowledges that debarment by another jurisdiction is grounds for the City of Carlsbad to terminate this Agreement. 11. JURISDICTIONS AND VENUE Contractor agrees and stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties arising out of this Agreement is the State Superior Court, San Diego County, California. 12. ASSIGNMENT Contractor may assign neither this Agreement nor any part of it, nor any monies due or to become due under it, without the prior written consent of City. Any amendment will be in writing, signed by both parties, with a statement of estimated changes in charges or time schedule. 14. Transportation for Three-Part-Art gallery Education program: Contractor shall provide at its own expense one bus capable of accommodating up to two elementary level classes, along with adult chaperones, from the school site address with a capacity of transporting up to eighty (80) passengers per field trip. Contractor shall provide professional bus transportation services to elementary students within Carlsbad Unified School District to participate in the City of Carlsbad's Three-Part-Art gallery education program, taking place within the Carlsbad City Library complex, at 1775 Dove Lane, Carlsbad, CA, 92011. All field trips needing bussing transportation will be determined and scheduled in advance by each school site directly with the Contractor. Contractor will then wait to receive funding approval from Cultural Arts Manager or Community Arts Coordinator, Laurette Garner, who will review and provide pre-approval for each and every field trip reservation. Upon approval by the Community Arts Coordinator and following completion of each bus trip, Contractor will submit itemized invoices for approval and payment to City of Carlsbad, 1775 Dove Lane, Carlsbad, CA 92011 attn: Community Arts Coordinator, Laurette Garner. Cost per four hour round trip bus will be $335 and $85 per hour after four hours. Trips can range from four to eight hours. Costs will be assessed in quarter hour increments after the four hour minimum at $21.25 per increment; fifteen minutes after the four hours will be charged as four hours total and fifteen minutes before a five hour trip will be billed as five hours total. City Attorney Approved Version 9/27/17 6 Additional Details: • All professional bus transportation services will be operated by employees of Contractor. • Field trips may occur on predetermined Mondays through Thursdays from 8 a.m. until 12 p.m. during the coordinated exhibition dates taking place during the academic school year and on occasional weekends for community events across the city. • Buses shall be cleaned inside and out as necessary, and repairs to visible body damage, inside and/or out, shall be made after such damage occurs and before used to perform the Services herein. • Regular preventative maintenance, as approved by the manufacturer, shall be practiced on all transportation buses. Maintenance records for said transportation buses shall be made available to City on reasonable notice. • The Contractor will provide itemized invoices at the completion of each service provided. All work will be coordinated and verified by Community Arts Coordinator Laurette Garner prior to the Cultural Arts Manager approving the invoices. • Spare buses of appropriate sizes, and meeting all requirements herein. shall be located by the Contractor at points close enough to City so they may be substituted for regularly assigned buses, if needed, so as to not cause any delay with regard to the Services to be provided herein. • Regular preventative maintenance, as recommended by the manufacturer, shall be performed on all buses. Maintenance records for said buses shall be made available to City on request by the City. • Buses for use in this Agreement shall not be more than fourteen (14) years old (as measured from the date of manufacture of the bus) at the commencement of services under the terms of this Agreement.
