September 3, 2020 Mr. Nick Sitar Anthology Live 32697 Bodley Court Temecula, CA 92592 Dear Mr. Sitar, On January 27, 2020, you entered into the third amendment of a professional agreement dated originally March 17, 2017, to provide concert production services at the “TGIF Concerts in the Parks” series. By way of this letter and an email notification, the City of Carlsbad is hereby tendering written notice to terminate the “TGIF Concerts in the Parks 2020” the amendment that was executed January 27, 2020. Per the agreement, termination is addressed in section 21. Due to the unprecedented COVID-19 pandemic, the entire season was cancelled by city leadership on May 19. Along with all TGIF vendors, you were notified of the city’s decision on May 20. On May 27, you submitted a final invoice in the amount of $12,930. In reviewing the documents that you submitted associated with the financial obligations incurred, staff determined you provided sufficient support for the payment of the April 1 invoice received on May 27, and is in alignment with agreement language. As per the agreement, the original compensation was not-to-exceed $64,400 dollars. As stated in amendment no. 3 scope of work, if the Producer is unable to satisfactorily produce any of the nine concerts and the City has paid the fees in advance, the Producer shall forthwith return to the City $3,930 per concert not produced. The TGIF Concerts in the Parks series included nine concerts, totaling $35,370. The city paid invoice#1117A $16,100 on February 6, 2020 leaving a balance of $12,930. Final payment will be made on invoice#1120 $12,930 in early September 2020 to complete the City’s financial obligation under the agreement. Thank you for providing quality entertainment that has enriched the community’s concert experience each summer since 2017. Producer Services: a. Performing Artist Selection i. Perform production duties on behalf on the City of Carlsbad and TGIF Concerts in the Parks. ii. Attend performing arts presenting conferences with City of Carlsbad Cultural Arts Office staff. iii. Curation of performing artist choices by genre for review by TGIF Committee. Artist curation will be guided and align by the TGIF Concerts in the Parks Artistic Vision. iv. Final selection of performing artists for TGIF Concerts in the Parks will be selected by the TGIF Programming Committee, comprised of Event Producer and city staff. v. Confirm contracted services by nine (9) music ensembles in alignment with TGIF Programming Committee and TGIF Concerts in the Parks Artistic Vision Statement thirty (30) days after execution of agreement. vi. Provide final list of groups, including biographies, publicity information, high resolution photographs on all performers to City no later than forty-five (45) days after execution of agreement. vii. All final artist selections will be reviewed and approved by city staff to ensure adherence to TGIF Concerts in the Parks Artistic Vision (Exhibit B) and logistical considerations for all events. Contractor will receive approval in writing within thirty (30) days of receiving final Contractor's list of groups. b. Performing Artist Liaison i. Producer will act as main contact and provide artist management and hospitality duties for all performing artists prior to and on-site during events ii. Provide a cooler of non-alcoholic beverages for performers and sound production crew at each concert, appropriate for number of performers contracted per event c. Performing Artist Guidelines i. Performance Content: The Contractor represents and warrants that its Performance in all aspects (including any sheet music, lyrics or script as may be desired or required by City) will not violate any copyright, and that all necessary approvals to perform copyrighted works have been obtained. Contractor agrees to indemnify, defend City Attorney Approved Version 1/30/13 4 and save harmless the City against any copyright claim, demand, liability or expense caused by or arising out of its Performance. Contractor shall be solely responsible for the content of the Performance. 11. Subject Matter: Contractor agrees to refrain from presenting or performing material that is derogatory or critical of the City, contains sexually explicit actions or gestures, expletives and/or other obscenities, or contains racial slurs or is otherwise derogatory of any race, religion, sexual orientation, age or national origin. Should such material be presented or performed, City, in its sole discretion, may immediately terminate the Performance. In the event City terminates the Performance of Contractor because of violation of this paragraph, City shall not be liable to Contractor for the balance owed under this Agreement and all monies paid to Contractor shall be full and complete payment of Contractor's services. In the event of this occurrence, City shall not be deemed to be in breach of this agreement. iii. Alcohol consumption of any kind is strictly forbidden while on any concert premises and during any contracted service period for the City and any affiliated third-party booking agents. 1v. Artists will not at any time allow any audience members on stage or take requests for dedications or any other messages from audience to be announced from the stage. v. Parking will be negotiated between City, Producer and guest artist prior to each event and included in artist contract(s). vi. Guest artists may sell merchandise with no percentage of sales or other obligation due to the City. Merchandise will adhere to performance content and subject matter guidelines. City staff may not assist in sales of merchandise. d. Sound Production i. Will provide adequate and appropriate sound system and operation equipment, suitable to cover up to 3,500 people. Producer will provide adequate and appropriate sound engineer personnel to conduct all sound services necessary to all satisfactory presentation of concerts and applicable preshow entertainment, including all concert set-ups and break-downs of music and sound equipment. Will select a sound production subcontractor for all TGIF Concerts in the Parks events, including up to nine (9) preshow events, eight (8) weeks prior to the start of the Concerts in the Parks series. e. Event Logistics i. Producer will coordinate during events with event staff to ensure proper implementation of emergency protocols involving performing artists, sounds production crew and on-stage operations, including but not limited to: 1. Lost Child Protocol 2. Emergency Action Plan(s) f. Event Producer Terms: i. City AudioNideo Recording: City reserves the right to audio and/or video record any lecture, reading or speaking engagement; including live streaming the event to any location(s) owned and/or controlled by the City; but not any musical concert or musical Performance. City may retain the recording in its files, may replay the recordings for its employees, and may make excerpts available for public viewing. City shall make no more than three copies of the recordings. City shall not sell the recording. City shall provide a copy of the recording to the Contractor, upon the Contractor's request. ii. Weather and Other Types of Cancellations of Activities/Performances: If Performance is canceled by City due to inclement weather, acts of God, acts or any other reason, while Contractor is traveling to or is already at Venue Site, but has not yet performed, City will pay Contractor Contractor's out-of-pocket travel expenses to the Venue Site. In the event that a storm should develop while Contractor is at the Venue Site and has already set up or is in the process of setting up Contractor's equipment, City and Contractor will discuss whether the Performance should be cancelled. All work will be verified by Community Coordinator Megan Gilby or designee. Final invoice approval will be completed by the City's Library & Cultural Arts Director or designee. iii. Due to the schedule for payments, the four installment payments may be paid by the City in advance of any performance produced by Producer. If Producer fails to satisfactorily produce any of the nine concerts called for herein, City shall be entitled to a credit against any payment owed by the City to Producer in the amount of Three thousand nine hundred thirty dollars ($3,930) per concert. If City has paid any of the fees in advance, Producer shall forthwith return to City three thousand nine hundred thirty dollars $3,930 per concert. RECITALS A. City requires the professional services of a Producer that is experienced in concert production including provision of talent and sound services. B. Producer has the necessary experience in providing professional services and advice related to concert production, talent engagement and sound services. C. Producer has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Producer agree as follows: 1. SCOPE OF WORK City retains Producer to perform, and Producer agrees to render, those services (the "Services") that are defined in attached Exhibit "A", which is incorporated by this reference in accordance with this Agreement's terms and conditions. 2. STANDARD OF PERFORMANCE While performing the Services, Producer will exercise the reasonable professional care and skill customarily exercised by reputable members of Producer's profession practicing in the Metropolitan Southern California Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. TERM The term of this Agreement will be effective for a period of one (1) year from the date first above written. The City Manager may amend the Agreement to extend it for three (3) additional one-(1) year periods or parts thereof. Extensions will be based upon a satisfactory review of Producer's performance, City needs, and appropriation of funds by the City Council. The parties will prepare a written amendment indicating the effective date and length of the extended Agreement. 4. TIME IS OF THE ESSENCE Time is of the essence for each and every provision of this Agreement. 5. COMPENSATION The total fee payable for the Services to be performed during the initial Agreement term will be fifty-one thousand, five hundred dollars ($51 ,500). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. The City reserves the right to withhold a ten percent (1 0%) retention until City has accepted the work and/or Services specified in Exhibit "A". Incremental payments, if applicable, should be made as outlined in attached Exhibit "A". Page 1 of 11 6. STATUS OF PRODUCER Producer will perform the Services in Producer's own way as an independent Producer and in pursuit of Producer's independent calling, and not as an employee of City. Producer will be under control of City only as to the result to be accomplished, but will consult with City as necessary. The persons used by Producer to provide services under this Agreement will not be considered employees of City for any purposes. The payment made to Producer pursuant to the Agreement will be the full and complete compensation to which Producer is entitled. City will not make any federal or state tax with holdings on behalf of Producer or its agents, employees or subcontractors. City will not be required to pay any workers' compensation insurance or unemployment contributions on behalf of Producer or its employees or subcontractors. Producer agrees to indemnify City within thirty (30) days for any tax, retirement contribution, social security, overtime payment, unemployment payment or workers' compensation payment which City may be required to make on behalf of Producer or any agent, employee, or subcontractors of Producer for work done under this Agreement. At the City's election, City may deduct the indemnification amount from any balance owing to Producer. 7. SUBCONTRACTING Producer will not subcontract any portion of the Services without prior written approval of City. If Producer subcontracts any of the Services, Producer will be fully responsible to City for the acts and omissions of Producer's subcontractor and of the persons either directly or indirectly employed by the subcontractor, as Producer is for the acts and omissions of persons directly employed by Producer. Nothing contained in this Agreement will create any contractual relationship between any subcontractor of Producer and City. Producer will be responsible for payment of subcontractor. Producer will bind every subcontractor and every subcontractor of a subcontractor by the terms of this Agreement applicable to Producer's work unless specifically noted to the contrary in the subcontract and approved in writing by City. 8. OTHERPRODUCERS The City reserves the right to employ other Producers in connection with the Services. 9. INDEMNIFICATION Producer agrees to indemnify and hold harmless the City and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein caused by any negligence, recklessness, or willful misconduct of the Producer, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. City agrees to indemnify and hold harmless the Producer, its officers, any subcontractors or anyone directly or indirectly employed by any of them from and against all claims, damages, losses, and expenses including attorneys fees arising out of the performance of work described herein caused by any negligence, recklessness, or willful misconduct of the City, its officers, officials, employees or volunteers. The parties expressly agree that any payment, attorney's fee, costs or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. INSURANCE Producer will obtain and maintain for the duration of the Agreement and any and all amendments, insurance against claims for injuries to persons or damage to property which may arise out of or in connection with performance of the services by Producer or Producer's agents, representatives, employees or subcontractors. The insurance will be obtained from an insurance carrier admitted and authorized to do business in the State of California. The insurance carrier is required to have a current Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California's List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best's Key Rating Guide of at least "A:X"; OR an alien non-admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report. 10.1 Coverage and Limits. Producer will maintain the types of coverage and minimum limits indicated below, unless the Risk Manager or City Manager approves a lower amount. These minimum amounts of coverage will not constitute any limitations or cap on Producer's indemnification obligations under this Agreement. City, its officers, agents and employees make no representation that the limits of the insurance specified to be carried by Producer pursuant to this Agreement are adequate to protect Producer. If Producer believes that any required insurance coverage is inadequate, Producer will obtain such additional insurance coverage, as Producer deems adequate, at Producer's sole expense. The full limits available to the named insured shall also be available and applicable to the City as an additional insured. 1 0.1.1 Commercial General Liability Insurance. $2,000,000 combined single-limit per occurrence for bodily injury, personal injury and property damage. If the submitted policies contain aggregate limits, general aggregate limits will apply separately to the work under this Agreement or the general aggregate will be twice the required per occurrence limit. 1 0.1.2 Automobile Liability. (if the use of an automobile is involved for Producer's work for City). $1 ,000,000 combined single-limit per accident for bodily injury and property damage. 1 0.1.3 Workers' Compensation and Employer's Liability. Workers' Compensation limits as required by the California Labor Code. Workers' Compensation will not be required if Producer has no employees and provides, to City's satisfaction, a declaration stating this. 10.2 Additional Provisions. Producer will ensure that the policies of insurance required under this Agreement contain, or are endorsed to contain, the following provisions: 1 0.2.1 The City will be named as an additional insured on Commercial General Liability which shall provide primary coverage to the City. 1 0.2.2 Producer will obtain occurrence coverage, excluding Professional Liability, which will be written as claims-made coverage. 1 0.2.3 This insurance will be in force during the life of the Agreement and any extensions of it and will not be canceled without thirty {30) days prior written notice to City sent by certified mail pursuant to the Notice provisions of this Agreement. 10.3 Providing Certificates of Insurance and Endorsements. Prior to City's execution of this Agreement, Producer will furnis~ certificates of insurance and endorsements to City. Page 3 ofll 10.4 Failure to Maintain Coverage. If Producer fails to maintain any of these insurance coverages, then City will have the option to declare Producer in breach, or may purchase replacement insurance or pay the premiums that are due on existing policies in order to maintain the required coverages. Producer is responsible for any payments made by City to obtain or maintain insurance and City may collect these payments from Producer or deduct the amount paid from any sums due Producer under this Agreement. 10.5 Submission of Insurance Polfcies. City reserves the right to require, at any time, complete and certified copies of any or all required insurance policies and endorsements. 11. BUSINESS LICENSE Producer will obtain and maintain a City of Carlsbad Business License for the term of the Agreement, as may be amended from time-to-time. 12. ACCOUNTING RECORDS Producer will maintain complete and accurate records with respect to costs incurred under this Agreement. All records will be clearly identifiable. Producer will allow a representative of City during normal business hours to examine, audit, and make transcripts or copies of records and any other documents created pursuant to this Agreement. Producer will allow inspection of all work, data, documents, proceedings, and activities related to the Agreement for a period of three (3) years from the date of final payment under this Agreement. 13. OWNERSHIP OF DOCUMENTS All work product produced by Producer or its agents, employees, and subcontractors pursuant to this Agreement is the property of City. In the event this Agreement is terminated, all work product produced by Producer or its agents, employees and subcontractors pursuant to this Agreement will be delivered at once to City. Producer will have the right to make one (1) copy of the work product for Producer's records. 14. COPYRIGHTS Producer agrees that all copyrights that arise from the services will be vested in City and Producer relinquishes all claims to the copyrights in favor of City. 15. PRODUCTION RIGHTS Producer agrees that the right to produce "TGIF Concerts in the Parks" belongs to the City and Producer has no right to independently produce or sell rights of any kind to this event. Further, Producer agrees that Producer will not acquire any independent, individual or joint rights with the City to "TGIF Concerts in the parks" concerts or concert series. The parties agree that this is a 'work for hire' business arrangement under the United States Copyright Act of 1976 [17 USC §§ 101, et. seq.] and any other applicable law. CONFLICT OF INTEREST Producer shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. The Producer shall report investments or interests in all four (4) categories. 18. GENERAL COMPLIANCE WITH LAWS Producer will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Producer, or in any way affect the performance of the Services by Producer. Producer will at all times observe and comply with these laws, ordinances, and regulations and will be responsible for the compliance of Producer's services with all applicable laws, ordinances and regulations. Producer will be aware of the requirements of the Immigration Reform and Control Act of 1986 and will comply with those requirements, including, but not limited to, verifying the eligibility for employment of all agents, employees, subcontractors and consultants whose services are required by this Agreement. 19. DISCRIMINATION AND HARASSMENT PROHIBITED Producer will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 20. DISPUTE RESOLUTION If a dispute should arise regarding the performance of the Services the following procedure will be used to resolve any questions of fact or interpretation not otherwise settled by agreement between the parties. Representatives of Producer or City will reduce such questions, and their respective views, to writing. A copy of such documented dispute will be forwarded to both parties involved along with recommended methods of resolution, which would be of benefit to both parties. The representative receiving the letter will reply to the letter along with a recommended method of resolution within ten (1 0) business days. If the resolution thus obtained is unsatisfactory to the aggrieved party, a letter outlining the disputes will be forwarded to the City Manager. The Page 5 ofll City Manager will consider the facts and solutions recommended by each party and may then opt to direct a solution to the problem. In such cases, the action of the City Manager will be binding upon the parties involved, although nothing in this procedure will prohibit the parties from seeking remedies available to them at law. 21. TERMINATION In the event of the Producer's failure to prosecute, deliver, or perform the Services, City may terminate this Agreement for nonperformance by notifying Producer by certified mail of the termination. If City decides to abandon or indefinitely postpone the work or services contemplated by this Agreement, City may terminate this Agreement upon written notice to Producer. Upon notification of termination, Producer has five (5) business days to deliver any documents owned by City and all work in progress to City address contained in this Agreement. City will make a determination of fact based upon the work product delivered to City and of the percentage of work that Producer has performed which is usable and of worth to City in having the Agreement completed. Based upon that finding City will determine the final payment of the Agreement. Either party upon tendering thirty (30) days written notice to the other party may terminate this Agreement. In this event and upon request of City, Producer will assemble the work product and put it in order for proper filing and closing and deliver it to City. Producer will be paid for work performed to the termination date; however, the total will not exceed the lump sum fee payable under this Agreement. City will make the final determination as to the portions of tasks completed and the compensation to be made. 22. COVENANTS AGAINST CONTINGENT FEES Producer warrants that Producer has not employed or retained any company or person, other than a bona fide employee working for Producer, to solicit or secure this Agreement, and that Producer has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon, or resulting from, the award or making of this Agreement. For breach or violation of this warranty, City will have the right to annul this Agreement without liability, or, in its discretion, to deduct from the Agreement price or consideration, or otherwise recover, the full amount of the fee, commission, percentage, brokerage fees, gift, or contingent fee. 23. CLAIMS AND LAWSUITS By signing this Agreement, Producer agrees that any Agreement claim submitted to City must be asserted as part of the Agreement process as set forth in this Agreement and not in anticipation of litigation or in conjunction with litigation. Producer acknowledges that if a false claim is submitted to City, it may be considered fraud and Producer may be subject to criminal prosecution. Producer acknowledges that California Government Code sections 12650 et seq., the False Claims Act applies to this Agreement and, provides for civil penalties where a person knowingly submits a false claim to a public entity. These provisions include false claims made with deliberate ignorance of the false information or in reckless disregard of the truth or falsity of information. If City seeks to recover penalties pursuant to the False Claims Act, it is entitled to recover its litigation costs, including attorney's fees. Producer acknowledges that the filing of a false claim may subject Producer to an administrative debarment proceeding as the result of which Producer may be prevented to act as a Producer on any public work or improvement for a period of up to five (5) years. Producer acknowledges debarment by another jurisdiction is grounds for City to terminate this Agreement. Page 6 of 11 24. JURISDICTION AND VENUE Any action at law or in equity brought by either of the parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Diego, State of California, and the parties waive all provisions of law providing for a change of venue in these proceedings to any other county. 25. SUCCESSORS AND ASSIGNS It is mutually understood and agreed that this Agreement will be binding upon City and Producer and their respective successors. Neither this Agreement nor any part of it nor any monies due or to become due under it may be assigned by Producer without the prior consent of City, which shall not be unreasonably withheld. 26. ENTIRE AGREEMENT This Agreement, together with any other written document referred to or contemplated by it, along with the purchase order for this Agreement and its provisions, embody the entire Agreement and understanding between the parties relating to the subject matter of it. In case of conflict, the terms of the Agreement supersede the purchase order. Neither this Agreement nor any of its provisions may be amended, modified, waived or discharged except in a writing signed by both parties. The musicians will perform from 6:00p.m. until 8:00p.m., with one 15-minute intermission beginning at or near 7:00p.m. • Producer will confirm contracted services by nine (9) music ensembles in a variety of music styles within the given criteria of the TGIF Concerts in the Parks Mission & Vision Statement no later than April 21, 2017. • Producer will pay any and all advance deposits for contracted services. • Producer will contract performers, and provide final list of groups, biographies and publicity information (including photographs) on the performers to the City no later than April21, 2017. • Producer will confirm sound production services provider for all TGIF concerts no later than May 12, 2017. • If any concert has to be canceled due to bad weather, it will be rescheduled at a date mutually agreed upon by City and Producer. • If a performer is unable to perform, the Producer will provide a replacement performer agreeable to the City, or the performance will be rescheduled at a date mutually agreed upon by the City and Producer. If a replacement performer cannot be provided or the original concert cannot be rescheduled, the fee to Producer shall be reduced, on a pro- rata bases, by the value of the performance not presented. • Producer will provide a cooler of non-alcoholic beverages for performers at each concert. Producer will arrange and provide any meal services or per diem costs as negotiated with contracted ensembles. Payment for all meal services or per diem costs agreed between Producer and performers will be the responsibility of the Producer, as stated in Producer's submitted proposal. • Producer will perform all advanced services, including but not limited to transportation, lodging and backline equipment as Producer shall negotiate with performers. Payment for all advance services agreed between Producer and performers will be the responsibility of the Producer, as stated in the Producer's submitted proposal. • Producer will work with City of Carlsbad staff to develop Performance Guidelines for all contract performers which reflect the policies, practices and needs of the city in the presentation of TGIF Concerts in the Parks events. Producer will ensure that all performers receive, review and adhere to the Performance Guidelines. Page 9 of 11 • Producer will ensure performers do not invite concert attendees to dance on the stage during their performance. • Producer will provide adequate and appropriate sound system and operation equipment, suitable to cover up to 4,000 people. Producer will provide adequate and appropriate sound engineer personnel to conduct all sound services necessary to all satisfactory presentation of concerts, including all concert set-ups and break-downs of musical and sound equipment. • Producer will provide onsite artists' management during all concerts. • Producer will hold all required publishing rights for music performance. • Producer will perform all required taxation of paid performers' fees. • The total fees payable shall be $51,500. No other compensation for services will be allowed. No individual payment shall be less than twenty percent (20%) of the total fees payable. No individual payment shall be more than thirty percent (30%) of the total fees payable. If adjustments need to be made to stage set-up, Producer shall notify City staff of the need for adjustment and City staff will make the adjustment deemed necessary. • Producer shall inspect mobile stage, rigging and trusses and notify City staff of any obvious defects or damages to the structure immediately. By accepting the use of the mobile stage and its rigging and trusses, the Producer agrees that the mobile stage is in good working order and free of any patent defects. • Producer shall be responsible for ensuring that the use of the mobile stage, rigging and trusses by performers and equipment does not exceed the maximum load bearing capacity set forth in the Stageline Mobile SL 100 Stage Rigging plan attached hereto and incorporated as Exhibit A-1. • Producer shall be responsible for setting up and securing all concert sound and lighting equipment to the mobile stage, rigging and trusses. City staff shall be responsible for securing any banners to the rigging or trusses. • City staff shall not adjust any of the Producer's sound or lighting equipment. If the sound or lighting equipment needs to be adjusted, City staff shall notify Producer of the need for adjustment and Producer shall make the adjustment deemed necessary.
