AMENDMENT NO. 2 TO EXTEND AND AMEND AGREEMENT FOR SECURITY STAFF AND SERVICES FOR OUTDOOR EVENTS PHOENIX PROTECTIVE SERVICES, INC. No. 2 is entered into and effective as of the 0 )Si-day of ----'--1--+.......:;.;::;p.-.------' 2018, extending and amending the agreement dated June 24, nt") by and between the City of Carlsbad, a municipal corporation, ("City"), and Phoenix Prate Ive Services, Inc., a Corporation, ("Contractor") (collectively, the "Parties") for providing security staff and services during 2018 TGIF Concerts in the Parks events. RECITALS A. On April 18, 2017 the Parties executed Amendment No. 1 to the Agreement to extend the Agreement to provide security staff and services during the 2017 TGIF Concerts in the Parks events for a period ending June 24, 2018; and B. The Parties desire to amend the Agreement's scope of work and to extend the Agreement for a period of one year. C. The Parties have negotiated and agreed to a supplemental scope of work and fee schedule, which is attached to and incorporated by this reference as Exhibit "A"; Scope of Services and Fees. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. That the above recitals are incorporated herein by this reference. 2. Pursuant to section 2 of the Agreement, the term of the Agreement is hereby extended for an additional year, through and including June 24, 2019. Contractor will provide the services described in Exhibit "A," attached hereto and incorporated by reference. 3. City will pay Contractor for all work associated with those services described in Exhibit "A," attached hereto and incorporated herein, on a time and materials basis not-to-exceed four thousand, six hundred dollars ($4,600). Contractor will provide City invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by the Contractor pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. As an integral component of this security effort, the Contractor shall provide and maintain all management, supervision, manpower, training, equipment, supplies, licenses, permits, certificates, insurance, pre-employment screenings, reports, and files necessary to accomplish security guard services as described and required in this Scope of Services. The Contractor shall perform to the standards required in this jurisdiction and will be expected to work closely with City representatives and Carlsbad Police Department throughout the duration of this Agreement. The Contractor bears the sole burden for ensuring that all legally required licenses and permits are obtained and renewed as specified by the regulating agency. Contractor's security officers have a crucial and highly visible role in support of the City's mission for TGIF Concerts in the Parks. They are usually the first (and sometimes only) contact TGIF concert visitors have with the City and other attendees at a concert venue and they are usually the first line of contact at an incident. Visitors and city employees perceive the need for contract security officers to be integral with a successful TGIF Concerts in the Parks concert experience. It is crucial that the Contractor ensure that their employees realize the importance of their role, and perform their duties courteously and professionally at all times. Security officers will control the concert area by observing, detecting, and reporting violations of concert guidelines and Carlsbad Municipal Code violations. Roving security officers will be responsible for maintaining logs, reports, and files of all incidents and occurrences encountered during the concert event. All roving duties will City Attorney Approved Version 1/30/13 be performed in a professional manner, with the security officers responsible for observing the environment, and, when necessary, politely questioning those persons whose activities arouse suspicion in preparation for notifying a uniformed police officer. The Contractor will provide itemized invoices at the completion of each site's services. All work will be coordinated and verified by Community Arts Coordinator Megan Gilby prior to approving invoices. RECITALS A. City requires the professional services of a contractor that is experienced in providing security staff and services for large-scale outdoor events. B. Contractor has the necessary experience in providing professional services and advice related security staff and services. C. Contractor has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. SCOPE OF WORK City retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in Exhibit "A", attached and incorporated by this reference in accordance with the terms and conditions set forth in this Agreement. 2. TERM This Agreement will be effective from the date first written above, for a period of one (1) year with up to three (3) optional one (1) year extensions for a total of four (4) years. 3. COMPENSATION The total fee payable for the Services to be performed shall not exceed two thousand dollars ($2,000). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. If the City elects to extend the Agreement, the amount shall not exceed two thousand dollars ($2,000) per Agreement year. City reserves the right to withhold a ten percent ( 1 0%) retention until City has accepted the work and/or the Services specified in Exhibit "A." 4. STATUS OF CONTRACTOR Contractor will perform the Services as an independent contractor and in pursuit of Contractor's independent calling, and not as an employee of City. Contractor will be under the control of City only as to the results to be accomplished. 5. INDEMNIFICATION Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. The parties expressly agree that any payment, attorney's fee, costs or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' City Attorney Approved Version 4/1/15 1 compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. 6. INSURANCE Contractor will obtain and maintain policies of commercial general liability insurance, automobile liability insurance, a combined policy of workers' compensation, employers liability insurance, and professional liability insurance from an insurance company authorized to transact the business of insurance in the State of California which has a current Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California's List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best's Key Rating Guide of at least "A: X"; OR an alien non- admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report, in an amount of not less than one million dollars ($1 ,000,000) each, unless otherwise authorized and approved by the Risk Manager or the City Manager. Contractor will obtain occurrence coverage, excluding Professional Liability, which will be written as claims- made coverage. The insurance will be in force during the life of this Agreement and will not be canceled without thirty (30) days prior written notice to the City by certified mail. City will be named as an additional insured on General Liability which shall provide primary coverage to the City. The full limits available to the named insured shall also be available and applicable to the City as an additional insured. Contractor will furnish certificates of insurance to the Contract Department, with endorsements to City prior to City's execution of this Agreement. 7. CONFLICT OF INTEREST Contractor shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. The Contractor shall report investments or interests in all four categories. 8. COMPLIANCE WITH LAWS Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment and will obtain and maintain a City of Carlsbad Business License for the term of this Agreement. 9. TERMINATION Either party upon tendering thirty (30) days written notice to the other party may terminate this Agreement. In this event and upon request of City, Contractor will assemble the work product and put it in order for proper filing and closing and deliver it to City. Contractor will be paid for work performed to the termination date; however, the total will not exceed the lump sum fee payable under this Agreement. City will make the final determination as to the portions of tasks completed and the compensation to be made. 10. CLAIMS AND LAWSUITS By signing this Agreement, Contractor agrees it may be subject to civil penalties for the filing of false claims as set forth in the California False Claims Act, Government Code sections 12650, et seq., and Carlsbad Municipal Code Sections 3.32.025, et seq. Contractor further acknowledges that debarment by another jurisdiction is grounds for the City of Carlsbad to terminate this Agreement. 11. JURISDICTIONS AND VENUE Contractor agrees and stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties arising out of this Agreement is the State Superior Court, San Diego County, California. 12. AMENDMENTS This Agreement may be amended by mutual consent of City and Contractor. Any amendment will be in writing, signed by both parties, with a statement of estimated changes in charges or time schedule. 14. Contractor's security officers have a crucial and highly visible role in support of the City's mission for TGIF Concerts in the Parks. They are usually the first (and sometimes only) contact TGIF concert visitors have with the City and other attendees at a concert venue and they are usually the first line of contact at an incident. Visitors and city employees perceive the need for contract security officers to be integral with a successful TGIF Concerts in the Parks concert experience. It is crucial that the Contractor ensure that their employees realize the importance of their role, and perform their duties courteously and professionally at all times. Security officers will control the concert area by observing, detecting, and reporting violations of concert guidelines and Carlsbad Municipal Code violations. Security officers are not police officers and if violations are observed the security officer should notify a uniformed police officer or place a call to the Carlsbad Police Department describing the violation and identifying the involved person(s). Roving security officers will be responsible for maintaining logs, reports, and files of all incidents and occurrences encountered during the concert event. All roving duties will be performed in a professional manner, with the security officers responsible for observing the environment, and, when necessary, politely questioning those persons whose activities arouse suspicion in preparation for notifying a uniformed police officer. The Contractor will provide itemized invoices at the completion of each site's services. All work will be coordinated and verified by Community Arts Coordinator Megan Gilby prior to approving invoices.
