This Amendment No. 2 is entered into and effective as of the ~ day of De, &.tM,\o.8.J:: , 20.ft_, extending the agreement dated December 8, 2017
(the "Agreement") by and between the City of Carlsbad, a municipal corporation, ("City"), and
Station Automation, Inc., a corporation, ("Contractor") (collectively, the "Parties") for a paperless
operations program for vehicle and narcotics checks.
RECITALS
A. On December 24, 2018, the Parties executed Amendment No. 1 to extend the
Agreement for a period of one year; and
B. The Parties desire to extend the Agreement for a period of one year.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1. That the Agreement, as may have been amended from time to time, is hereby
extended for a period of one year ending on December 8, 2020.
2. Agreement is hereby amended to add an amount not-to-exceed four thousand two
hundred and five dollars ($4,205.00) per Agreement year.
3. All other provisions of the Agreement, as may have been amended from time to
time, will remain in full force and effect.
4. All requisite insurance policies to be maintained by the Contractor pursuant to the
Agreement, as may have been amended from time to time, will include coverage for this
Amendment.

5. The individuals executing this Amendment and the instruments referenced in it on
behalf of Contractor each represent and warrant that they have the legal power, right and actual

to the scope of work.

contained herein, City and Contractor agree as follows:

AGREEMENT FOR PAPERLESS STATION SOLUTIONS SERVICES

corporation, ("City"), and Station Automation, Inc., a corporation ("Contractor").
RECITALS

City requires the professional services of a paperless stations solutions company that is
experienced in building a paperless department operations program for vehicle and narcotics
checks. Contractor has the necessary experience in providing these professional services, has
submitted a proposal to City and has affirmed its willingness and ability to perform such work.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1. SCOPE OF WORK
City retains Contractor to perform, and Contractor agrees to render, those services that are
defined in Exhibit "A", attached and incorporated by this reference in accordance with the terms
and conditions set forth in this Agreement (the "Services").
2. TERM
This Agreement will be effective for a period of one (1) year period from the date first above
written. The Parties may amend the Agreement to extend it for an additional two (2), one ( 1) year
periods or parts thereof. Extensions will be based upon a satisfactory review of Contractor's
performance, City needs, and appropriation of funds by the City Council. The parties will prepare
a written amendment indicating the effective date and length of the extended Agreement. The
written amendment extending the agreement must be signed by both Parties.
3. COMPENSATION
The total fee payable for the Services to be performed will be seven thousand two hundred dollars
($7,200.00). This includes $4,205.00 for the annual license, ongoing maintenance, customer
support and system updates and a one-time set up fee of $2,995.00.
Following the first agreement year, the total annual fee for any successive years of Services will
not exceed $4,205.00 and will not include any set up fees. No other compensation for the
Services will be allowed except for items covered by subsequent amendments to this Agreement.
City reserves the right to withhold a ten percent (10%) retention until City has accepted the work
and/or the Services specified in Exhibit "A."
4. STATUS OF CONTRACTOR
Contractor will perform the Services as an independent contractor and in pursuit of Contractor's
independent calling, and not as an employee of City. Contractor will be under the control of City
only as to the results to be accomplished.
5. INDEMNIFICATION
Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees
and volunteers from and against all claims, damages, losses and expenses including attorneys

fees arising out of the performance of the work described herein caused by any negligence,
recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or
indirectly employed by any of them or anyone for whose acts any of them may be liable.
The parties expressly agree that any payment, attorney's fee, costs or expense City incurs or
makes to or on behalf of an injured employee under the City's self-administered workers'
compensation is included as a loss, expense or cost for the purposes of this section, and that this
section will survive the expiration or early termination of this Agreement.
6. INSURANCE
Contractor will obtain and maintain policies of commercial general liability insurance, automobile
liability insurance, a combined policy of workers' compensation, employers liability insurance, and
professional liability insurance from an insurance company authorized to transact the business of
insurance in the State of California which has a current Best's Key Rating of not less than "A-:VII";
OR with a surplus line insurer on the State of California's List of Approved Surplus Line Insurers
(LASLI) with a rating in the latest Best's Key Rating Guide of at least "A:X"; OR an alien non-
admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest
quarterly listings report, in an amount of not less than one million dollars ($1,000,000) each,
unless otherwise authorized and approved by the Risk Manager or the City Manager. Contractor
will obtain occurrence coverage, excluding Professional Liability, which will be written as claims-
made coverage. The insurance will be in force during the life of this Agreement and will not be
canceled without thirty (30) days prior written notice to the City by certified mail. City will be named
as an additional insured on General Liability which shall provide primary coverage to the City. The
full limits available to the named insured shall also be available and applicable to the City as an
additional insured. Contractor will furnish certificates of insurance to the Contract Department,
with endorsements to City prior to City's execution of this Agreement.
7. CONFLICT OF INTEREST
Contractor shall file a Conflict of Interest Statement with the City Clerk in accordance with the
requirements of the City of Carlsbad Conflict of Interest Code. The Contractor shall report
investments or interests in all categories.

8. COMPLIANCE WITH LAWS
Contractor will comply with all applicable local, state and federal laws and regulations prohibiting
discrimination and harassment and will obtain and maintain a City of Carlsbad Business License
for the term of this Agreement.
9. TERMINATION
If the City is not satisfied with Contractor for any reason within 90 days after the launch date of
the Services, the City may cancel this contract and all monies, minus the one-time setup fee, will
be refunded by the Contractor (the "90-day period.") After the 90-day period, City or Contractor
may terminate this Agreement at any time after a discussion, and written notice to the other party.
City will pay Contractor's costs for services delivered up to the time of termination, if the services
have been delivered in accordance with the Agreement.
10. CLAIMS AND LAWSUITS
By signing this Agreement, Contractor agrees it may be subject to civil penalties for the filing of
false claims as set forth in the California False Claims Act, Government Code sections 12650, et
seq., and Carlsbad Municipal Code Sections 3.32.025, et seq. Contractor further acknowledges

that debarment by another jurisdiction is grounds for the City of Carlsbad to terminate this
Agreement.
11. JURISDICTIONS AND VENUE
Contractor agrees and stipulates that the proper venue and jurisdiction for resolution of any disputes
between the parties arising out of this Agreement is the State Superior Court, San Diego County,
California.
12. ASSIGNMENT
Contractor may assign neither this Agreement nor any part of it, nor any monies due or to become
due under it, without the prior written consent of City.
13. AMENDMENTS
This Agreement may be amended by mutual consent of City and Contractor. Any amendment will
be in writing, signed by both parties, with a statement of estimated changes in charges or time
schedule.
14. AUTHORITY
The individuals executing this Agreement and the instruments referenced in it on behalf of
Contractor each represent and warrant that they have the legal power, right and actual authority
to bind Contractor to the terms and conditions of this Agreement.
15. Security & Service Interruption: PSTrax.com is and always will be hosted in Rackspace.com's
Cloud Environment -or a comparable top-tier cloud provider-that uses commercially reasonable
and industry accepted measures to maintain the security and stability of the service. Station
Automation, Inc. assumes no responsibility for the effectiveness of these measures. Interruption
of service is possible in any network. The City hereby acknowledges and agrees that Station
Automation, Inc. and its service providers are NOT liable for any reasonable delays, outages, or
interruptions of the service.
16. Any delay in or failure of performance by either party under this Agreement will not be
considered a breach of this Agreement and will be excused to the extent caused by any
occurrence beyond the reasonable control of such party including, but not limited to, acts of
God, power outages and governmental restrictions.
17. Limitation of Liability: Circumstances may arise in which you are entitled to recover damages
from Station Automation, Inc. In such instances, the aggregate liability of Station Automation, Inc.
for damages will be limited to the total Annual License Agreement paid to Station Automation, Inc.
by the City. Instances involving gross negligence are excepted from this limitation.

SCOPE OF SERVICES
Contractor shall provide a paperless department operations program custom-built for the
Carlsbad Fire Dept. The scope of work includes the apparatus module with 17 front line &
reserve vehicles and the narcotics handoff module with 14 drug box locations, as detailed
below.

apparatus, medics, support units, vehicle-assigned SCBA, ladder/hose/pump testing, etc.

For reference, vehicle checks module is $165 per year for front line and reserve units with an
additional one-time setup fee of $135. Support unites are $55 per year with a one-time setup
fee of $45.

documentation and custom-built reports.

For reference, narcotic handoff module is $100 per drug box location with a one-time setup fee
of $50 per drug box location.
Scope of Work: Station Automation, Inc. is responsible for the initial build and ongoing
maintenance of all Vehicle Checks Modules, Crew Checks Modules, Station Checks Modules,
Narcotic Handoff Modules and Additional Checks Modules as indicated in this Agreement. This
includes uploading all apparatus, equipment, and inventory inspections into a web-based program
customized for the City's Fire Department as well as making adjustments to these inspections
upon request.
Setup & Implementation: The City will be assigned a Build Architect by Station Automation, Inc.,
whose responsibility is to gather the City's Fire Department logs, discuss specifics related to the
City's Fire Department checks, and set a timeframe for launch. It is the responsibility of the City
to provide all existing documentation for each inspection to the Build Architect, who will use them
to custom-build digital schedules on PSTrax.com. The digital schedules for all apparatus,
equipment, and inventories must be approved by the City prior to Contractor taking the system
live.
Compliance of Logs: It is the responsibility of the City to ensure that all checks and inspections
provided to Station Automation, Inc. comply with local and federal regulations, including but not

limited to: NFPA guidelines, Department of Transportation (DOT) guidelines, manufacturer
specifications, and the standard operating procedures (SOP) of the authority having jurisdiction
(AHJ). Contractor is not responsible for ensuring that the inspections the City provides adhere to
local or federal regulations.
Ongoing Maintenance & Support: All training, technical support, and adjustments to the vehicle
check modules and narcotic handoff modules included in this Agreement are included in the
Annual License Agreement. No additional fees for support/service will be charged during the term

Contractor will notify the City of any updates or upgrades prior to applying them to any of the
modules included in this Agreement.
Contractor will notify the City of any scheduled maintenance that has the potential to affect the
City's ability to access any of the modules included in this Agreement.
Contractor will correct reproducible errors in the modules included in this Agreement and assist
the City in resolving operational issues pertaining to the City's use of the modules as outlined
below:

Quarterly Review Services: Station Automation, Inc. will send PSTrax.com performance metrics
to the City four times per year, including digital copies of all logs and inspection and alert reports.
User Licenses: Each user in the PSTrax.com system will have a unique user name and
password, and a selected access level (either Administrator or User). It is the responsibility of the
City to provide information for each user to Station Automation, Inc., including name, email
address, access level, home station, ability to receive alert emails, and ability to close alerts.
Data Storage & Protection: All data input into PSTrax.com is owned by the City under all
circumstances, even if the City cancels the service. Copies of the City logs in digital or physical
formats can be retrieved at any time during the term of this service agreement, and up to 24
months after cancellation of the service, by contacting Station Automation.
Additions to the Program: Any Modules added to the City's system that are not included in this
Agreement (e.g. uploading a new apparatus) require a written amendment to this Agreement that
is signed by all parties.
Hosting Services: Any hosted servers and network protocols that are used to deliver the licensed
software included in this Agreement will reside in a Tier 2 data center that is located within the
United States.
Contractor will notify the City if it intends to relocate it hosted services to another data center.
Hosted systems will be monitored on a 24-hour basis through the use of automated monitoring
software and/or hardware as selected by the Contractor. System operations to be monitored
include:
• Storage
• CPU utilization
• Bandwidth utilization
• Memory utilization
• Security violation attempts
• Backup completion
