SUBJECT: AGRICULTURAL CONVERSION MITIGATION FEE GRANT FUNDING
AGREEMENT FOR AGRICULTURAL MITIGATION FEE GRANT PROJECT
(AGP) 06-15
Dear Mr. Munoz,
On February 13, 2007, the Carlsbad City Council approved the Agricultural Conversion
Mitigation Fee Ad Hoc Citizens Committee's recommendation to award to your organization
$386,000 in Agricultural Conversion Mitigation Fee Grant funding. The funding is awarded for
AGP 06-15 (Interior and Exterior Discovery Center Improvements), which consists of
structural modifications, installation of exhibits, a parking lot expansion, construction of
an outdoor learning area and amphitheatre, and landscaping enhancements. Portions of
your organization's funding request that were not funded through this grant consist of interactive
displays and audio/visual equipment.
On December 1, 2008, pursuant to a previous grant funding agreement between the City of
Carlsbad and Agua Hedionda Lagoon Foundation (AHLF), the city disbursed $68,500 to AHLF
for Phase 1 of AGP 06-15. To date, AHLF has spent $35,709 of that amount. This letter is to
serve as a new Letter of Agreement for expenditure of the remaining $32,791 of the previously
disbursed grant funding, as well as for disbursement of the total remaining $317,500 in grant
funding awarded from the Agricultural Conversion Mitigation Fee Fund.
Please submit proof of authorization from the AHLF Board of Directors that designated
representatives are authorized to negotiate and execute the final terms of the agreement with
the City of Carlsbad for this grant award. Those authorized representatives must sign this
agreement and return it along with the attached Annual Solicitation (Substitute W-9 Form), as
well as an updated project budget and schedule that describes the work tasks, estimated cost,
completion dates and requested grant funding disbursement schedule. Upon receipt of the
aforementioned materials, city staff will fon/vard the Letter of Agreement to the Mayor for
signature.
Once the agreement has been signed by the AHLF representatives and the Mayor, AHLF may
continue with expenditure ofthe remaining $32,791 of previously disbursed grant funds, and the
city may disburse the total remaining grant funds ($317,500) according to the funding schedule
and subject to the submittal of progress reports documenting the use of funds spent. Failure to
implement any project phases/increments will result in project reconsideration and possible
cessation of funding. In addition, if funds are not spent for their specific purpose, they must be
returned to the city. If you need to make changes in your project or schedule, please contact

the City of Carlsbad Planning Division. Grant recipients are required to recognize on all printed
material that the project is funded in part or in full by the City of Carlsbad.
Execution of this agreement shall supersede the previous funding agreement, dated May 1,
2007, between the city and AHLF for AGP 06-15. A final report on how the funds were spent
and what the project accomplished must be filed with the City of Carlsbad upon project
completion. In addition, the AHLF shall maintain original records (i.e., receipts) for at least five
years from the date on which final grant funds are disbursed and agrees to make them
available to the city should the city request to audit them. These records shall include receipts
for expenditure of all grant funds for AGP 06-15, including funds previously disbursed for this
project.
