Alliance Resource Consulting, LLC
THIS AGREEMENT is made and entered into as of the / 0***" day of
206%, by and between the CITY OF CARLSBAD, a municipal
corporation, ("City"), and Alliance Resource Consulting, LLC, an Executive Recruiter,
("Contractor").
RECITALS
A. City requires the professional services of an Executive Search,
Recruitment, and Selection Contractor to provide the necessary consulting services for
the City Manager recruitment.
B. Contractor has the necessary experience in providing professional
services and advice related to public sector recruitment.
C. Selection of Contractor is expected to achieve the desired results in an
expedited fashion.
D. Contractor has submitted a proposal to City and has affirmed its
willingness and ability to perform such work.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1. SCOPE OF WORK
City retains Contractor to perform, and Contractor agrees to render, those services (the
"Services") that are defined in attached Exhibit "A", which is incorporated by this
reference in accordance with this Agreement's terms and conditions.
2. STANDARD OF PERFORMANCE
While performing the Services, Contractor will exercise the reasonable professional
care and skill customarily exercised by reputable members of Contractor's profession
practicing in the Metropolitan Southern California Area, and will use reasonable
diligence and best judgment while exercising its professional skill and expertise.
3. TERM
The term of this Agreement will be effective for a period of one (1) year from the date
first above written. If the candidate selected and appointed by the City terminates
employment for any reason before the completion of the first year of service, contractor
will provide the City with professional services required to appoint a replacement at no
additional charge to the City. The City Manager may amend the Agreement to extend it
for one (1) additional year period or parts thereof for the purpose of fulfilling the
contract. The parties will prepare a written amendment indicating the effective date and
length of the extended Agreement.

4. TIME IS OF THE ESSENCE
Time is of the essence for each and every provision of this Agreement.
5. COMPENSATION
The total fee payable for the Services to be performed during the initial Agreement term
will be eighteen thousand dollars ($18,000) plus expenses not to exceed eight thousand
dollars ($8,000). No other compensation for the Services will be allowed except for
items covered by subsequent amendments to this Agreement. The City reserves the
right to withhold a ten percent (10%) retention until City has accepted the work and/or
Services specified in Exhibit "A".
Incremental payments, if applicable, should be made as outlined in attached Exhibit "A".
6. STATUS OF CONTRACTOR
Contractor will perform the Services in Contractor's own way as an independent
contractor and in pursuit of Contractor's independent calling, and not as an employee of
City. Contractor will be under control of City only as to the result to be accomplished,
but will consult with City as necessary. The persons used by Contractor to provide
services under this Agreement will not be considered employees of City for any
purposes.
The payment made to Contractor pursuant to the Agreement will be the full and
complete compensation to which Contractor is entitled. City will not make any federal or
state tax withholdings on behalf of Contractor or its agents, employees or
subcontractors. City will not be required to pay any workers' compensation insurance or
unemployment contributions on behalf of Contractor or its employees or subcontractors.
Contractor agrees to indemnify City within thirty (30) days for any tax, retirement
contribution, social security, overtime payment, unemployment payment or workers'
compensation payment which City may be required to make on behalf of Contractor or
any agent, employee, or subcontractor of Contractor for work done under this
Agreement. At the City's election, City may deduct the indemnification amount from any
balance owing to Contractor.
7. SUBCONTRACTING
Contractor will not subcontract any portion of the Services without prior written approval
of City. If Contractor subcontracts any of the Services, Contractor will be fully
responsible to City for the acts and omissions of Contractor's subcontractor and of the
persons either directly or indirectly employed by the subcontractor, as Contractor is for
the acts and omissions of persons directly employed by Contractor. Nothing contained
in this Agreement will create any contractual relationship between any subcontractor of
Contractor and City. Contractor will be responsible for payment of subcontractors.
Contractor will bind every subcontractor and every subcontractor of a subcontractor by
the terms of this Agreement applicable to Contractor's work unless specifically noted to
the contrary in the subcontract and approved in writing by City.

8. OTHER CONTRACTORS
The City reserves the right to employ other Contractors in connection with the Services.
9. INDEMNIFICATION
Contractor agrees to indemnify and hold harmless the City and its officers, officials,
employees and volunteers from and against all claims, damages, losses and expenses
including attorneys fees arising out of the performance of the work described herein
caused by any negligence, recklessness, or willful misconduct of the Contractor, any
subcontractor, anyone directly or indirectly employed by any of them or anyone for
whose acts any of them may be liable.
The parties expressly agree that any payment, attorney's fee, costs or expense City
incurs or makes to or on behalf of an injured employee under the City's self-
administered workers' compensation is included as a loss, expense or cost for the
purposes of this section, and that this section will survive the expiration or early
termination of this Agreement.
10. INSURANCE
Contractor will obtain and maintain for the duration of the Agreement and any and all
amendments, insurance against claims for injuries to persons or damage to property
which may arise out of or in connection with performance of the services by Contractor
or Contractor's agents, representatives, employees or subcontractors. The insurance
will be obtained from an insurance carrier admitted and authorized to do business in the
State of California. The insurance carrier is required to have a current Best's Key Rating
of not less than "A-:V".
10.1 Coverages and Limits.
Contractor will maintain the types of coverages and minimum limits indicated below,
unless City Attorney or City Manager approves a lower amount. These minimum
amounts of coverage will not constitute any limitations or cap on Contractor's
indemnification obligations under this Agreement. City, its officers, agents and
employees make no representation that the limits of the insurance specified to be
carried by Contractor pursuant to this Agreement are adequate to protect Contractor. If
Contractor believes that any required insurance coverage is inadequate, Contractor will
obtain such additional insurance coverage, as Contractor deems adequate, at
Contractor's sole expense.
10.1.1 Commercial General Liability Insurance. $1.000.000 combined
single-limit per occurrence for bodily injury, personal injury and property damage. If the
submitted policies contain aggregate limits, general aggregate limits will apply
separately to the work under this Agreement or the general aggregate will be twice the
required per occurrence limit.
10.1.2 Automobile Liability (if the use of an automobile is involved for
Contractor's work for City). $1,000,000 combined single-limit per accident for bodily
injury and property damage.

10.1.3 Workers' Compensation and Employer's Liability. Workers'
Compensation limits as required by the California Labor Code and Employer's Liability
limits of $1,000,000 per accident for bodily injury. Workers' Compensation and
Employer's Liability insurance will not be required if Contractor has no employees and
provides, to City's satisfaction, a declaration stating this.
10.1.4 Professional Liability. Errors and omissions liability appropriate to
Contractor's profession with limits of not less than $1,000,000 per claim. Coverage must
be maintained for a period of five years following the date of completion of the work.
10.2. Additional Provisions. Contractor will ensure that the policies of insurance
required under this Agreement contain, or are endorsed to contain, the following
provisions:
10.2.1 The City will be named as an additional insured on General
Liability.
10.2.2 Contractor will obtain occurrence coverage, excluding Professional
Liability, which will be written as claims-made coverage.
10.2.3 This insurance will be in force during the life of the Agreement and
any extensions of it and will not be canceled without thirty (30) days prior written notice
to City sent by certified mail pursuant to the Notice provisions of this Agreement.
10.3 Providing Certificates of Insurance and Endorsements. Prior to City's execution
of this Agreement, Contractor will furnish certificates of insurance and endorsements to
City.
10.4 Failure to Maintain Coverage. If Contractor fails to maintain any of these
insurance coverages, then City will have the option to declare Contractor in breach, or
may purchase replacement insurance or pay the premiums that are due on existing
policies in order to maintain the required coverages. Contractor is responsible for any
payments made by City to obtain or maintain insurance and City may collect these
payments from Contractor or deduct the amount paid from any sums due Contractor
under this Agreement.
10.5 Submission of Insurance Policies. City reserves the right to require, at anytime,
complete and certified copies of any or all required insurance policies and
endorsements.
11. BUSINESS LICENSE
Contractor will obtain and maintain a City of Carlsbad Business License for the term of
the Agreement, as may be amended from time-to-time.

12. ACCOUNTING RECORDS
Contractor will maintain complete and accurate records with respect to costs incurred
under this Agreement. All records will be clearly identifiable. Contractor will allow a
representative of City during normal business hours to examine, audit, and make
transcripts or copies of records and any other documents created pursuant to this
Agreement. Contractor will allow inspection of all work, data, documents, proceedings,
and activities related to the Agreement for a period of three (3) years from the date of
final payment under this Agreement.
13. OWNERSHIP OF DOCUMENTS
All work product produced by Contractor or its agents, employees, and subcontractors
pursuant to this Agreement is the property of City. In the event this Agreement is
terminated, all work product produced by Contractor or its agents, employees and
subcontractors pursuant to this Agreement will be delivered at once to City. Contractor
will have the right to make one (1) copy of the work product for Contractor's records.
14. COPYRIGHTS
Contractor agrees that all copyrights that arise from the services will be vested in City
and Contractor relinquishes all claims to the copyrights in favor of City.
15. NOTICES
The name of the persons who are authorized to give written notices or to receive written
notice on behalf of City and on behalf of Contractor under this Agreement.

Each party will notify the other immediately of any changes of address that would
require any notice or delivery to be directed to another address.
16. CONFLICT OF INTEREST
City will evaluate Contractor's duties pursuant to this Agreement to determine whether
disclosure under the Political Reform Act and City's Conflict of Interest Code is required
of Contractor or any of Contractor's employees, agents, or subcontractors. Should it be
determined that disclosure is required, Contractor or Contractor's affected employees,

agents, or subcontractors will complete and file with the City Clerk those schedules
specified by City and contained in the Statement of Economic Interests Form 700.
Contractor, for Contractor and on behalf of Contractor's agents, employees,
subcontractors and consultants warrants that by execution of this Agreement, that they
have no interest, present or contemplated, in the projects affected by this Agreement.
Contractor further warrants that neither Contractor, nor Contractor's agents, employees,
subcontractors and consultants have any ancillary real property, business interests or
income that will be affected by this Agreement or, alternatively, that Contractor will file
with the City an affidavit disclosing this interest.
17. GENERAL COMPLIANCE WITH LAWS
Contractor will keep fully informed of federal, state and local laws and ordinances and
regulations which in any manner affect those employed by Contractor, or in any way
affect the performance of the Services by Contractor. Contractor will at all times observe
and comply with these laws, ordinances, and regulations and will be responsible for the
compliance of Contractor's services with all applicable laws, ordinances and regulations.
Contractor will be aware of the requirements of the Immigration Reform and Control Act
of 1986 and will comply with those requirements, including, but not limited to, verifying
the eligibility for employment of all agents, employees, subcontractors and consultants
that the services required by this Agreement.
18. DISCRIMINATION AND HARASSMENT PROHIBITED
Contractor will comply with all applicable local, state and federal laws and regulations
prohibiting discrimination and harassment.
19. DISPUTE RESOLUTION
If a dispute should arise regarding the performance of the Services the following
procedure will be used to resolve any questions of fact or interpretation not otherwise
settled by agreement between the parties. Representatives of Contractor or City will
reduce such questions, and their respective views, to writing. A copy of such
documented dispute will be forwarded to both parties involved along with recommended
methods of resolution, which would be of benefit to both parties. The representative
receiving the letter will reply to the letter along with a recommended method of
resolution within ten (10) business days. If the resolution thus obtained is unsatisfactory
to the aggrieved party, a letter outlining the disputes will be forwarded to the City
Manager. The City Manager will consider the facts and solutions recommended by each
party and may then opt to direct a solution to the problem. In such cases, the action of
the City Manager will be binding upon the parties involved, although nothing in this
procedure will prohibit the parties from seeking remedies available to them at law.

20. TERMINATION
In the event of the Contractor's failure to prosecute, deliver, or perform the Services,
City may terminate this Agreement for nonperformance by notifying Contractor by
certified mail of the termination. If City decides to abandon or indefinitely postpone the
work or services contemplated by this Agreement, City may terminate this Agreement
upon written notice to Contractor. Upon notification of termination, Contractor has five
(5) business days to deliver any documents owned by City and all work in progress to
City address contained in this Agreement. City will make a determination of fact based
upon the work product delivered to City and of the percentage of work that Contractor
has performed which is usable and of worth to City in having the Agreement completed.
Based upon that finding City will determine the final payment of the Agreement.
Either party upon tendering thirty (30) days written notice to the other party may
terminate this Agreement. In this event and upon request of City, Contractor will
assemble the work product and put it in order for proper filing and closing and deliver it
to City. Contractor will be paid for work performed to the termination date; however, the
total will not exceed the lump sum fee payable under this Agreement. City will make the
final determination as to the portions of tasks completed and the compensation to be
made.
21. COVENANTS AGAINST CONTINGENT FEES
Contractor warrants that Contractor has not employed or retained any company or
person, other than a bona fide employee working for Contractor, to solicit or secure this
Agreement, and that Contractor has not paid or agreed to pay any company or person,
other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift,
or any other consideration contingent upon, or resulting from, the award or making of
this Agreement. For breach or violation of this warranty, City will have the right to annul
this Agreement without liability, or, in its discretion, to deduct from the Agreement price
or consideration, or otherwise recover, the full amount of the fee, commission,
percentage, brokerage fees, gift, or contingent fee.
22. CLAIMS AND LAWSUITS
By signing this Agreement, Contractor agrees that any Agreement claim submitted to
City must be asserted as part of the Agreement process as set forth in this Agreement
and not in anticipation of litigation or in conjunction with litigation. Contractor
acknowledges that if a false claim is submitted to City, it may be considered fraud and
Contractor may be subject to criminal prosecution. Contractor acknowledges that
California Government Code sections 12650 et seq.. the False Claims Act applies to
this Agreement and, provides for civil penalties where a person knowingly submits a
false claim to a public entity. These provisions include false claims made with deliberate
ignorance of the false information or in reckless disregard of the truth or falsity of
information. If City seeks to recover penalties pursuant to the False Claims Act, it is
entitled to recover its litigation costs, including attorney's fees. Contractor acknowledges
that the filing of a false claim may subject Contractor to an administrative debarment
proceeding as the result of which Contractor may be prevented to act as a Contractor
on any public work or improvement for a period of up to five (5) years. Contractor

acknowledges debarment by another jurisdiction is grounds for City to terminate this
Agreement.
23. JURISDICTIONS AND VENUE
Any action at law or in equity brought by either of the parties for the purpose of
enforcing a right or rights provided for by this Agreement will be tried in a court of
competent jurisdiction in the County of San Diego, State of California, and the parties
waive all provisions of law providing for a change of venue in these proceedings to any
other county.
24. SUCCESSORS AND ASSIGNS
It is mutually understood and agreed that this Agreement will be binding upon City and
Contractor and their respective successors. Neither this Agreement or any part of it nor
any monies due or to become due under it may be assigned by Contractor without the
prior consent of City, which shall not be unreasonably withheld.
25. ENTIRE AGREEMENT
This Agreement, together with any other written document referred to or contemplated
by it, along with the purchase order for this Agreement and its provisions, embody the
entire Agreement and understanding between the parties relating to the subject matter
of it. In case of conflict, the terms of the Agreement supersede the purchase order.
Neither this Agreement nor any of its provisions may be amended, modified, waived or
discharged except in a writing signed by both parties.
26. AUTHORITY
The individuals executing this Agreement and the instruments referenced in it on behalf
of Contractor each represent and warrant that they have the legal power, right and
actual authority to bind Contractor to the terms and conditions of this Agreement.

THE RECRUITMENT PROCESS
Our objective is always to find the best qualified candidates. We believe
that, although notices in professional journals may be helpful, many of
the best candidates must be sought out and their interest encouraged.
Our general familiarity with the City, knowledge of the field and our
relationships with professional organizations make us well qualified to
assist you.
Our clients have found that we are able to:
> Build consensus among those involved in the hiring process.
> Develop the appropriate specifications for a position.
> Encourage the interest of top-level people who would otherwise be
reluctant to respond to an advertisement.
> Preserve the confidentiality of inquiries, consistent with State public
disclosure and open meeting laws.
> Save a considerable amount of time for client staff in developing and
responding to candidates.
> Independently and objectively assess the qualifications and suitability
of candidates for the particular position for which we are recruiting.
If our proposal is accepted, we will do the following:
Organization and Position Analysis
We will interview the appropriate individuals to determine views of the
position and expectations regarding desirable training, experience and
personal characteristics of candidates. In addition, should you request it,
we will conduct/facilitate community outreach meetings and focus group
discussions.
We also have experience creating and managing community surveys,
should the City want input from its constituents. We will also
gather/review relevant information about the City, such as budgets,
organization charts, etc.
Once our findings have been summarized, we will submit a Recruitment
Profile with the desired qualifications and characteristics for your
approval. The Recruitment Profile that will be sent to potential
candidates will include information about the City, the job and the
criteria established by you. Sample Recruitment Profiles are enclosed.
Recruitment
Once you have approved the Recruitment Profile, we will actively seek
out individuals with superior qualifications and invite and encourage
their interest. Announcements can be placed on-line and in professional
journals. However, we will rely heavily on our own experience, contacts
and file data.
As a matter of corporate policy, we will not discriminate against any
applicant for employment on the basis of race, religion, creed, age, color,
marital status, sex, sexual preference, disabilities, medical condition,
veteran status or national origin. A substantial percentage of the
placements made by our firm have been minority or female candidates.
Frequent communication with our clients is a hallmark of our firm. While
consultants will provide regular updates on the progress of your search,
you will also be able to access up-to-date 'real time' information
regarding your search from our secure website.
Preliminary Screening
We will review, acknowledge and evaluate all resumes received.
Preliminary screening will be based upon criteria contained in the
Recruitment Profile, information contained in the resumes submitted to
us, and our knowledge of the people and organizations in which they
work. Telephone screening will be conducted with the most promising
candidates to gain a better understanding of their backgrounds.
Progress Reporting
Upon completion of our preliminary screening, we will assemble and
submit a progress report of the leading candidates to you. This report
will include summary resumes, supplemental information, and the
original resumes of those candidates we believe to be best qualified for
the position. Supplemental information on a candidate typically
includes: the size of the organization for which the person works,
reporting relationships, budget responsibility, the number of people
supervised, related experience and reasons for interest in the position.
Any other specific information will be dictated by the criteria set forth in
the Recruitment Profile.
The purpose of our progress report is two-fold. It allows you an
opportunity to review the candidates prior to the conclusion of the search
and allows us to receive feedback on the caliber of the candidates
recruited. In this way, you will not be surprised by the candidates, as
you will have seen their qualifications prior to the final interviews. Of
course, we are flexible and may consider other individuals as final
candidates who are subsequently identified and were not included in the
progress report.
Candidate Evaluation
We will interview (either in person or via video-conference) those
candidates whose qualifications most closely match the criteria
established by you. We will examine their qualifications and
achievements in view of the selection criteria. Additionally, we will
verify degrees and certifications and gather newspaper articles via the
Internet.
As part of our process in evaluating candidates, we make telephone
reference checks. In conducting these references, it is our practice to
speak directly with individuals who are, or have been, in a position to
evaluate the candidate's performance on the job. These references and
our evaluations provide you with a frank, objective appraisal of the
candidates. We will conduct preliminary references on candidates to be
interviewed, and will finalize these for the top one or two candidates.
Final Reporting/Client Interviews
We will assist you in scheduling final candidates for interview with your
organization, and will send the candidates packets of information which
we obtain from you (e.g., information about the organization and the
geographic area, budgets, etc.).
We will prepare a brief written report for those candidates most nearly
meeting your specifications, and will provide you with
interviewing/selection tips, suggested interview questions, and rating
forms for your use. Candidates will not be ranked, for we believe it will
then be a matter of chemistry between you and the candidates. We will
conduct a "briefing session" immediately preceding your interviews to
make sure that the process flows smoothly, and will assist you in a
"debriefing" immediately following the interviews. Once we finalize
references on the top one or two candidates, and conduct
credit/criminal/civil litigation/motor vehicle record checks through an
outside service, we will provide you with a detailed, supplemental
written report.
Special Assistance
Our efforts do not conclude with presentation of the final report. We are
committed to you until a successful placement is made. Services that are
routinely provided include:
> Arranging the schedule of interviews and the associated logistics for
final candidates;
> Advising on starting salary, fringe benefits, relocation trends and
employment packages;
> Acting as a liaison between client and candidate in discussing offers
and counter offers;
> Conducting a final round of reference checking with current
employers (if not previously done for reasons of confidentiality); and
> Notifying unsuccessful candidates, who were not recommended for
interview, of the decision.
OUR CLIENT'S ROLE
The client has a very important role in the recruitment process. While we
may identify and recommend qualified candidates, it is the client who
must make the decision about which candidate to hire.
In order to insure that the best candidates are available from which to
choose, our clients should be willing to do the following:
> Clearly inform us about matters relevant to the search that you wish
to keep confidential (e.g., salary, personnel issues, and other
privileged information);
> Supply us with the names of people you have previously interviewed/
considered for this position;
> Forward to us copies of the resumes you receive, to avoid duplication
of effort;
> Provide feedback to Alliance Resource Consulting regarding the
information and recommendations provided by us;
> Promptly decide upon and follow up in scheduling interviews with
the most promising candidates; and
> Assist in providing information to candidates that will enable them to
make their career decisions.
By doing the above, we will maximize the likelihood of mutual success.
Finally, please be reminded that the United States Immigration Reform
and Control Act of 1986 requires that all employers verify an employee's
eligibility to work in the United States. Since Alliance Resource
Consulting cannot serve as your agent in this matter, your hiring process
should include this verification procedure.

PROFESSIONAL FEES AND
EXPENSES
Our budget provides for unlimited meetings with the client. The three
major client meetings will be: one to develop the Recruitment Profile, one
to present our Progress Report, and one to attend interviews of final
candidates. We propose a fixed fee of $18,000 for the work outlined
above. In addition, we are reimbursed for expenses such as for
advertising, travel, interviewing, sourcing, support services, background
checks and other related items, as well as allocated costs such as
telephone, postage and photocopying. These expenses will not exceed
$6,500 for a statewide search, and $8,500 for a nationwide search
depending on the scope of the search. Please note that this amount for
expenses does not include reimbursement of candidates who travel to be
interviewed by you. Unless you notify us to the contrary, we will assume
that you will handle these reimbursements directly. We will submit three
equal monthly invoices for fees, plus an amount for expenses, due and
payable upon receipt. Our first billing is due upon your authorization to
proceed.
We are committed to working with you until a placement is made,
however, if the selected candidate (if recommended by us for hire, and
other than an internal candidate) should be terminated within one year
from the date of hire, we will redo the search for no additional
professional fee. Naturally, we would expect to be reimbursed for any
expenses that might be incurred
You may discontinue this assignment at any time by written notification.
In the unlikely event that this occurs, you will be billed for all expenses
incurred to the date of the cancellation, and for professional fees based
upon the time elapsed from the commencement of the assignment to the
date of cancellation. If a cancellation occurs within the first 30 days of the
assignment, following either verbal or written authorization to proceed,
one-third of the professional fee will be due. If a cancellation occurs

thereafter, the fee beyond the first one-third will be prorated based upon
the number of calendar days which have elapsed. If a cancellation occurs
after 90 days, all professional fees will be due in full.

• ERIC J. MIDDLETON - MANAGING
PARTNER
Eric Middleton began his career in executive search in 1999 with
MAXIMUS. He is a founding partner and the Managing Partner of
Alliance Resource Consulting LLC. Prior to his career in executive search,
Mr. Middleton spent 13 years with the County of Los Angeles and the
City of Los Angeles. During his tenure with Los Angeles County, Mr.
Middleton held various positions with the Chief Administrative Office,
the County Sheriff, the Office of the District Attorney, the Department of
Public Works and the Probation Department. While with the Probation
Department/Mr. Middleton was instrumental in drafting legislation
creating the 1996 Repeat Offender Prevention Project (AB 2447) an
intervention and prevention program targeting at-risk youth.
Immediately prior to joining MAXIMUS, he was the Senior Legislative
Deputy to a Los Angeles City Council Member and served as the senior
staff member to the City of Los Angeles Public Safety Committee. Mr.
Middleton has also served as a member of the Los Angeles County Bar
Association Juvenile Court Task Force, legislative staff to the Chief
Probation Officers of California, and as a community member of the
Public Safety Advisory Committee to Assembly Member Robert
Hertzberg. In 1993, Mr. Middleton was recognized as a Los Angeles

The City Government

The Position
The City Manager, nominated by the Mayor for approval by the City
Council, is the administrative head of the City government. As the
chief administrative officer of the City government, he/she is responsible
for the proper operations of all City departments.
Under policy direction from the Mayor and City Council, the City
Manager directs the overall operations of the City of San Jose, with
the exception of the Redevelopment Agency Director, Independent
Police Auditor, Office of the City Clerk, Office of the City Attorney,
and Office of die City Auditor. As tile Chief Administrative Officer, the
City Manager is accountable and responsible for executing all policies
and programs mandated by the City Council and for making recommen-
dations to the City Council to further the City's goals and objectives.
In accordance with Section 701 of the City Charter, the City Manager
has the following powers and duties:
• Subject to the Civil Service provisions of this Charter and of any
Civil Service Rules adopted pursuant thereto, and except as

• The City Manager shall be responsible tor the faithful execution
of all laws, provisions of the Charter, and acts of the Council which
are subject to enforcement by the City Manager or by officers

• The City Manager shall prepare and submit the annual budget to
the Council in accordance with the provisions of Section 1204;
• 1 he City Manager shall submit a complete report on the finances
and administrative activities of the City as of the end of the preceding
fiscal year to the Council at a public meeting to be held within three
calendar months following the close of each preceding fiscal year. The
annual report, which shall be personally certified by the City Manager
to be accurate and complete shall contain a statement indicating:
• Whether the revenues budgeted for the preceding fiscal year were
actually received, and an explanation concerning any material
differences between the total revenues budgeted and the revenues
actually received;
• The extent to which expenditures budgeted actually were
incurred, and an explanation for any material variance between
budgeted expenditures and actual expenditures;
• The amount of the financial reserves of the City; and
• All other information which, in the opinion of the City Manager,
is necessary to provide an accurate and complete picture of the
fiscal status and condition of the City.
The report shall be in a form which is susceptible to confirmation by
audit. It shall be made available to the public in the Office ot the Cit\
Clerk.
• The City Manager shall make such other reports as the Council
from time to time may request concerning the operations of City
departments, offices and agencies subject to his or her direction
and supervision; shall keep the Council fully advised as to the
financial condition and future needs of the City: and make such
recommendations to the Council concerning the affairs of the
City as he or she deems desirable or as requested by Council.
• The City Manager shall exercise such other powers, and shall
perform such other duties, as are specified in this Charter or may
be authorized or required by the Council.
The Candidate
Education and Experience
Must have a bachelor's degree from an accredited college or university. A
master's degree in public administration or business administration and
leadership experience in a complex private sector organization or
as a City Manager in a comparable, diverse, cosmopolitan city
and/or county are highly desirable. Experience with and enthusiasm
for using performance measurements for accountability and efficiency
are also highly desirable.
Desirable skills and experience include budgeting and financial
management, economic development, labor arbitration and
negotiation, intergovernmental relations, planning, environmental
regulation and community relations.
Candidates from all geographic regions and from private industry

Compensation

The Government
The City Council is the legislative and policy-making body for the

Opportunities and Challenges
Facing the City
• Complete the on-going redevelopment projects including the
Atlantic Times Square, 'Ibwne Centre, Garvey Villa, and Cascades
Market Place Development projects. 1 hese projects are expected
to generate substantial tax increment and sales tax revenues, and
jobs for the community.
• Working with the City Council and other interested parties,
continue to push tor funding for the 71 ((-freeway completion
through bond measures and other federal and state sources.
• Continue working with the Los Angeles Community College
District to complete the construction of the East Los Angeles
College (ELAC) Transit Center that will provide for off-street
layover area for bus operations. Facility will also include passenger
and driver amenities.
• Continue to improve operational efficiency of the City, improve
quality of City services, and seek funding for operation and capital
improvements.
• Address the deferred maintenance needs of the City and financing
and repair of City infrastructure (i.e. streets, curbs, sewers, water
systems, etc.).

The Position
I ruler general policy direction from the Monterey Park City Council,
the City .Manager provides leadership to City departments; provides
overall review, direction, and coordination of all City operations and
departments; ensures that services are delivered efficiently, effectively, and
equitably in accordance with established policy and in keeping with the
goals and objectives of the City and ensures that the City Council is kept
informed on all matters relating to the general betterment and welfare of
the City.
Essential duties include, but are not limited to, the following:
• Reports directly to the City Council and serves at the pleasure of the
Council. The City Manager directly supervises the work of each
assigned department head in the City as well as the administrative staff.
• Provides guidance and direction to City operations in accordance
with policy guidelines set down by the City Council. Also operates as
Executive Director for the Community Redevelopment Agency,
explores all sources ot revenue, identifies and evaluates ail available
resources, fiscal and otherwise, and provides the City Council with
data, alternatives, and the benefit ot professional counsel upon which
they may place reliance in making sound policy decisions.
• Interprets Council and administrative policy to all department heads
and to administrative personnel and evaluates the work of department
heads and administrative staff. The City Manager is the final appointing
authority within the City in accordance with established rules and
regulations.
• Keeps abreast of all developments affecting local government and
keeps the Council informed. In this regard, the City Manager maintains
liaison with numerous public agencies, legislative bodies, community
groups, citizens, and professional and municipal associations to keep
current on ail social, political, and economic factors that may have an
impact upon the City's goals and operations.
• Maintains effective communications with ail sectors of the City, citizens,
business community, service, and other organizations, and in short,
establishes and maintains open lines of communication within the
City to effect a constant awareness on matters ot community concern
and keeps the City Council informed.

innovative solutions to address the City's ongoing concerns, and
develop in collaboration with the Council a vision for the City.
The ideal candidate will be a confident manager, with a proven track
record of success in team building and addressing the needs of a
diverse and growing community. This person should have an
aggressive and entrepreneurial approach to business development,
and be able to motivate his/her staff to achieve high levels of
efficiency. This person should be a strategic thinker and a calculated
risk taker who is able to see the big picture and develop ideas through
collaboration and team work. This person should be highly ethical
with the integrity to do what is right, not necessarily what is popular.
The City Manager should be proactive in bringing issues to the
Council and treat all Council Members evenhandedly. The ideal
candidate should keep the Council informed in a timely and accurate
manner, and provide his/her best professional recommendations in
helping the Council shape the vision of the City. However, when the
Council makes a decision, he/she should be respectful of the role of
the Council and promptly implement their policy, even if it is
different from his/her recommendation.
Lastly, this person should be organized, be respectful of others opinions,
but not afraid to express their own. He/She should be able to mentor
and develop staff, be optimistic, energetic, friendly, have a good sense
of humor and feel comfortable being visible in the community.
Compensation
The City of Monterey Park offers a highly competitive compensation
package. The salary for this position is open, with placement
dependent on the qualifications of the individual. In addition,
benefits are provided which include:
• Medical: The City pays up to 100% full family per month toward
the purchase of medical insurance. The City provides medical
coverage through participation in the Multiple Choice Medical
Program. Current medical plans and associated premiums are:
HMO medical (Aetna or HealthNet), Indemnity Medical (Aetna
90/60 or Aetna 80/60), Kaiser, and Aetna HealthFund. Coverage
is effective the first of the month following date of hire.
• Dental: The City provides the choice between two Delta Dental
Plans and contributes up to full family coverage per month toward
the City Manager's dental coverage. Plan offered are: Delta Plan
PMI - Prepaid, Delta Dental Preferred Option. Dental coverage
is effective the first of the month following date of hire.
• Retirement: Full-time employees are enrolled in the California
Public Employee's Retirement System (CalPERS) 2% at 55 plan.
• Medicare: 1.45% paid by employee and employer.
• Life Insurance: $100,000 term Life and A.D. & D. coverage
effective first of the month following date of employment;
terminates last day in status. Conversion plan available. Insured
through Standard. The City pays the full premium.
• Long Term Disability: Effective first of the month following
employment terminates last day in status. Conversion plan
available. Insured through Standard. Benefit: 75% of monthly
salary with benefit limit of S8,500/mo. Ninety-day elimination
period. The City pays the employee's contribution.
• Vacation Leave: Depending on years of service, from 80 hours to
200 hours per year.
• Sick Leave: 80 hours of sick leave each year (6.67 hours per
month).
• Administrative Leave: 96 hours per fiscal year.
• Holidays: 13 (8 hour) days 2 of which are floating holidays.
• Tuition Reimbursement: The City will pay 100% of tuition and
registration fees up to California State University Los Angeles
(CSULA) rates.
• Employee Assistance Program: (Managed Health Network). Up
to 5 sessions for each incident for employee and/or dependents.
City paid premium.
• 457 Deferred Compensation: City contribution negotiable.
Available immediately upon hire on voluntary basis.
• Job Enrichment/Career Development Program: Interest free
computer purchase loan program up to $2,500.
• Vision: VSP. Exam, frames and lenses every 12 months (12/12/
12); employee only coverage; City paid premium.
• Annual Accrual Cash-Out: May elect to annually cash out up to
80 hours of vacation, sick, holiday, administrative leave, or a
combination thereof.
• Monthly Automobile Allowance, figure to be negotiable at time of
appointment.
