Subject: Letter of Agreement
Dear Mr. Bussey:
This letter is intended to formalize and confirm the agreement for consulting
services between Alta California Systems, Inc. (ACSI or Consultant) and the City
of Carlsbad (City or Client) pursuant to our meeting in your offices on Thursday,
January 27, 1977.
Providing the terms and conditions of this agreement are satisfactory to the
City, please sign this letter on the indicated line and return to ACSI. A
copy is provided for City records.
Our Understanding of the Problem
The City has determined to investigate the advantages of Cable Television (CATV)
and to grant a franchise that will offer service to current citizens and provide
for anticipated future community growth. To this end, the City has solicited
proposals from CATV operators and received three submittals.
The City staff is charged with evaluating the proposals and making a recommenda-
tion to City Council for decision. Due to the complex nature of CATV, City
staff has determined to engage the services of a professional consulting firm
to aid in the various tasks involved.
Pursuant to a preliminary examination of the submitted proposals, ACSI has
determined that none of the applications appear to totally comply with the
provisions of the RFP, and City staff has been so advised.
It is anticipated that the entire engagement will consist of two or more phases.
However, the agreement contained herein is directed to Phase I only since the
extent of additional required services cannot be estimated at this time.

Phase I basically consists of the construction of a system design benchmark
which will serve as a standard for further evaluation and negotiation. The
benchmark will define system feasibility and capability, providing the City
with a long-term performance evaluation standard. When Phase I is completed,
a basis for the Council to "further consider" applications (described in
5.28.080 (i) of the Carlsbad Ordinance 6055) will have been accomplished.
The following represent Phase II ACSI services that might reasonably be part
of an on-going relationship between the City and ACSI:
final evaluation of amended proposals
negotiating with CATV franchisee
- ordinance amendment and rewrite
technical testing of existing LaCosta system to FCC standards
At some more distant point in time, ACSI is qualified to manage the construction
of the system, conduct interim tests, ensure construction schedule compliance,
and perform FCC Proof-of-Performance tests on the completed system.
Scope of the Engagement - Phase I
ACSI, the City's designated Consultant, shall construct a system design
benchmark by completing the following tasks:
1. Meet with appropriate City staff to schedule the engagement,
review available data, review General Plan considerations,
and further define data required.
2. Measure Television signal strength at various points in the City,
select alternative "head end" sites, and determine signal carriage
requirements.
3. Create "benchmark" parameters for head-end sites and equipment,
construction schedules, growth assumptions, financial considerations
and overall feasibility.
4. Carefully analyze the existing applications to determine where
each does not meet the requirements of either the original Request
for Proposal or the benchmark parameters.
5. Submit a written report to the City documenting benchmark parameters.
6. Present to City Council a detailed explanation of the Benchmark,
the extent to which the existing proposals do or do not meet the
requirements of the benchmark, and recommendations to Council for
negotiations to commence at a later date.
ACSI's findings shall be documented in writing and presented in person to the
City Council in a single session at a mutually convenient time.

Compensation for ACSl's Services
ACSI estimates that the six basic Phase I services to be provided (as identified
above) shall require the following maximum number of man days:

ACSI estimates that the Phase I services proposed herein shall require a
maximum of 24 man davs according to the tasks identified herein. ACSl's
professional fee shall not exceed $6,020. without the express written
authorization of the City.
ACSl's personnel shall be billed at the following rates for the services
defined herein:
Senior Consultants $320/day
Associate Consultants 280/day
Managing Associate 150/day
Report Typist 80/day
Reimbursable Expenses
In addition to the Professional Fee, the City shall reimburse ACSI for expendi-
tures made by personnel of ACSI (at cost) in connection with the performance of
the services identified herein. These expenses assume four round trips for
ACSI personnel, three days on-site to conduct head-end signal strength tests,
equipment rental necessary for those tests, and costs for seven copies of the
written report. Reimbursable expenses shall not exceed $930. for Phase I tasks
and shall be limited to the following:
a) Expense of living and transportation when traveling $570
b) Expense of long distance telephone calls 100
c) Expense of reproducing all documents and graphics 60
d) Expense of instrumentation rental 160
e) Expense of preparing and reproducing graphics materials 40

Payments to ACSI
ACSI shall bill the City for all services and reimbursable expenses on a
monthly basis for services rendered during the previous calendar month plus
all reimbursable expenses incurred during the same period.
Payment shall be made, in each instances, within 15 days of receipt by the City
of ACSI's invoice in proper form. Invoices shall be in duplicate and shall
include itemization clearly showing the individual amount of each item of
service or reimbursable expense constituting the amount invoiced.
Schedule for Performance of Services
ACSI shall agree to schedule its services associated with this project in
accordance with a schedule mutually agreed upon by the City and ACSI.
Client's Reponsibility
The City shall:
a) Designate to ACSI in writing the representatives authorized
to act for it under this agreement;
b) Assist ACSI in arranging meetings necessary to conduct
the services herein; and
c) Examine documents submitted by the Consultant, render
decisions, and advise ACSI as promptly as possible to
avoid unreasonable delay in the progress of ACSI's work.
ACSI's Professional Status
ACSI accepts the relationship of trust and confidence established between it and
the City by this Agreement. ACSI covenants with the City to exercise its best
professional skill and judgment in furthering the interest of the City during
the performance of the services hereunder.
