PWENG751 AGREEMENT FOR MAINTENANCE SERVICES OF FILTERRA WATER TREATMENT UNITS (AMERICAST, INC.) THIS AGREEMENT is made and entered into as of the yj day of 2010, by and between the CITY OF CARLSBAD, a municipal_ corpiefation, ("City"), and AMERICAST, INC, a Virginia corporation, ("Contractor"). RECITALS A. City requires the professional services of a Contractor that is experienced in maintaining Filterra Stormwater Treatment Units. Contractor has the necessary experience in providing these professional services, has submitted a proposal to City and has affirmed its willingness and ability to perform such work. B. The units so purchased from Americast for the Palomar Airport Road Widening, Project No. CIP 3811, include two (2) years of maintenance commencing at the time of activation of the treatment unit. Activation of the treatment units occurred on December 22, 2009. The two (2) years of maintenance is included in the original contract price for the fabrication and installation of the three (3) Filterra treatment units. C. The units to which this Filterra extended maintenance agreement applies are as follows: one (1) 6'x12' unit, one (1) 8'x4' unit, and one (1) 10'x6' unit. AGREEMENT NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. Scope of Work. City retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in Exhibit "A", attached and incorporated by this reference in accordance with the terms and conditions set forth in this Agreement. 2. Term. This Agreement will be effective for a period of three (3) years from December 22, 2011. 3. Compensation. The total fee payable for the Services to be performed will be one thousand eight hundred fifty dollars ($1,850.00) per year totaling five thousand five hundred fifty dollars ($5,550.00) for the term of this agreement. No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. The City shall be invoiced in the amount of nine hundred twenty five dollars ($925.00), half of the annual cost, after each of the semiannual site visits. City reserves the right to withhold a ten percent (10%) retention until City has accepted the work and/or the Services specified in Exhibit "A." 4. Status of Contractor. Contractor will perform the Services as an independent contractor and in pursuit of Contractor's independent calling, and not as an employee of City. Contractor will be under the control of City only as to the results to be accomplished. 5. Indemnification. Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein City Attorney Approved Version #05.06.08 caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. The parties expressly agree that any payment, attorney's fee, costs or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. 6. Insurance. Contractor will obtain and maintain policies of commercial general liability insurance, automobile liability insurance, a combined policy of workers' compensation, and employers liability insurance from an insurance company authorized to transact the business of insurance in the State of California which has a current rating in the Best's Key Rating guide of at least A-:VII OR with a surplus line insurer on the State of California's List of Eligible Surplus Line Insurers (LESLI) with a rating in the latest Best's Key Rating Guide of at least "A:X", in an amount of not less than one million dollars ($1,000,000.00) each, unless otherwise authorized and approved by the City Attorney or the City Manager. Contractor will obtain occurrence coverage, excluding Professional Liability, which will be written as claims-made coverage. The insurance will be in force during the life of this Agreement and will not be canceled without thirty (30) days prior written notice to the City by certified mail. City will be named as an additional insured on General liability. Contractor will furnish certificates of insurance to the Contract Department, with endorsements to City prior to City's execution of this Agreement. 7. Compliance With Laws. Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment and will obtain and maintain a City of Carlsbad Business License for the term of this Agreement. 8. Termination. City or Contractor may terminate this Agreement at any time after a discussion, and written notice to the other party. City will pay Contractor's costs for services delivered up to the time of termination, if the services have been delivered in accordance with the Agreement. 9. Claims and Lawsuits. By signing this Agreement, Contractor agrees it may be subject to civil penalties for the filing of false claims as set forth in the California False Claims Act, Government Code sections 12650, et seq., and Carlsbad Municipal Code Sections 3.32.025, et seq. Contractor further acknowledges that debarment by another jurisdiction is grounds for the City of Carlsbad to terminate this Agreement. 10. Venue and Jurisdiction. Contractor agrees and stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties arising out of this Agreement is the State Superior Court, San Diego County, California. 11. Assignment. Contractor may assign neither this Agreement nor any part of it, nor any monies due or to become due under it, without the prior written consent of City. 12. Amendments This Agreement may be amended by mutual consent of City and Contractor. Any amendment will be in writing, signed by both parties, with a statement of estimated changes in charges or time schedule. City Attorney Approved Version #05.06.08 13. Authority. The maintenance to be performed for each Filterra stormwater treatment unit referred to above shall be as set forth in the Filterra Installation, Operations, and Maintenance Manual provided for these specific units, which is attached as Exhibit "B". The maintenance provided pursuant to this agreement and for the 2 years included with the original contract price shall be 2 physical inspections per year, at which time Americast will: i. Remove any foreign debris, silt, mulch, or trash that has accumulated at the surface of the unit; ii. Perform a filter media evaluation, and recharge the media as necessary; iii. Perform a plant health evaluation, and prune or replace as necessary; iv. Replace mulch as necessary v. Dispose of maintenance refuse items; vi. Maintain a record of maintenance for each unit and send copy of records to the City after each maintenance visit. Should any of the refuse removed by Americast from the units later be classified as a hazardous waste during the term thereof, necessitating disposal of the same in a manner different from ordinary landfill disposal, Americast reserves the right to pass on to the City any "hazardous waste" disposal fees paid by Americast to dispose of the same, which charges would be in addition to the costs of said extended maintenance agreement. C. Americast shall seek, approval from the City of Carlsbad Stormwater Department of the proposed day and time of the maintenance visit prior to visting the site. Americast shall notify the City of Carlsbad Stormwater Maintenance Department at least 48 hours prior to visiting the site to maintain the units. The mixture immobilizes pollutant, those pollutants are then decomposed, volatized and incorporated into the biomass of the Filterra® system's micro/macro fauna and flora. Stormwater runoff flows through the media and into an underdrain system at the bottom of the container, where the treated water is discharged. ® downstream inlet or outfall. Higher flows bypass the Filterra to a Maintenance is a simple, inexpensive and safe operation that does not require confined space access, pumping or vacuum equipment or specialized tools. Properly trained landscape personnel can effectively maintain Filterra® Stormwater systems by following instructions in this manual. www.filteiTa.com Basic Operations filterra Filterra® is a bioretention system in a concrete box. Contaminated stormwater runoff enters the filter box through the curb inlet spreading over the 3-inch layer of mulch on the surface of the filter media. As the water passes through the mulch layer, most of the larger sediment particles and heavy metals are removed through sedimentation and chemical reactions with the organic material in the mulch. Water passes through the soil media where the finer particles are removed and other chemical reactions take place to immobilize and capture pollutants in the soil media. The cleansed water passes into an underdrain and flows to a pipe system or other appropriate discharge point. Once the pollutants are in the soil, the bacteria immediately begin to break down and metabolize the materials and the plants begin to uptake and metabolize the pollutants. Some pollutants such as heavy metals, which are chemically bound to organic particles in the mulch, are released over time as the organic matter decomposes to release the metals to the feeder roots of the plants and the cells of the bacteria in the soil where they remain and are recycled. Other pollutants such as phosphorus are chemically bound to the soil particles and released slowly back to the plants and bacteria and used in their metabolic processes. Nitrogen goes through a very complex variety of biochemical processes where it can ultimately end up in the plant/bacteria biomass, turned to nitrogen gas or dissolves back into the water column as nitrates depending on soil temperature, pH and the availability of oxygen. The pollutants ultimately are retained in the mulch, soil and biomass with some passing out of the system into the air or back into the water. Each project presents different scopes for the use of Filterra systems. To ensure the safe and specified function of the stormwater BMP, Americast reviews each application before supply. Information and help may be provided to the design engineer during the planning process. Correct Filterra box sizing (by rainfall region) is essential to predict pollutant removal rates for a given area. The engineer shall submit calculations for approval by the local jurisdiction. Supplier: Americast and/or authorized dealer of Americast Filterra® products. Engineer: the site design engineer or a representative thereof. Inspector: a representative of the governing jurisdiction or municipality for the installation site. Contractor: company selected to carry out the works of the contract, or authorized sub-contractor thereof. The Supplier, selected by the Contractor and approved by the Engineer, shall furnish Filterra® related engineering assistance required to properly size and install all components of the treatment device in accordance with the approved drawings and these specifications. The Contractor will be responsible for unloading and installation of the delivered product. The Supplier will maintain the Filterra® system for a period of 1 year after activation. Extended maintenance contracts are available. www.filterra.coin Delivery & Unloading/Lifting The Supplier shall deliver the Filterra® units to site in coordination with the Contractor. By prior arrangement at the time of order, orders with multiple units may be shipped with the media separate from the Filterra® boxes (subject to extra charges). The Contractor will require spreader bars and chains/cables to safely and securely lift all box pieces and most of the top lids. Americast will supply a set of suitable lifting hooks with each project at no extra charge. Inspection Inspection of the Filterra® unit and all parts contained in or shipped outside of the unit shall be inspected at time of delivery by the site Engineer/Inspector and the Contractor. Any nonconformance to approved drawings or damage to any part of the system shall be documented on the Supplier shipping ticket. Damage to the unit during and after unloading shall be corrected at the expense of the Contractor. Any necessary repairs to the Filterra® unit shall be made to the acceptance of the Engineer/Inspector. Site Preparation A. When the Filterra® unit is installed prior to final site stabilization (full landscaping, grass cover, final paving and street sweeping completed), the Contractor is responsible for providing adequate and complete site/inlet protection. B. The Contractor shall adhere to all jurisdictional and/or OSHA safety rules in providing temporary shoring of the excavation. C. Do not place in a sump condition. The Filterra® cannot be used as an inlet - it will need effective bypass during higher intensity rainfall events. Refer to Drawing GUI Grading & Gutter Flow. To test a proposed location, imagine the Filterra® throat is completely blocked (so it would act like typical curb and gutter). If this results in any ponding or pooling of drainage, the placement is inappropriate. If the drainage continues to flow by the blocked Filterra® throat to the bypass inlet (or other relief) without any ponding or pooling, the placement is appropriate. B. Each unit shall be constructed at the locations and elevations according to the sizes shown on the approved drawings. Any modifications to the elevation or location shall be at the direction of and approved by the Engineer. C. The unit shall be placed on a compacted sub-grade with a minimum 6-inch gravel base matching the final grade of the curb line in the area of the unit. The unit is to be placed such that the unit and top slab match the grade of the curb in the area of the unit. Compact undisturbed sub-grade materials to 95% of maximum density at +1- 2% of optimum moisture. Unsuitable material below sub-grade shall be replaced to site engineer's approval. Filterra® Weights and Lifting Details are shown within this document. D. Once the unit is set, the internal wooden forms and protective mesh cover must be left intact. The top lid should be sealed onto the box section before backfilling, using a non-shrink grout, butyl rubber or similar waterproof seal. The boards on top of the lid and boards sealed in the unit's throat must NOT be removed. The Supplier will remove these sections at the time of activation. E. Outlet connections shall be aligned and sealed to meet the approved drawings with modifications necessary to meet site conditions and local regulations. F. Backfilling should be performed in a careful manner, bringing the appropriate fill material up in 6" lifts on all sides. Precast sections shall be set in a manner that will result in a watertight joint. In all instances, installation of the Filterra® unit shall conform to ASTM specification C891 "Standard Practice for Installation of Underground Precast Utility Structures" unless specified otherwise in contract documents. G. It is the responsibility of the Contractor to provide curb and gutter and transition to the Filterra® unit for proper stormwater flow into the system through the throat opening. A standard drawing of the throat and gutter detail (Drawing CGT-01) follows this page, however the plans and contract documents supersede all standard drawings. This procedure will also extend the longevity of the living biofilter system. The unit will recycle and accumulate pollutants within the biomass, but is also subjected to other materials entering the throat. This may include trash, silt and leaves etc. which will be contained within the void below the top grate and above the mulch layer. Too much silt may inhibit the Filterra's® flow rate, which is the reason for site stabilization before activation. Regular replacement of the mulch stops accumulation of such sediment. Americast includes a 1-year maintenance plan with each system purchase. Annual maintenance consists of a maximum of two (2) scheduled visits. The start of the maintenance plan begins when the system is activated for full operation. Full operation is defined as the unit installed, curb and gutter and transitions in place and activation (by Supplier) when mulch and plant are added and temporary throat protection removed . Activation cannot be carried out until the site is fully stabilized (full landscaping, grass cover, final paving and street sweeping completed). Maintenance visits are scheduled seasonally; the spring visit aims to clean up after winter loads including salts and sands. The fall visit helps the system by removing excessive leaf litter. Some sites may be subjected to extreme sediment or trash loads, requiring more frequent maintenance visits. This is the reason for detailed notes of maintenance actions per unit, helping the Supplier and Owner predict future maintenance frequencies, reflecting individual site conditions. Owners must promptly notify the (maintenance) Supplier of any damage to the plant(s), which constitute(s) an integral part of the bioretention technology. Owners should also advise other landscape or maintenance contractors to leave all maintenance to the Supplier (i.e. no pruning or fertilizing). Exclusion of Services It is the responsibility of the owner to provide adequate irrigation year around to the plant of the Filterra® system. Clean up due to major contamination such as oils, chemicals, toxic spills, etc. will result in additional costs and are not covered under the Supplier maintenance contract. Should a major contamination event occur, the Owner must block off the outlet pipe of the Filterra® (where the cleaned runoff drains to, such as drop-inlet) and block off the throat of the Filterra®.
