Lessee shall promptly pay and discharge any and all liens arising out of any construction, alteration or repair work done, or Eufiercd or permitted to bc done, by Lessco on the Premises, and Lessor is hereby authorized to post. any notices or take any other action upon or with respect to the Premises that ia or may be permitted by law to prevent the attach- ment of any such liens to the Premises;. provided, howover, that failure of Leasor to take any such action shall not relieve l.crssee of any obligation or iinblht.~ under this OK any other paragraph hereof. 9. Les.~ ngrees to indemnify and fravebharmless Lessor against all loss, damage or expense which Lessor ma sustain, incur or became liable for, including loss of or damage to property or injury to or death of persons an B fines or penalties imposed upon or assessed against Lessor, arising in any manner out of (a) the use of the Premises or Improvements by Lessee, (b) any breach by Lessee of the terms, covenants or conditions in this instrumeqt con- tained, or (c) the solo or contributing acts or omissions of Lessee or the employea, age&., patrons or invitcea of Lessee in, on or about the Premises or Improvementu, except that if Lessor shall participate in any such conttibuting acta or omissions, then the loss, dange or expense arising therefrom shall be borne by the parties hereto equally. II. Neither Lessee, nor the heirs, legal representatives, eucce~om or asajgmr of Lessee, nor any subsequent assignee, shall underlerse or rnrblet the Premises or the Improvements, or any part thereof, nor assign or transfer this lease or any interest herein, without the written consent and approval in each instance of Leasor. 12. In case of the eviction of Lace by anyone owning or claimin g title to or any intere& in the Premises, Lessor shall not be liable to Leasee for any damage of any nature whatsoever, OT to refund any rental paid hereunder, except the proportionate part of any rental paid in advance. 13. If any rental hereunder shall be due and unpaid., or if default‘shall be made in any of the covenanta or agree- ments of Lessee herein cont.ained, or in case of any assignment or transfer of thitr lease. by operation of law, Lesor may, at ita option, terminate this lease by serving five (6) daya’ notice in writing upon Leaqee; but any waiver by Lessor of any default or defaul& ahall not constitute a waiver of the right to terminate this lease for any subsequent ‘default or defaults. 14. .‘I’his IeAse may bc terminated at any time by either party by serving thirty (30) days’ written notice of termination upon,the other party, stating therein the date that such termination shall take place, and upon the ex- piration of the time specified in such notice this lease and all rights of Lessee hereunder shall absolutely cease and determine; but upon any such termination Leasee shall be entitled to have refunded by Lessor a proportionate part of any rent& paid in advance. 15. In the event MASTER LEASE is terminated fox any reason whatsoever, this sub-lease shall automatically terminate as of the date and time of termination of MASTER LEASE, without the necessity of any notice to either party hereto. This sub-lease may be terminated by CITY at any time for breach by CORPORATION of any of the terms hereof by giving written notice thereof to CORPORATION. In the event of termination of this sub-lease for any reason whatso- ever, CITY shall sustain no obligation or liability I?rhatsoever by reason thereof to CORPORATION, other than to refund a proportionate part of any rentals paid in advance. D. CORPORATION agrees to perform all of CITY’s obligations, agreed to be performed under MASTER LEASE in regard to PROPERTY. E. CORPORATION shall pay to CITY as rent for PROPER.TY the sum of One Dollar ($1.00) per year by delivering said sum to CITY on ,.July 16th) 1963, and annually on the same date thereafter during the term of this sub-lease. F, CITY accepts and reserves the right to be exercised by CITY and by any others who have obtained or ma.y obtain permission or authority from CITY so to do to operate, maintain, renew, and re- locate any and all existing pipe, power, and communication lines and appurtenances and other facilities of like character upon, over, or under the surface of PROPERTY; and from time to time to construct, operate, maintain, renew and relocate such additional facilities of the sa.me character on PROPERTY. G.
