HomeMy WebLinkAboutCampbell, John dba Campbell Advisory Services; 2008-04-25;AGREEMENT FOR EXECUTIVE COACHING Campbell Advisory Services THIS AGREEMENT is made and entered into as of the <y day of 20C&. by and between the CITY OF CARLSBAD, a municipal orporation, ("City"), and ("Contractor"). RECITALS City requires the professional services of an executive coach that is experienced in developing leaders. Contractor has the necessary experience in providing these professional services, has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1 . Scope of Work. City retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in Exhibit "A", attached and incorporated by this reference in accordance with the terms and conditions set forth in this Agreement. 2. Term. This Agreement will be effective for a period of 6 months from the date first above written. 3. Compensation. The total fee payable for the Services to be performed will not exceed three thousand dollars ($3000). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. City reserves the right to withhold a ten percent (10%) retention until City has accepted the work and/or the Services specified in Exhibit "A." 4. Status of Contractor. Contractor will perform the Services as an independent contractor and in pursuit of Contractor's independent calling, and not as an employee of City. Contractor will be under the control of City only as to the results to be accomplished. 5. Indemnification. Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. The parties expressly agree that any ]l>ayment, attorney's fee, costs or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. 6. Insurance. Contractor will obtain and maintain policies of commercial general liability City Attorney Approved Version #1 1 .28.06 1 14. Authority. The individuals executing this Agreement and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Agreement. Campbell Managing Partner Exhibit A Executive Coaching Proposal for City of Carlsbad, California ("Client") Campbell Advisory Service's Coaching Philosophy: Executive coaching is a process used to enhance effective learning dexterity and accomplishment, especially regarding leadership in a work environment. The relationship between coach and executive is the foundation for successful coaching. The coach is committed to guiding the executive through self-discovery and on to success. It is an individualized process, based on the development requirements and career intentions of the executive - working toward a position that goes beyond what is to what is possible. A coach questions the status quo and seeks transformational results. This process of questioning, coupled with the executive's practice and repetitive use of newly acquired skills and knowledge, establishes the basis for sustained change and increased contribution. Below is a description for the proposed work and fee structure. 1. Scope of Work: Executive coaching for one City of Carlsbad, California executive for a 4 month program beginning around April 1, 2008, and ending around July 1, 2008, delivered by John R. Campbell, Managing Partner of Campbell Advisory Services. Books and articles will be chosen and used to support specific measures of success and declared commitments. There are three phases to this proposed executive coaching. Phase 1: Understand self-values, vision, purpose, emotional intelligence, leadership attributes and behaviors Phase 2: Understand relationship to value-driven actions Phase 3: Create and implement a strategic leadership development plan • Deliverables: Initial induction session - three hours, in person(to be scheduled early in April) Use of a corporate 360 degree assessment tool (sample attached as Attachment A) followed by a verbal telephone interview to secure performance and leadership input from up to four colleagues including the Fire Chief. - Feedback to the Client: Halfway through the term of this coaching experience, a telephone status report; at completion of consulting experience, a final assessment by phone to Client 2 East 75th Street, Suite 5C | New York, NY 10021 | Tel 212.249 7681 Fax 866.246.4335 icampbell@campbelladvisorv.com Campbell Advisory Services - Coaching sessions: 4 one-hour sessions per month by phone, set up at mutual convenience of executive and coach - Leadership / Personal Assessments: 360 degree corporate assessment; As / See Myself: and Myers Briggs Learning Assessment are used as initial input to the coaching process and during the program for on-going development. The tools Leadership/ Management Attribute Index and Emotional Quotient Assessment may also be utilized, if determined appropriate by the coach. Success is measured by executive's ability to complete Phase 3 of the coaching process as described above, i.e. to have created and implemented the strategic leadership development plan. • Assertions: - Maintain confidentiality between coach and executive - Assist in gaining clarity around strengths, needs and gaps Assist in developing skills - Keep executive focused - Hold executive accountable - Move executive to action - Support executive's intentions 2. Next Steps: Once coaching proposal has been accepted, Agreement will be executed. Hours coached will be billed at the beginning of each month Agreement is in effect. Travel expenses and any other pre-approved assessments fees and materials will be billed at the end of the coaching process and payment will be due within 30 days after the final invoice is submitted.
