RECITALS A. On June 27, 2014, the Parties entered into a one year Agreement for TGIF Concerts in the Parks commercial food service; and B. On June 26, 2015, the Parties executed Amendment No. 1 to the Agreement to extend and amend the Agreement; and C. Per Section 3.2 of the Agreement required the Parties to give notice of such renewal to the other Party no sooner than 180 days following the end of the [then] current Agreement requesting an additional season [2016 TGIF season] term. The Parties agree that this Amendment No. 2 satisfies the requisite notice of intent to extend the Agreement. D. The Parties desire to amend the Agreement's scope of work and to extend the Agreement for a period of one year. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Vendor agree as follows: 1. The Agreement, as may have been amended from time to time, is hereby amended and extended for the 2016 TGIF Concerts in the Parks concert season, beginning on June 24, 2016 and ending on August 19, 2016. Vendor will provide those services described in Exhibit "A", Exhibit "B" and Exhibit "C". 2. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 3. All requisite insurance policies to be maintained by the Vendor pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. APPROVED AS TO FORM: City Attorney Approved Version 1/30/13 EXHIBIT "A" SCOPE OF SERVICES TGlF FOOD VENDOR SCOPE OF WORK CITY shall provide food service access restricted to four selected food vendors at nine TGIF Concerts in the Parks 2016 (TGIF) for the purpose of providing concertgoers with onsite commercial food service; dates of services are as presented in Exhibit "B", TGIF Concerts in the Parks Schedule. Vendor, shall conduct a commercial food service business at all nine TGIF Concerts in the Parks as presented in Exhibit "B" Food service will consist of a menu of items and prices as negotiated with the CITY and presented in Exhibit "C", Menu & Price List. Vendor shall operate for all nine Friday evening TGIF concert dates from June 24 through August 19, 2016 at each concert's specific location. Vendor shall use the site specifically designated for Vendor at each concert location. Vendor shall operate the commercial food service business from a self-contained truck, trailer, cart or mobile booth provided by the Vendor. Vendor is responsible for all food service staffing needs to support sales and distribution. Vendor is responsible for all operational costs, including, but not limited to, inventory costs, sale/delivery of products, labor, paper products, cleaning supplies, permits and additional miscellaneous expenses. Vendor shall have self-sufficient means of power and water adequate to any on-site food preparation requirements. Vendor shall not dispose of any grease, oil or other materials related to food service on any city property. The CITY shall allow the Vendor use of the Premises for a period of five (5) hours, from 4:00 p.m. until 9:00 p.m., on the dates of the 2016 TGIF Concerts in the Parks events. Vendor shall begin sales operations no later than 5:30 p.m. and will cease service at 8:00 p.m. Vendor shall vacate concert premises by 9:00 p.m. Vendor shall maintain and conduct all requirements with regard to all taxes, licenses, insurance and fees applicable for food service operations in the City of Carlsbad. Vendor shall obtain and display all health permits and certifications applicable to food service operations as required by the San Diego County Department of Environmental Health. Vendor shall adhere to all additional regulations regarding mobile food service operations required by the San Diego County Department of Environmental Health. CITY shall provide Vendor with trash and recycling receptacles and services during each TGIF event. NOW, THEREFORE, for good and valuable consideration, the CITY and VENDOR enter into this AGREEMENT for use of the Premises subject to the following terms and conditions. 3.0 TERMS 3.1 Authorization for Use. Subject to the terms and conditions set forth below, CITY authorizes VENDOR non-exclusive use of the Premises during hours of operation, as defined in Section 3.3 below. A Scope of Work is attached hereto as Exhibit A and incorporated herein by this reference. 3.2. Term. The term of this AGREEMENT shall be from the beginning of the TGIF Concerts in the Parks 2014 season on June 27, 2014 and ending on August 26, 2014. The parties may renew this AGREEMENT by mutual consent and in writing for two (2) additional TGIF Concerts in the Parks concert seasons, as those dates may be defined (i.e. 2015 season and 2016 season), by giving written notice of such renewal to the other party no sooner than one hundred eighty (180) days following the end date of the current AGREEMENT, requesting an additional season term period. 3.3 Hours of Operation. The CITY shall allow the VENDOR use of the Premises for a period of five (5) hours, from 4:00 p.m. until 9:00 p.m., on the dates of 2014 TGIF Concerts in the Parks events. These dates are the nine (9) consecutive Fridays from June 27, 2014 through August 22, 2014. The VENDOR shall remove all related equipment, materials and vehicles belonging to VENDOR by 9:00 p.m. on these dates. The TGI.F Concerts Schedule is attached hereto as Exhibit Band incorporated herein. 4.0 AGREEMENT CONSIDERATION VENDOR shall report each concert date's gross sales to the TGIF Manager at the close of operations at each concert. VENDOR shall not pay the CITY any fee or share of revenues earned from sales activities conducted at TGIF Concerts in the Parks. 5.0 OBLIGATIONS 5.1 Obligations of the CITY 5.1.lThe CITY shall maintain the Premises, including grounds and access ways on the Premises to the VENDOR's site of operation. 5.1.2 The CITY shall provide access to the onsite trash receptacles and recycle receptacles. The CITY shall provide removal service of trash and recycle materials. 5.2 Obligations of the VENDOR 5.2.lThe VENDOR shall provide mobile food services to the general public as submitted in its proposal of food and beverage menu and prices for the 2014 TGIF Concerts in the Parks. A copy of the menu and prices is attached hereto as Exhibit C and incorporated herein. 5.2.2 VENDOR agrees to maintain the hours as set forth in Section 3.3. that best serve the community at TGIF Concerts in the Parks events during the period of use of the Premises set forth in this AGREEMENT. 5.2.3 VENDOR shall provide CITY with a copy of the Articles of Incorporation if vendor is a corporation, or any other document deemed by CITY to be valid proof the signatory(s) of the AGREEMENT have the legal authority to contractually bind VENDOR. 6.0 COMPLIANCE VENDOR shall comply with all federal, state, county and local laws, statues, ordinances, rules and regulations and the orders and decrees of any courts or administrative bodies in any manner affecting performances of activities conducted on the Premises. VENDOR shall display in a prominent location of his/her food truck or booth all required permits and licenses. 7 .O ASSIGNMENT OF AGREEMENT /NON-POSSESSORY INTEREST 7.1 Assignment of AGREEMENT. VENDOR shall not assign this AGREEMENT or any part thereof without the prior written consent of the CITY. 7.2 Non-Possessory Interest. VENDOR shall have no permanent or possessory interest in the Premises based upon this AGREEMENT. 8.0 ASSUMPTION OF RISKS VENDOR assumes all loss or damage to VENDOR's property within the Premises, except damage or loss through the sole negligence or intentional misconduct of the CITY. The CITY shall not be liable to VENDOR, or those claiming through the CITY, for injury, death, or property damage occurring at the Premises and arising out of the conduct of VENDOR. 9.0 INDEMNIFICATION VENDOR agrees to indemnify, defend, and hold the CITY and CITY's elected officials, officers, employees and agents harmless from and against any and all claims, demands, causes of action, losses, damages, and costs, including all costs of arising out of, or in any manner connected directly or indirectly with any actions or omissions or operations of VENDOR or the VENDOR's agents, employees, contractors, officials, officers, patrons, invitees or representatives on the Premises. With respect to the indemnity and hold harmless provisions ofthis section, VENDOR shall, upon demand and at its own expense, defend the CITY and its officials, officers, employees and agents, with legal counsel acceptable to the CITY, from and against any and all claims, demands, causes of action, losses, damages, and costs. 10.0 INSURANCE 10.1 VENDOR shall obtain, and during the term of this AGREEMENT shall maintain policies of general liability and property damage insurance (for structure and contents) from an insurance company authorized to do business in the State of California, in an amount not less than one million dollars ($1,000,000), for each occurrence in a form satisfactory to the CITY's Risk Manager. The insurance policy shall provide that the policies shall not be cancelled, terminated, or allowed to expire without thirty (30) day prior written notice to the CITY from the insurance company. VENDOR shall provide certificate of insurance and additional insured endorsement for insurance required pursuant to this section to the satisfaction of the CITY no later than the Effective Date of this AGREEMENT. The CITY shall be named as additionally insured by endorsement on these policies and provided proof of insurance by way of a certificate of insurance with additional insurance endorsement. 10.2 VENDOR shall procure a policy of Worker's Compensation Insurance as required by Labor Code of the State of California, if VENDOR has employees. If VENDOR has no employees, Vendor shall submit the appropriate waiver form from the CITY. 11.0 TERMINATION 11.1 If VENDOR is in default in the performance of this AGREEMENT or materially breaches any of its provisions, the CITY at its sole option may terminate this AGREEMENT by giving written notice to VENDOR. On receipt of said notice, VENDOR shall cease immediately all sale operations taking place on the Premises under the Terms of this AGREEMENT. 11.2 If the CITY defaults in the performance of the AGREEMENT, or materially breaches any of its provisions, VENDOR at its sole option may terminate this AGREEMENT by giving written notice to the CITY. 11.3 Either party may terminate this AGREEMENT, for convenience, without cause, upon sixty (60) days prior written notice to the other party. 12.0 ENTIRE AGREEMENT This writing constitutes the entire AGREEMENT between the parties relating to the terms and conditions hereunder. No modification of this AGREEMENT shall be effective unless and until such modification is evidenced in writing and signed by all parties. 13.0 GOVERNING LAW; VENUE The existence, validity, construction, operation and effect of this AGREEMENT shall be determined in accordance with laws of the State of California. Included in this proposal are items requested in Section B of the RFP. Our Troop has been involved with the TGIF concerts located in the City of Carlsbad for approximately seventeen years, two of the first years we provided volunteer services to the city by recycling cans and bottles left over from concert attendees after each concert. Subsequently we were offered the opportunity to set up a food and beverage booth at the concerts which we shared 50% of the time with the Carlsbad Htgh Schoo Band. A few years later the band dropped out providing our troop with our primary means of fundraising each year. Without fail, for the past fifteen years we have contributed our services at each TGIF concert in the City of Carlsbad consisting of nine Fridays during the summer. Troop 7 45 is Pl~ased to to provide any additional information that may be helpful in the City of Carlsbad's propos~I review process. Introduction Each summer, Troop 745 pays it forward by enthusiastically contributing to the TGIF Concerts in the Park season with confidence that the citizens of Carlsbad are in full support of our mission. Carlsbad supports Troop 7 45 because we not only offer delicious food and drink, but we provide a valuable community service to Carlsbad and Greater San Diego County. Courteous -Scouts who participate in TGIF gain valuable experience, such as customer service, business management, organization skills and salesmanship. They learn how to contribute as team members by providing courteous customer service and assistance to patrons when needed. This experience is all part of an active BSA program that prepares boys for life through experiential learning opportunities of which TGIF is a prime example. We are proud to have had the opportunity to partner with the City of Carlsbad in providing a spirited and joyous community service to all attending TGIF each Friday evening, and hope to continue this tradition! Experience & Qualifications Loyal -Troop 745 has been actively and faithfully (without absence) providing delicious barbeque fare, cold beverages and popular snack items at Carlsbad's TGIF Concerts in the Park series. The citizens of Carlsbad and other visitors have come to TGIF for a great time, and that is exactly what Troop 745 provides! Clean -As a safety precaution and convenience to both Troop 7 45 participants and community patrons, we also stock cleaning supplies, such as non-soap hand cleanser, paper towels, a fire extinguisher, and a first-aid kit TGIF patrons know to come to our booth for these items and more throughout the TGIF season, because Troop 745 is a service organization that takes pride in assisting the public. Additionally, each Scout and adult volunteer holds a certificate from the County of San Diego indicating safe and clean food handling practices. Helpful, Brave -Troop 745 is run by the Scouts, who choose and plan the menu, cook, and train younger Scouts in food vendor skills. They learn by doing, following the traditional patrol method established over ninety-seven years ago. Jobs (including a list of duties) are assigned to each participating Scout to ensure efficient and safe operation of food preparation and distribution to TGIF patrons. Examples of these jobs include: Cash Box Manager, Grill Master, Hot Dog/Hamburger Wrapper, Food Order Waiter, Cold Drink and Chip Re-Stocker, Custodian (picks up trash and cleans messes). These jobs are re-assigned on a rotation each Friday so that each Scout has experience in all areas by the end of the summer season. Our Scouts must take initiative and be brave enough to personally greet and serve each and every TGIF patron who comes to our booth. This experience builds confidence and enables boys to develop into capable young men, who don't just observe a need, but step up to fill the need. These will include chilled fruit kabobs, fresh-baked cookies, artisan cupcakes and other dessert items. Reverent -This year, we are introducing a healthy choice for all ages -chilled fruit kabobs - which will consist of pineapple, melon, grape and assorted seasonal fruits stacked on 5" wood skewers. The fruit kabobs will be prepared in accordance to safe food handling regulations. Additionally, as an extra safety precaution for younger patrons, Troop Leaders have arranged for the skewers to be "splinter-free" with no sharp ends. Troop 745 will continue to provide healthy options that are both delicious and mess-free as the TGIF Concerts in the Park 2014 season unfolds. The Scouts will test market these items to measure which treat is most popular. The Scouts of Troop 7 45 aim to please and revere the public'$ choice by offering only the most popular food and beverage items each week! Thrifty -Our menu items will rerp~in at the same price as last year and the season before. Troop 7 45 consistently provides a goQd value by $electing warehouse food stores which provide a one-time nonprofit discount each year. We . capitalize on this discount by making a targe purchase at the start of the season. Additionally, we offer the public value meals in which a combination of a grilled item, chips and drink is fifty cents less than if purchased separately. This summer, Troop 7 45 will explore cell phone payment applications to allow patrons more flexibility in paying for food and beverage items. Adult volunteers will provide oversight to ensure that payment application transactions are completed quickly and accurately. Booth Details Friendly, Kind -Troop 745 always has an attractive booth with red and white checkered table cloths, new Troop 7 45 banners, and colorful signage that clearly indicates our menu items and pricing. We also stock disposable cutlery, plastic cups and napkins as an added convenience for patrons to use. Depictions of our booth are illustrated on pages 5 and 6 of this proposal. The City of Carlsbad has been generous in providing three 8 ft. long folding tables as well as two easy-up awnings that are each 10 ft. x 10 ft. The dimensions of our booth are: width=20 ft.; depth=16 ft, for total booth space of 320 square feet. (20' x 16'). We typically have two tables in front {lengthwise) and the third table positioned along the side to create a rectangte. An additional 5 ft. of space is required at the back of our booth for grilling and supply storage. Troop 745 appreciates the City of Carlsbad's efforts in providing and setting up the tables and awnings in the past, and if this becomes an inconvenience for The City of Carlsbad, we are willing and able to provide these as specified. The funds earned from TGIF food vendor sales makes it possible for Scouts to venture out to campouts such as Anza Borrego, Sequoia, Catalina Island, Lake Cuyamaca and the Wind Caves. TGIF has proven a solid WIN-WIN as it provides Scouts with an opportunity to serve their community while learning as they do so, and provides the community with a quality food service experience while supporting youth to be prepared for life! Last year, the funds derived from TGIF subsidized summer camp for twelve Scouts, making possible a valuable experience that they would otherwise not have. This past year, fifteen Scouts in our troop advanced in rank, and Troop 7 45 has the distinction of holding the highest percentage of young men who've earned the highest rank of Eagle Scout in Southern California! In this regard, Troop 745 requests a waiver of the revenue-sharing agreement with the City of Carlsbad. Cheerful -Troop 745's presence at TGIF has been enthusiastically received by attendees of all ages who recount their own experience as a Scout, Den Mother or Troop Leader. The Scouts of Troop 7 45 cheerfully anticipate another wonderful summer season of complementing the TGIF Concerts in the Park's eclectic and colorful musical themes. Applicable Taxes, Fees, and Licenses An integral part of Scout advancement is safety and being prepared. Troop 7 45 holds a City of Carlsbad Business License (Bus. Number 1234968), which will be renewed before the expiration date of April 30, 2014. Additionally, a Temporary Food Facility Permit is required by the County of San Diego, which is pending selection of Troop 7 45 as a food vendor by the City of Carlsbad. Additionally, Scouts and volunteering adults must complete a three-hour food handler training program and exam to earn the food handler certification. The food handler training and exam must be completed every three years and this is tracked by AduU Leaders. Troop 745 has scheduled the annual Food Handler Training for the upcoming summer season on Wednesday, April 30, 2014 at 6:00 pm. All Scouts and adult volunteers who do not hold a current certificate are required to attend in order to participate in TGIF Concerts in the Park 2014. Insurance Coverage The Boy Scouts of America (BSA) provides general liability and personal injury insurance coverage for Troop 745 adults and Scouts participating in sanctioned BSA events, such as serving food at the TGIF Concerts in the Park. Upon selection as a TGIF Concerts in the Park food vendor by the City of Carlsbad, Troop 745 wiff provide certificate of insurance inoludtng endorsement of the City of Carlsbad as an additional insured as required by the City of Carlsbad. Requested Revisions to Sample Agreement & Revenue-Sharing Agreement Troop 745 has reviewed the Sample Agreement contained in the Request for Proposals, and generally finds its provisions to be acceptable. In light of Troop 7 45's nonprofit status and continued community service, we request a waiver from the Revenue-Sharing Agreement.
