HomeMy WebLinkAboutChange of Pace, A; 2001-06-25;CITY OF CARLSBAD PROFESSIONAL SERVICES AGREEMENT UNDER $10,000 This letter will serve as an agreement between A Change of Pace, a Contractor and the City of Carlsbad for professional services pursuant to Carlsbad Municipal Code Section 328.140 or 150. The attached document (attached as Exhibit “A”), outlines the scope of work to be completed during the next 90 calendar days at a cost not to exceed $4,950; payment to be submitted in full after services have been completed to the City’s satisfaction. The Contractor shall perform the services provided for herein as an independent contractor and in pursuit of his/hers independent calling, and not as an employee of the City. Contractor shall be under the control of the City only as to the results to be accomplished. The Contractor shall comply with all applicable state and federal laws and regulations prohibiting discrimination and harassment. The Contractor shall obtain and maintain policies of comprehensive general liability insurance, automobile liability insurance, a combined policy of workers’ compensation, employers liability insurance and professional liability insurance from an insurance company authorized to transact the business of insurance in the State of California which has a current rating in the Best’s Key Rating guide of at least A-:V in an insurable amount of not less than five hundred thousand dollars ($500,000) each, unless otherwise authorized and approved by the City Attorney or the City Manager. This insurance shall be in force during the life of this agreement and shall not be canceled without thirty (30) days prior written notice to the City by certified mail. The City shall be named as an additional insured on all these policies, except workers’ compensation and professional liability. The Contractor shall furnish certificates of insurance, with endorsements to the City before commencement of work. The City has determined using the guidelines of the Political Reform Act and the City’s conflict of interest code, that the Contractor will not be required to file a conflict of interest statement as a requirement of this agreement. However, Contractor hereby acknowledges that Contractor has the legal responsibility for complying with the Political Reform Act and nothing in this agreement releases Contractor from this responsibility. This agreement may be modified by mutual consent of the City and the Contractor. Any change shall be in writing with a statement of estimated changes in charges or time schedule. A City of Carlsbad business license shall be obtained and maintained for the duration of the contract. The City Manager or the Contractor may terminate the agreement at any time after a discussion, and written notice to the other party. The City will pay Contractor’s costs for service delivered up to the time of termination, if the services have been delivered in accordance with the agreement. No 5907 Reorder: Call Toll-Free I-800-876-6827 A CHANGE OF PACE will provide the following for the 2001 Carlsbad Triathlon: 2001 Carlsbad Triathlon anticipates 900 individual athletes and 50 relay teams. (1050 total participants.) REGlSTRATlON Pre and late registration handled by computer; bar-code labels printed in house, all data entry prior to the event is done by ACoP, alphabetical and/or numerical pre-registration lists made available to City of Carlsbad prior to event. FINISH LINE Set up of finish line, one large display clock and an announcers lap top computer will be provided for the 2001 race. RESULTS Results will be tabulated and printed at the race site on race day. Race place, division place, times and paces will be overseen and posted immediately following the race by ACoP staff member. A separate list of award winners will be provided for use at the awards ceremony. Final hard copy of overall results will include overall time, available split times, transition times, swim time, swim pace per IOOm, bike time, bike mile per hour, run time, run pace, final time, race place, division place, leg place, age, hometown. ACoP will provide a web site address for all participants and have preliminary results available within 3 days after the event. TRANSITION AND SPLIT TIMES - timing will include all necessary materials and equipment. ACoP will provide three split times for the 2001 race. (1) Swim, (2) transition/bike/transition, (3) run. ACCURACY AND RELIABILITY ACoP will guarantee that all times are provided for all racers. CITY OF CARLSBAD shall provide $4,950 for all timing costs to ACoP. Additionally, City of Carlsbad will provide three rooms for six members of ACoP staff close in proximity to the race site.
